CDT Roundup: Capital Markets Deals Drive $8.6B Week

The week that ended Sept. 6 saw 20 deals with a reported value of $8.6 billion. That seems, at first glance, far better than last week’s 10 total deals for $3.5 billion. And it is. But not better than the 12 deals for $20 billion we saw this time last year.

But a closer look shows that the numbers were thin on money actually changing hands. First off, most of the money reported was on the capital markets side, $5.7 billion of the $8.6 billion reported. And on the M&A side, we saw $2.9 billion reported, but $1.57 billion of that was in a single midstream deal.

Energy deals were in abundance, six of them if you count a major produced water deal (which we just did). There was an aerospace manufacturing deal, a couple of metals processing deals, a bank deal, an acquisition by a cloud-based workforce management platform, the sale of an ethanol plant, a couple of midstream deals, the sale of a Dallas asset manager and a merger of Midwest fiber communications providers.

But let’s remember, it was a week that began with a holiday.

Plains All American acquires 55% of EPIC Pipeline for $1.57B

Deal Description: The strategic shuffling in energy infrastructure continued apace Sept. 2 with the $1.57 billion acquisition by Plains All American Pipeline of a 55 percent non-operating interest in EPIC Crude Holdings, the entity that owns and controls the EPIC Crude Oil Pipeline. Plains is acquiring the majority interest held jointly by Diamondback Energy and Kinetik Holdings Inc. The remaining 45 percent is owned by Ares Management, which operates the pipeline and will continue to do so after the expected close early next year. The all-cash deal includes $600 million of debt and potentially another $193 million should a planned expansion to 900,000 barrels per day be approved before the end of 2027. Current capacity is rated at 600,000 bpd. Plains All American was advised by Latham & Watkins, Diamondback by Akin Gump and Kinetik by Vinson & Elkins. Deep Blue acquires produced water system for $675M

Deal Description: Deep Blue Midland Basin announced Sept. 2 its acquisition of a 70 percent interest in Environmental Disposal Systems from one of its joint venture partners, Diamondback Energy. Diamondback will receive $675 million in cash and retain a 30 percent stake in the company. The deal also includes an earnout provision that could provide another $200 million to the deal through 2028. In addition, Diamondback renewed a 15-year dedication of produced water and supplied water in a 12-county area of the Midland Basin. Deep Blue was formed in 2023 as a joint venture between Diamondback and Houston-based Five Point Energy. Deep Blue is headquartered in The Woodlands.

Friedman acquires Florida metal supplier for $445M

Deal Description: Friedman Industries announced Sept. 2 that it acquired Century Metals and Supplies, a Florida company headquartered in Miami with facilities in Orlando. Terms of the all-cash transaction weren’t disclosed. Longview-based Friedman expects the acquisition to immediately add to earnings. The manufacturer and processor of flat-roll steel and tubular metal products said Century Metals has averaged annual revenue of about $111 million over the past few years. Friedman Industries reported sales of $444.6 million for its fiscal year ended March 31. Friedman said the acquisition expands the company’s reach into the southeastern U.S. and Latin American markets while broadening products to include cold-rolled, coated, and stainless steels, as well as non-ferrous materials such as aluminum, copper and brass.

Green Plains divests Tennessee ethanol plant for $190M

Deal Description: Green Plains Inc. announced August 28 that it has entered into an asset purchase agreement with POET LLC to sell its Rives, Tennessee, ethanol plant for $190 million in cash. The price includes an estimated $20 million in working capital that can be adjusted at closing, which is expected to take place sometime during the third quarter of 2025. Based in Omaha, Green Plains is a publicly traded energy transition company specializing in biofuels and carbon reduction. POET is based in Sioux Falls, South Dakota.

Ecobat sheds another non-core business

Deal Description: Dallas battery recycler Ecobat announced Sept. 2 that it completed the sale of its anode manufacturing business in Arizona to Inppamet Ltda., a Chilean hydrometallurgical company. Ecobat said the deal includes its fabrication facility in Casa Grande south of Phoenix that has produced rolled lead anodes for copper and zinc mining for more than 40 years. Ecobat also said the divestiture allows it to further concentrate on its core operations of recycling lithium ion batteries and lead-acid batteries used in vehicles. In August, Ecobat sold its battery recycling and specialty lead operations in Germany and Austria, and the company previously announced the sales of facilities in France and Italy, as well as its distribution operations.

Rithm Capital acquires Fort Worth alternative investment firm

Deal Description: Rithm Capital Corp. announced Thursday that it signed a definitive agreement to acquire Crestline Management, a Fort Worth-based investment manager with about $17 billion in assets under management. Terms weren’t disclosed. The companies expect the deal to close by Dec. 31, pending customary closing conditions. Rithm, which owns mortgage lender and servicer Newrez, said the Crestline acquisition establishes its entrance into insurance and reinsurance while increasing its new credit and alternative investment operations. Rithm said the combined company will have of $98 billion in investable assets, with $45 billion on balance sheet and about $53 billion in assets under management.

Deal Description: Pure play internet services provider Metronet, which itself was acquired in July by KKR and T-Mobile, announced Sept. 2 its own acquisition of U.S. Internet, a Minneapolis pure play fiber company. Terms of the deal were undisclosed. USI operates a 100 percent fiber network accessible to more than 140,000 homes and businesses in Minneapolis and will augment Metronet’s significant client base in nearby Minnesota communities. USI’s residential customers will become customers of T-Mobile Fiber and its commercial customers will become customers of Metronet, which operates fiber networks across 19 states.

Trive creates aerospace platform

Deal Description: Dallas-based Trive Capital announced Sept. 3 the creation of Canopy Aerospace & Defense with the merger of Hera Technologies and MSM Industries. Deal Description: Equity Bancshares of Kansas announced on Sept. 2 its expansion into Nebraska with the acquisition of Frontier Holdings and its seven Nebraska banks. The merger also adds Frontier’s $1.3 billion in loans and $1.1 billion in deposits to Equity’s $7.9 billion in total assets. Cresta Fund, Endurance Investment create secondary funding for Sentinel Midstream

Deal Description: Cresta Fund Management, a Dallas-based private equity energy investor, announced Sept. 3 the creation of a new investment vehicle that will allow Cresta to continue its investment in Sentinel Midstream, whose liquids pipelines service key storage terminals and export facilities along the coast of the Galveston Bay and in Louisiana from Krotz Springs to St. James and Raceland by way of Baton Rouge. Cresta made its investment in 2021 through its subsidiary Entercoast Midstream. The new vehicle includes secondary backing by another Dallas investor, Endurance Investment Partners and, according to the announcement, provides liquidity for Cresta investors who wish to exit its Sentinel investment while allowing Cresta to continue its operational stake in Sentinel.

Sunoco issues another $3.4B in debt to pay for Parkland

Deal Description: Moving to absorb its still-pending $9.1 billion acquisition of Parkland Corporation, Dallas-based Sunoco announced a $3.4 billion offering of notes. The notes issue includes a multi-tranche offering of $1.9 billion of senior notes and an upsized private offering of $1.5 billion in 7.875 percent Series A fixed-rate reset cumulative redeemable perpetual preferred units at $1,000 per unit. According to a company announcement Sept. 4, the Series A issue is expected to settle on Sept. 18. Distributions of under the Series A units will be made twice yearly beginning in March 2026, and are redeemable after the first reset date (Sept. 18, 2030) at face value plus any accumulated and unpaid distributions. Under its own terms the Parkland acquisition, announced in May of this year, must be completed by May 5, 2026, but the company said the transaction and the recently announced capital markets issues are not dependent on each other.

Marriott timeshare subsidiary issues $575M in senior notes

Deal Description: Marriott’s wholly owned timeshare subsidiary, Marriott Ownership Resorts, announced Sept. 4 a private placement of $575 million in 6.500 percent senior notes. AGNC Investment prices $300M preferred shares

AGNC Investment Corp. said on Wednesday that it raised $300 million by pricing 12 million depositary shares of its 8.75 percent Series H fixed-rate preferred stock. The issue includes a liquidation preference of $25 per share. The Maryland-based real estate investment trust plans to list the depositary shares on NASDAQ under the symbol “AGNCZ.” AGNC granted underwriters an over-allotment option for up to an additional 1.8 million depositary shares.

Rice Acquisition III prices SPAC IPO

Deal Description: A blank check company backed by Rice Investment Group and Mercuria, an energy and rare metals commodity trader, has registered for a $250 million initial public offering. The company is offering 25 million shares at $10 per share. The company says two of its sponsor-backed entities have already entered into a forward-purchasing agreement in a $100 million private placement.

Artificial heart maker Picard Medical raises $17M in IPO

Deal Description: Picard Medical Inc., a Tucson, Ariz., manufacturer of artificial hearts, sold 4.25 million common shares at $4 a share in its initial public offering on Aug. 29. The company said it raised $17 million and began trading on the NYSE under the symbol “PMI.” Winston & Strawn advised the company through the IPO.

Picard Medical plans to use proceeds to advance research and development, expand sales and distribution, support operations through its China joint venture, repay debt and general corporate purposes. The company granted underwriters an over-allotment option to purchase up to 637,500 additional common shares. Picard Medical said its SynCardia Total Artificial Heart is the only one of its kind to be approved by the FDA and Health Canada.
