Holiday Hangover Hits the Deal Table

The abbreviated Thanksgiving week that ended Nov. 29 saw six deals reported to the CDT Roundup with a total reported value of $4.1 billion.

We’d compare it to last week’s 20 deals for $5 billion, but there’s really no comparison. It’s easy to hide value in 14 M&A/Funding transactions. With only two M&A deals reported on the week, it’s hard to hide anything.

It was the lowest number of M&A transactions since mid-June 2020. And there’s no pandemic to blame it on.

For reference, Thanksgiving week last year saw 10 deals for $10.3 billion. Sure, only four were M&A, but they reported an aggregate value of $8.3 billion. This week, M&A accounted for a reported total of only $175 million. Everything else was capital markets debt.

That’s a weak week, no matter how you report it.

Exodus Movement makes $175M move for payment platforms Baanx, Monavate

Deal Description: Exodus Movement, a publicly traded self-custodial cryptocurrency platform announced Nov. 24 its $175 million agreement to acquire W3C Corp, the parent company of both Monavate Holdings and Baanx US Corp, two fintech providers of payments services for crypto wallets and other enterprise clients. The agreement would open Exodus Movement to become a global provider of customer controlled end-to-end payments both inside and outside of blockchain verification. Exodus expects to fund the acquisition with cash on hand alongside its existing, Bitcoin-secured credit facility with Galaxy Digital. Exodus also disclosed that in the course of reaching the acquisition agreement, it had loaned $58.8 million to W3C to help fund its acquisitions of Monavate and Baanx and, under terms of the final agreement, it may also lend Baanx CEO Garth Howat another $10 million, secured by his personal stake in W3C. Exodus Movement has traded as high as $117.40 per share over the past year, and as low as 13.90 per share. It closed on the NYSE Friday at $16.52 per share, bearing a market cap of $483 million.

Tenaris acquires SA Recycling

Deal Description: Luxembourg steel manufacturer Tenaris said on Nov. 13 that its Steel Recycling Services unit acquired a Beaver Falls, Pa., scrap processing yard from SA Recycling. Financial terms weren’t disclosed. The 39-acre yard is adjacent to Tenaris’s steelmaking facility in Koppel, Pa. Tenaris plans to integrate steel production with scrap processing at the site.

Commercial Metals Co. closes $2B notes offering

Deal Description: Irving-based Commercial Metals Co. said on Nov. 26 that it closed its offering of $1 billion 5.75 percent notes due 2033 and $1 billion of 6 percent notes due 2035. The steel and construction materials company plans to use proceeds to fund its acquisition of Atlanta’s Foley Products Co. for $1.84 billion that was reported by The Lawbook in October; that came a month after CMC announced the acquisition of Virginia’s Concrete Pipe & Precast for $675 million cash. Upon close of these transactions, CMC will operate 35 facilities in 14 states across the Mid-Atlantic and Southeast.

Landbridge prices $500M notes due 2030

DTE Electric Co. prices $400M general, refunding mortgage bonds

Deal Description: DTE Electric Co. priced a public offering of $200 million of 5.25% general and refunding mortgage bonds due 2035 and $200 million of 5.85% bonds due 2055.

Late Arrivals and Other Matters …

A federal court in Delaware last week approved an end to the Venezuelan Citgo Petroleum saga, authorizing the sale of the company’s parent PDVSA to an affiliate of Elliott Investment Management for $5.9 billion. The bid, by Elliott’s Amber Energy, includes an agreement to pay $2.1 billion to the holders of a defaulted Venezuelan bond. The court authorization may be the climax of a two-year court-ordered auction designed to pay 15 creditors who remain from defaulted debts stemming from the 2011 expropriation of Venezuelan assets owned by what are now PDVSA creditors. The Venezuelan government acquired Citgo through PDVSA in 1990. See our coverage here.

Heartwood Partners announced on Nov. 24 the closing of its inaugural continuation vehicle for The Amlon Group, a Plano industrial waste and materials management company.  The Norwalk, Conn., middle market PE firm said the transaction, which closed May 15, included about $245 million in commitments led by Apogem Capital, with significant capital commitments from funds managed by New 2ND Capital, Reinsurance Group of America, Mercer Investments, Round2 Investment Partners, Flexstone Partners and other investors. DLA Piper provided legal counsel to Heartwood Partners and The Amlon Group.

Republic Airways Holdings and Mesa Air Group said Nov. 25 that they closed their stock-swap merger announced in April. Republic shareholders own 88 percent of the combined company that will trade on Nasdaq under the symbol “RJET.” Republic’s executive team will lead the new company, and the board includes six Republic directors and one Mesa representative. Indianapolis-based Republic will continue to support American Airlines, Delta Air Lines and United Airlines under existing capacity purchase agreements, with Phoenix-based Mesa supporting United Airlines under a new 10-year CPA. The airline said it owns “the world’s largest Embraer jet fleet of 310 E-Jets supporting more than 1,300 daily departures.” Simpson Thacher & Bartlett advised Republic, and DLA Piper repped Mesa Air. Sidley Austin represented United Airlines with a team that included Kevin Lewis, Atman Shukla, John Stribling and Claire Manson in Houston with Suresh Advani in Chicago.  

Finally, it’s not squarely in our domain, but San Antonio-based Escalera Capital announced the launch of a $50 million equity fund it expects to close in Q1 2026, part of what the PE firm expects to be a $250 million deployment of capital over the next year. Included in the initiative is a $100 million healthcare vertical whose investments — through its foundation arm — already include Hope Lodge, a 40,000 square foot lodging facility designed, in part, to help host up to 14,600 nights of free lodging each year for cancer patients and their caregivers. The real estate end of the healthcare projects is, by the way, being advised by the San Antonio law firm of Kruger Carson.
