AI Wellness and Solar Shine in a Week Dominated by the ‘Private’ in PE

For the week ended Jan. 24, there were just eight deals reported to the CDT Roundup, with only two disclosed values totaling a little more than $1.3 billion. The week prior had 19 deals valued at nearly $18.4 billion, while the year-ago saw nine deals worth about $6.8 billion reported.

The Roundup hasn’t seen a cumulative weekly value that low since the week ended June 14 when the nine deals reported had a combined value of $478 million, and that figure is the lowest tallied by the CDT Roundup since May 2020.

As sometimes happens, the week was heavy on private equity deals that the players chose to keep … well, private — which accounts for the seemingly depressed reported value, but not the weakness in volume.

The week was once again heavy on AI and energy with some fitness apps getting more equity to bulk up their AI wellness technology; another construction management firm was acquired by PE and a Houston solar company attracted Goldman Sachs financing. And Bitmine Immersion Technologies made a $200 million strategic investment in a company founded by YouTube influencer “MrBeast.”

Playlist, EGYM merge, attracting $785M from Affinity Partners

Deal Description: Playlist, the parent company of AI-driven consumer gym booking and wellness platforms, and EGYM, a German firm with U.S. headquarters in Denver that provides fitness technology and AI-enabled workout programming, agreed to merge on Jan. 15 in a deal that includes $785 million in new investments led by Affinity Partners, a Miami investment firm founded by Jared Kushner. The investment also had participation from a consortium that included Vista Equity Partners, Temasek, and L Catterton. The companies said the transaction values the combined enterprise at $7.5 billion. Playlist and EGYM said they generated more than $800 million in revenue last year. The companies plan to use the funding for increased investment in AI to “help fitness studios, gyms, and wellness operators run more efficiently and deepen member engagement.”

Bitmine Immersion invests $200M in Beast Industries

Deal Description: Bitmine Immersion Technologies announced that it had made a $200 million equity investment in Beast Industries, the entertainment and product sales firm formed by YouTube influencer/performer Jimmy Donaldson, known to his viewers as “MrBeast.” The deal was set to close on Jan. 19. In a presentation available on YouTube, BitMine chair Tom Lee said the investment is part of BitMine’s announced strategy to acquire and control five percent of the crypto currency Ethereum, not a diversion. In moving toward that goal, he said, the company also plans to support a burgeoning crypto currency ecosystem by investing in ventures that use crypto financial tools like DeFi (decentralized finance). He predicted a “10x” return on the investment. The investment makes them, according to Lee, the largest corporate strategic investor in Beast Industries, whose channel boasts more than 450 million global subscribers. The company is planning to expand its portfolio of products and content offerings and is planning to use a DeFi platform in the process.

Argano acquires Advantco International

Deal Description: Plano-based Argano said on Jan. 20 that it has acquired of Advantco International, a North Carolina  provider of integration software and services for SAP and Oracle ecosystems, from Arizona private equity firm Montage Partners. Terms weren’t disclosed. Digital transformation consulting service Argano said the acquisition deepens its enterprise connectivity expertise, enhances its AI-driven transformation capabilities, and expands its data and integration practice.

Deal Description: Plano-based tax firm Ryan LLC said on Jan. 14 that private investor Neuberger Berman Capital Solutions agreed to acquire a minority interest in Ryan, which serves over 74,000 clients in more than 80 countries. Deal Description: New York investment firm Jacmel Partners said on Jan. 20 that its portfolio company Arora Engineers closed the acquisition of J.A. Watts, a Chicago-based construction management firm. Terms weren’t disclosed. Jacmel Partners said the acquisition was supported with financing arranged by Brightwood Capital, a private, middle market credit firm. J.A. Watts specializes in infrastructure construction, project, and program management. Chadds Ford, Pa.-based Arora said the acquisition will extend its global presence with projects in Singapore, India, the Middle East, Europe, and North America.

Acuvance acquires ROI Healthcare Solutions

Deal Description: Acuvance said on Jan. 20 that it has acquired ROI Healthcare Solutions, an Atlanta company that provides hospital enterprise resource planning services. Terms were not disclosed. Based in Alpharetta, Ga., north of Atlanta, Acuvance is a healthcare advisory platform that is backed by Dallas private equity firm Trinity Hunt Partners. Acuvance said it now serves more than 500 healthcare organizations in over 40 states.

Radial Power gets $350M from Goldman Sachs for solar power

Deal Description: Radial Power, a joint venture of energyRe and private equity firm Lotus Infrastructure Partners, said on Jan. 20 that it closed a $355 million tax equity and debt financing with Goldman Sachs. energyRe is a renewable energy company with offices in New York, Houston, Indianapolis, and Charleston, S.C. Houston-based Radial Power said it plans to use the financing to support development and operation of about 214 megawatts of solar capacity across 106 projects nationwide.

Late Arrivals and Other Matters …

Crypto investment banking and asset manager Galaxy Digital said on Jan. 22 that it received approval from ERCOT for an additional 830 megawatts of computing demand at its Helios data center in West Texas, roughly doubling the overall capacity. O’Melveny advised Galaxy Digital with a team led by Austin managing partner Katie Coleman. Galaxy Digital also said it executed a service agreement with Corpus Christi-based AEP Texas Inc. for the additional capacity. Terms weren’t disclosed. Austin’s Wind Energy Transmission Texas is the interconnection provider for Galaxy Digital. Galaxy said ERCOT approval followed a required study and the contracted power capacity at Helios is now more than 1.6 gigawatts. The company said it “remains on track to deliver initial power beginning in early 2026,” and the increased capacity advances its “mission to build a multi-campus, multi-tenant, multi-gigawatt data center platform designed to power the future of AI” and high-performance computing. The Financial Times reported last week that Galaxy Digital plans to launch a $100 million hedge fund in the coming months.

On Jan. 15, Texas LNG Brownsville announced that it signed a 20-year sales and purchase agreement with RWE Supply & Trading – a unit of German energy company RWE – for 1 million tonnes per year of liquefied natural gas. Houston-based Texas LNG Brownsville is a portfolio company of private investment firm Glenfarne Group, which focuses on energy and infrastructure assets. Texas LNG Brownsville said the deal corresponds to about 13 cargoes of LNG and 1.4 billion cubic meters of natural gas annually and deliveries will be shipped by RWE to locations in Europe and worldwide. Latham & Watkins repped Texas LNG in the transaction with a Houston-based team led by Taylor López and Chris Peponis, with Siyao Liu and Luis Cardenas. Advice was also provided by Hamad Al-Hoshan in New York.

In late October, Chicago industrial technology manufacturer Littelfuse Inc. said it agreed to acquire Basler Electric Co. of Highland, Ill., about 40 miles east of St. Louis, for $350 million cash. Basler makes electrical control and protection products for grid infrastructure, power generation and data centers from facilities in Illinois, Taylor, Texas, and Piedras Negras, Mexico. Littlefuse develops products for safe and efficient electrical energy transfer. Houston middle marker investment banking firm GulfStar Group worked as financial advisor for Basler and said in mid-January that the deal closed on Dec. 11. Grant Thornton provided transaction advisory services to Basler, and King & Spalding served as legal counsel with advisement from Partner Mitchell Tiras.
