CDT Roundup: 13 Deals, 13 Firms, 155 Lawyers, $13.7B

In this edition of CDT Roundup for the week ending March 15, there were 13 deals valued at $13.7 billion. Although the value included an $8.5 billion M&A transaction involving cellular infrastructure, that ranks far better than the prior week’s anaemic 7 deals for $2.2 billion, whose value base included a $2 billion loan. For the same week in 2024, we saw 11 transactions valued at $11.4 billion.

In terms of timing, The Lawbook has new 2025 quarterly deadlines for deal submissions to qualify for its firm and lawyer deal rankings. Firms and lawyers who wish to be considered for the first quarter and year-end Lawbook leaderboards for M&A and CapM must enter all of their first-quarter deals by April 7 at 5 p.m.

EQT Group, Zayo Acquire Crown Castle Fiber and Small Cells Business for $8.5B

Deal Description: EQT Group, a Stockholm, Sweden-based investment firm, announced Thursday (Mar. 13) that it had acquired a small cells solutions business from Crown Castle, a Houston-based shared communication infrastructure-focused company, for $4.25 billion through its EQT Active Core Infrastructure fund. In addition to acquiring Crown Castle’s small cells solutions business, EQT group also announced that Zayo, a Denver-based communications infrastructure provider backed by EQT’s Infrastructure IV fund and Boca Raton-based alternative asset manager Digital Bridge, has entered a separate agreement to acquire Crown Castle’s fiber solutions business for $4.25 billion. Lawyers from Kirkland & Ellis are advising EQT on the small cells solutions deal, and lawyers from Simpson Thacher & Bartlett are advising Zayo, EQT and Digital Bridge on the fiber solutions business deal. Triton International Acquires Global Container International for Over $1B

Deal Description: Triton International Limited, a Bermuda-based lessor of intermodal freight containers, announced on Mar. 10 that it had acquired Global Container International, a Bermuda-based marine container leasing company, for a total transaction value that is expected to be over $1 billion. The total purchase price will also include GCI’s outstanding debt. The deal is expected to close during the first half of 2025 and will aid Triton’s ability to expand its container fleet further.

Wild Basin Energy Announces $75M in New Equity Commitments

Deal Description: Wild Basin Energy, an Austin-based acquirer of mineral and royalty assets in the Haynesville Basin, announced on Mar. 10 that it had received a $60 million funding commitment from Pearl Energy Investments, a Dallas-based PE firm. In addition to the investment from Pearl, it also announced that it received an additional strategic minority commitment worth $15 million, bringing its new equity commitments total to $75 million. The latest investments bring its total equity commitments to $100 million, with prior investments primarily coming from its management team and other existing investors. Wild Basin intends to use the new investment dollars to continue acquiring minerals and other royalties in East Texas and Louisiana and look for additional opportunities to expand its operations further.

Archrock Acquires Natural Gas Compression Systems for $357M

Deal Description: Archrock, a Houston-based energy infrastructure-focused company, announced on Mar. 10 that it had acquired Natural Gas Compression Systems, a Traverse City, Michigan-based gas compression services provider, for $357 million. Archrock will fund the transaction with $298 million in cash through its ABL credit facility and by issuing 2.312 million new ordinary shares to NGCS. The acquisition is expected to be immediately accretive to Archrock’s earnings per share and increase its overall cash flow, aiding in its ability to provide dividends for each share by the end of 2025. The acquisition will also help Archrock increase its total operating horsepower, expand its presence in the Permian Basin and improve its ability to produce lower carbon solutions as demand grows.

Macquarie Rotorcraft sold to SMFL LCI Helicopters

Deal Description: Sydney, Australia’s Macquarie Asset Management, announced on Mar. 10 that it is selling its portfolio company, Macquarie Rotorcraft Limited, a London-based helicopter operating leasing company, to SMFL LCI Helicopters Limited. The acquiring company is an Irish-registered JV between Tokyo’s Sumitomo Mitsui Finance and Leasing Company and LCI Investment, an aerospace subsidiary of Libra Group. The company provides aircraft leasing for offshore transportation, medical evacuation, utility surveillance and other industrial uses. Terms were undisclosed. Libra Group owns 65 percent of SMFL LCI, and will continue to manage the JV which, through the Rotocraft acquisition will have 310 aircraft in its inventory.

Mitsui O.S.K. Lines Acquires LBC Tank Terminals

Deal Description: LBC Tank Terminals, a Netherlands-based chemical storage-focused company, announced on Mar. 10 that Tokyo-based shipping company Mitsui O.S.K. Lines had acquired it. The ownership rights that MOL has acquired come from LBC Tank Terminals’s previous owners, Ardian, APG and PGGM. None of the firms involved in the agreement announced the financial details of the acquisition; however, the transaction is expected to close in the next three to four months. MOL will leverage this transaction to enhance its business to support the energy transition better and grow its overall chemical logistics business after it acquired Denmark’s Nordic Tankers in 2019 and Wilton, Connecticut’s Fairfield Chemical Carriers in 2024.

Ecofin US Renewable Infrastructure Trust Announces Sale of Its Solar Generation Projects for $54.5M

Deal Description: Ecofin US Renewable Infrastructure Trust PLC, a UK-based trust that primarily invests in mixed renewable energy and sustainable infrastructure assets in the US, announced on Mar. 10 that it had closed its December 2024 signed agreement to sell its US-based portfolio of distributed solar generation projects to Westport, Connecticut’s True Green Capital. True Green purchased the portfolio through its True Green Capital Fund IV for a total purchase price of $54.5 million, which included True Green paying $37.1 million in cash and assuming $15.7 million in debt. The portfolio itself is made up of 62 solar PV facilities, which are located across six different states and in five separate power markets. The portfolio also has an aggregate net capacity of 63.68 MWdc and is contracted with power purchase agreements with an average of 16 years remaining in those contract terms. The deal supports Ecofin’s September 2024 announced plan to begin a “managed wind-down” of its portfolio.

Mountain West Utility Trailer Acquires the Utility Trailer Sales Company of Arizona

Deal Description: Mountain West Utility Trailer, a Salt Lake City-based group of utility trailer dealers, announced on Mar. 3 that it had acquired the Utility Trailer Sales Company of Arizona from the Utility Trailer Manufacturing Company, a Los Angeles-based dry freight vans, refrigerated van, flatbed and trailer manufacturer. The transaction includes Mountain West acquiring a pair of facilities in Phoenix and Tucson, which will aid its ability to expand its customer reach into the country’s southwest region. None of the firms involved in the deal announced the financial details of the transaction; however, it was announced that George Cravens, the long-time president of the Utility Trailer Sales Company of Arizona, will continue to be part of the company’s management team.

Texas IoT provider to acquire Source, Inc.

Deal Description: Industrial Networking Solutions, a Richardson, Texas-based firm that specializes in the manufacture of wired and wireless products for the Internet of Things, announced March 12, its strategic acquisition of Source, Inc., a wireless deployment provider based in Lenexa, Kansas. Richard Rogers, CEO of INS, said the acquisition is designed to help the company add actual networking to its product offerings. “By integrating Source Inc.’s innovative wireless and IoT solutions with INS’s expertise in industrial networking and managed services, we are creating the future of intelligent connectivity—helping businesses modernize, optimize, and scale their networks without limitations,” Rogers said. INS is backed by CIVC Partners, a Chicago-based investor in business service platforms. Terms of the agreement were undisclosed.

PSG invests in data manger Lightkeeper

Deal Description: PSG announced March 14 its growth investment in Lightkeeper, a digital analytics tool that allows asset managers to track their investment ideas. Both companies are headquartered in Boston. The tracker allows investment managers to collect and analyze data on potential or realized investments whether inside or outside a company portfolio, automating processes that have been historically manual.

Steel Dynamics Announces Pair of Note Offerings Totaling $1B

Deal Description: Steel Dynamics, a Fort Wayne, Indiana-based steel producer and metals recycler, announced on Mar. 12 that it has closed a pair of note offerings. The offerings include notes worth $600 million at 5.250 percent due in 2035 and notes worth $400 million at 5.750 percent due in 2055. The net proceeds from the notes will be used to repay its June 2025 senior notes offering worth $400 million at 2.400 percent and for other general corporate purposes.

Cleco Power Announces Close of Its $305M Energy Transition Bond Offering

Deal Description: Cleco Power, an electric power company based in Pineville, Louisiana, announced on Mar. 12 that its subsidiary, Cleco Securitization II, has closed the offering and sale of its Series 2025-A Senior Secured Energy Transition Bonds, worth $305 million. The bonds themselves were issued through a financing order from the Louisiana Public Service Commission and are backed by energy transition property. Under the terms of the offering, this energy transition property will also have the right to obtain an energy transition charge from all Cleco Power customers within LPSC’s jurisdiction. Cleco Power will primarily use the net proceeds from the bond sale to finance a restricted-energy reserve. In addition to this, Cleco will also use the net proceeds to reimburse any associated energy transition costs from the closure of its Dolet Hills Power Station and the closure of the Dolet Hills and Red River Mine-Oxbow Reserve Mines.

Aris Water Solutions Announces $500M Upsized Senior Note Offering

Deal Description: Aris Water Solutions, a Houston-based environmental infrastructure and solutions-focused company, announced on Mar. 11 that through its subsidiary Aris Water Holdings, it had priced an offering of fully and unconditionally guaranteed senior notes worth $500 million at 7.250 percent due in 2030. This newly announced offering is expected to close officially on Mar. 25 and is an upsized one, as the original offering was set to be worth $400 million. Aris intends to use its net proceeds to redeem its senior note dues in 2026 at 7.625 percent. It will also use the remaining proceeds to repay outstanding borrowings for its credit facility and other general corporate purposes.

MPLX offers $2B in senior notes

Deal Description: MPLX announced March 10 the close of its public offering of $2.0 billion in two issues of senior notes consisting of $1.0 billion of 5.400% senior notes due 2035 and $1.0 billion 5.950% senior notes due 2055. MPLX intends to use the net proceeds from this offering to redeem and retire all or part of its outstanding $1.189 billion 4.875% senior notes due June 2025 and all of the $11 million in 4.875% senior notes due June 2025 issued by its MarkWest subsidiary.
