With a new year upon us, it’s a time for reflection and evaluation. You know what we mean: numbers.
Here at the CDT Roundup, in case you haven’t noticed, we believe in numbers. We worship numbers. Even our headlines are numbers — with just enough words to let you know what we are counting: “Deals, Firms, Lawyers, Money.”
But we also keep track of the numbers we write about. That’s what the table below is for. We not only keep track of your deals; we keep track of our stories about your deals. We’ve been doing so since August 2017, when our colleague Claire Poole (now retired) started the column.
So, let’s quantify our 2024 with you. Here are the numbers.
In the past 52 weeks we’ve described 812 deals valued at $671.9 billion.
Of those, 598 were mergers, acquisitions or fundings worth a total of $498.2 billion. 214 were capital markets deals valued at $178 billion.
Since Claire began the column in August 2017, we’ve described 5,628 transactions valued at more than $3.6 trillion.
That includes 4,170 mergers, acquisitions and fundings valued at $2.64 trillion and 1,467 capital markets deals that pulled in $984.5 billion.
But maybe the most important number comes with the names of the lawyers who were involved in all those deals. In 2024, we named 9,348 lawyers. Since 2017, and the advent of the CDT Roundup, we’ve named 47,056 lawyers involved in deals.
That’s a lot of hyperlinks.
Those numbers include the two holiday weeks that end January 4, which saw nine deals — all of them M&A — valued at $6.827 billion. The week prior to that saw 11 transactions valued at $2.8 billion. The final week of 2023, which ended on Dec. 30 that year, saw 17 transactions valued at $14.6 billion.
Yikes.

Nordstrom Family, Liverpool To Acquire Nordstrom Shares for $6.25B
Deal Description: The Nordstrom Family and El Puerto de Liverpool, a Mexico-based retailer, announced on Dec. 23 that they have entered an agreement to acquire all the outstanding common shares of Nordstrom not already owned by the pair in a $6.25 billion all-cash transaction. The deal gained its approval from Nordstrom’s board and a February 2024-formed special committee that consisted of Kirsten Green, Amie Thuener O’Toole and Eric Sprunk, who aided in the negotiation and review process of the agreement. The two firms will pay for the deal through rollover equity, company cash, Liverpool cash commitments and up to $450 million in borrowings under a new financing deal worth $1.2 billion from ABL Bank. As part of the deal, Nordstrom shareholders will receive $24.25 in cash for each share of common stock they own, and its board intends to authorize a special dividend of up to $0.25 per share during the closing period. Additionally, it is expected to continue paying regular cash dividends of $0.19 per share quarterly through the transactions close. Once completed, the deal will effectively make the Seattle-based retailer a private company and make its common stock no longer available on public markets, giving the Nordstrom family a 50.1 percent majority ownership stake and Liverpool a 49.9 percent ownership stake.

Kestrel Group, Maiden Holdings to merge and go public in $167.5M deal
Deal Description: Kestrel Group, an insurance solutions firm based in Texas, announced on Dec. 30 that it has entered into a combination agreement with Maiden Holdings, a Bermuda-based insurance-focused holding company. Once the transaction closes and the companies officially merge, each holder of Maiden’s common shares will have the right to convert them into one common share of the newly merged company. Based on the transaction details, Kestrel is set to be valued at up to $167.5 million. This valuation includes $40 million in upfront cash, 55 million common shares of the combined company worth $82.5 million, and an earnout of up to $45 million, which will be payable in common shares. The new publicly listed specialty program group will retain the Kestrel Group name and have its new shares listed on the Nasdaq. Maiden suspended its previously announced share repurchase program as part of the deal. Additionally, the newly formed company will write its business through the same AmTrust Financial Services subsidiaries Kestrel has used in the past and will have the option to acquire the insurers from AmTrust once the pair merges.

Deal Description: Quisitive Technology Solutions, a Texas-headquartered company that provides custom Software as a Service (SaaS) solutions for Microsoft applications (like Microsoft Azure, Microsoft Dynamics and Microsoft 365), announced its Dec. 31 agreement to be acquired by an affiliate of H.I.G. Capital. The Miami-based middle-market investor is acquiring Quisitive for C$169.1 million (U.S. $116.8 million), a 52.1 percent premium to shareholders over the 20-day volume-weighted average price per share ended Dec. 31. Traded on the Toronto Stock Exchange, the transaction is being implemented under British Columbia’s Business Corporation Act, and subject to both shareholder approval, regulatory approval and approval by the Supreme Court of British Columbia. Though traded on the TSX with a corporate presence in Canada, the company lists its headquarters in the Dallas suburb of Irving and derives most of its revenue from U.S. markets through its operating segment Global Cloud Solutions.

Coterra adds $43M in acreage to November deal
Deal Description: On Dec. 28, Coterra Energy filed with the SEC describing its $43 million add-on acquisition of approximately 1,650 net royalty acres owned by Sandia Minerals, assets previously excluded from the company’s earlier acquisition of western Permian Basin assets from Franklin Mountain Energy and Avant Natural Resources for $3.95 billion in stock and cash. The deal, announced in November, increased Coterra’s net presence in the New Mexico end of the Permian by 75 percent and its presence in the overall Permian by 25 percent. The deal also included 125 miles of pipeline and other infrastructure. The new deal adds to Coterra’s nearly contiguous 83,000-acre focus in the core-producing regions of the Permian’s Delaware Basin.

Arthur J. Gallagher acquires insurance brokers Durham & Bates
Deal Description: Arthur J. Gallagher & Co., a publicly traded global insurance broker, announced Dec. 19 its acquisition of the Durham & Bates Agencies. Terms of the deal were undisclosed. Durham & Bates are providers of a broad range of insurance products across the Pacific Northwest. Arthur J. Gallagher is based in Rolling Meadows, Ill., and is traded on the New York Stock Exchange (AJG). Its major institutional stockholders, according to recent SEC filings, include Vanguard (11.84%) and BlackRock (8.1%). The agreement is one of nine strategic acquisitions Gallagher made in December as the firm continues looking to expand its global capabilities.

Highlander Partners Acquires Ergobaby From Compass Diversified
Deal Description: Highlander Partners, a Dallas-based private investment firm, announced on Dec. 30 that it acquired Ergobaby, a juvenile product developer and wholesaler based in Torrance, California, adding to its growing portfolio of consumer product companies. The Dallas-based investment firm acquired the premium baby product developer from Compass Diversified, a Westport, Connecticut-based company that owns and invests in middle-market businesses. The Wesport-based firm has been working alongside the baby carrier developer since late 2010, when it purchased the firm for $85 million. Compass Diversified plans to use the proceeds from the Dec. 30 sale to pay down some of its debt and for other general corporate purposes.

Vacasa and Casago Merge To Create an “Unmatched” Vacation Rental Management Platform
Deal Description: On Dec. 30, Vacasa, a Portland-based vacation rental management platform, and Casago, a Scottsdale-based vacation rental management company, announced a strategic merger in an all-cash transaction to form a new merged privately held company. Additionally, as a part of the deal, Roofstock, an Oakland-based prop-tech platform, will provide strategic guidance, invest in the newly formed combined company and provide Casago with equity commitments for the initial transaction. The transaction will see Casago acquire all outstanding Vacasa shares held by public stockholders for $5.02 per share; however, existing Vacasa shareholders Silver Lake, Riverwood Capital and Level Equity will still hold minority investments in the newly combined company. Additionally, Vacasa’s common stock will no longer be available on the Nasdaq following the merger.

Construction Partners Inc. To Acquire Oklahoma’s Overland Corporation
Deal Description: Construction Partners Inc., an infrastructure-focused company based in Dothan, Alabama, announced on Jan. 3 that it has acquired the Oklahoma-based infrastructure firm Overland Corporation. Through its paving services, Overland primarily focuses on constructing and rehabilitating both public and private heavy civil infrastructure, mainly serving North Texas and the southern and western parts of Oklahoma. Through this acquisition, CPI has entered its eighth state, and the move also supports its plan to reduce its CPI’s leverage ratio over the next few quarters to support profitable growth. The move also comes after the firm acquired Austin’s Lone Star Paving in November for $950 million, a deal in which Haynes Boone also advised.

Lydian Energy to acquire Texas solar project from Osaka Gas
Deal Description: Osaka Gas USA Corporation announced that it has agreed Dec. 10 to sell its Texas-based Violet Solar project to Lydian Energy, an independent power producer backed by Excelsior Energy Capital. Violet Solar is a ~210 MWDC advanced-stage solar asset located in Hood, Somervell, and Johnson counties. Launched in October 2023 and headquartered in Washington, D.C., Lydian Energy focuses on the development, construction, and operation of large-scale solar and battery energy storage projects throughout North America. And with the addition of Violet Solar, Lydian now claims a portfolio of more than 2.4 GW in solar and battery storage capacity. Terms of the agreement were undisclosed.
