CDT Roundup: A ‘Rinse-and-Repeat’ Week

Last week looked much like the week that preceded it. The week ending April 26 saw a dozen deals for $8.8 billion. The preceding week saw 11 deals for $8.1 billion. This time last year we were reporting 19 transactions for $16 billion.

Deals for the week included a couple of upstream asset acquisitions, a de-SPAC merger involving potential cancer cures, the sale of a waste-to-energy recycler, the acquisition by Japanese investors of Australian-owned asset management businesses, a couple of data center deals and the purchase of a school bus company still shaking off the effects of the pandemic.

EQT to acquire Olympus Energy upstream and midstream assets for $1.8B

Deal Description: EQT Corporation announced on April 22 that it had entered an agreement with Olympus Energy Holdings, Hyperion Midstream and Bow & Arrow Land Company to acquire Olympus Energy’s upstream and midstream assets for $1.8 billion. Specifically, EQT will acquire a 90,000 net acre position in Southwest Pennsylvania, which produces 500 MMcf/d and is located next to EQT’s core acreage in the region. FCC Environmental Services acquires WIN Waste Florida operation

Deal Description: FCC Environmental Services, a Houston-based waste and recycling services provider, announced on April 22 that it had entered an agreement to acquire Wheelabrator South Broward Inc., the owner of the Broward Waste-to-Energy Facility in Fort Lauderdale, Florida, from Portsmouth, New Hampshire’s WIN Waste Innovations. Neither firm announced the financial details of the acquisition; however, the transaction is expected to close in the second quarter. The move was made in support of FCC Environmental Services’ strategic plans to begin moving into the U.S. waste-to-energy sector.

S&P Global to acquire AIS maritime tracking system

Deal Description: New York’s S&P Global announced on April 24 that it had acquired Rochelle Park, New Jersey’s ORBCOMM Inc.’s AIS data services business. The AIS business that S&P is acquiring provides satellite data services that track and monitor vessels to increase maritime visibility for government and commercial customers. Neither of the firms involved in the transaction announced the financial details of the acquisition; however, the transaction is expected to close in 2025. Following the transactions close, the AIS business will be blended into S&P Global’s market intelligence division. In addition to announcing the acquisition of the AIS business, S&P Global also announced that it would also be taking a strategic equity position in ORBCOMM to effectively create a partnership to develop several other supply chain data and insight offerings.

Stonepeak announces $1.5B equity commitment for launch of Montera Infrastructure

Deal Description: Stonepeak, a New York-based infrastructure and real assets-focused investment firm, announced on April 23 that it had made a $1.5 billion equity commitment and helped to launch Montera Infrastructure, a San Francisco, California-based company that develops data centers. The recent investment represents Stonepeak’s fourth North American-based data center investment and the eighth that it has made worldwide.

VERAXA Biotech and Voyager Acquisition announce de-SPAC merger

Deal Description: VERAXA Biotech AG, a Zürich, Switzerland-based designer of novel cancer therapies, announced on April 23 that it had entered a business combination agreement with Voyager Acquisition Corp., a Brooklyn-based, healthcare-focused SPAC sponsored by Cantor Fitzgerald and Odeon Capital. Following the merger, VERAXA will become publicly traded as VERAXA Biotech AG on the NASDAQ exchange as “VERX.” The newly combined company will receive $253 million from Voyager’s trust account and will carry a pre-money valuation of $1.3 billion. Voyager’s IPO closed in August 2024. Under the merger agreement, current VERAXA shareholders will receive 130 million ordinary shares of the combined company in exchange for their current shares. The transaction is expected to close in Q4 2025. In addition, VERAXA announced a crossover financing round with participation from existing and new investors, which is expected to close before its combination with Voyager. VERAXA intends to use the proceeds from the round to provide it with working capital for the next two years. VERAXA specializes in cancer treatments that rely on next-generation bispecific antibody drug conjugates, BiTAC ADCs and bsADCs, as well as targeted bi-specific antibodies aimed at key immune cells called T-cell engagers.

Nomura to pay $1.8B for Macquarie asset managers in U.S. and Europe

Deal Description: Nomura Holdings, Inc., a Tokyo, Japan-based financial services-focused company, announced on April 22 that it had entered an agreement with Sydney, Australia’s Macquarie Group, to acquire its U.S. and European public asset management businesses for $1.8 billion. Specifically, Nomura will acquire 100 percent of the stock of Macquarie Management Holdings, Inc., Macquarie Investment Management Holdings (Luxembourg) S.à r.l. and Macquarie Investment Management Holdings (Austria) GmbH.

The transaction is expected to close by the end of 2025, and as a part of the transaction, Nomura and Macquarie have also agreed to collaborate on several different product and distribution plans. These plans will include Nomura becoming a U.S. wealth distribution partner for Macquarie Asset Management, and it will also include Nomura looking for additional ways to provide investors with access to Macquarie Asset Management’s platform. Nomura has also agreed to provide seed capital for several of Macquarie Asset Management’s alternative funds built for its U.S. wealth clients. The two firms have created a working group to continue to look for ways to collaborate effectively on these initiatives, as the companies will continue to operate independently until closing. Upon closing, Nomura’s investment management side of the business will now have $770 billion in assets under management, and 35 percent of those assets will be managed outside of Japan.

Crescent Energy to sell non-op Permian Basin assets for $83M

Deal Description: Crescent Energy Company, a Houston-based energy-focused company, announced on April 22 that it had closed the sale of its non-operated Permian Basin assets to a private buyer for $83 million in an all-cash transaction. Despite the recent announcement of the closing of the sale, the transaction had an effective date of Dec. 31, 2024. Crescent intends to use the proceeds from the sale to lower its outstanding borrowings on its revolving credit facility. The assets the private buyer is acquiring are located in Reeves County, Texas, and are expected to produce 3 Mboe/d in 2025.

Procyon Partners gets strategic investment from Constellation Wealth Capital

Deal Description: Procyon Partners, a Shelton, Connecticut RIA firm, announced on April 17 that it had received a strategic minority investment from Constellation Wealth Capital, a Chicago-based alternative asset management platform. Procyon Partners intends to use the money acquired through the investment to add talent, scale its operations and expand its business into new locations. Despite the investment, Procyon Partners will continue to operate independently and be supported by its back-office partner, Dynasty Financial Partners.

Mora Energy nets $250M in equity commitments

Deal Description: Mora Energy Holdings, a Dallas-based energy infrastructure company, announced on April 14 that it had received over $250 million in equity commitments from funds managed by NGP Energy Capital Management, Old Ironsides Energy and its management team. Mora intends to use the capital to seek out new energy infrastructure opportunities and use the remainder of the equity capital to give it the financial flexibility to continue building its operations. In addition to announcing the equity commitments, the firm also announced that WTG Midstream’s former Chief Commercial Officer, Drew Bredthauer, has joined its team as president.

I Squared to acquire Mobico Group school bus business for ~$375M

Deal Description: Mobico Group PLC, a multinational public transportation company based in the UK, announced April 25 that it has agreed to sell its North American School Bus business to I-Squared. Terms of the agreement include upfront net proceeds of $365 million to $385 million, which places an enterprise value of NA School Bus of $608 million. The deal also includes an earn-out of up to $70 million, allowing Mobico the capital to concentrate on the development of its Spain-based subsidiary, ALSA. Mobico, formerly known as National Express, had been eyeing a potential sale of School Bus since October 2023 as a way of reducing its debtload following the downturn in public transportation during the global Covid pandemic. Mobico said the sale was made necessary because of continuing inflationary costs — including higher driver wages and fleet cost escalation due to recent tariff announcements.

EDF Renewables closes financing forDesert Quartzite Solar+Storage Project

Deal Description: EDF Renewables North America, a San Diego-based power producer and service provider, and Power Sustainable Energy Infrastructure, a Montreal-based renewable energy infrastructure-focused investment group, announced on April 16 that they had closed on financing for their Riverside County, California-based Desert Quartzite Solar+Storage Project. KfW IPEX-Bank, MUFG Bank, Export Development Canada, The Korea Development Bank and four other financial institutions are providing the long-term debt financing for the project. The closing of this long-term debt financing will mark the first time EDF has financed a project in this way in the U.S. in ten years. The project began delivering electricity in December 2024 and has a total operating capacity of 375 MWdc solar and a 150 MWac/4-hour battery energy storage system.

Venture Global subsidiary closes $2.5B notes offering

Deal Description: Venture Global Inc., an Arlington, Virginia-based U.S. LNG provider, announced on April 21 that its subsidiary Venture Global Plaquemines LNG had closed on $2.5 billion of senior secured notes. The offering includes two separate series, including senior secured notes due in 2033 at 7.5 percent, worth $1.25 billion, and senior secured notes due in 2035 at 7.75 percent, worth $1.25 billion. The pair of notes will mature in early May of their respective years, and Venture Global Gator Express, a Venture Global Plaquemines LNG affiliate, will guarantee the notes. In addition, the notes will be secured on a pari passu basis through first-priority security interests in the assets that secure the company’s existing credit facilities. The company intends to use the net proceeds from the offering to prepay money owed under its senior secured first-lien credit facilities and to pay fees associated with the offering.

Cal-Maine Foods closes $276M offering, $50M share repurchase

Deal Description: Cal-Maine Foods Inc., a Ridgeland, Mississippi-based fresh shell eggs producer and distributor, announced an underwritten public offering on April 15, which comprised 2,978,740 shares of its common stock being sold by certain family members of the company’s late founder, Fred R. Adams, Jr. The shares were offered at a public price of $92.75 per share, bringing the total proceeds to over $276 million. In addition, the company announced it had repurchased an additional $50 million of its common stock from the family members. The company itself did not sell any of its common stock in the offerings, and in turn, it will not receive any proceeds from them. The stock sale and repurchase offerings closed on April 17.
