CDT Roundup: Deals Dip to 14 From Previous Week

The week ending April 12 saw 14 deals reported with an aggregate value of only $2.7 billion. Don’t let that mislead.

It’s both better and worse than the numbers suggest. There were 10 M&A/funding deals. But the bulk of the M&A/funding value was provided by a $1 billion fund closing.

Tucked among the listings were a couple of LNG-related transactions and an airline merger for which no value was posted. Even so, the week was a far cry from the $28 billion, 19 deals reported for the week prior, but in keeping with last year at this time when there were 13 deals for $8.9 billion.

IOG Resources II Announces Partnership Agreement With Elevation Resources

Deal Description: IOG Resources II, a Dallas-based energy investment platform and First Reserve portfolio, announced April 10 a development partnership agreement with Elevation Resources. Elevation is a Midland-based O&G production company focused on acquiring and developing assets in the Permian Basin. Elevation is also a portfolio company of New York-based investment firm Pine Brook Partners, which will sponsor the partnership. Under the agreement, IOG and Elevation will drill and develop ten horizontal Barnett wellbores in the Permian Basin’s Andrews County, Texas, section. The partnership is the sixth investment made by the IOG Resources II platform and the eighteenth made by Stamford, Connecticut-headquartered First Reserve on the IOG Resources’ entire platform.

Mubadala Energy Acquires 24.1% Stake in Kimmeridge’s SoTex HoldCo

Deal Description: New York-based asset manager Kimmeridge announced April 10 an agreement with Mubadala Energy, for 24.1 percent interest stake in Kimmeridge’s SoTex HoldCo. Neither firm announced the financial details of the acquisition. Under the agreement, however, Abu Dhabi-based Mubadala gains an interest in two companies owned by SoTex, including Kimmeridge Texas Gas, a South Texas-based upstream gas business operating in the Eagle Ford Basin, and Commonwealth LNG, owner of a a natural gas liquefication and export facility in Calcasieu Pass, Louisiana. Through the acquisition, Mubadala will enter the U.S. for the first time, and the deal will also support its long-term strategic growth plans of continuing to look for opportunities to invest in energy globally.

CF Industries, JERA and Mitsui Form JV To Build Low-Carbon Ammonia Facility

Deal Description: CF Industries Holdings Inc., a Northbrook, Illinois-based ammonia producer, announced on April 8 that it had formed a new JV with Japan-based energy company JERA Co. Inc. and global investment firm Mitsui & Co. Inc. The newly formed JV will focus on the production and offtake of low-carbon ammonia. CF Industries, a Northbrook, Illinois ammonia producer, will hold 40 percent ownership, JERA will hold 35 percent ownership and Mitsui will hold 25 percent ownership of the JV. The JV’s initial focus will be on the construction and development of CF Industries’ $4 billion Blue Point Complex low-carbon ammonia plant in Louisiana. Construction on the complex is expected to begin in 2026, and the production of low-carbon ammonia will start in 2029. CF Industries also intends to build and operate $550 million additional product loading and storage facilities on the property.

1PointFive Enters 25-year Offtake Agreement with CF Industries’ JV

Deal Description: 1PointFive, a Houston-based carbon capture, utilization and sequestration-focused company and Occidental subsidiary, announced on April 8 that it had signed a 25-year offtake agreement to transport and store 2.3 million metric tons of CO2 yearly from CF Industries’ JV’s recently announced Bluepoint low-carbon ammonia production facility in Louisiana. Under the terms of the agreement, the CO2 captured from the JV’s facility will be moved and stored at 1PointFive’s Pelican Sequestration Hub. The hub recently began moving through the development and construction process after receiving the final investment approval for the site.

Cal-Maine Foods Acquires Echo Lake Foods for $258M

Deal Description: Cal-Maine Foods Inc., a Ridgeland, Mississippi-based fresh shell eggs producer and distributor, announced on April 8 that it had acquired Echo Lake Foods, a Burlington, Wisconsin-based breakfast foods-focused frozen food manufacturer, for $258 million. Cal-Maine intends to fund the acquisition with cash on hand, and the deal is expected to close at the end of 2025. Following the acquisition’s close, Echo Lake Foods will operate independently from Cal-Maine’s integrated operations, and its current CEO, Kathy Brodhagen, will join Cal-Maine Foods’ senior management team as the President of Echo Lake Foods. The acquisition is expected to enhance Cal-Maine’s overall operations, reduce its earnings volatility and become mid-single-digit accretive to its earnings in 2026.

HoneyHive Announces $7.4M in New Funding Led by Insight Partners

Deal Description: HoneyHive, a New York-based AI agent evaluation-focused platform, announced on April 8 that it had closed on a combined $7.4M in new funding. New York-based software investor Insight Partners led the recent funding round, contributing to the $5.5 million HonyHive obtained in seed funding. The company also announced it had received additional funding through a $1.9M pre-seed round led by Zero Prime Ventures. Outside of Insight, the $5.5 million seed round saw additional participation from Zero Prime Ventures, 468 Capital, and MVP Ventures, and the $1.9 million pre-seed round also included participation from AIX Ventures, Firestreak Ventures and several angel investors. HoneyHive intends to use the new funding to enhance and accelerate its product development and strategically add to its team to improve operations.

Republic Airways and Mesa Air Group To Merge

Deal Description: Indianapolis’s Republic Airways Holdings Inc. and Phoneix’s Mesa Air Group, Inc. announced on April 7 that they had entered an agreement to merge in an all-stock transaction to create a new publicly traded airline company. The combined company will be renamed Republic Airways Holdings Inc. and trade on the NASDAQ as “RJET.” Upon closing, Republic shareholders will own 88 percent, and Mesa shareholders will own between 6 and 12 percent of the combined company; the actual percentage Mesa shareholders will own will depend on the execution of pre-closing terms. In addition, as a part of the transaction, Mesa will not contribute any of its debt to the combined company; instead, all of its outstanding debt will be extinguished. Republic’s executive team will lead the company, and its board will comprise six current Republic board members and one Mesa representative. Following the merger close, Republic will continue to support American Airlines, Delta Air Lines and United Airlines under its existing capacity purchase agreements, with Mesa supporting United Airlines under a new 10-year CPA. Republic, Mesa and United Airlines have also entered a separate three-party agreement in which Mesa and United Airlines have specific conditions to meet before the merger and deal are finalized, which is expected to close in the second half of 2025.

Andros Capital Partners Announces Close of $1B Fund

Deal Description: Andros Capital Partners, a Houston-based investment firm, announced on April 7 that it had closed its Andros Energy Capital III Fund at its $1 billion cap. The firm didn’t engage with any financial institutions concerning the development of the fund. The recently closed fund will primarily focus on investing in PE, credit and energy-focused investments.

Stonepeak Acquires 40% Interest Stake in Louisiana LNG Infrastructure

Deal Description: Stonepeak, a New York-based infrastructure and real assets-focused investment firm, announced on April 6 that it had acquired a 40 percent interest stake in Louisiana LNG Infrastructure, a Calcasieu Parish, Louisiana-based LNG production and export terminal. Stonepeak is gaining the interest from Australia’s Woodside Energy Group, which previously owned the project entirely. The firms did not disclose the deal’s financial details; however, the transaction is expected to close in Q2 2025. Upon closing, Woodside will continue to operate the project, and Bechtel, a Virginia-based infrastructure project delivery provider, will continue to construct it. The transaction is expected to aid in reducing Woodside Energy Group’s overall capital expenditures for the project.

Starwood Capital Group and Land Strategies Management JV Acquires Texas-Based Real Estate Assets for $800M

Deal Description: A JV between Miami-based real estate-focused investment firm Starwood Capital Group and an affiliate of Austin’s Land Strategies Management announced on April 4 that it had acquired a portfolio of Texas-based real estate assets and communities from Hines, a Houston-based real estate investment manager, for $800 million. The acquired assets include 11 communities with 16,000 remaining residential lots and 600 acres of commercial land located in Dallas, Houston and Austin. Outside of Hines, other partners involved in the acquisition included Trez Capital, a partner of nine of the communities acquired, Caravel Ventures, Bloomfield Homes, Sumitomo Forestry America, Estein USA and GMcivil.

Energy Vault Announces $28M in Project Financing

Deal Description: Energy Vault Inc., a sustainable grid-scale energy storage solutions provider based in Westlake Village, California, announced on April 1 that it had closed on $28 million in project financing for its Calistoga Resiliency Center. The center is a Calistoga, California-based hydrogen and battery energy storage and hydrogen fuel cell electrical power generation facility that will see its commercial operations begin in Q2 2025. The recently closed funding also includes the sale of Investment Tax Credits associated with the center’s development. The close of the financing and the sale of the ITCs are part of Energy Vault Inc.’s May 2024 announced growth strategy, in which it wants to continue adding energy storage assets to its portfolio, which it owns and operates.

CTO Realty Growth Announces Exchange Agreements for Its April 2025 3.875% Senior Notes

Deal Description: CTO Realty Growth Inc., a Winter Park, Florida-based owner and operator of shopping centers in the U.S.’s Southeast and Southwest, announced on April 3 that it had entered several privately negotiated exchange agreements with holders of its 3.875 percent convertible senior notes due in April 2025, worth $51 million. Under the terms of the exchange agreements, it exchanged $35.2 million worth of the notes for 1,089,555 shares of its common stock and $29 million in cash, which includes $600,000 of accrued interest. The notes CTO acquired were retired, and the firm will now have 32,936,967 common shares outstanding. Upon closing, the company will still have $15.8 million remaining outstanding on its April 2025 notes that it expects to settle on their expiration date, April 15, and anticipates it will have to pay $22 million in cash to settle them.

Titan Acquisition Corporation Announces Close of its $276M IPO

Deal Description: Titan Acquisition Corporation, a Brooklyn, New York-based SPAC, announced on April 10 that it had closed on its IPO, which included 27,600,000 units at $10 a share, totaling $276 million in net proceeds before expenses. The offering also consists of Titan issuing an additional 3,600,000 units to the underwriters due to the group exercising their overallotment option. Each of the units included in the offering consists of one class A ordinary share and one-half of a redeemable warrant, with each whole warrant enabling the shareholder the option to purchase a singular class A share for $11.50. The Titan Acquisition units that are a part of the offering officially began trading on the Nasdaq on April 9 under the ticker symbol “TACHU.” However, once the warrants are exercised, the Class A ordinary shares and warrants will trade separately on the Nasdaq under the ticker symbols “TACH” and “TACHW.”

Bitfarms signs private debt facility with Macquarie Equipment Capital for $300

Bitfarms Ltd., a global data center and energy infrastructure support operation, with locations throughout the Americas announced April 9 an initial agreement for a private debt facility for up to $300 million from Macquarie Equipment Capital, Inc. The $300 million project loan is intended to fund the development of the bitfarms data center project at Panther Creek, located in Pennsylvania’s PJM region near Philadelphia and NYC metropolitan areas. Panther Creek alone has a potential capacity of nearly 500 MW, supported by multiple power sources.
