CDT Roundup: Deals Still Lagging Versus Last Year at This Time

In this edition of CDT Roundup, there were 11 transactions for $8.1 billion for the week ending April 19. The deals included nine acquisitions involving a home design group, a portfolio of lifestyle brands, a pair of data center operations, a pair of power stations, a pure-play FPGA chip developer, an IPO and several investments in upstream producers.

The deal stack measures well against the 13 transactions for $2 billion the week prior. But it fades against the 19-deal $15 billion week recorded this time last year.

Lowe’s to acquire Artisan Design Group for $1.325B

Lowe’s Companies, Inc., a Mooresville, North Carolina-based home improvement-focused company, announced on Monday (April 14) that it had entered an agreement to acquire Artisan Design Group, a Dallas-based designer, distributor and service provider for interior finishes, for $1.325 billion. Lowe’s is acquiring Artisan from The Sterling Group, a Texas-based middle-market-focused PE firm that has owned Artisan since 2018. Lowe’s intends to fund the entire acquisition with cash on hand, and the transaction itself is expected to close in Q2 of 2025. Lawyers from Latham & Watkins and Covington & Burling are advising on the deal. CleanArc Data Centers snags investment from the Townsend Group

Deal Description: CleanArc Data Centers, a burgeoning Austin-based developer and operator of data center facilities powered by renewables, announced April 16 a minority strategic investment by the Townsend Group, a Cleveland-based real estate investment advisor. CleanArc’s majority owner, the New York-based Snowhawk, retains its controlling interest in CleanArc. The Townsend investment aims to support CleanArc’s plans for future growth and fund the completion of its first data center campus. The center will be located in Virginia and is expected to deliver 300 MW of capacity by the first half of 2027. CleanArc was founded by data industry veteran James Trout in 2022.

Established Incorporated and ACI Licensing announce JV to acquire four lifestyle brands

Deal Description: Established Incorporated, a Houston-based brand licensing-focused company, announced on April 14 that it had entered a JV with Delaware’s ACI Licensing to acquire and manage four lifestyle brands — Badgley Mischka, C&C California, Kay Unger and RACHEL Rachel Roy. The JV has already acquired full ownership of the first three and owns 71 percent of the RACHEL Rachel Roy brand. Under the JV agreement, Established will own a 51 percent interest in the JV. ACI will own a 49 percent interest in exchange for overseeing the day-to-day operations of the four brands. The JV is being supported by Crosstimbers Capital, Morgan Stanley and Ares Management. Huntington Bank is providing the debt financing for the transaction. Prior to the JV agreement Established Incorporated was best-known for its portfolio of major electronic brands. The deal expands that portfolio into the lucrative premium lifestyle sectors of clothing, footware and accessories.

Capital Power acquires NG power stations from LS Power Equity Advisors for $2.2B

Deal Description: Capital Power Corporation, an Edmonton, Alberta-based power producer, announced on April 14 that it had acquired 100 percent of the equity interests in a pair of power stations owned by LS Power Equity Advisors for for $2.2 billion. The acquisitions include the Hummel Station, a 1,124 MW combined-cycle natural gas facility in Shamokin Dam, Pennsylvania and the Rolling Hills plant, 1,023 MW combustion turbine natural gas facility in Wilkesville, Ohio. The transaction is expected to close in Q3 2025. Capital Power announced a concurrent $500 million common share offering to fund the acquisition with the balance provided through cash on hand, long-term debt financing and its existing credit facilities. Additionally, it entered into a commitment letter with a TD Securities Canadian chartered bank affiliate to secure a fully underwritten $2 billion senior unsecured term loan and access to an additional $1 billion from its revolving credit facilities.

Northampton Capital Partners makes strategic investment in Blueprint Data Centers

Deal Description: Northampton Capital Partners, a New York-based alternative asset management firm, announced on April 14 that it had strategically invested in Blueprint Data Centers, an Austin-based data center developer. Neither of the firms involved in the deal announced the financial details of the investment. However, the investment will aid in the continued development of a pair of 85MW data center sites located in Austin, Texas. The data centers will begin operating in 2026, and when they do, they will be supported by Austin-based economic development corporations.

Silver Lake acquires 51% of Altera from Intel for $4.46B

Deal Description: Intel Corporation, a Santa Clara, California-based technology-focused company, announced on April 14 that it had entered an agreement to sell 51 percent of its Altera business to Silver Lake, a Menlo Park, California-based technology-focused investment firm. Upon closing, which is expected to occur in the second half of 2025, Intel will still own 49 percent of Altera, and it will continue to aid in developing the business. The $4.46 billion purchase by Silver Lake, which values Altera at $8.75 billion, allows Altera to become one of the largest pure-play FPGA semiconductor-focused companies in the market. To that end it was also announced that in May Raghib Hussain will succeed Sandra Rivera as CEO of Altera.

American Integrity Insurance Announces $100M IPO

Deal Description: American Integrity Insurance, a Tampa, Florida-based insurance group, announced on April 14 that it had filed for an IPO of its common stock. The company, currently the seventh largest residential insurer in Florida, claims revenues of more than $204.4 million for the 12 months ending December 31, 2024. As part of its registration with Nasdaq, the company set a placeholder value for the issue at $100 million. Currently operating as a Texas limited liability corporation, the company is reincorporating in Delaware.

Cuprina Holdings Announces Close of its $12M IPO

Deal Description: Cuprina Holdings Limited, a Singapore-based biomedical and biotechnology-focused company, announced on April 11 that it closed on its IPO, which was an offering that included 3,000,000 Class A ordinary shares at $4 a share, totaling $12 million in net proceeds before expenses. The shares began officially trading on the NASDAQ on April 10 under the ticker symbol “CUPR.” Cuprina primarily intends to use the net proceeds from the offering to expand into new markets, begin additional product-focused R&D and further invest in equipment and infrastructure.

Fidelis and Atmosclear Sign Agreement for a Carbon Removal Project With Microsoft

Fidelis, a Houston-based energy infrastructure-focused company, and its portfolio company, AtmosClear BR, announced on April 15 that they had signed a 15-year agreement with Microsoft to remove 6.75 million metric tons of engineered carbon from bioenergy carbon capture and storage.

To do this, Fidelis and AtmosClear will leverage the carbon capture facility that the duo is currently focused on developing, located at the port of Greater Baton Rouge in Louisiana. Construction on the facility is expected to start in 2026, and operations will officially begin in 2029. The carbon capture facility is expected to bring in more than $800 million in investments and bring 75 permanent positions and 600 construction jobs to the area.

Kirkland & Ellis advised Fidelis and AtmosClear in the agreement with a team that included James Dolphin (Houston), Roald Nashi (Washington, D.C./Houston), Greg Howling (New York) and Andre Teixeira (Washington, D.C.). 

EnCap Investments and Double Eagle Announce Partnership Expansion

EnCap Investments, a Houston-based energy-focused PE firm, and Double Eagle, a Fort Worth-based O&G-focused company, announced an expansion of their strategic partnership on April 2.

Under the terms of the expanded partnership agreement, the duo will form two new companies, Double Eagle Energy Holdings V and Tumbleweed Royalty V, which already have $2.5 billion of committed equity. The newly created companies will also retain other commitments from Double Eagle management, Elda River Capital Management, Apollo Global Management affiliates and other institutional investors.

Double Eagle V’s primary focus will be investing in O&G properties in the Permian Basin. In contrast, Tumbleweed V will invest in royalty and mineral assets throughout several U.S.-based basins but will also heavily focus on the Permian Basin.

The two companies will be headquartered in Fort Worth and were created by the same management team that headed their predecessors. Furthermore, the predecessor companies’ co-CEOs, John Sellers and Cody Campbell, will continue to lead the newly created companies.

Akin Gump Strauss Hauer & Feld served as Double Eagle’s outside legal counsel on the deal, working alongside its Fort Worth-based corporate counsel, Luke Tanner. The Akin team was led by Wesley Williams (Dallas/Fort Worth) and Mary Lovely (Houston). Akin tax partner Julia Pashin (Dallas/Houston) also contributed to the deal.
