The week that ended Oct. 4 saw 21 deals reported with a total value of $20.8 billion with a few billion-dollar transactions, including one that may be the final deal for the Oracle of Omaha.
Warren Buffett’s Berkshire Hathaway acquired Occidental’s OxyChem business last week for $9.7 billion. Houston-based Oxy continues to offload debt to fund its own acquisitions. Last week in energy M&A also saw KKR buying a 50 percent stake in a 1.4 GW solar portfolio from France’s TotalEnergies, Ares Management purchasing a part of a major LNG pipeline and EIG’s MidOcean Energy acquiring a 20 percent share in entities in Canada held by Malaysian state-owned PETRONAS.
Also last week, Fermi America, which plans to develop one of the largest data centers in the world, raised $682.5 million in an IPO that listed the company on both Nasdaq and the London Stock Exchange nearly simultaneously. The company is cofounded by former Texas Gov. Rick Perry and entrepreneur Toby Neugebauer, and The Lawbook spoke to the lawyers involved in the “novel transaction.”
Elsewhere, Texas bank consolidations continue as Prosperity Bank acquires Texas Partners to expand further into San Antonio, Austin and The Hill Country.

Berkshire to buy OxyChem from Occidental for $9.7B cash
Deal Description: After nearly a week of public speculation, Occidental announced on Oct. 1 the $9.7 billion all-cash sale of its chemical business, OxyChem, to Berkshire Hathaway in what could be Warren Buffet’s last major deal. The transaction is boldest in a series of Oxy moves to shed debt following its $12 billion acquisition of MidCrownRock in August 2024. Ares Acquires Meade Pipeline for $1.1B
Deal Description: Ares Management announced Sept. 29 its $1.1 billion, all-cash acquisition of Meade Pipeline, a 40 percent owner of a major natural gas pipeline in the Northeast. Deal Description: ArcLight Capital and the Canada Pension Plan Investment Board announced Oct. 2 an agreement by CPP to invest $1 billion for an minority stake in ArcLight portfolio Alpha Generation (AlphaGen), a major independent power provider in the PJM Interconnection Market. KKR buys 50% of 1.4GW solar portfolio from French energy conglomerate
Deal Description: On Sept. 29, French energy and petroleum company TotalEnergies said insurance vehicles and accounts managed by KKR & Co. agreed to acquire 50% of a 1.4 gigawatt solar portfolio in North America. TotalEnergies will continue to operate the assets, which include six utility-scale solar assets with a combined capacity of 1.3 GW and 41 distributed generation assets totaling 140 MW that are primarily in the U.S. and valued at a combined $1.25 billion. TotalEnergies said it expects to receive $950 million at closing. TotalEnergies divests up to 50% of its renewable assets once they reach commercial operation.

Avalanche to combine with Mountain Lake Acquisition in $675M deSPAC deal
Deal Description: Avalanche Treasury, a company designed to advance public investment in AVAX, the native cryptocurrency of the Avalanche network, announced Oct. 1 that it is going public by way of a deSPAC merger with Mountain Lake Acquisition Corp. The announced value of the deal is $675 million, $460 of which includes $460 million in AVAX treasury assets. The combined company expects to list on Nasdaq in 2026. The company and its crypto currency are products of the Avalanche Foundation, a non-profit supporting such developments in the Avalanche “ecosystem” — including the blockchain platform known as Avalanche.

Deal Description: On Oct. 1, Houston-based Prosperity Bancshares announced an agreement to acquire Southwest Bancshares and its 11 Texas Partners Bank branches in Central Texas in a stock swap that values the deal at about $269 million. Tamboran Resources buys Falcon Oil & Gas for $201M
Deal Description: Tamboran Resources, a public natural gas company focused on unconventional oil and gas assets in Australia, said on Sept. 30 that it will acquire Falcon Oil & Gas Ltd. for $23.7 million cash and more than 6.5 million common shares. Tamboran’s stock closed at $27.12 on Oct. 3, valuing the stock part of the deal at about $177.3 million. Tamboran will own 73.2 percent of the combined company that will expand operations in the Beetaloo Basin in the outback of the Northern Territory. Falcon, which is based in Dublin and incorporated in British Columbia, also focuses on exploration and development of unconventional oil and gas assets in Australia.

MidOcean Energy buys share of LNG Canada from PETRONAS
Deal Description: EIG’s MidOcean Energy said Sept. 30 that it agreed to acquire a 20 percent stake in entities in Canada held by Malaysian state-owned PETRONAS. Terms weren’t disclosed. MidOcean said the deal includes one-fifth of the partnership that has a 25 percent share of LNG Canada. MidOcean said the acquired assets give it access to upstream resource development and downstream liquefaction and export through LNG Canada via its participation in the partnership. LNG Canada is Canada’s first liquefied natural gas export project to supply LNG to Asia. Reuters reported this week that LNG Canada is firing up its second unit in British Columbia despite some hiccups at the first one.

Beyond Meat swapping $1.105B notes, shares
Deal Description: Beyond Meat Inc. said Sept. 29 that it started an exchange offer for $1.105 billion of 0% senior notes due 2027 in exchange for up to $202.5 million of new 7% senior notes due 2030 and about 326.2 million common shares. Shares of the El Segundo, Calif., plant-based meat producer hit all-times lows after the swap was announced and were trading at about $2.47 on Thursday morning. The stock’s 52-week high of $6.71 was reached on Oct. 2, 2024. The company plans to use proceeds from the exchange to eliminate abut $800 million in debt. Beyond Meat, which hasn’t turned a profit in it’s six-years as a publicly traded company, said this week that about 47 percent of noteholders already tendered their convertible notes.

Fermi American’s $683M IPO debuts in US and London (almost) simultaneously
Fermi America, which plans to develop near Amarillo one of the largest data centers in the world, raised $682.5 million in an IPO that placed the company on both Nasdaq and the London Stock Exchange nearly simultaneously. Alaskan gold exploration company sells 2M shares $50M
Contango ORE Inc. said Oct. 3 it sold nearly 2 million common shares at $20 a share to two unnamed institutional investors. The Alaskan gold exploration and development company said it also offered a warrant to purchase 525,000 common shares at $19.99 a share. Contango ORE expects to use proceeds of about $50 million to turn its Lucky Shot project into a mine over the next two years.
