CDT Roundup: LNG Assets, SPAC IPOs and Plans to Build the World’s Largest AI Factory

For the week ended March 21, the CDT Roundup saw 11 deals with a total reported value of about $7.5 billion, mostly attributable to Constellation Energy shedding some PJM assets to LS Power for $5 billion.

For the week prior, the Roundup’s 13 deals had a reported value of $5.9 billion. For the same period a year ago, there were 13 deals valued at $13.7 billion.

A Houston energy services company leaped up in the supply chain, acquiring an Irving energy company and 30 turbine delivery slots; a U.K. hyperscaler bought a power company in order to build one of the world’s largest AI factories in West Virginia; two blank check companies issued IPOs in search of “disruptive technology companies” and “robotics, electric vehicles, drones, unmanned aerial systems and fintech” firms.

Constellation Divests 4.4 GW PJM generation to LS Power in $5B Deal

Deal Description: Constellation Energy said on March 19 that it agreed to sell some PJM assets to LS Power for $5 billion, as the Baltimore-based company divests certain utility assets as part of a federal antitrust review connected with its $26.6 billion acquisition of Calpine Corp. That acquisition closed in January, making Constellation the largest private-sector power producer on the planet. Kirkland & Ellis, White & Case and Willkie advised on the divestitures. Solaris Energy Infrastructure acquires Genco Power, 30 turbine delivery slots

Deal Description: Solaris Energy Infrastructure announced on March 16 that it has acquired Irving-based Genco Power Solutions and also purchased 30 turbine delivery slots from a undisclosed party. Houston-based Solaris, which provides services for distributed power generation and the management of raw materials used in oil and natural gas wells, said it paid about $240 million cash, issued about 4 million shares valued at $215 million and assumed $165 million of debt as part of the transactions. Solaris Energy Infrastructure also said it received a $300 million credit facility from Goldman Sachs and Santander.

Nscale acquires AIP Corp with plans for 8GW AI factory in WV

Deal Description: Nscale announced on March 16 an agreement to acquire American Intelligence & Power Corp., which was was formed in January by Houston energy transition company Fidelis New Energy and New York investment firm 8090 Industries. Terms weren’t disclosed. London-based AI infrastructure hyperscaler Nscale said it now plans to build one of the world’s largest AI factories in West Virginia. Nscale said the acquisition includes the 2,250-acre Monarch Compute Campus in West Virginia, which the company said is the “first state-certified AI microgrid with a power runway scalable to over 8 gigawatts,” with an initial power capacity of 2 gigawatts that is expected to be online by the first half of 2028 with expansion to 8 gigawatts in 2031. Earlier in March, Nscale said it closed on $2 billion in Series C funding that valued the company at $14.6 billion. On March 17, Nscale announced a deal to provide Microsoft with 1.35 gigawatts of AI compute capacity for the deployment of NVIDIA’s next-generation Vera Rubin GPUs. Nscale plans to use Caterpillar natural gas generator sets to achieve 2 gigawatts of power generation by the first half of 2028.

Wonderful gets $150M Series B funding led by Insight Partners

Deal Description: Wonderful, a Dutch enterprise AI agent platform, said on March 12 that it raised $150 million in a Series B funding led by Insight Partners, with participation from Index Ventures, IVP, Bessemer Venture Partners, and Vine Ventures. The company said it plans to use the new capital to further its agentic platform and accelerate global expansion, nearly tripling its staff to about 900 by the end of the year. Wonderful also said it has expanded to more than 30 countries in eight months, serving clients by “deploying production-grade agents for enterprises in telecom, financial services, manufacturing, and healthcare.”

IOG Resources III invests $125M in Wyoming drilling program

Deal Description: Dallas-based investment firm IOG said on March 17 that its IOG Resources III closed a partnership for a drilling program that includes 18 horizontal wells in in the Powder River Basin Converse County, Wyoming, with an undisclosed operator. IOG said the partnership represents about $125 million of capital and is the first investment by IOG Resources III. The company said it has deployed more than $1 billion across 20 investments with middle-market investment firm First Reserve.

Deal Description: Wilkerson Crane Rental, based in the Kansas City suburb of Bonner Springs, Kan., said on March 17 that it received an investment from New York private equity firm NewMile Capital and Dallas investment firm Haywood Lane. Terms weren’t disclosed. Wilkerson Crane Rental said it plans to use the investment for fleet and geographic expansion, as well as general purposes. The company provides operated and bare crane rentals, heavy hauling, rigging, and related services to customers across the Midwest. Founders Diana and Jeff Holt will retain a significant ownership stake in Wilkerson Crane Rental.

Waste Connections closes $600M notes issue

Deal Description: Waste Connections, Inc. has announced Mar. 16, the close of an underwritten public offering of $600 million of its 4.800% Senior Notes due 2036 at 99.732% of face value. Based in The Woodlands, Waste Connections is an integrated solid waste services company with non-hazardous waste collection, transfer and disposal services and renewable fuels generation. The company serves approximately nine million residential, commercial and industrial customers, including oil field services, across 46 states in the U.S. and six provinces in Canada.

Infinity Natural Resources places $550M in notes

Deal Description: Infinity Natural Resources announced Mar. 17 an inaugural $550 million upsized private placement of 7.625% senior notes due 2031. The pricing of this offering was significantly accelerated due to investor demand and its size was increased from the previously announced US$500 million to US$550 million. The Notes mature on April 1, 2031, and interest is payable on April 1 and October 1 of each year, beginning on October 1, 2026. Infinity is based in Morgantown, West Virginia, and specializes in the production of hydrocarbon production in the Appalachian Basin across Ohio and Western Pennsylvania.

BKV public offering set at $261.7M

Deal Description: BKV Corp. announced on March 11 the pricing of a public offering of nearly 9.7 million common shares that includes 5.55 million shares offered by the Denver-based energy company controlled by Thailand’s Banpu PLC and more than 4.1 million shares offered by Bedrock Energy Partners. BKV granted the underwriter an option to purchase another 1.45 million shares. The company expects gross proceeds of about $261.7 million and plans to use its share of the proceeds for general corporate purposes. The company’s NYSE-listed shares traded as high as $31.42 on Feb. 20, which marks a five-year high for the stock.

Deal Description: BHAV Acquisition Corp. announced on March 18 the pricing of its initial public offering of 10 million units at $10 each for $100 million; and the SPAC, which plans to target robotics, electric vehicles, drones, unmanned aerial systems and fintech, began trading on Nasdaq under the ticker symbol “BHAVU.” Each unit includes a common share and one right to receive one-fourth of one common share upon close of the Piscataway, N.J., company’s initial business combination.

On March 16, Foley & Lardner said it served as corporate counsel to forklift manufacturer Clark Material Handling Co. in its reincorporation to Texas from Delaware. The company, which was purchased by the Young An Hat Co. in 2003, moved its global headquarters to Flower Mound in April 2025. The Foley team advising on the reincorporation is led by partners Chris Converse and Christopher Babcock with associate Angel Torres also providing counsel. Converse and Babcock were instrumental in shaping Texas Senate Bill 29 that “fosters a more predictable legal environment for businesses through raising the threshold for shareholders to challenge good faith decisions by a public company’s board.” SB29 and the establishment of the Texas Business Court, which altered the Texas Business Code and strengthened governance flexibility has led to an influx of companies redomiciling in The Lone Star State, including ExxonMobil.
