CDT Roundup: Slow Start, Big Punch: 18 Deals, Nearly $9B

For the first full week of 2026, the CDT Roundup saw 18 transactions with a reported total value of nearly $9 billion (specifically $8.958 billion), the majority of which from just three deals. About a dozen firms circled back in early January with private equity or private investment deals that closed in mid-December.

As for comparisons, the first full week of 2025 saw 21 deals for $33 billion. The next two months flattened out after that.

And since we’re closing the books on 2025, let’s pause for a brief look at the numbers specific to The Roundup. We actually keep track in the table you see displayed each week below, so pardon a quick paragraph of navel-gazing while we stack a few of our own statistics for the year.

During 2025, we reported on 787 deals valued at $825.865 billion — naming, in the process, the 8,011 lawyers who worked on them. Those deals included 557 M&A and funding transactions valued at $666.5 billion and 230 capital markets and credit deals worth $189.9 billion.

Returning to the week at hand: Another week is likely to include another billion-dollar energy deal in Texas, and last week was no exception.

Irving’s Vistra Corp. bought natural gas assets in Appalachia from Charlotte’s Cogentrix Energy in a deal valued at more than $4 billion. Dozens of lawyers were involved from Latham & Watkins, Sidley Austin and Cleary Gottlieb Steen & Hamilton and King & Spalding. You can find their names here.

Also last week, a Dallas business consultancy acquired the rest of a British consultancy that it didn’t already own, an Austin cottage cheese maker got some PE growth funding and a Dallas professional sports fund got a billion-dollar exit via KKR.

Vistra buys Cogentrix Energy for about $4B

Deal Description: Vistra Corp. said on Jan. 5 that it acquired Cogentrix Energy for about $2.3 billion cash, about $925 million in common shares and the assumption of $1.5 billion of debt. Vistra said the total deal value of more than $4 billion includes expected tax benefits of about $700 million. The Irving-based retail electricity and power generation company said the acquired assets of Charlotte-based Cogentrix, which is owned by Houston PE firm Quantum Capital Group, include 10 natural gas generation facilities with 5,500 megawatts of capacity. Jacobs to acquire rest of PA Consulting for $1.6B cash, stock

Deal Description: Dallas business consultancy Jacobs said on Jan. 5 that it acquired the remaining 35% stake in PA Consulting that it didn’t already own for $1.6 billion with 80 percent in cash and 20 percent in stock. Jacobs, which acquired a 65% interest in the London-based consulting firm in March 2021, expects the transaction to add to earnings within its first year. The transaction includes deferred consideration of about $101 million payable in cash or common shares two years following an expected March 31 closing. In October, the companies announced a deal with DFW International Airport “to lead a transformative digital advisory engagement aimed at redefining intelligent airport operations in North America.” The companies said the partnership combines AI, machine learning, and advanced analytics “to enhance operational efficiency, scalability, and the passenger experience at one of the nation’s busiest airports.”

Bloomberg: KKR buys Dallas sports investor Arctos

Deal Description: KKR has reportedly agreed to acquire Arctos Partners, a private investment firm founded in Dallas in 2019 with a focus on owning professional sports franchises. The deal values Arctos at about $1 billion, though specific financial terms weren’t disclosed. Bloomberg reported that Arctos executives will receive KKR stock and retain their posts. Arctos owns all or parts of teams in MLB, the NHL, NBA, NFL and English Premier League, as well as NASCAR and Formula 1. Three weeks ago, Arctos bought a minority interest in Monumental Sports & Entertainment, which owns all the Washington, D.C., sports teams (except the NFL franchise), the arena the teams play in and the broadcast network the games are shown on. At the same time, Qatar Investment Authority boosted its stake in Monumental Sports & Entertainment, citing “the continued potential in the commercialization of professional sports.” Qatar Investment Authority owns a mixed-use development adjacent to the D.C. arena where the Capitals, Wizards and Mystics play. No law firms have yet claimed credit for the deal, but Kirkland & Ellis has advised both Arctos and KKR in the past.

AE Industrial Partners gets controlling stake in L3Harris Technologies

Deal Description: L3Harris Technologies said on Jan. 5 that AE Industrial Partners acquired a controlling interest in the company’s space propulsion and power systems business in a deal that values the business at $845 million. Melbourne, Fla.-based L3Harris said its rocket engine business is excluded from the sale, and it will retain an ownership stake of about 40 percent in a new space technology business with AE Industrial, an aerospace PE private investment firm based in Boca Raton, Fla., focused on technologies and services considered critical to national and economic security.

Deal Description: Fort Worth asset manager TPG Inc. said on Jan. 6 that it will make a $500 million investment, including $150 million of TPG stock, in Michigan retirement services firm Jackson Financial Inc. for a 6.5 percent stake. The companies said TPG will manage at least $12 billion of assets for Jackson, with incentives aligned to a $20 billion target.

Deal Description: Blackstone said on Jan. 6 that funds affiliated with its Energy Transition Partners acquired Alliance Technical Group, a Decatur, Ala., company that provides environmental testing, monitoring, and compliance services. Growth Partners both said on Jan. 5 that they’ve sold ProsperOps Inc., an Austin company with a cost-optimization platform for the cloud, to Flexera, an Ithasca, Ill., enterprise software company owned by Chicago private equity firm Thoma Bravo. Terms weren’t disclosed. Snowhawk and H.I.G both invested in ProsperOps in December 2022. ProsperOps, which was founded in 2018, said its products “continuously optimize cloud commitments and eliminate wasted spend through autonomous, real-time management of cloud discount instruments.”

Good Culture gets majority investment from L Catterton

Deal Description: Austin-based cottage cheese maker Good Culture said on Jan. 8 that private equity firm L Catterton agreed to make a majority investment in the company. Terms weren’t disclosed. Good Culture said private equity firm Manna Tree, which focuses on the health and wellness ecosystem and first invested in Good Culture in 2022, also plans to reinvest in the company in conjunction with L Catterton. Franchise Equity Partners gets minority stake in SoCal Penske Dealer Group

Deal Description: On Dec. 17, private investment firm Franchise Equity Partners announced a minority investment in Roger S. Penske Jr.’s SoCal Penske Dealer Group, which includes 10 franchises. Terms weren’t disclosed. Franchise Equity Partners said this deal marks its first automotive investment in California and the dealer group includes Buick, Cadillac, Chevrolet, GMC, Honda, Land Rover, Toyota, and Volvo. The investment firm’s portfolio also includes dealerships in New York, Pennsylvania, the Carolinas and Virginia.

Clearway Energy operating unit prices $600M of 5.75% notes

Deal Description: Clearway Energy said on Jan. 8 its operating unit priced $600 million of 5.75 percent senior notes due 2034 up from a planned $500 million. The company, which is headquartered in San Francisco with offices in Houston, San Diego, Denver, Scottsdale, Ariz., and Princeton, N.J., said it plans to use proceeds to refinance debt and acquire renewable energy generation and storage assets. Clearway Energy has about 12.7 gigawatts of capacity in 27 states, including 9.9 GW of wind, solar, and energy storage and more than 2.8 GW of dispatchable power generation providing grid reliability services.
