Texas Deal Frenzy Hits $76B as Consumer, Energy and Health Sectors Roar

The week ended Nov. 8 began with one of the largest deals in years, as Irving consumer products giant Kimberly-Clark acquired Kenvue, which was spun off by Johnson & Johnson in 2023, for about $48.7 billion. The Lawbook has the dozens of lawyers who worked on the deal available here.

Overall, CDT saw 21 deals with a total value of nearly $76 billion for the week ending Nov. 8, including a merger between SM Energy and Civitas Resources that creates the 10th largest oil and gas independent in the nation. The global shuffle of upstream and midstream energy assets continued apace, including a cross-border involving assets in the Permian and Eagle Pass areas, with Ovintiv’s acquisition of Canada’s NuVista Energy and BP’s sale of non-controlling interests in its U.S. midstream assets to Sixth Street.

Also last week, Dallas-based Sonida Senior Living announced it is buying CNL Healthcare Properties for $1.8 billion, forming the eighth largest owner of senior living assets in the nation with about 14,700 units.

AI-driven M&A had more of the same with a parking app getting $1.6 billion, a Bay Area blockchain-based financial services firm raising $500 million, a photonic quantum computing company going public in a $500M SPAC deal, and an HVAC machinery manufacturer buying a company that specializing in cooling datacenters.

One deal last week seemed to foreshadow “Pet Cemetery” or “Jurassic Park” with the acquisition by Dallas de-extinction company Colossal Biosciences of Austin-based Viagen Pets and Equine, a company that specializes in genetic preservation and cloning services for pets, horses and endangered species.

And, by the way, while closing its acquisition of a 55 percent stake in the EPIC Crude Oil Pipeline, Plains All America Pipeline apparently found another $1.33 billion and decided to buy the other 45 percent from Ares Private Equity. The extra portion brings Plains AA’s total investment in the 800-mile trans-Texas pipeline to about $5.25 billion.

Kimberly-Clark buys Kenvue in $48.7B to create consumer products monolith

Deal Description: Kimberly-Clark Corp. said on Nov. 3 that it has agreed to acquire Kenvue Inc. in a cash and stock deal that values the maker of Tylenol, which was spun off by Johnson & Johnson in 2023, at about $48.7 billion. Kirkland & Ellis is Kimberly-Clark’s outside legal counsel and Grant McGee is the company’s general counsel. Kimberly-Clark’s Courtney Roane assisted on M&A activities and Suzana Blades on litigation matters. Chief Compliance Officer Adam Crawford advised on regulatory matters. SM Energy, Civitas Resources combine in $12.8B deal

Deal Description: Kimmeridge-backed Civitas Resources and SM Energy announced on Nov. 3 that they are merging – alongside their considerable upstream shale portfolios – in an all-stock transaction valued at $12.8 billion, including debt. The combined company, headquartered in Denver, will hold 823,000 acres in the Permian, making it one of the 10 largest independents in the nation. Ovintiv buys Canada’s NuVista Energy for $2.7B

Deal Description: On, Nov. 4 Denver-based Ovintiv said it is acquiring Calgary’s NuVista Energy for C$3.8 billion (US$2.69B) in cash and stock. Sonida Senior Living buys CNL Healthcare Properties for $1.8B

Deal Description: Dallas-based Sonida Senior Living announced on Nov. 5 that it agreed to acquire CNL Healthcare Properties for $1.8 billion in cash and stock. CHP, a healthcare non-traded REIT headquartered in Orlando, will be folded into Sonida and the combined company will own 14,700 units, creating the eighth largest owner of senior living assets in the nation. BP sells Permian, Eagle Ford midstream ops to Sixth Street for $1.5B

Deal Description: BP said on Nov. 3 that it agreed to sell non-controlling interests in its Permian and Eagle Ford midstream assets to funds managed by investment firm Sixth Street for $1.5 billion. The British multinational energy company said its bpx energy unit will continue to operate the U.S. oil and gas businesses, which include four central processing facilities in the Permian Basin that connect wells to third-party pipeline systems, transporting the oil and gas to customers. Upon close, BP will own 51% of the Permian assets and 25% of the Eagle Ford assets with Sixth Street holding the remaining interests.

Plains AA closes deal for 55% of EPIC Crude with $1.33B purchase of the rest

Deal Description: Plains All American Pipeline closed its acquisition of a 55 percent share of the EPIC Crude Oil Pipeline with an announcement that it had decided to buy the whole thing, tossing in $1.33 billion extra for the 45 percent stake owned by Ares Private Equity. The deal includes the assumption of about $500 million in debt. Along with the original original purchase of stakes owned by Diamondback Energy and Kinetic Holdings, Plains AA’s acquisition of EPIC now totals $5.25 billion.

Xanadu Quantum Technologies going public in $500M deSPAC deal

Deal Description: Toronto-based Xanadu Quantum Technologies and Crane Harbor Acquisition Corp., a Philadelphia special purpose acquisition company, said on Nov. 3 that the companies have agreed to merge and go public in a deal that puts Xanadu’s market capitalization at about $3.6 billion. Xanadu is a photonic quantum computing company that said its open-source software, PennyLane, is used by 143 universities in 33 countries. The company said its systems and software are also in use at Volkswagen, Mitsubishi Chemical Group and Rolls Royce. The combined company, which expects to trade on both Nasdaq and the Toronto Stock Exchange, will receive about $225 million from Crane Harbor’s trust account and $275 million from a private placement, or PIPE, to purchase shares at $10 each. The companies said more than 90% of the PIPE financing came from new investors, while existing shareholders and management agreed to roll over all their Xanadu shares into shares in the combined company.

Ripple gets $500M to grow its crypto payment platform

Ripple, a San Francisco crypto company, said Nov. 5 that it received $500 million from funds managed by Fortress Investment Group, Citadel Securities, Pantera Capital, Galaxy Digital, Brevan Howard, and Marshall Wace. PEDEVCO acquires O&G assets and merges with Juniper Capital Advisors

Deal Description: In a deal closed Oct. 31 and announced Nov. 4, Houston-based PEDEVCO merged with Houston PE Juniper Capital Advisors. The merger was fashioned through the simultaneous acquisition by PEDEVCO of two Juniper portfolio companies, North Peak Oil & Gas and Century Oil & Gas and a $35 million private placement of 6.4 million convertible preferred PEDEVCO shares. As a result of the transactions Juniper will own 53 percent of the combined companies. The acquisitions give the combined company 380,000 net acres of 80 percent oil-weighted production in the Northern DJ and Powder River Basins of the Rockies along with $87 million in debt and $10 million in cash. PEDEVCO stock closed Friday at $0.58 per share, giving the company a market capitalization of about $53.8 mlllion.

Solenis closes acquisition of Irving-based NCH Corp.

Deal Description: Solenis, a Wilmington, Del., water and hygiene services company, said on Nov. 3 that it completed the acquisition of NCH Corp., an Irving-based industrial maintenance and water treatment company. Financial terms weren’t disclosed. Deal Description: Minneapolis-based HVAC machinery manufacturer Daikin Applied Americas said on Nov. 4 that it acquired Chilldyne, a Carlsbad, Calif., provider of cooling systems for AI data centers. Colossal Biosciences acquires Viagen to expand endangered species cloning platform

Deal Description: Dallas de-extinction company Colossal Biosciences said on Nov. 4 that it acquired Austin-based Viagen Pets and Equine, which provides genetic preservation and cloning services for pets, horses and endangered species. Terms weren’t disclosed. Colossal Biosciences said Viagen has successfully cloned 15 species and bio-banked more than 40 unique species, including 22 threatened or endangered species such as the White rhino, Black rhino, Florida bonneted bat, Perdido beach mouse and Indiana bat. The company used its advanced cloning technology and its ability to reanimate frozen cells to clone critically endangered Przewalski’s horses from tissue that had been cryopreserved at the San Diego Zoo in 1980.

Ourisman Automotive Group buys Hendrick Honda in Northern Va.

Deal Description: Ourisman Automotive Group acquired Hendrick Honda in Woodbridge, Va., in late October. Terms weren’t disclosed. Merchant banking firm The Presidio Group, which is based in Denver and Atlanta, facilitated the transaction that closed on Oct. 21 and included the dealership real estate. Ourisman now operates three dealerships in Woodbridge and is a family-owned dealership with more than 100 years of experience and locations across Maryland, Virginia and Delaware. Deal Description: Maryland Chemicals producer W.R. Grace announced Nov. 3, that it had acquired Chevron’s interest in Advanced Refining Technologies, a joint venture created by the two companies to provide advanced refining catalysts for the production of lower carbon fuels. Deal Description: Bingham & Taylor, a manufacturer of underground utility infrastructure supplies announced Nov. 6 that it is being acquired by Charlotte Pipe and Foundry alongside Neenah Foundry Company. Metropolis Technologies gets $1.6B to expand AI parking system

Deal Description: Metropolis Technologies announced on Nov. 6 the closing of a $1.6 billion capitalization led by JP Morgan Chase Bank that includes a $1.1 billion term loan and $500 million of Series D funding led by a fund managed by LionTree. The Santa Monica, Calif., company said it plans to use the funding to expand “into new verticals and new markets,” including gas stations, drive-thrus, hotels and office buildings, “advancing the transformative capabilities of its real-world AI applications.” Metropolis is the largest parking lot operator in the U.S., processing more than $5 billion in annual transactions at more than 4,200 locations across the country with over 1 million new members using its app each month, according to the company. The app uses AI to identify vehicles without a physical transaction. This round of funding, which values the firm at $5 billion, included participation from BDT & MSD Partners credit funds, DFJ, Eldridge Industries, Slow Ventures, SoftBank Vision Fund 2, Tekne Capital, and Vista.

Aeroméxico debuts on NYSE and BMV with $275M IPO

Deal Description: Aeroméxico, the only full-service air carrier based in Mexico, debuted on the New York Stock Exchange Nov. 7, scoring $275 million in its initial public offering. Grupo Aeroméxico, S.A.B. de C.V. offered more than 11.7 million shares at $19 per ADS and about 27.5 million shares on the Bolsa Mexicana de Valores at 35.34 Mexican pesos per share. The company made a $25 million concurrent private placement to PAR Investment Partners LP.

MultiSensor AI Holdings raises $14.4M

Deal Description: Beaumont-based MultiSensor AI Holdings said on Nov. 4 that it raised about $14.4 million through the sale of nearly 4.6 million common shares at $1.35 each and pre-funded warrants to purchase another 6.1 million common shares at $1.3499 per pre-funded warrant. The company, which provides AI-powered industrial condition-based maintenance and process control, plans to use proceeds to advance the development of its MSAI Connect platform. The platform uses data gathered from high-resolution thermal imagers, visible and acoustic imagers, as well as vibration and laser spectroscopy sensors “to protect customers’ most critical assets.”

Late Arrivals and Other Matters …

In its third quarter reporting Frisco-based Comstock Resources revealed Nov. 3, that it made two divestitures in the Haynesville Shale during September and October. On Sept. 2, the company netted $15.2 million in the sale of its interest in 883 wells and 46 inactive wells in the Cotton Valley region of East Texas and Northern Louisiana. On Oct. 10, the company sold its interest in 155 producing wells and about 36,000 undeveloped acres in the East Texas Shelby Trough across St. Augustine, Nacodoches and Shelby Counties. Neither the law firms or lawyers were identified. According to recent filings, Comstock is 71 percent-owned by Jerry Jones.

LanzaJet Inc. said on Nov. 4 that it awarded the front-end engineering and design for Project Speedbird to Irving engineering and construction company Fluor Corp. Chicago sustainable fuels technology company LanzaJet said it is developing Project Speedbird with British Airways. The ethanol-to-SAF facility in Teesside, U.K., is projected to produce more than 30 million gallons of SAF (sustainable aviation fuel) and renewable diesel annually, reducing the airline’s CO₂ emissions by about 230,000 tons per year or the equivalent of 26,000 British Airways domestic flights. Vinson & Elkins advised LanzaJet with a team led by Andrew Nealon and Louise Fischel-Bock in London.
