The Biggest Securities Offerings of H1 2018

The biggest capital markets transaction involving Texas lawyers in the first six months of the year was Energy Transfer Partners’ $3 billion notes offering in June to refinance existing debt and pay down its revolver. Latham & Watkins counseled the issuer while Hunton Andrews Kurth represented the underwriters.

The second largest offering was a $2.5 billion notes issue by EQT Midstream Partners. Baker Botts counseled the issuer. Vinson & Elkins represented the underwriters.

Coming in third was a $2.2 billion private placement by Sunoco Finance Corp./Sunoco LP. Latham represented the issuer and Andrews Kurth Kenyon advised the initial purchasers.

Enterprise Products Partners’ $2 billion notes issuance ranked fourth. Sidley Austin counseled the issuer. V&E represented the underwriters.

The fifth largest securities offering by value was Kinder Morgan’s $2 billion senior notes offering. Kinder Morgan’s longtime outside counsel, Bracewell, advised the issuer while Andrews Kurth Kenyon worked for the underwriters.

Nine Energy Service was the top initial public offering involving Texas lawyers during H1 with a value of $161 million. V&E counseled the issuer.

The second largest was Construction Partners’ offering at $135 million, which was handled by Akin Gump Strauss Hauer & Feld.

PermRock Royalty Trust’s offering for $106 million was the third biggest during the first six months of 2018. V&E represented PermRock.

Rounding out the top five were Quintana Energy Services’ offering for $96 million handled by V&E and Jackson Walker client Spirit of Texas Bancshares’ offering for $42 million.
