Bigger may not be better, but 2023 in Texas could well be remembered as The Year of the Billion-Dollar Deal.
In a year when global M&A was down 17 percent by value and 6 percent by volume, Texas led the world with the two largest megadeals: ExxonMobil’s $64.5 billion acquisition of Pioneer Natural Resources and Chevron’s $60 billion purchase of Hess Corp. Even ONEOK’s $18 billion acquisition of Magellan Midstream Partners made the top dozen deals worldwide, as Texas flexed its energy muscle across the globe.
In Texas, law firms reported 130 acquisitions and joint ventures valued at $1 billion or more in 2023, more than any year prior, according to new data from The Texas Lawbook’s exclusive Corporate Deal Tracker.
Those 130 billion-dollar M&A deals eclipsed the 75 Texas-related in 2022, as well as the 110 billion-dollar deals reported during the record-breaking post-pandemic year of 2021.
Moreover, ten of the 2023 deals were mega-transactions — $10 billion or higher. There were only two megadeals in 2022 and just seven in 2021.
Then there’s value. The combined value of those 130 transactions was $628.8 billion — more than double the $261 billion total value of billion-dollar deals in 2022 and 30 percent higher than in 2021 when the 110 deals of $1 billion or more had a combined price tag of $479.9 billion, according to CDT data.
Between 2019 and 2023, there have been 447 M&A transactions worth $1 billion or more with a combined value of $1.37 trillion. That means the 2023 M&A deal count represents 30 percent of the volume and nearly 50 percent of the five-year total.
How involved were Texas lawyers? The year-end CDT data shows that in more than 60 percent of the billion-dollar deals (81 of 130), Texas lawyers led their firm’s representation of clients involved — whether buyers, sellers, targets, investment banks, financial advisors, conflicts committees or other third parties.
Perhaps more surprising is the diversity of the parties advised by Texas lawyers: most were outside of Texas. In only 45 of the 130 billion-dollar deals was one of the primary parties (buyer or seller/target) from Texas; and in only 12 of the deals were both sides headquartered in the Lone Star State.
The Corporate Deal Tracker documents transactions handled by lawyers based in Texas — both in-house counsel and attorneys at law firms — and includes deals worked on by Texas-based legal advisors on deals that otherwise have no Texas connection. The objective of the CDT is to document the corporate transactional work of Texas lawyers.
Of no surprise is the fact that energy dominated the billion-dollar-plus deal count, with technology and manufacturing a distant second and third, according to the data.
As noted, the two largest M&A deals of 2023 involved oil and gas super majors. Both were announced within 12 days of each other in October.
Houston-headquartered Exxon Mobil announced on Oct. 11 that it was purchasing Irving-based Pioneer Natural Resources for $64.5 billion. Pioneer General Counsel Mark Kleinman and Pioneer Vice President of Legal Akshar Patel led the deal internally, while Gibson Dunn partners Jeff Chapman and Tull Florey were lead outside counsel. Exxon Mobil General Counsel Craig Morford and New York lawyers for Davis Polk led the transaction for Exxon Mobil.
On Oct. 23, California-headquartered Chevron Corp., which has a large legal contingency in Houston, announced it was acquiring New York-based Hess Corp. for $60 billion. Chevron’s lead in-house counsel for the deal were based in Houston and they were Chevron Senior Managing Counsel for Transactions Siva Barnwell and corporate counsel JP Whalen. All of the outside lawyers were based outside of Texas.
In 2022, the largest M&A deal handled by Texas lawyers was the $30 billion joint venture between Brookfield Infrastructure and Intel and the largest M&A transaction of 2021 was Dallas-based AT&T’s sale of Time Warner Media to Discovery for $43 billion, according to the CDT database, which has tracked M&A handled by Texas lawyers since 2015.
While Texas political leaders often blast more liberal jurisdictions such as California, Canada and Europe, transactional lawyers in Texas feasted on dealmaking from companies in those locations in 2023.
CDT data shows that Texas lawyers worked on 44 M&A deals involving non-U.S.-headquartered companies, including 14 from Canada in 2023. And attorneys in Texas worked on 25 deals involving California corporations.
