CDT Roundup: Texas Lawyers Deliver Rare $20B+ Hat Trick

The week ending May 24 saw 15 deals reported for a total of $24 billion. The week prior saw 16 deals for $21.7 billion. In fact, if you check the table below, it’s the third week in a row we tallied $20 billion or more for transactions handled by Texas lawyers.

Two weeks ago, we reported 24 deals for $33.1 billion. And that’s the first time that’s happened since we started keeping these stats for deals reported to the Corporate Deal Tracker Roundup. It’s also the first time we’ve seen three consecutive weeks of $10 billion or more since the three weeks ending September 14, 2024.

We don’t know whether it’s a big deal. But it’s a rare one. It didn’t even happened during the spectacular seven-week run of eight-digit weeks between May 8 and June 19 in the record-breaking year of 2021.

Blackstone to Acquire TXNM Energy for $11.5B

The surge in transactions for power and grid support for data infrastructure continued Monday with the announcement that Blackstone Infrastructure, one of the nation’s largest owner/operators of data centers, has agreed to acquire TXNM Energy for $11.5 billion, including debt. Based in Albuquerque, New Mexico, TXNM provides state-regulated power to more than 800,000 homes and businesses across grids in New Mexico and West Texas. Kirkland & Ellis advised Blackstone. AT&T expands fiber reach with $5.75B acquisition of Lumen Mass Markets

Deal Description: AT&T announced May 21 that it is buying the Lumen Mass Markets fiber connectivity business for $5.75 billion. The deal is expected to close in the second half of 2026. The deal adds one million fiber subscribers to AT&T’s base of fiber connected operations, expanding its reach in Denver, Las Vegas, Minneapolis-St. Paul, Orlando, Phoenix, Portland, Salt Lake City and Seattle, along with other locations. Once closed, AT&T says it plans to take on an equity partner for the business with 6 to 12 months and operate the business as a wholesale commercial open access platform, deconsolidating it from the larger AT&T balance sheets.  With access to what AT&T called Lumen’s “substantial fiber construction capabilities,” the company says it expects to reach 60 million total fiber connections by 2030 — roughly doubling its current fiber footprint.

AMD sells recently acquired server business to Sanmina for $3B

Deal Description: AMD announced May 19 from its headquarters in Santa Clara, California, that it is selling for $3 billion the server manufacturing business it acquired as part of its $4.9 billion acquisition of ZT Systems closed on March 31. AMD’s intention to sell the business was announced last August as part of the agreement with ZT Systems. The buyer is Sanmina, a leading end-to-end electronics manufacturer headquartered in San Jose. Under terms of the cash and stock agreement, according to Reuters, AMD will receive $2.25 billion in cash, along with a premium of $300 million in cash and stock. The deal also includes a potential $450 million payment contingent on performance metrics for the manufacturing business.

Brynwood Partners complete $1.5B sale of Harvest Hill Beverage

Deal Description: In a $1.5 billion deal announced in April, Castillo Hermanos announced the closing May 19 of its acquisition of the Harvest Hill Beverage Company, a portfolio company of Brynwood Partners (Greenwich, Connecticut). Castillo Hermanos, an international investment company headquartered in Guatemala City, Guatemala, partnered with Centerview Capital on the transaction and Centerview will be making a strategic investment in the company. Harvest Hill was founded by Brynwood as part of its purchase from Nestlé of the iconic children’s Juicy Juice brand. Since its founding, Harvest Hill has added such brands as Sunny Delight, Nutrament and adult beverages like SunnyD Vodka Seltzer and Daily’s.

Five Point commits $1B to PowerBridge for data center campuses

Deal Description: Five Point Infrastructure (fka “Five Point Energy”), whose affiliated companies include LandBridge and WaterBridge, announced the formation and funding of PowerBridge, a new company designed to developing and managing data centers with funding commitments of up to $1 billion. In its announcement the company says it intends to parlay its land assets, water assets and access to the natural gas Waha hub for gigawatt-scale data management and storage center campuses with fiber connectivity. Leading the PowerBridge development is Alex Hernandez, founding CEO of Cumulus (sold to Amazon in May 2024) and former CEO of Talen Energy. Hernandez also serves on the board of directors of ERCOT.

Note: Five Point Energy took LandBridge public in June 2024 with a $319 million IPO as part of a major restructuring of the company. Telefónica divests in Uruguay with $400M sale of mobile operations

Deal Description: Continuing a divestment of operations in Latin America, Telefónica, the international telephone based in Madrid, announced May 21 its agreement to sell its operations in Uruguay to its Spanish competitor, Millicom Spain SL for $400 million. The company, Telefónica Móviles del Uruguay, the country’s second-largest mobile operator, holds about 29 percent of the Uruguayan market. In February, Telefónica announced the $1.245 sale of its operations in Argentina and a in March a controlling stake in its Colombian holdings.

North Hudson Partners closes $344M O&G fund

Deal Description: North Hudson Resource Partners announced May 20 the closing of its fifth non-operator oil and gas fund, appropriately named “North Hudson Production Partners V.” The fund closed at its hard cap of $344 million in commitments. The fund, based in Houston, will target a full range of potential acquisitions in the U.S. and Canada — including drilling partnerships, joint-bid acquisitions and acreage and PDP assets. With the fund closing, North Hudson claims $1.4 billion in current assets under management.

Glass Imaging gains $20M in Series A funding

Deal Description: Glass Imaging, an AI-driven optics platform that creates tailor-made digital lens enhancements and imaging correction, announced May 12 a $20 million raise in Series A funding led by Insight partners. The series round was also joined by previous investors, Google Ventures, Future Ventures and Abstract Ventures. The digital processes are tailor made for enhancements of existing camera platforms to reduce such phenomena as cross-pixel leakage, blur, color aberration and distortion.

Argano acquires another consultancy

Deal Description: Continuing its aggressive strategic growth program, Dallas-based Argano announced May 21 that it acquired Anavate Partners, a forecasting and planning firm and its platform Anaplan. The deal is its fourth of 2025 for Argano and its 20th since its founding in 2020. Terms of the transaction were undisclosed.

Datassential acquires Brizo FoodMetrics

Deal Description: Datassential, a food and beverage industrial intelligence platform based in Chicago, announced May 21, its acquisition of Brizo FoodMetrics. Located in Quebec Brizo FoodMetrics, as its name suggests, tracks such food industry data as restaurant and food delivery menus, pricing, location strategies, vendors and operations metrics. Last September, Datassential was sold by Spectrum Equity to New Mountain Capital and Endicott Capital. The deal for Brizo is the company’s first publicly announced acquisition. Terms of the transaction were undisclosed.

Porch Group redeems convertibles, issues more

Deal Description: Porch Group Inc., a Seattle-based insurance company announced May 19, that it is repurchasing $144.3 million of its 0.75 percent convertible senior notes due 2026, and concurrently issuing a $130 million private offering of 9.00 percent convertible senior unsecured notes due 2030. The 2030 notes will be convertible to cash, shares of stock or some combination of the two at an initial conversion price bearing a 60 percent premium of the VWAP of the company’s common stock for the three days immediately following the May 19 announcement. The company also holds an option to redeem the new notes on or after November 20, 2026, if the stock exceeds the conversion price by 20 percent for at least 20 trading days. If Porch is able to exercise this redemption option, only three full semi-annual interest payments will have been paid.

On May 7, London-based Wonderskin closed a $50 million Series A funding round with investments led by Insight Partners. Wonderskin is a cosmetics firm that leans on TikTok marketing and tech-based formulas for lip masques and other beauty products. Likewise, New York startup Fora Travel, a platform that trains and networks individual professional travel advisors, announced April 24 that it raised $60 million in B and C rounds. The rounds were led by investors Insight Partners and Thrive Capital. On both deals Insight was advised by Willkie Farr & Gallagher New York partner Matthew Haddad and Houston associate Joe Laurel. It’s at least the fifth transaction Haddad and Laurel have advised for Insight since January 2024.
