CDT Roundup: Blackstone, TPG, Meta, Blue Owl Dominate a $61B Week

The week that ended Oct. 25 saw 19 deals reported with a total value of $61.4 billion. It’s a notch up from the $45 billion over 13 deals we reported last week. And a heckuva sight better than the eight deals for $3 billion we reported last year.

Sure, the value is skewed by $45 billion in two mega transactions involving Blackstone, TPG, Blue Owl and Meta — including a rare non-data center megadeal to take a women’s healthcare company private. But so what?

Last week’s value was skewed by a single $40 billion transaction the week prior. This week’s megadeals are simply two among six transactions valued above the billion-dollar mark.

Also reported last week, GE Vernova bought the other half of Prolec GE that it didn’t already own for nearly $5.3 billion; Houston’s CenterPoint Energy sold its Ohio natural gas distribution network for $2.6 billion; and JERA, Japan’s largest importer of LNG, acquired a natural gas field in the Haynesville Shale from Williams Cos for $1.5 billion.

This week in AI power deals has Brookfield Asset Management investing up to $5 billion in Bloom Energy’s advanced fuel cell technology for AI factories and Avride getting up to $375 million from Uber and Nebius Group to expand its robot delivery services and robotaxis that are expected to hit the streets of Dallas by year end.

And this week in crypto deals has another Cayman Islands SPAC acquiring a cryptocurrency trading platform with plans to buy $500 million of Solana tokens and another crypto exchange buying yet another exchange to specifically allow it to design and create markets for exchange-listed derivatives under the oversight of the CFTC.

There was also another Texas regional bank merger last week and a Dallas-based start-up got some seed funding to expand its solar tower technology. All that and more in the latest CDT Roundup.

Meta Recaps Hyperion Data Center in $27B JV with Blue Owl

Deal Description: On Oct. 21, Meta Platforms, Inc., the parent company of Facebook, announced a joint venture agreement with Blue Owl Capital to further develop and own Hyperion, a hyperscaling data center already under construction in Louisiana. Meta will continue to provide construction and property management services, retaining a 20 percent interest. Meta also entered into a long-term lease agreement that guarantees the value of the joint venture for at least 16 years. New York-based Blue Owl will provide the majority of funding for the project and will retain an 80 percent interest. Meta and Blue Owl said they are together committing approximately $27 billion for the project on a pro rata basis. The data center, announced in August 2024, is located in Richland Parish adjacent to the Haynesville Shale Basin. Funds managed by Blue Owl made a cash contribution of $7 billion to the joint venture, from which Meta, the sixth-largest company in the world, received a one-time distribution of $3 billion. A portion of the capital raised by Blue Owl will be funded by debt issued to PIMCO and private offerings.

Blackstone, TPG buying Hologic for $18.3B, taking med tech firm private

Deal Description: Hologic Inc. said Oct. 21 that it agreed to be acquired and taken private by funds managed by Blackstone and Fort Worth-based TPG for up to $79 per share, representing an enterprise value of up to $18.3 billion, including debt. Investment giant Blackstone and TPG will pay $76 a share cash plus a right to receive up to $3 per share in two cash payments contingent upon certain revenue goals for Hologic’s breast health business over the new two fiscal years. Marlborough, Mass.-based medical technology company Hologic, which specializes in women’s healthcare, said the purchase price represents a premium of about 46% to its closing price on May 23. The company also said the deal includes significant minority investments from a unit of the Abu Dhabi Investment Authority and an affiliate of Singapore sovereign wealth fund GIC.

GE Vernova buys remaining 50% of Prolec GE from Xignux from $5.3B

Deal Description: GE Vernova Inc. announced on Oct. 21 that it bought the remaining 50 percent of Prolec GE, its joint venture with Mexican energy and food conglomerate Xignux, for $5.275 billion in cash and debt. Cambridge, Mass.-based energy company GE Vernova said the deal accelerates the growth of its electrification segment in North America, “where demand for grid technologies is rising rapidly … driven in part by the growth of data centers and new policies implemented to expand the deployment of critical grid and electrification equipment.” Prolec GE — a  joint venture between Xignux and General Electric begun in 1995 — produces transformers across most ratings and voltages.

Brookfield invests $5B in Bloom Energy fuel cell tech to power AI infrastructure

Deal Description: Global investment firm Brookfield Asset Management on Oct. 13 announced plans to invest up to $5 billion in Bloom Energy’s advanced fuel cell technology for AI factories. Silicon Valley-based Bloom Energy said its fuel cells deliver reliable, scalable and clean onsite power that can be rapidly deployed without legacy grids. Brookfield said this marks the first investment of its AI infrastructure strategy. Bloom Energy Founder, Chairman and CEO KR Sridhar said the partnership is “creating a new blueprint for powering AI at scale.” Forbes reported that Bloom’s technology is rooted in something Sridhar developed for NASA that he adapted into a way to produce electricity. Brookfield’s Global Head of AI Infrastructure Sikander Rashid said Bloom’s technology allows for the design and construction of AI factories “with a holistic and innovative approach to power needs.”

National Fuel Buys CenterPoint’s Ohio Natural Gas Operations for $2.62B

Deal Description: CenterPoint Energy announced on Oct. 21 a deal to sell its Ohio natural gas distribution network that consumes 60 Bcf of natural gas annually to National Fuel Gas Co., based in Buffalo area, for $2.62 billion. JERA acquires Haynesville Shale natural gas field for $1.5B from Williams Cos.

Deal Description: JERA, Japan’s largest importer of LNG, announced Oct. 23 a $1.5 billion deal to acquire a natural gas field in the Haynesville Shale from Williams Companies and GEP Haynesville II, its JV with The Woodlands-based GeoSouthern Energy. Avride gets $375M from Uber, Nebius Group to expand robotaxi service, robot delivery system

Deal Description: Autonomous vehicle and delivery robot technology firm Avride said Oct. 22 that it received investments and commercial commitments of up to $375 million from Uber and Amsterdam-based tech company Nebius Group. Avride said this round extends a partnership with Uber begun in 2024 that aims to launch Avride’s robotaxi service on the Uber platform in Dallas by the end of this year. The Austin company’s delivery robots are already fulfilling orders through Uber Eats in Jersey City, N.J., Austin and Dallas. The new round of funding will accelerate the growth of Avride’s fleet while also supporting AI-driven product development and expanding into new cities.

Cayman Islands SPAC buys Cube Group, plans to acquire $500M of Solana tokens

Deal Description: On Oct. 22, Mercer Park Opportunities Corp., a Cayman Islands-based special purpose acquisition company, said it acquired Cube Group Inc., a Chicago-based cryptocurrency trading platform. The transaction values Cube Group at $300 million. Upon close expected by March 31, the company will acquire $500 million in Solana tokens using stock as consideration in an effort to “optimize treasury management through staking revenues, which is anticipated to drive enhanced liquidity and volume, and lead to sustainable revenues.” The combined company will operate as Cube Exchange Inc. and expects to trade on the Toronto Stock Exchange. Mercer Park also plans to seek a listing on Nasdaq. The companies said the combined entity is “poised to play a key role in transforming global capital markets by bridging traditional finance and decentralized finance.”

Dataminr buys ThreatConnect for $290M

Deal Description: Dataminr announced on Oct. 21 the acquisition ThreatConnect, an Arlington, Va., cybersecurity firm. Privately held AI company Dataminr said the transaction values ThreatConnect at $290 million. The New York company said the acquisition combines its AI platform for public data signals with ThreatConnect’s deep internal data capabilities to “create the industry’s first-ever agentic AI-powered client-tailored intelligence.” Dataminr said its multi-modal fusion AI synthesizes text in 150 languages, image, video, audio and sensor signals across 1 million public data sources to deliver accurate real-time detection. The company said clients include more than 100 domestic government agencies, 20 international governments, two-thirds of the Fortune 50, and half of the Fortune 100.

Third Coast Bank buys Keystone Bank for $123M cash, stock

Deal Description: Third Coast Bancshares said Oct. 22 that it agreed to acquire Keystone Bancshares Inc. for about $123 million in cash and stock. Based in Austin, Keystone operates two branches in the Texas capital and one in Ballinger with a one loan production office in Bastrop. Humble-based Third Coast operates 19 branches in the four largest metropolitan areas in Texas. The combined company will have total assets of more than $6 billion. Keystone shareholders will receive 0.45925 shares of Third Coast common stock or cash equal to that ratio times the 20-day average price of Third Coast common stock for each common share held.

Kraken buys for Small Exchange for $100M

Deal Description: Cryptocurrency exchange Kraken said Oct. 15 that it acquired Small Exchange from U.K. online trading company IG Group for $100 million. The acquisition of a designated contract market allows Kraken to design and create markets for exchange-listed derivatives under the oversight of the Commodity Futures Trading Commission. The company said it “can now integrate clearing, risk and matching into one environment that meets the same standards as the largest exchanges in the world.” Kraken, which moved its headquarters in June to Cheyenne, Wyo. from San Francisco, said its regulated derivatives system in now in the U.S., U.K., and EU and spans six fiat currencies and more than 450 digital and traditional assets, all within one architecture.

American Bureau of Shipping acquires MetaSHIP tech from Orka Informatics

Deal Description: American Bureau of Shipping said Oct. 16 that it agreed to acquire the MetaSHIP intellectual property and related vessel simulator software from Orka Informatics, which provides a digital universe designed for maritime education, training, and operations. Orka is based in Istanbul. Terms weren’t disclosed. Spring-based ABS said the deal allows it to expand its realistic digital training program that can be delivered on board, in port or at home, as well as through learning centers in Qatar, Greece and Singapore.

Janta Power gets $5.5M from MaC, Collab Capital to scale 3D solar towers

Deal Description: Dallas-based Janta Power announced on Oct. 21 that it has received $5.5 million seed funding from MaC Venture Capital and Collab Capital. Janta Power plans to use the funding to further deploy its 3D photovoltaic tower technology for data centers, EV charging hubs, telecom towers, universities, and industrial facilities. Los Angeles-based MaC said Janta’s solar tower technology delivers up to three times the efficiency of traditional solar panels while using a fraction of the footprint. Janta said its towers — used in pilot programs in some airports around the globe, including DFW — are engineered to generate about 50 percent more energy than traditional flat-panel systems.

MythWorx gets $5M seed capital from Eagle Venture funds

Deal Description: MythWorx, a Dallas next-generation AI startup, announced on Oct. 22 seed funding of $5 million led by Fort Worth-based Eagle Venture funds and other undisclosed angel investors. MythWorx said the investors valued the company at $100 million, “reflecting the groundbreaking reduction in compute and power needs and human-like reasoning capabilities presented by MythWorx’s model, Echo Ego v2.” The company said its product outperforms large language models as it requires one-tenth the power.

Suncrete acquires OKC ready-mix concrete businesses

Deal Description: Tulsa-based Suncrete, a portfolio company of Dallas-based SunTx Capital Partners, said on Oct. 21 that it has acquired Schwarz Ready Mix and SRM Leasing, as well as Schwarz Sand, which collectively operate a ready-mix concrete business in Oklahoma City with 20 plants and more than 100 trucks. Earlier in October The Lawbook’s CDT Roundup reported Suncrete’s deSPAC merger with Haymaker Acquisition Corp. 4.

Rockpoint Gas Storage IPO

Deal Description: Rockpoint Gas Storage said Oct. 15 that it closed its initial public offering of 32 million shares at CA$22 ($15.69) a share. The Calgary, Alberta, natural gas storage provider expects gross proceeds of about $704 million in Canadian dollars ($502.1 million). Rockpoint said underwriters exercised an over-allotment option to purchase another 4.8 million common shares, though the company did not receive any of the proceeds from that sale.

On Oct. 7, Houston private investment firm Platform Partners said it had acquired Champion Contractors & Services, a Round Rock-based national commercial roofing and storm restoration services provider. Terms weren’t disclosed. Latham & Watkins represented Platform Partners with a team led by Houston partners Thomas Brandt and Bruce Herzog, with associates Vera Bespalova and Emily Brown.

On Sept. 9, NextDecade Corp. announced its final investment decision to fully fund Train 4 at the Rio Grande LNG Project, giving Bechtel Energy notice to proceed. The Houston lower-carbon energy company NextDecade continues to expect a FID on Train 5 at Rio Grande LNG in the fourth quarter. Latham & Watkins advised NextDecade with a team led by Jason Webber and Hamad Al-Hoshan in New York and Christopher Peponis in Houston.
