CDT Roundup: Thirteen Deals, One Theme? Energy Still Rules

For the week ended March 14, the CDT Roundup saw 13 deals reported — same as the week prior and the same as this time last year. The reported values were, however, different, ranging from $5.9 billion last week, down from $48.1 billion during the prior week and $13.7 billion last year. The bump in value in our last report derived from BlackRock’s $33 billion take-private deal of AES. There was nothing of that magnitude this week.

There was, however, plenty of energy represented. Five of the seven M&A and funding transactions involved oil & gas or O&G services. The remaining deals consisted of an apartment complex sale and a crypto deal in which one crypto firm got funding from other crypto investors and plowed the cash back into OpenAI and MrBeast. (And if you’re unsure who MrBeast is, ask the next tween or teen you come across).

Shell sells Jiffy Lube to Monomoy Partners for $1.3B

Deal Description: Pennzoil Quaker State, the lubricants business of Shell USA, announced on March 9 an agreement to sell Jiffy Lube International to an affiliate of middle-market private equity firm Monomoy Capital Partners for $1.3 billion. Kirkland & Ellis provided counsel to Monomoy, mostly from its Boston office with Kyla Risko advising from Austin. Travis Torrence is head of legal for Shell USA.

Siris acquires majority stake in Takkion

Deal Description: Florida private equity firm Siris said on March 9 that it has acquired a majority stake in Takkion, a renewable energy logistics and maintenance company, from funds managed by Apollo Global Management. Terms weren’t disclosed. Siris, which is based in West Palm Beach, Fla., said Takkion generated about $600 million in revenue in 2025. The firms expect the deal to close by June 30. Siris also said Takkion, based in Centennial, Colo., “provides a mission-critical service” to developers, utilities and original equipment manufacturers “in an increasingly attractive industry in light of surging power demand from data centers and the electrification of industry and transportation.”

ACT Energy Technologies buys OKC directional drilling firm for $47M

Deal Description: Calgary drilling and downhole tech company ACT Energy Technologies said on March 9 that it has acquired the directional drilling services business of Oklahoma City-based SB Directional Services for $30 million cash and more than 3.6 ACT common shares valued at about $17 million. ACT Energy said SB Directional has a strong operating history across the Anadarko and Permian basins with a fleet of 130 mud motors and 25 measurement‑while‑drilling kits. ACT plans to reduce costs by replacing rented tools with owned equipment and said the management team of SB Directional Services is expected to be retained.

Greenbelt Capital Management acquires Peak Utility Services Group

Deal Description: Austin private equity firm Greenbelt Capital Management said on March 11 that it agreed to acquire Peak Utility Services Group from ORIX Capital Partners, the middle-market PE arm of ORIX Corp. USA, a financial services firm based in Dallas. Terms weren’t disclosed. Peak Utility Services, based just north of Denver in Broomfield, Colo., provides maintenance, repair and upgrade services to the nation’s electric, gas, and telecommunications networks.

Trailblazer Energy Resources acquires Pillar Oil & Gas, doubling BOE/d

Deal Description: Trailblazer Energy Resources said on March 12 that it acquired nearly all of Dallas-based Pillar Oil & Gas, a portfolio company of Massachusetts private equity firm Old Ironsides Energy. Financial terms weren’t disclosed. The Tulsa, Okla.-based upstream and midstream energy company also said it has secured a four-year, $400 million lending facility led by Citizens Bank with participation from U.S. Bank, Arvest Bank, and Flagstar Bank. Trailblazer Energy said the acquisition of nearly 30,000 acres in Atascosa County is projected to more than double its current production to about 5,500 barrels of oil equivalent per day and positions it to be a pure-play Eagle Ford operator with expanded production capabilities and development opportunities.

Eightco Holdings gets $125M funding, invests in OpenAI, MrBeast

Deal Description: Eightco Holdings said on March 12 that it received $125 million in new funding led by $75 million from Bitmine, at least $25 million from ARK Invest, and $25 million from Payward, the parent company of crypto platform Kraken. The Easton, Pa.-based company said it plans to use the capital to support investment expansion “in technology shaping the next generation of artificial intelligence, blockchain infrastructure, and global digital consumer platforms.” Eightco Holdings also announced initial investments of $50 million in OpenAI and $25 million in MrBeast and Beast Industries. The company also named Bitmine Chairman Tom Lee to its board and said Brett Winton, Chief Futurist at ARK Invest, will serve as an advisor to the board. Dan Ives resigned from his post as chairman of Eightco.

Clover Capital Partners acquires two East Dallas apartment complexes

Deal Description: Dallas real estate firm Clover Capital Partners said on March 13 that it has acquired Creekstone and Gable Point, two apartment complexes in East Dallas with 374 one- and two-bedroom units. Terms weren’t disclosed. Clover Capital Partners said the properties, which were developed and owned by the Pardue family since the 1980s, “benefit from their proximity to major employment centers, established retail corridors, and key recreational amenities throughout East Dallas.” The properties are adjacent to the Dallas Athletic Club near the intersection of Interstate 635 and Ferguson Road.

Diamondback Energy stockholder prices 11M shares for $1.9B

Deal Description: Midland oil and gas and company Diamondback Energy announced on March 10 the pricing of a public offering of 11 million common shares by SGF FANG Holdings, one of its largest shareholders. Diamondback said the seller expects proceeds of about $1.9 billion, and Diamondback will not receive any proceeds. SGF FANG Holdings granted underwriters an over-allotment option to purchase another 1.65 million shares. Diamondback’s Nasdaq-listed shares that trade under the ticker symbol “FANG,” closed Friday at $182.38.

Deal Description: Kodiak Gas Services on March 11 priced a private offering of $1 billion of 5.875 percent notes due 2031. The company plans to use proceeds to redeem 7.25 percent notes due 2029 and reduce debt. Deal Description: Valero Energy, the San Antonio fuel and petrochemical products company, announced on March 5 that it priced $850 million of 5.150 percent notes due 2036. Avantus gets $300M for Arizona solar generation, storage project

Deal Description: Solar operators Avantus announced on March 4 that it secured more than $300 million in financing for its Kitt solar and energy storage project in Pinal County, Ariz. The San Diego-headquartered company said the financing was arranged by Spanish financial services giant BBVA and the New York branch of CIBC, the Canadian Imperial Bank of Commerce. Avantus said the financing includes construction funding, a tax equity bridge loan. Avantus, based in El Dorado Hills, Calif., said the Kitt project includes 100 MWac/130 MWdc of solar and 400 megawatts of energy storage. The company said the project has an agreement with the Arizona Public Service to serve up to 32,000 homes in the state.

Diversified Energy public offering of 7.5M shares for $108M

Deal Description: Birmingham-based oil and gas production company Diversified Energy announced on March 9 the pricing of a public offering of more than 7.5 million shares at $14.45 each by an affiliate of private equity firm EIG Global Energy Partners. Upon close of this secondary offering, Diversified agreed to purchase 3.75 million from the underwriter at the same price. The company said it did not offer any common shares and will not receive any proceeds from the sale. Diversified Energy’s NYSE-listed shares have traded in the range of $14.31 and $14.65 over the past 30 days and are up about 22.5 percent over the past year.

Venture Global announced on March 13 a final investment decision and close of an $8.6 billion financing for the second phase of its Venture Global CP2 LNG project. The Virginia-based owners of Venture Plaquemines LNG on the Louisiana Gulf Coast said this FID brings its capital markets transactions to more than $95 billion, positioning the company “to become the largest U.S. exporter of LNG” when this CP2 LNG project is fully online. BBVA and MUFG Bank served as lead arrangers for the project’s construction term loan and working capital facility. Skadden, Arps, Slate, Meagher & Flom served as counsel to the lenders, while Latham & Watkins provided counsel to Venture Global with a team led by Annelise Karreman and Chirag Dedania in New York. Houston partner Jim Cole advised on tax matters, and Joshua Marnitz, who works from Los Angeles and Houston, advised on environmental matters.
