For the week ended May 9, the CDT Roundup is reporting 21 deals valued at nearly $11.3 billion. And that doesn’t include a $3.25 billion notes offering that closed three weeks ago nor the $56 billion unsolicitied offer for eBay by $11 billion-market-cap GameStop scooped by The Wall Street Journal last week.
White & Case is advising Grapevine-based GameStop, with a team led by New York Partner Richard Brand. GameStop’s general counsel is Mark Robinson, who received the 2023 DFW Corporate Counsel Award for General Counsel of the Year for a Small Legal Department.
eBay confirmed that it “had no discussions with or outreach from GameStop prior to receiving the proposal.” Samantha Wellington is eBay’s general counsel. The company plans to consider the proposal and previously has turned to Holland & Knight and Weil, Gotshal & Manges for outside legal counsel.
Aside from this potential (and asymmetric) megamerger, there was enough activity in Texas-related M&A and capital markets last week to keep more than 200 lawyers busy. The deals include a biofuels joint venture, natural gas asset sales, a couple of PE add-ons and divestitures and a two deals with an alphabet soup of participants, as KKR and XPV sold a unit to CRH, and ABS acquired RMC Global.
For comparison, the prior week had 13 deals with a total value of nearly $37.9 billion, while at this time a year ago the Roundup reported on 24 deals valued at almost $33.2 billion.

Kinder Morgan buys Monument Pipeline for $505M
Deal Description: Kinder Morgan announced on April 22 that it acquired the natural gas Monument Pipeline serving Houston for $505 million from ARM Energy Holdings. Ameresco get $400M from HA Sustainable Infrastructure Capital spins off biofuels
Deal Description: Energy infrastructure company Ameresco and real estate investment trust HA Sustainable Infrastructure Capital announced on May 4 an agreement to spin off Ameresco’s biofuels business into Neogenyx Fuels. Deal Description: Cerberus Capital Management said on May 4 that it has agreed to make a strategic investment into S+S Industries, a private Houston company that provides plating and electroplated coatings to the power generation, oilfield and automotive industries. Terms weren’t disclosed. S+S Industries President Greg Andrews will continue in his role, and the company’s founders, the Andrews family, will retain a significant stake in the business. S+S serves OEM customers supplying power distribution equipment, including copper and aluminum busbars, to hyperscale, colocation, and enterprise data center operators. Yesway raises $322M in IPO
Deal Description: Yesway Inc., the Fort Worth-based convenience store operator with 449 stores in nine states across the Midwest and Southwest, said on April 13 that its initial public offering of nearly 14 million common shares priced at $20 a share. Deal Description: CH4 Natural Solutions announced on April 30 that its initial public offering of 20 million units priced at $10 each. The SPAC is sponsored by CH4 Natural Solutions Acquisition, which is an affiliate of New York investment platform Riverstone Earth that focuses on agriculture, land management, and related energy and industrial supply chains. The units will trade on the New York Stock Exchange, and each unit includes one ordinary share and one-half of a redeemable warrant, with each whole warrant entitling the holder to buy one ordinary shares at $11.50 per share. The company granted the underwriter an option to buy another 3 million units at the IPO price.

On March 18, Condor Software, a San Diego AI platform for life sciences, said it closed $24 million in Series A funding led by global software investor Insight Partners, with participation from Felicis, 645 Ventures, Pamir Ventures, SNR Ventures, Prebys Ventures, and Bramalea Partners. Condor said its platform “unifies clinical, operational, and financial data into a single source of truth.” Willkie Farr & Gallagher represented Insight Partners led by Matthew Haddad in New York and Joe Laurel in Houston.
On April 23, Miami energy infrastructure AI platform Hut 8 announced the closing of a $3.25 billion offering of 6.192 percent notes due 2042. The company plans to use proceeds to finance construction of a data center with 245 megawatts of capacity and the related substation at its River Bend campus, fund capital expenditures and fund debt service reserves. Hut 8 said the offering “establishes a first-of-its-kind financing model for data center development: investment-grade, institutionally validated, free of refinancing risk, and capital-efficient.” King & Spalding advised Hut 8 with a team that includes Scott Greer and Pedro Claussen in Houston with Gregg Jacobson in Atlanta.
