CDT Roundup: Late Arrivals Steal the Show

For the week ended June 6, there were 14 deals reported to CDT Roundup with a combined disclosed value of about $9.5 billion.

That said, you might take note of the overabundance of material covered in our Late Arrivals and Other Matters section below.

Still, the week included the now de rigueur smattering of oil and gas mergers and cryptocurrency financing, and not-so-rigueur deals involving speciality insurance and AI-enhanced bovine genetics.

Howard Hughes acquires Vantage Group Holdings for $2.1B

Deal Description: Howard Hughes Holdings, headquartered in The Woodlands, announced June 5 the close of its $2.1 billion acquisition of Vantage Group Holdings and its portfolio of specialty insurance products. Based in Bermuda, Vantage was backed by Carlyle and Hellman & Friedman. The deal was originally announced with a regulatory filing in December 2025. The deal represents about 1.5 times the year-end 2025 book value for Vantage.

Canadian electricity provider TransAlta buys two Denver power plants for $1B

Deal Description: Canadian electricity provider TransAlta Corp. said on June 3 that it acquired Mountain Peak Power and Canyon Peak Power, both of which are Blackstone units, for $250 million cash and the assumption of $750 million of debt. The companies own two new natural gas facilities totaling 318 megawatts near Denver. TransAlta said it concurrently plans to offer $350 million worth of common shares, using proceeds to fund the cash component of the acquisition.

British fintech firm OpenPayd de-SPACs in $276M merger

Deal Description: OpenPayd said on June 1 that it closed its de-SPAC merger with and Brooklyn-based Titan Acquisition Corp. in a deal that values the U.K. financial infrastructure platform at $1.145 billion. OpenPayd said its platform enables businesses to move and manage money seamlessly across fiat rails, blockchain networks and stablecoins. The merger includes $276 million raised by Titan in its April 2025 IPO. OpenPayd claims service to more than 1,100 customers across 180 countries, with clients that include eToro, an Israeli social investment and multi-asset brokerage, and the cryptocurrency firm Kraken. The merged entity plans to list its shares on Nasdaq under the symbol “OP.”

Weatherford International acquires NCS Multistage for $151M

Deal Description: Houston oilfield services company Weatherford International announced on June 1 an agreement to acquire NCS Multistage Holdings in a cash and stock deal worth about $151 million. NCS Multistage is also based in Houston and provides products and support services specific to oil and natural gas wells drilled with horizontal laterals. NCS Multistage shareholders will receive either 0.554 shares of Weatherford common stock or a combination of 0.239 shares and cash. Weatherford’s Nasdaq-listed shares were trading at $103.58 on Wednesday.

Trans Ova Genetics acquires bovine reproductive tech company Vytelle

Deal Description: On May 26, Trans Ova Genetics said it has acquired Vytelle, a Kansas bovine reproductive technologies company. Financial terms were not disclosed. Vytelle has developed a platform combining in vitro fertilization, animal performance data and AI-driven genetic analysis to help cattle producers improve herd productivity. The company serves customers in about 30 countries. In 2022, Iowa-based Trans Ova Genetics became part of URUS Group, a global bovine genetics and dairy management firm that is a portfolio company of CVC Capital Partners.

Deal Description: Trillium Flow Technologies said on June 2 that is sold its French valves operations to Framatome, a French nuclear energy company. Terms of the transaction weren’t disclosed. Based in Glasgow with executive offices in Houston, Trillium is a portfolio company of First Reserve that provides flow control products and aftermarket services.

Iron Oak Energy Solutions acquires Signal Peak Silica

Deal Description: Iron Oak Energy Solutions said on June 1 that it has acquired Signal Peak Silica, increasing its presence in the Anadarko and Eagle Ford basins. Terms weren’t disclosed. Houston-based Iron Oak Energy, which provides frac sand mining and proppant, was formed when Covia Energy and Black Mountain Sand merged in November 2024. The company said it sells nearly 40 million tons per year of proppant to oil and gas producers at 15 active mining facilities. Iron Oak amended a term loan with GoldenTree Asset Management, Silver Point Capital, and other lenders as part of the acquisition.

Constellation Energy prices secondary offering at $3.1B

Deal Description: Constellation Energy announced on June 1 the pricing of a secondary public offering of 11 million common shares at $281 a share. The selling shareholders, which included Energy Capital Partners, Canada Pension Plan Investment Board, and Teacher Retirement System of Texas, granted underwriters an option to buy another 1.35 million shares. The Baltimore energy giant said it did not sell any shares in the offering, but Constellation also announced the purchase of 2 million shares at the offering price. Nasdaq trading in Constellation Energy shares closed Friday at $254.83.

Quantinuum raises nearly $1.7B in IPO

Deal Description: Quantinuum announced on June 2 the pricing of the upsized public offering of 28 million common shares at $60 each. The Broomfield, Colo., quantum computing company granted underwriters an over-allotment option to buy another 4.2 million shares. The company raised nearly $1.7 billion in the IPO, and trading in its shares reached as high as $71.35 during the first day of trading.

Bitmine Immersion Technologies to offer 3M preferred shares

Deal Description: Bitmine Immersion Technologies said on June 3 that it plans to offer 3 million shares of 9.5 percent Series A preferred stock. Dividends will be paid weekly or accumulate with a 15 percent cap. The Las Vegas-based bitcoin miner plans to use proceeds to acquire additional ETH and other digital assets while also expanding its staking and validator infrastructure, as well as other general corporate purposes.

ERock launches IPO roadshow

Deal Description: Houston onsite power services  company ERock, formerly Enchanted Rock Inc., said on June 1 that it began the marketing roadshow for its initial public offering. The company plans to offer more than 27.9 million common shares with an expected price between $20 and $23 each. ERock plans to grant underwriters an over-allotment option to purchase another nearly 4.2 million common shares. ERock plans to list the shares on the New York Stock Exchange under the symbol “EROC.”

Late Arrivals and Other Matters …

On June 3, Delfin Midstream said it has its taken the final investment decision on its $5 billion liquefied natural gas production and export facility to be constructed off the coast of Cameron Parish, La., that will be the first floating LNG project in the U.S with an expected export capacity of 4.4 million tonnes per annum beginning in 2030. Delfin said it has secured investments from Blackrock’s Global Infrastructure Partners, Japanese shipping and tanker giant Mitsui O.S.K. Lines, Diameter Capital ​Partners and global energy and commodities trader, Vitol.

Kirkland & Ellis advised Delfin Midstream led Chris Peponis in Houston. Carlos Diaz, Shawn Beloin, Luis Cardenas and Damien Lyster also provided counsel from Houston with Jacob Kempf in Los Angeles.

Latham & Watkins also advised Delfin with a team that was led by New York partners Hamad Al-Hoshan and Christopher Cross, and Houston partner Alice Parker and Houston finance counsel Brian Hintze. Other Latham lawyers who also provided counsel included Houston partners Ryan Maierson, David Miller, Mike King and Christine Mainguy with associates Nathan Zhang, Caroline Silverstein and Lucas Migliano.

On May 22, Baltimore Gas and Electric issued $500 million of 5.15 percent notes due 2033 and $425 million of 6.05 percent notes due 2056. The utility plans to use proceeds to retire notes due this year and general corporate purposes. A Winston Taylor team led by Justin Hoffman advised the underwriters. The team included Joel Green and Bailey White in Houston with Andrew Butler and Etienne Dumas in New York.  

On May 14, Chicago electric utility Commonwealth Edison said it offered $600 million of 4.55 percent bonds due 2031 and $825 million of 5.85 percent bonds due 2056. Winston Taylor advised ComEd with a team led by Justin Hoffman that included Chicago associate Del Efimov and Houston associates Joel Green and Bailey White.

On May 12, Constellation Energy Generation announced th public offering of $750 million 4.55 percent notes due 2029, $600 million 4.8 percent notes due 2032 and $850 million of 5.3 pecent notes due 2036. Winston Taylor provided counsel to the underwriters with a team led by Justin Hoffman that included Andrew Butler, Etienne Dumas and Joel Green.

Akin advised Fort Worth oil and gas company Double Eagle Energy IV Holdings in May when it contributed of all its equity interests in DE IV Flow to Houston-based land management royalty company EagleRock during that company’s initial public offering on May 14. Akin also advised Double Eagle on its signing of a water system management deal with Double Eagle in connection with the IPO. The Akin team was led by energy practice co-head Wes Williams from DFW and energy partner Mary Lovely in Houston. Other Akin lawyers who provided counsel included Bryan Flannery, Alison Chen, Philip Reyneke and Hailey Marino from Houston with Cole Bredthauer in Fort Worth, Irina Maistrenko in Dallas and Julia Pashin, who works from Dallas and Houston. Finally, on June 2, Dallas-based Trinity Hunt registered its latest fund, Trinity Hunt Partners VIII-A LP, with the SEC. The fund is seeking $1 billion from minimum investments of $5 million. No date was set for the offering.
