CDT Roundup: A Data Center Deal Tops an Eclectic Week

The week ending July 11, the CDT Roundup saw 14 deals with a disclosed value of $5.1 billion. The week prior saw 15 deals reported worth about $8.45 billion, while at this time last year, the CDT Roundup reported on nine deals for $15.8 billion.

Most of last week’s transactions were reported without any financial terms. and the bulk of the reported values was tied up in yet another billion-dollar investment in a global network of data centers.

But while data centers and the power to run them remained a primary deal-driver, deal targets last week were global and eclectic, including: an Austin startup with a novel approach to insurance, a provider of gas and water controls, a pharmaceuticals services advisor, a power plant in Alberta, an Oklahoma helium liquefaction plant and the deSPAC merger of a Taiwan-based provider of long-term care facilities.

CPP invests $1.75B in EQT’s global data center platform EdgeConneX

Deal Description: Canada Pension Plan Investment Board said on July 3 that it will commit  $1.75 billion to support Swedish investment firm EQT’s strategy to build a global platform of data centers. CPP said the EdgeConneX platform has scaled its capacity by nearly 20x since being acquired by EQT in 2020 with plans to develop more than 10 gigawatts of additional data centers.

HCC Healthcare closes de-SPAC merger with RF Acquisition Corp.

Deal Description: HCC Healthcare said on July 9 that it closed its de-SPAC merger with RF Acquisition Corp III, in a deal that values the company at about $500 million. HCC Healthcare is a network of hospitals, clinics, pharmacies and more than 120 long-term care institutions in Taiwan. The company plans to list its shares on Nasdaq under the symbol “RFAM.” RF III netted $100 million from its IPO on February 26.

Enverus acquires North American well data products unit from TGS for $115M

Deal Description: Norwegian energy data and intelligence firm TGS said on July 8 that it sold its North American well data products business to private Austin-based Enverus for $100 million with an additional $15 million earn-out provision. TGS said it retains a license to use North American well log library for internal purposes, allowing for the continued enhancement of its seismic data products. Enverus said the acquisition “expands the subsurface foundation of [its] energy intelligence platform and creates a faster path from interpretation to decision.” Enverus, which was acquired by Blackstone in Aug. 2025, expects the merger to help customers “reduce data preparation, improve cross-functional alignment and move more quickly from understanding the rock to understanding the return.”

Helix Exploration buys helium purification, liquefaction plant in Oklahoma for $11M

Deal Description: Helix Exploration said on July 2 that has acquired the Keyes helium purification and liquefaction facility in Oklahoma from Badger Midstream Energy for $11 million. The London-based helium producer, which operates mostly in Montana, also announced an equity offering of about $21.4 million in common shares for institutional investors with a retail offer of $2.1 million, as well. Helix Exploration plans to use proceeds from the offerings to fund the acquisition and increase drilling with four new wells.

Austin insurtech startup Adaptive Insurance gets $5M

Deal Description: Austin startup Adaptive Insurance said on July 7 that it closed another $5 million in financing from new investors IAG Firemark Ventures, Sunna Ventures, Room & Pillar and Connecticut Innovations, as well as existing investors Congruent Ventures, Seraphim Space and private stakeholders. The managed general agent and insurtech company now has raised $10 million. In 2025, Adaptive launched GridProtect, a type of “parametric insurance for short-duration power outages that triggers predefined payouts based on verified outages using real-time third-party data.” The company said it is building AI-driven specialty insurance and technology to make products “designed to address the growing risks related to climate and weather events.”

Unity Partners invests in Cleveland advisory services company

Deal Description: Dallas private equity firm Unity Partners said on July 7 that it invested in Cleveland-based advisory services company Meaden & Moore Advisors. Terms weren’t disclosed. Unity Partners said Meaden & Moore has 15 offices across North America and Europe and provides forensic services to the insurance and legal industries and accounting services to small and mid-sized companies.

Morgan Stanley acquires 47.5% of gas-fired power plant in Alberta

Deal Description: Morgan Stanley Infrastructure Partners said on July 6 that it has acquired 47.5 percent of Greenlight Electricity Centre, a 932-megawatt gas-fired combined cycle power generation project in Alberta, Canada. MSIP acquired the stake in Greenlight from OPTrust, the majority stakeholder in Calgary-based Kineticor Asset Management. The private infrastructure investment platform said Calgary-based Pembina Pipeline also acquired 47.5 percent while Kineticor retains the remaining 5 percent. Financial terms weren’t disclosed, but the $4.6 billion Greenlight project is expected to begin supplying electricity to meet AI and data center growth in the second half of 2030.

Deal Description: CohnReznick said on July 6 that it acquired Houston-based accounting and consulting firm Ham, Langston & Brezina. Terms weren’t disclosed. The New York accounting and business advisory firm said HL&B’s local expertise establishes an important expansion in Texas for the company. CohnReznick also said in the past year it has opened offices in Minneapolis; San Francisco; Tampa; Denver; Tallahassee, Florida; and Richmond, Virginia.

Energy Transfer offers $1.75B in notes

Deal Description: Dallas-based Energy Transfer announced the pricing July 6 of two tranches of junior subordinated notes in an “A” offering of $650 million of notes due in 2057 and another “B” issue of $1.1 billion of junior subordinated notes also due in 2057. The A notes were offered at 6.55 percent and the B notes at 6.700 per cent. Both were priced at 100 percent of face value.

Sable Offshore sells $460M in shares, notes

Deal Description: Sable Offshore announced on July 1 the pricing of a public offering of about 37.3 million common shares at $3.08 each, netting about $115 million, and an offering of $345 million of 6.5 percent notes due 2031. The Houston oil and gas company plans to use proceeds to repay a term loan with ExxonMobil and for general corporate purposes. In late June, Sable also secured a $500 million credit facility and a senior term loan of $675 million.

Garda World Security closes $200M private offering, ups term loan by $300M

Deal Description: Garda World Security Corp. said on July 6 that it closed a private offering of $200 million 8.25 percent notes due 2032. The private Montreal-based security services and cash management company said it also increased a term loan due 2029 by about $300 million. Garda World plans to use proceeds for general corporate purposes and to repay a revolving credit facility.

Late Arrivals and Other Matters …

On July 8, Private Denver energy investment firm Avant Natural Resources said that it closed its third fund with more than $1 billion in commitments from legacy investors and new institutional investors. Avant plans to deploy the fund on upstream assets and related infrastructure projects in the Permian Basin. Avant said the Fund II investments already include 40,000 acres in New Mexico, production from more than 20 company-drilled horizontal wells and exposure to greenfield natural gas and water infrastructure projects. Avant Natural Resources was founded in 2019 by Jacob Nagy, a former energy investment banker at Petrie Partners, and Skyler Gary, a former landman at Hat Creek Energy. Kirkland & Ellis advised Avant with a team led by Matt Nadworny, who has an office in Houston and Dallas. Other Texas lawyers who provided counsel include Ivey Eugene in Houston, John Kaercher in Austin, and Steve Butler, who has an office on Austin and Houston. Kirkland partners Lily Rasel in Los Angeles, Nicholas Hemmingsen in Chicagoand Mac Laban in Washington, D.C., also advised.

On June 29, Cotton Patch Café, the comfort food restaurant founded in the East Texas town of Nacogdoches in 1989, announced that it has been acquired by Dallas-based Local Favorite Restaurants. Terms weren’t disclosed. Local Favorite was founded by restaurateur Mike Karns, who also has a hand in El Fenix Mexican Restaurant, Snuffer’s Restaurant & Bar, Meso Maya, Taqueria La Ventana, Wok Star Chinese, Twisted Root Burger, Campuzano Mexican Food and Village Burger Bar. Cotton Patch Café was a portfolio company of Palo Alto, California-based private equity firm Altamont Capital Partners. Cleveland-based Benesch, Friedlander, Coplan & Aronoff served as advisor to Cotton Patch Café and the sponsor. Local Favorite Restaurants, which turned to Plano-based FBFK Law as its outside legal counsel, now owns 99 restaurants in Texas.

On June 24, Round Rock-based RRC Companies announced a majority investment from New Mountain Capital. Terms weren’t disclosed. RRC, which specializes in utility-scale renewables power generation and battery storage, also named New Mountain senior advisor Dr. Hisham Mahmoud as chairman. Simpson Thacher & Bartlett  advised New Mountain. Haynes Boones provided counsel to RRC, which used Texas Capital Securities as financial advisor. The Haynes Boone team was led by John McGowan in Dallas, with support from Lauren White (Dallas), Raquel Alvarenga (Dallas/Houston/New York), Don Shiman (New York), Eli Brook (Dallas) and Ryan Middleton (Dallas). Texas Capital Securities served as financial advisor to RRC.
