CDT Roundup: Every Week is a Power Up

For the week ended July 25, the CDT Roundup saw 16 transactions valued at about $10.7 billion. The week prior had 14 deals with a value of nearly $9 billion and a year ago at this time, the Roundup reported on 15 deals worth almost $3.2 billion.

As in most weeks of late, the deals reflect the ongoing data center scramble for power at every level, from upstream to downstream generation to renewables and storage and to the mining of metals that move or store it all.

Houston oil and gas companies acquired acreage in South Texas, West Texas and New Mexico; a mining firm bought out an Alaska gold mine; a few data center deals fetched enterprise and pro forma values in the billions; and two Dallas-based litigation technology firms were acquired.

Our miscellaneous section includes a new shipyard in Brownsville that will build autonomous military vessels, and a second that spotlights an OpenAI power deal in Georgia.

Magnolia acquires WildFire in $4.1B South Texas oil and gas deal

Deal Description: Magnolia Oil & Gas said on July 20 that it has acquired WildFire Energy. Kirkland & Ellis and Troutman Pepper Locke advised the parties in an all-stock transaction, that adds 1.25 million acres in South Texas for Houston-based Magnolia Oil & Gas. Matador Resources acquires more acreage in West Texas, New Mexico from EnCap

Deal Description: Dallas-based Matador Resources said on July 23 that it has acquired more undeveloped acreage in the Woodford shale play in West Texas and Southeast New Mexico from Encap portfolio companies for about $1.275 billion. MN8 Holdings acquires renewable energy company Greenbacker for $375 million

Deal Description: MN8 Energy Holdings announced on July 22 that it has acquired renewable energy company Greenbacker for about $375 million. Greenbacker, which is headquartered in New York, with offices in Vermont, Maine and Colorado, owns and manages about 1.9 gigawatts of solar, wind and battery storage assets across 22 states. MN8 owns and operates energy assets with its headquarters in New York and offices in South Florida, Dallas and Madrid. The company said it will pay $350 million with another $25 million contingent on certain milestones. The companies said the deal “brings together power providers with the scale and expertise to deliver the capacity and infrastructure” needed to support the surge in power demand driven by AI and data centers. The combined company will have more than 6 GW of capacity across 33 states.

Apex Treasury de-SPACs with $4.2B pro forma value, $35M PIPE financing

Deal Description: Apex Treasury Corp. said on July 22 that it closed its de-SPAC merger with TECfusions, a Florida-based data centers builder. The deal values TECfusions at a “pre-money equity value of $4 billion and implies a pro forma enterprise value of approximately $4.2 billion.” The deal includes $35 million in PIPE financing, and the new entity will trade on Nasdaq under the symbol “TECF.”

Silver Hill Energy Partners V closes $1.28B

On July 16, Silver Hill Energy Partners said it closed its fifth partnership and third institutional private equity fund, Silver Hill Energy Partners V with capital commitments of nearly $1.28 billion from a group of institutional investors. The private Dallas-based oil and gas company said this fund “represents a continuation of the company’s founding focus on the direct ownership, operation and control of onshore oil, natural gas and related infrastructure assets in premier basins across the U.S.”

NOVAGOLD acquires remaining 40% of Alaskan gold mine company

Deal Description: Canadian mining company NOVAGOLD said on July 22 that it has acquired the 40 percent of Donlin Gold it didn’t already own from Paulson Advisers. Under terms of the agreement, the Donlin Gold would be merged into NOVAGOLD with Paulson partners owning about 35 percent of the company’s fully diluted shares. Electrum Strategic Resources, NOVAGOLD directors and Paulson senior officers owned about 28 percent of NOVAGOLD and voted in favor of the transaction. The companies said the combined gold developer has an equity value of about $4.2 billion, valuing the transaction itself at about $1.4 billion. The Donlin gold mine in southwest Alaska, about 280 miles northwest of Anchorage, is projected to produce more than 1 million ounces of gold annually over the 27-year expected mine life.

Vitol sells U.S. upstream unit to Verde Operating Co.

Deal Description: Vitol Inc., the Houston-based American arm of Dutch-Swiss energy and commodity trading giant Vitol Group, announced on July 24 that it has sold its U.S. upstream company, VTX Energy Partners, to Houston oil and gas company Verde Operating Co. Brookfield acquires Austin battery storage company Aypa Power from Blackstone

Deal Description: Global investment firm Brookfield said on July 22 that it has acquired Austin battery storage company Aypa Power from Blackstone Energy Transition Partners. Terms weren’t disclosed. The companies said the deal has an enterprise value of $7 billion or an equity value of $3 billion. Founded in 2017, Aypa operates 35 energy storage and hybrid renewable energy projects across North America with a development pipeline of more than 20 gigawatts.

Super-Sod acquires Alabama steel landscape edging maker

Deal Description: Super-Sod, a portfolio company of Dallas middle market private equity firm Kainos Capital, said on July 20 that it acquired Edge Right, a Berry, Alabama, manufacturer of steel landscape edging and outdoor landscape products. Deal Description: California financial advisory and valuation firm GA Group said on July 23 that it has acquired Trampe Settles, a Dallas-based forensic accounting and litigation support practice. Terms weren’t disclosed. GA Group, which is backed by Oaktree Capital Management, said Trampe Settles focuses “on providing expert witness services in disputes involving the valuation of closely held businesses, private equity interests, and other complex financial assets in the context of marital dissolution.”

Greenbelt Capital invests in New Jersey electrical services company

Deal Description: Austin private equity firm Greenbelt Capital said on July 20 that it made a majority investment in Bowe & Gant Electrical Services, a Sewell, New Jersey, company that provides electrical and energy infrastructure services across the Northeast. Terms weren’t disclosed. Vinny Bowe and Gabe Gant co-founded the company in 2014. They will retain a significant stake and continue to lead the company, which serves data centers, utilities, renewables and general industrial clients through long-standing partnerships with IBEW locals across New Jersey and Pennsylvania.

Deal Description: Canadian energy company Saturn Oil & Gas said on July 21 that it priced a private placement of $575 million of 8.5 percent notes due 2031 and about $131.2 million of 7.5 percent notes due 2031. On June 8, Dallas lower middle market private equity firm Sky Island Capital said it has made an investment in Bulk Conveyors, a Wichita, Kansas, manufacturer of chain conveyors, enclosed belt conveyors, bucket elevators, and aftermarket spare parts. Terms weren’t disclosed. Sky Island Capital used Jones Day as it outside legal counsel led by Kaitlinn Sliter in Chicago.

On July 6, Dallas midstream giant Energy Transfer said it priced $650 million of 6.55 percent notes due 2057 and $1.1 billion of 6.7 percent notes due 2057. The company plans to use proceeds to repay debt. Citigroup, JPMorgan Securities, PNC Capital Markets, TD Securities and Truist Securities acted as joint book-running managers and were advised by Hunton Andrews Kurth. On July 16, Austin-based military shipbuilder Saronic said that it will build a shipyard in Brownsville. Construction of the Port Alpha shipyard is expected to begin this year, and the company said the manufacturing facility will be operational in 2028. Saronic said it plans to build autonomous maritime vessels up to 850 feetin length with plans to expand to support production of vessels over 1,200 feet. Saronic said the site provides hundreds of acres of waterfront access, deepwater channel connectivity, multimodal logistics infrastructure and room for long-term expansion. Terms weren’t disclosed, although OpenAI said it “will pay the full cost of the infrastructure and electric-service costs required to serve it,” and that “costs cannot be passed on to existing ratepayers.” The artificial intelligence company plans to use a closed-loop water system at its Project Camellia data center in Effingham County and Southeast Georgia that will “proactively reduce its power consumption before residential customers are impacted during periods of high demand.” OpenAI’s first data center campus, which is in Abilene, began operating in the fall of 2025. Vinson & Elkins advised Georgia Power with a team led by Kaam Sahely in Austin and Jackson O’Maley in Houston.
