CDT Roundup: M&A Moves Ever-So-Slightly Outside the Data Center Orbit

The week ending Aug. 1, saw 14 deals with $22 billion in reported value. There were 16 deals last week, but for half that amount: $10.7 billion. And this time last year, the CDT Roundup saw 17 deals for $19 billion.

As usual, a $14 billion data center deal in El Paso leads the pack alongside an abundance of M&A transactions with potential data center spin: a $2.2 billion Permian upstream stock swap, a deSPAC merger by a critical metals recycler, a $40 million fund raise by a Plano AI startup, a developer of hard- and software for data pipeline management, a hot-dip galvanizer used in cabling infrastructure, an energy wholesaler and the sale of a couple of industrial maintenance, repair and operations providers.

That said, there were also deals touched by Texas lawyers that lay outside that data center orbit. A biosciences lab that recently announced movement toward treatments for autoimmune diseases sold for $2.2 billion. An automobile mega-dealership in Houston added even more dealerships to its cross-border empire. And a global conglomerate sold a fleet of electric buses in South America.

Deal Description: BlackRock, the world’s largest asset manager, and Meta announced on July 28 a deal to build a 1-gigawatt data center in El Paso. argenx acquires Dallas-based Forte Biosciences for $2.2B

Deal Description: Dutch immunology company argenx said on July 27 that it has acquired Dallas-based Forte Biosciences for $77 a share cash. argenx said the offer represents a total equity value of about $2.2 billion and represents a premium of about 86 percent to Forte Biosciences’ average trading price since July 9, when it announced positive clinical trials for its lead program that is an antibody to treat vitiligo and celiac disease with potential to address multiple autoimmune diseases.

Permian Basin Royalty Trust, SoftVest merge in $2.2B stock swap

Deal Description: Permian Basin Royalty Trust unitholder SoftVest said on July 28 that it has agreed to merge with Blackbeard Holdings in a stock swap. Abilene-based investment firm SoftVest said the transaction that combines the Trust with oil and natural gas mineral interests and land operations owned by Blackbeard is valued at about $2.2 billion. Fort Worth-based energy investment firm Blackbeard agreed to will contribute 80,000 royalty acres and 68,000 surface acres to the combined company. The Trust’s Waddell Ranch assets in the Permian Basin will be converted into a royalty interest, representing 31,000 royalty acres, to new entity. The Trust’s existing unitholders will own about 59 percent of the combined company, and Blackbeard will own the other 41 percent.

Group 1 Automotive acquires Atlanta-area dealerships from Hennessy Automobile Cos. for $1.3B

Deal Description: Group 1 Automotive said on July 30 that it has acquired Hennessy Automobile Cos. in a deal valued at about $1.3 billion, further expanding its presence in Atlanta. Houston-based Group 1, which owns and operates 251 dealerships, 312 franchises and 32 collision centers in the U.S. and U.K., said the deal includes 10 dealerships with a brand portfolio of Lexus, Jaguar/Land Rover and Porsche. Expand Energy buys Houston energy marketing firm Twin Eagle for $1.25B

Deal Description: Spring-based natural gas company Expand Energy said Monday that it has acquired Houston wholesale energy marketing company Twin Eagle Holdings for $1.25 billion from private equity firm Five Point Infrastructure. Nth Cycle goes public via $330M deSPAC merger with Kensington Capital Acquisition Corp

Deal Description: Nth Cycle, a Massachusetts a pure-play refiner of critical minerals announced on July 22, its plan to merge with Kensington Capital Acquisition VI, a blank check company traded on the New York Stock Exchange. The combined company will be traded under the name Nth Cycle Holdings with the Ticker Symbol “NTH.” The company says its OYSTER system converts the rare earth elements, copper and battery metals found in mined and recycled materials into industrial-grade inputs for some of the world’s most strategic industries. Transaction proceeds are said include approximately $230 million in proceeds from the KCA VI IPO in March, along with a $100 million PIPE, with $40 million said to come from new investors.

Plano startup DataBahn gets $40M Series B funding

Deal Description: Plano-based DataBahn said on July 30 that it received $40 million in Series B funding led by Insight Partners, with participation from existing investors Forgepoint, GTM Capital and S3 Ventures. DataBahn said it has now raised $59 million since its founding in 2023 and this round “comes as enterprises face a fundamental shift in how their data is consumed.” DataBahn said its platform “ingests, normalizes, enriches, governs, and routes” telemetry – which is a process of collecting data remotely – from more than 600 sources with complete data and AI neutrality. 

Trinity Hunt Partners forms aftermarket maintenance, repair and operations platform

Deal Description: Dallas private equity firm Trinity Hunt Partners announced on July 30 that it has formed Steadpoint Industrial Services, an industrial aftermarket maintenance, repair and operations platform. Financial terms weren’t disclosed. Trinity Hunt Partners said Northline Industrial, a 20-year-old Michigan aftermarket MRO provider, anchors the platform as Steadpoint’s foundational investment. Northline operates in Michigan, Indiana and North Carolina, and Trinity Hunt Partners plans to the platform through partnerships with industrial MRO service companies across the United States.

Blackstone acquires DarkVision Technologies

Deal Description: Blackstone, the world’s largest alternative asset manager, said on July 30 that its Blackstone Energy Transition Partners has acquired DarkVision Technologies from a unit of private conglomerate Koch Inc. Blackstone said DarkVision, founded in 2013 in Vancouver, British Columbia, develops imaging sensors and silicon chips, defect-quantifying AI models and rendering software “used to transform petabytes of ultrasound data into photorealistic 3D visuals.”

Deal Description: Fort Worth galvanizing and coil coating provider AZZ Inc. said on July 30 that it has acquired Seattle Galvanizing Co., a private hot-dip and spin galvanizing company founded in Arlington, Washington, in 1962. Innoviz Tech sells 66.7M shares for about $30M

On June 10, Toronto event commerce platform AudienceView said it acquired Saffire, a Portland, Oregon-based technology company serving the live-events ecosystem, primarily fairs, festivals, rodeos, attractions and destination venues. Terms weren’t disclosed. AudienceView, which is a portfolio company of Colorado private equity firm Rubicon Technology Partners, said Saffire provides ticketing, cashless wristband technology, on-site kiosks and event-day support services. AudienceView said it serves more than 2,400 venues processing over $3 billion in annual transaction volume. Statesman Corporate Finance served as the exclusive financial advisor to Saffire, and Porter Hedges provided legal counsel, led by Adam Nally in Houston with Geoff Schultz and Rachel Bielamowicz. On July 16, investment firms Industrial Development Funding and Oaktree said that they have invested $1.7 billion in Bloom Energy, a Silicon Valley fuel cell technology company, for the build-out of its AI cloud infrastructure. The firms said MUFG Bank provided the senior debt financing. On July 27, private equity firm Capitol Meridian Partners said it invested in Ohio-based aviation support equipment and services company RH Aero Systems. On July 28, Ashland Inc., which provides additives and specialty chemicals to the  architectural coatings, construction, energy, food and beverage, personal care and pharmaceutical industries, named  Peter Thomas and Allen Spizzo as independent members of its board. The Wilmington, Delaware, company also formed a capital allocation advisory committee as part an agreement with Ancora Holdings Group, an activist investor that wants the company to find a buyer. On July 29, German energy company Uniper and Canadian natural gas company Ksi Lisims announced a long-term liquefied natural gas deal with Uniper agreeing to purchase 2 million tonnes per annum of LNG equal to about 30 terawatt-hours annually for up to 20 years beginning in 2032. Financial terms weren’t disclosed. The companies said Ksi Lisims, which is a unit of Houston-based Western LNG, plans to use hydroelectricity to power the liquefaction process that is “expected to produce LNG with a 90 percent lower carbon intensity than conventional LNG facilities” by using renewable electricity from British Columbia’s hydroelectric system. Baker Botts advised Western LNG and Ksi Lisims with a team that included David Jetter (Houston), Nic Kennedy (London), Abby Kite (Houston) and Jon Lobb (Houston).

On July 29, Austin digital infrastructure and bitcoin mining company Ionic Digital announced that its shares began trading on Nasdaq as the result of a direct listing after existing shareholders offered 10.8 million common shares. Ericksen in Houston, Daniel Nussen in Los Angeles and Gregory Pesce in Chicago.  In June, The CDT Roundup reported that Ionic Digital raised $400 million on a $2 billion valuation. A Reuters article said Ionic Digital is the largest direct listing in five years. The White & Case team included Alexandra Santana in Houston, and Thomas Christopher, Robin Melman, Michael Stern, Russell Deutsch and Natasha Dusaj in New York. Ionic Digital, which assumed the bitcoin operations of collapsed cryptocurrency lender Celsius,  operates several large-scale data centers across Texas. JPMorgan Securities served as financial advisor to Ionic Digital, while Jefferies and BTIG also provided financial counsel.

On July 30, London-based AI infrastructure hyperscaler Nscale said it has acquired San Francisco-based Anyscale. Terms weren’t disclosed. Nscale said Anyscale’s platform enables Python developers to build and run all their AI workloads such as data processing, training, inference and reinforcement learning across thousands of GPUs.  Latham & Watkins served as legal counsel to Nscale with a team that included Robert Brown (Austin), Stu Cobb (Houston) and Jack Bergantino (Austin).
