CDT Roundup: The CapM Drought is Over. Barely

The CDT Roundup saw its first capital markets transaction in three weeks with a half-billion dollar notes offering from a Denver midstream oil and gas company. Still, the overall tally for the week ended Sept. 12 was an extremely light six deals at a combined reported value of just $3.28 billion.

Last week saw 12 M&A transactions valued at just under $17 billion. And this time last year we were seeing 20 deals valued at more than $26 billion, and a dozen were M&A transactions.

On the M&A side, this week’s mix includes the sale of: a major midstream’s crude oil business; a provider of flow controls data center cooling; a workforce management system and a weather safety platform.

That doesn’t include three transactions that don’t fit our two major categories: a $1.9 billion federal loan to restart an Iowa nuclear plant, the close of a $1.9 billion investment fund and a $1.6 billion non-Texas transaction by a Texas-based real estate giant we felt obliged to find a place for.

Enbridge acquires Tallgrass Energy crude oil business for $2.55B

Deal Description: Canadian energy infrastructure pipeline company Enbridge said on Sept. 9 that it has acquired the crude oil business of Tallgrass Energy for $2.55 billion cash. Sidley, Sullivan & Cromwell and V&E advised on the deal. Click here to see the lawyers involved.

Austin-based TAR raises $120M

Deal Description: Austin-based TAR (Transformative American Resources), a start-up designer and developer of modular microgrid operations for data center development announced, Sept. 10, a $120 million fund raise led by Spark Capital. The release claims a post-money $1B valuation of the company. The company says it provides scalable solar and utility-scale battery systems designed in San Francisco and built in West Texas. Neither location has been made publicly available, nor have clients been identified. TAR claims a unique approach to microgrid development by “verticalizing the entire chain. TAR handles the full process from site selection to detailed engineering and design plans, procurement, logistics, civil works and construction, and full commissioning and ongoing operation. Doing so allows TAR to operate at an unprecedented pace by avoiding coordination across a wide range of slow-moving third parties.” Other backers include Align Fund and Buckley Ventures. The venture is founded by Patrice Becker and Leonhard Soenke, two founders of Throne.com, a wish-list gifting platform.

Perry Weather gets $110M to grow its weather safety platform

Deal Description: Dallas-based weather safety company Perry Weather said on Sept. 9 that it received $110 million led by Boston private equity firm Silversmith Capital Partners with Arthur Ventures, which led prior rounds of funding for the company. Perry Weather said more than 3,000 organizations – school districts, cities, construction firms, manufacturers, professional sports leagues – use the company’s weather platform “to protect their people and operations from severe weather and extreme heat.” Perry Weather plans to use the investment to leverage AI and its proprietary dataset “to enrich regional and national forecast models that sharpen hyperlocal forecasts and always-on operational software so teams see weather coming sooner. AI sits at the heart of anticipating needs proactively whether curating insights on weather disruption or ensuring world-class fleet connectivity so critical hardware systems stay connected day and night.

Blackstone acquires Flow Control Holdings from Audax

Deal Description: Blackstone, the world’s largest alternative asset manager, said on Sept. 10  have entered into a definitive agreement to acquire Flow Control Holdings from Audax Private Equity, which will retain a minority stake. Terms weren’t disclosed. The Cincinnati-based company provides flow control services and components for the data center liquid cooling, food, beverage, and pharmaceutical markets. Blackstone said the company’s components are used by original equipment manufacturers and hyperscalers for coolant distribution units, in-row manifolds and secondary fluid networks.

Thoma Bravo invests in Australian workforce management platform

Deal Description: Software-focused investment firm Thoma Bravo said on Sept. 8 that it has invested in Tanda, a workforce management, payroll and HR platform for shift-based workers. Terms weren’t disclosed. Chicago-based Thoma Bravo said its investment will support the Australian company’s expansion into new markets. Jake Phillpot will remain CEO and Tanda co-founders will remain significant shareholders. Tanda serves about 8,000 businesses in hospitality, retail, quick-service restaurants, healthcare and other industries.

BKV Corp. prices $500M notes in private offering

Deal Description: BKV Corp. announced on Sept. 9 the pricing of $500 million of 1.625 percent senior notes due 2031 in a private offering. The Denver midstream oil and gas company said the offering was upsized from $400 million, and BKV granted initial purchasers an option to acquire another $75 million of the notes. BKV plans to use proceeds to pay down debt, fund capped call transactions and repurchase $35 million in common shares.

NextEra Energy said on Sept. 8 that it received a loan from the U.S. Department of Energy for up to $1.9 billion to restart the company’s 615-megawatt nuclear facility in Linn County, Iowa. In October, the Juno Beach, Florida-based electric power and energy infrastructure company said it plans to restart the Duane Arnold Energy Center, which is Iowa’s only nuclear plant, by the end of the first quarter of 2029, pending regulatory approvals. The center provided energy for four decades before closing in 2020. Vinson & Elkins advised NextEra with a national team led by Eamon Nolan and Leila Ravi in New York. EIG, a Washington, D.C.-based energy and infrastructure investor, said on Sept. 9 that it closed its EIG Senior Infrastructure Debt Fund VI at $1.9 billion, reflecting “strong demand from investors seeking customized and evergreen exposure to senior infrastructure debt.” EIG said the fund has committed about $1 billion since launching in July 2024 across 16 investments. The firm said it plans to use the fund to make investments across power generation, renewable energy, energy transition infrastructure, midstream and other critical infrastructure in the U.S. and Europe. Kirkland & Ellis advised EIG with a team that included Laura Stake (Austin), Matt Nadworny (Houston/Dallas), Erin Lachaal (Austin), Stephen Butler (Austin/Houston) and Brandon Short (Boston).

CBRE Investment Management, the New York-based investment subsidiary of CBRE, announced, Sept. 8, its $1.6 billion acquisition of Tenet Equity, a net lease platform, from Cerberus Capital. CBRE Investment is a subsidiary of real estate giant CBRE, headquartered in Dallas. Cerberus was advised from New York and Chicago by Kirkland & Ellis.
