With all the talk about the “energy transition,” there hasn’t been much chatter about hydraulic fracturing, or fracking, the technique in which operators crack open tight spaces within the earth, inject water and chemicals under high pressure and, as a result, are able to pump a lot more oil and gas out of the ground.

Is there still fracking going on in this age where renewables and ESG are common buzzwords? Why yes, experts say. There is a widely quoted statistic going around that all U.S. onshore wells are 90% fracked.

Hydraulic fracturing has been around for more than 50 years, but historically many wells were only lightly fracked because the reservoirs did not need much stimulation, reminds Raoul LeBlanc, vice president for North American unconventionals at business analytics provider IHS Markit in Houston.

“It is only in the last 10 years, when we have begun to develop reservoirs with very, very low permeability that massive hydraulic fracturing was necessary to create the fractures so that the oil and gas in the rock could go toward the wellbore and up to the surface,” LeBlanc said.

For onshore assets at least, hydraulic fracturing of new wells is nearly universal today, says LeBlanc, and he expects about 15,000 wells to be drilled in 2022, up from about 12,000 this year, “and basically all of them will be fracked.”

Low oil and gas prices mean less drilling — and less hydraulic fracturing. Take, for example, the beginning of last year’s Covid pandemic, when there were 8,306 horizontal U.S. land wells fracked, a drop of almost 42%, according to Rystad Energy, an independent energy research and consulting firm. 

With the increase in oil prices this year, Rystad expects a nearly 26% jump at year-end to 10,450 fracked wells and a 42% rise in five years to 11,821. The firm estimates that there are currently more than 500 rigs and around 220 frack fleets working in the U.S. to develop unconventional/shale assets.

Environmental concerns have not been lost on U.S. oil and gas companies. Fracking has become cleaner over the years as firms have figured out better chemicals to use, LeBlanc says. But the biggest impact of widespread hydraulic fracturing is not the chemicals but the amount of fresh water pumped down into the well.

“The majority of it is recovered, but it has chemicals both from the frack job and also from the natural subsurface,” LeBlanc says. “The big advancement here is in water recycling. Many of the leading companies recycle this water to avoid using more natural freshwater.”

Last week (ending December 11) there were 16 deals reported and valued at just over $5 billion — creating billable work for 109 Texas lawyers at 10 different firms. Of those, there were 13 M&A transactions with a reported value of $1.4 billion along with three capital markets deals worth $3.6 billion.

Nine of the 13 M&A deals were for undisclosed terms, so we’ll be judgment free about what that means for the week; but for the record, last week we reported 14 deals for $2.3 billion. This time last year we were reporting 10 deals for $7.2 billion.

Icelandic Biofirm Alvotech to merge in $450M de-SPAC transaction

Deal Description: Alvotech, an Icelandic developer and manufacturer of biosimilar pharmaceuticals, announced Dec. 7 that it has agreed to merge with blank check Oaktree Acquisition Corp. II for $450 million. The proceeds include $250 million from Oaktree’s IPO trust, as well as $150 million in PIPE funding and a commitment for an additional $50 million from Alvotech’s existing shareholders. At closing, expected in early 2022, Alvotech’s existing shareholders will own approximately 80% of the combined companies.

Grove Collaborative to Become Public via transaction with Virgin Group Acquisition Corp. II

Deal Description: Household and personal care provider Grove Collaborative announced Dec. 8 it was merging with blank check company Virgin Group Acquisition Corp. II, becoming a public company. The acquiring entity is sponsored by the Virgin Group. Upon closing, the combined company will continue to operate under the Grove name and will be listed on the NYSE under the new “GROV” ticker symbol. The combination will be led by Stuart Landesberg, Grove’s co-founder and CEO. The transaction will provide up to $435 million in net proceeds to the company, including an $87 million fully committed common stock PIPE at $10 per share from an affiliate of the sponsor of VGII and new and existing Grove investors led by Lone Pine Capital, Sculptor Capital Management, General Atlantic and Paul Polman; and $348 million in proceeds from VGII’s trust account net of estimated transaction expenses.

Grove shareholders are expected to own 72% of the combined company, VGII’s sponsor is expected to hold 3%, the PIPE investors are expected to own 4% and public stockholders are expected to hold 21%. Grove claims to be the largest independent home and personal care brand focused on health and sustainability with 1.5 million active customers through its direct platform and millions of units of products sold at physical retail stores, including Target. Already plastic- and carbon-neutral certified, the company aims to become 100% plastic free by 2025.

Elysian Carbon secures initial $350M from EnCap Flatrock

Deal Description: Elysian Carbon Management said Dec. 6 it has secured an initial capital commitment of $350 million from EnCap Flatrock Midstream. Elysian provides integrated end-to-end carbon capture and storage solutions to owners of industrial and power facilities seeking to transition to low carbon products and address environmental, social and governance goals through the reduction of emissions. Elysian is headed by CEO Bret Logue.

Corcentric combines with North Mountain in $182M de-SPAC merger

Deal Description: Business accounts platform Corcentric announced Dec. 10 that it has agreed to combine with North Mountain Merger Corp., a SPAC. The combined company, Corcentric Inc., will be publicly traded. The transaction includes $132 million from North Mountain’s IPO trust along with $50 million in PIPE investments. Shareholders of Corcentric will own 81% of the combined company.

Yokogawa Electric acquires PXiSE Energy Solutions

Deal Description: Japan’s Yokogawa Electric Corp. announced Dec. 1 it had acquired all of the outstanding shares of PXiSE Energy Solutions, a San Diego-based software developer. Terms were not disclosed. Through this acquisition, Yokogawa will build on its capabilities in the monitoring and control of power generation facilities and assist customers in the power transmission and distribution sectors to meet their clean energy goals.

Yokogawa’s Outside Counsel: Locke Lord led by partner Jennie Simmons and associate Shannon Schroeder of Houston with assistance by Ed Razim, Emily Travis, Brandon Lobb, Buddy Sanders, Steve Boyd and Jeff McPhaul, also of Houston. Notes: LL’s Simmons was named partner in January 2021 and has represented clients in a wide range of transaction valuations from $5 million to $2 billion. Her clients have included NextEra Energy Partners, White Deer Energy, AMP Americas and Global Energy Capital.

Pickering Energy funds Merge Electric Fleet Solutions

Deal Description: Houston-based Merge Electric Fleet Solutions announced Dec. 7 the close of a series A funding round led by strategic investor Pickering Energy Partners, also of Houston. Terms were not disclosed. Merge will use the funding to accelerate team expansion and broaden its electrification services offerings to additional fleet segments. Merge supports fleets through the lifecycle of EV transition including planning, deployment, operations and financial services. Fleet electrification is the country’s most efficient and cost-effective path to transportation emissions reduction, CEO Glen Stancil said in the release.

Pickering’s Outside Counsel: Latham & Watkins led by Houston partner James Garrett with Houston associates Ashley Nguyen and John Daywalt. Advice was also provided on tax matters by Houston partner Jim Cole with Houston associate Mike Rowe.

Valaris announces Fredriksen affiliate accumulates 5% of shares

Deal Description: Bermuda-based Valaris Ltd. announced Dec. 9 that Famatown Finance Ltd., a company indirectly controlled by trusts settled by billionaire shipping mogul John Fredriksen and a member of the Seatankers Group, has accumulated through open market transactions about 5% of the common shares of Valaris. Terms weren’t disclosed.

Valaris CEO Anton Dibowitz said in a statement that the company welcomes the interest and investment from the Seatankers Group, which has extensive offshore drilling knowledge and experience. Valaris entered into a support agreement with Famatown, granting board observer rights to a Famatown designee with the potential to designate a member to the Valaris board should Famatown increase its ownership of Valaris shares in an amount that the board “deems sufficient.” The Seatankers Group expressed its determination to be a long-term shareholder.

Youth to the People acquired by L’Oreal

Deal Description: Youth to the People, a Los Angeles-based cosmetics firm that specializes in skincare formulas from superfood extracts, has agreed to be acquired by cosmetics giant L’Oréal. Terms of the deal were not disclosed. The company has been supported by Sandridge Capital, Strand Equity and Carisa Janes.

J.F. Lehman Acquires Narda-MITEQ

Deal Description: J.F. Lehman announced Dec. 7 that it is acquiring Narda-MITEQ, a New York-based defense manufacturer that specializes in custom radio frequency and microwave subsystems, from L3Harris Technologies. Terms of the deal were undisclosed. Lehman, based in New York City, is a mid-market private equity firm that specializes in the aerospace and defense market, among other sectors. Narda-MITEQ has facilities in Hauppauge, NY, Pfullingen, Germany and Cisano, Italy.

Dallas-based PE fund sells good2grow to Wind Point

Deal Description: Kainos Capital, a self-described food and consumer-based private equity firm announced December 8 that is has sold its branded kids’ beverage company good2grow to Wind Point Partners. Kainos has partnered with the Atlanta-headquartered fruit juice and organic flavored milk brand since 2018. Terms of the deal were undisclosed.

Gunnar Olson, CEO of good2grow, continued, “We chose to partner with the Kainos team in 2018 with the belief that their sector knowledge and network of relationships – in particular in the c-store channel – would be invaluable, and this proved to be true.”

Kainos Outside Counsel: Weil Dallas partner David Gail advised Kainos on the transaction.

Notes: Kainos has long been a client of Gail’s, who hand such deals as the Kainos acquisition of Olde Thompson and the acquisition of NORPAC foods by Kainos portfolio company Kettle Cuisine. Gail, a Princeton grad, joined Weil straight out of SMU’s Dedman Law School.

Clinigence Holdings and NuTex Health combine in all-stock transactin

Deal Description: Houston-based NuTex Health, which owns and operates 19 “micro-hospitals” in eight states has agreed to combine with Clinigence Holdings, a predictive health management provider to businesses. Under the agreement each share of NuTex will be converted into the right for 3.71 shares of Clinigence Holdings. The combined company will bear the name NuTex Health and will be headquartered in Houston. The combination will enable NuTex to create provider networks for risk-bearing work populations “wrapped around” the efficiencies of micro-hospitals.

Discount Tire to acquire Tire Rack

Deal Description: The Reinalt-Thomas Corporation, which does business as Discount Tire, the familiar retailer of tires and wheels, announced December 3 that it is acquiring Tire Rack, a consumer-direct source for wheels, tires and other automotive accessories. The transaction, described only as a “significant investment” by Discount Tire, signifies Discount Tire’s determination to become an omnichannel provider for automotive gear. The Tirerack.com brand will be continued online, the company said. Upon closing Tire Rack will become wholly owned by Arizona-based Discount Tire, which is also privately-held. Tire Rack’s headquarters will remain in South Bend, Indiana.

Deal Description: Zilliant, Inc., providers of B2B price-management platforms and sales guidance software, announced December 6 that it has agreed to be acquired by Madison Dearborn Partners. Terms were undisclosed. Zilliant is headquartered in Austin, with offices in the UK, Germany, France and Italy.

Valero closes $1.45B in Senior Notes

Deal Description: On Nov. 18 Valero Energy Corp. announced the pricing of its public offering of $500 million of its 2.800% senior notes due 2031 and $950 million of its 3.650% senior notes due 2051.  The offering closed Nov. 29. Valero used all of the net proceeds and cash on hand to finance its cash tender offers to repurchase various sets of senior notes issued by Valero Energy Partners and guaranteed by Valero.

Banks: Citigroup Global Markets Inc., J.P. Morgan Securities, Mizuho Securities USA and SMBC Nikko Securities America, Inc. as joint book-running managers and J.P. Southwestern Energy prices offering of $1.15B in senior notes

Deal Description: Spring, Texas-based Southwestern Energy Co. announced Dec. 8 the pricing of its public offering of $1.15 billion of 4.75% senior notes due 2032. The notes will be sold to the public at a price of 100% of their face value. The expected closing date for the offering is Dec. 22. Southwestern Energy intends to use the net proceeds, along with net proceeds associated with its proposed term loan credit agreement, borrowings under its revolving credit agreement and cash on hand to fund the cash portion of the acquisition of GEP Haynesville, to fund its previously announced tender offers of certain series of its outstanding senior notes and to pay a portion of the outstanding balance of its revolving credit agreement.

Book-running managers: J.P. Morgan Securities, BofA Securities, Citigroup Global Markets Inc., RBC Capital Markets and Wells Fargo Securities.

Vistra announces pricing of upsized $1B green preferred stock offering

Deal Description: Dallas-based Vistra Corp. announced Dec. 7 it had priced an upsized private offering of 1 million shares of its 7.0% Series B fixed-rate reset cumulative redeemable green perpetual preferred stock to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and to certain non-U.S. persons in accordance with Regulation S under the Securities Act. The offering price was $1,000 per share. The company will receive gross proceeds of $1 billion from the sale of the preferred stock before deducting the initial purchaser discount and other estimated offering expenses. The offering was expected to close on Dec. 10.
