CDT Roundup: 21 Deals, 15 Firms, 212 Lawyers, $2.9B

Deal activity in the southern U.S. fell sharply in value during the third quarter to the lowest point in more than two years. But the region was the busiest market across the U.S. by volume as investors picked off smaller transactions as financing costs rose to their highest point in over a decade, according to a Nov. 21 report by Mergermarket.

Technology, media and telecommunications, or TMT, led much of the activity, being the top sector by both value and volume – despite of a colossal fall in invested capital – and taking the number two, three and four top deals in the south, the data and analysis firm said. They were Vista Equity Partners Management’s $4.4 billion acquisition of KnowBe4; Global Payments Inc.’s $3.7 billion purchase of EVO Payments; and MetroPCS Communications’ $3.5 billion acquisition of licenses from Columbia Capital.

Energy, mining and utilities was another strong performer, with EQT’s $5.2 billion purchase of the assets of Quantum Energy Partners-backed XcL Midstream and Tug Hill earning the top spot in the south in the quarter (Texas lawyers from Kirkland & Ellis, Vinson & Ellis and Akin Gump advised various parties). And the pharmaceuticals, medical and biotech sector in the southern U.S. also looks hot from a deal pipeline standpoint, as does TMT, Mergermarket said.

In the week ending Nov. 19, that high-volume/low-value pattern continued with 21 transactions reported for an aggregate value of $2.89 billion. Those deals involved 212 mostly-Texas lawyers at 15 firms. Witness last week’s 13 deals for $15 billion or last year’s 20 deals for $22 billion.

Diamondback buys Midland Basin properties from Lario Oil for $1.4B

Deal Description: Midland-based Diamondback Energy Inc. announced Nov. 16 that it agreed to acquire all leasehold interest and related assets of Lario Permian, a unit of Lario Oil & Gas Co., and associated sellers for $1.44 billion in cash and stock. Ontario Teachers’ to invest $805M to support NextEra Energy Partners’ acquisition

Deal Description: Ontario Teachers’ Pension Plan Board announced Nov. 18 it signed an agreement to invest about $805 million in a convertible equity portfolio financing with NextEra Energy Partners.  Ontario Teachers’ committed to the investment as part of the sale of renewable energy assets from NextEra Energy Resources, a subsidiary of NextEra Energy Inc., to NextEra Energy Partners. The two-gigawatt portfolio consists of four newly constructed and nine operating wind, solar and energy storage assets, which are geographically diversified across U.S. power markets. The assets have long-term power purchase agreements with diversified, investment-grade counterparties.

Electriq Power in $125M merger with SPAC TLG Acquisition One

Deal Description: Electriq Power, a U.S. home and small business solar battery storage solutions provider, announced Nov. 14 it agreed to merge with TLG Acquisition One Corp., a publicly traded special purpose acquisition company. The combination will operate under the name Electriq Power Holdings Inc. and will be led by existing Electriq management with Mike Lawrie joining the board as chairman. The transaction values Electriq at a pro forma pre-money equity value of $495 million and is expected to provide up to $125 million in cash proceeds. The combined company plans to publicly trade on the NYSE under the symbol ELIQ. Electriq, founded in 2014 in Silicon Valley, said it provides solutions delivered via a go-to-market model that makes solar-plus-storage accessible to all socio-economic groups, including low- and middle- income communities across the U.S.

EnCore Energy acquired Alta Mesa uranium project from Energy Fuels for $120M

Deal Description: Corpus Christi-based EnCore Energy Corp. announced Nov. 14 it agreed to acquire the Alta Mesa In-Situ Recovery uranium project from Energy Fuels Inc. for $120 million. The consideration consists of $60 million in cash and a $60 million secured vendor take-back convertible promissory note with EFR White Canyon with a two-year term that will bear interest at a rate of 8 percent per year. EnCore said the transaction will position it as a leading U.S.-focused ISR uranium company with a processing capacity of 3.6 million pounds of uranium per year.

Expected Closing: On or before Dec. 31

Digital Virgo in $100M merger with SPAC Goal Acquisitions

Deal Description: Digital Virgo Group, a French corporation which has a global platform for payment and monetization of digital content and services, and Goal Acquisitions Corp., a publicly-traded special purpose acquisition company, announced Nov. 17 they agreed to combine. Upon closing, Goal will be renamed Digital Virgo Group Inc, and its stock is expected to be publicly listed in the U.S. The proposed merger is expected to provide at least $100 million in cash to Digital Virgo, allowing the company to enhance growth and expand into North America and other markets. Based on a $10 share price, the transaction puts Digital Virgo at an enterprise value of $513 million.

EnCap sells Jupiter Power to BlackRock

Deal Description: EnCap Investments announced Nov. 15 that BlackRock Alternatives, through a fund managed by its diversified infrastructure business, agreed to acquire Jupiter Power, a U.S. operator and developer of stand-alone, utility-scale battery energy storage systems. Terms weren’t disclosed. EnCap Energy Transition Fund I and co-investment partners Yorktown Partners and Mercuria Energy are selling Jupiter. It’s the second exit transaction by EnCap’s $1.2 billion EETF I. EETF I has backed energy transition companies, including Catalyze Energy (distributed commercial and industrial solar plus batteries), Solar Proponent (large scale solar), Triple Oak Power (utility scale wind power) and Arbor Renewable Gas (clean fuels), among others.

Chevron Phillips, QatarEnergy ink JV to construct $8.5B polymers facility on Gulf Coast

Deal Description: Chevron Phillips Chemical Co. announced Nov. 16 an agreement with QatarEnergy to jointly develop an $8.5 billion integrated polymers facility in Orange, Texas, expected to create more than 500 full-time jobs and 4,500 construction jobs and generate an estimated $50 billion for the community in residual economic impacts. The companies have made a positive final investment decision on the project and created a joint venture company, Golden Triangle Polymers Co., named for the Golden Triangle region of Texas that includes the city of Orange. Chevron Phillips Chemical owns 51 percent of the JV and QatarEnergy holds 49 percent.

Neste buys used cooking oil collection business from Crimson Renewable

Deal Description: Neste, the world’s leading producer of renewable diesel and sustainable aviation fuel produced from waste and residue raw materials, agreed Nov. 17 to acquire the used cooking oil collection and aggregation business and related assets in the U.S. from Crimson Renewable Energy Holdings. Dollar terms weren’t disclosed. The transaction includes shares in SeQuential Environmental Services and Pure as well as a UCO processing plant in Salem, Oregon. The transaction must clear regulators.

Designated Bidders buys San Antonio Minor League Baseball team from Elmore

Deal Description: Designated Bidders, a group formed by local San Antonio business executives, announced Nov. 16 it agreed to acquire the Texas League’s San Antonio Missions from long-time franchise owner Dave Elmore and the Elmore Group. For the first time since the 1980s, the Missions will be under local ownership. Designated Bidders was founded by Bruce Hill, Randy Smith and Graham Weston of Weston Urban, local entrepreneur Bob Cohen of Bob Cohen Strategies and Peter J. Holt. Ryan Sanders Baseball, owned by the families of Major League Baseball Hall of Famer and native Texan Nolan Ryan, CEO Reid Ryan and Don Sanders, will join Designated Bidders as owners and operators of the Missions. The new Missions ownership group also includes Spurs legends and Basketball Hall of Famers David Robinson and Family and Manu Ginobili, along with San Antonio civic leaders, including Henry Cisneros, Hope Andrade, Berto Guerra, Max Navarro and La Familia Cortez. Sports legends Roger Clemens and Craig Biggio are part of the Ryan Sanders ownership and their investment in the Missions. Elmore, which was founded in 1969, is one of the largest ownership groups in Minor League Baseball, hosting a million visitors to its sports franchises annually.

BoyarMiller closes Alera Group’s purchase of Greenhill Insurance

Deal Description: BoyarMiller said Nov. 15 it represented Greenhill Insurance Services , a Houston-based managing general underwriter, on its sale to Alera Group, an independent national insurance and wealth services firm. Terms weren’t disclosed on the deal, which was announced Sept. 6.

Baker Hughes acquires AccessESP

Deal Description: Baker Hughes acquired Houston-based AccessESP, a provider of artificial lift technology. Terms weren’t disclosed. The deal was announced July 27 and closed Nov. 4. AccessESP’s “GoRigless ESP System” provides solutions that enable an electrical submersible pump to be deployed and retrieved with conventional, light-duty intervention equipment (e.g., wireline, coiled tubing or well tractor) without the need for a rig or requiring the well production tubing to be pulled. The technologies reduce the cost of, and downtime between, workovers used in the replacement of ESPs, which is of increasing importance in offshore and remote areas.

Locke Lord also represented Refuel Operating Co., a South Carolina-based retail and wholesale fuel distribution and convenience store business, in the Nov. 3 acquisition of Eagles Enterprise, a North Carolina-based convenience store chain. Finally, the firm represented NGP on the $150 million equity commitment to Mesa Minerals Partners III announced Nov. 7.

Blackstone’s Fisterra sells Tierra Mojada power plant in Mexico to Saavi

Deal Description: Blackstone and its portfolio company Fisterra Energy sold the Tierra Mojada combined cycle power plant in Jalisco, Mexico, to Saavi Energía, a portfolio company of Global Infrastructure Partners. Terms weren’t disclosed on the deal, which was announced by Saavi on Nov. 7. Credit Suisse provided a letter of credit in connection with Saavi’s acquisition of Tierra Mojada.

One Gas’s Kansas Gas Service Securitization I closes sale of $336M bonds

Deal Description: On Nov. 18, Kansas Gas Service Securitization I, a unit of Kansas Gas Service, a division of One Gas Inc., closed its registered public offering and sale of $336 million worth of its Series 2022-A Senior Secured Securitized Utility Tariff Bonds, Tranche A. The bonds were issued as part of a financing order issued by the State Corporation Commission of the State of Kansas under the Utility Financing and Securitization Act that was established by the Kansas Legislature. They are secured by securitized utility tariff property, which includes the right to an irrevocable, binding and nonbypassable charge, known as the “securitized utility tariff charge,” paid by all existing and future retail customers within KGS’s service area. The net proceeds will be paid to KGS by the issuer, which will use the net proceeds to recover, finance or refinance the qualified extraordinary costs of KGS related to Winter Storm Uri, as approved by the Kansas commission.

Swift Current Energy closes project financing on Texas wind project

Deal Description: Swift Current Energy announced Nov. 2 that it closed project financing for the 197-megawatt Castle Gap Wind project in Mills and Lampasas Counties, Texas. The wind project is currently under construction and is expected to begin operations in early 2023. Swift Current will be the long-term owner and operator of Castle Gap Wind.

Baker Botts announced Nov. 17 it represented Liberty Media in a plan to split off Atlanta Braves and an associated real estate development project. The split-off would be accomplished through the redemption of Liberty Media’s Liberty Braves stock in exchange for stock of a newly formed company, Atlanta Braves Holdings Inc. After completion, Liberty Media would create a new third tracking stock group, the Liberty Live Group, through the reclassification of all of Liberty Media’s remaining stock, which includes the Liberty SiriusXM Group and the Formula One Group. Among the Baker Botts lawyers involved from Texas: from corporate: Samantha Crispin (partner, Dallas), Sarah Dodson (special counsel, Dallas), Derek Gabriel and Trevor Borg and Morgan Copher (associates, Dallas); and on finance: Spencer Crawford (associate, Dallas). Winstead said Nov. 15 it recently represented Hawaiian Airlines in the negotiation of an air transportation services agreement with Amazon.com Services, a wholly-owned subsidiary of Amazon.com Inc., in which the airline will provide air cargo transportation services to the online retailer. The Winstead team was led by Ehren Hartz, chair of the firm’s corporate, commercial transactions and outsourcing practice group and a firm shareholder, and included Jae So, Fred Swanevelt,  Muhammad Sohail and Ian Duffy. Hawaiian will operate an initial fleet of 10 A330-300 freighters in its performance of the services but the agreement provides for potential expansion of the fleet in the future. The initial term of the agreement is eight years but may be extended for up to five more years.

Latham & Watkins said Nov. 17 it advised American Triple I as part of JFK Millennium Partners’ $4.2 billion deal to develop new Terminal 6 at JFK Airport. The team was led by Houston/New York partner Ravi Purohit and Houston associates Jameson Miller and Josh Blankenship. JMP is a private company composed of Vantage Airport Group, American Triple I, RXR and JetBlue. Approved in August 2021 by the Port Authority Board of Commissioners, the new Terminal 6 development will feature a 1.2 million-square-foot terminal, 10 new gates and check-in halls and arrival spaces designed to enhance the customer experience. It will also feature 100,000 square feet of dining and shopping, airline lounges and recreational spaces. Custom art works and the latest advances in sustainability and security will also figure prominently in the new terminal complex. JMP will develop the new international terminal in two phases, with the first gates opening in 2026 and project completion expected in 2028.
