(July 1) – Bowie Resources, LLC announced last week that it will acquire Arch Coal, Inc.’s wholly-owned subsidiary, Canyon Fuel Company, LLC, for $435 million. Bowie is teaming with the Galena Private Equity Resource Fund, which will help finance the acquisition.
Baker Botts is advising the Louisville, Ky.-based Bowie in the transaction, with Houston M&A partners Josh Davidson and John Geddes as the lead attorneys.
Other Baker Botts attorneys involved in the deal include banking and finance partner Shalla Prichard, M&A associate Jeremy Moore and banking and finance associate Andrew Thomison of the Houston office. The equity financing team for the deal came from the Austin office, which comprised of partner Laura Tyson and associate Robert Montgomery.
Louisville firm Fultz Maddox Hovious & Dickens is also serving as legal counsel for Bowie.
Simpson Thacher & Bartlett is representing St. Louis, Mo.-based Arch Coal in the deal. Texas attorneys heavily involved in the acquisition include partner Andrew Calder and associates Mickey Baden and Jay Blackman, all from the firm’s Houston office. Attorneys from Simpson Thacher’s New York and Washington, D.C. offices are also working on the transaction.
