(May 4) – A group of Bracewell lawyers based in Houston said Wednesday that they were involved in the merger agreement between two Calgary-based energy companies that entails Pembina Pipeline Corp. purchasing Veresen for about $7 billion, or $9.7 billion in Canadian dollars.
The figure includes an assumption of Veresen’s debt.
Bracewell served as Pembina’s U.S. legal advisor in the deal. The deal was led out of Bracewell’s Washington, D.C. office, but included Houston partners Troy Harder, Rebecca Baker and Scott Sanders, as well as associates Jared Berg and Jackie Zhong. Attorneys from the firm’s New York office were also involved.
Blake, Cassels & Graydon served as Pembina’s Canadian legal advisor. Veresen hired Toronto-based Osler, Hoskin & Harcourt.
The deal creates one of the largest energy infrastructure companies in Canada.
