CDT Roundup: 14 Deals, 13 Firms, 122 Lawyers, $8.94B

First-quarter mergers and acquisitions activity surpassed the first quarters of 2018 and 2019; North America dominated the space when measured by total deal value; and private equity buyouts are red hot. Those are some of the key takeaways from Mergermarket’s Global & Regional M&A Report for the first quarter of 2021.

In 1Q, M&A activity hit $1.16 trillion, eclipsing previous blistering first quarters in 2018 and 2019 and making it one of the active first quarters in history, according to the report. The momentum continued after a robust fourth quarter in 2020, as deal flow ticked up again after hesitations in the first and second quarters tied to the Covid-19 pandemic. The technology, media and telecommunications sector led the activity, accounting for 29.7% of deal value.

North America, which includes the United States and Canada by Mergermarket’s definition, accounted for 54.4% in global deal value. The region was also home to two-thirds of the world’s initial public offerings at $200.9 billion. Of those IPOs, 398 of the global count of 762 occurred in the U.S. 

It would be impossible to review 1Q public markets activity without mentioning the role of special purpose acquisition companies. Three hundred-four SPACs raised $97 billion globally as volumes surged. The first quarter SPAC count surpassed all of 2020. Mergermarket reported 99 M&A transactions tied to SPACs globally during 1Q, totaling $219.5 billion. 

Private equity also saw a busy quarter with $296.6 billion in buyouts tied to 1,156 total deals globally. The report stated that sponsors globally have deployed $683.5 billion since the third quarter of last year, putting to work historic levels of dry powder. In the last three quarters, private equity has seen $683.9 billion tied to exits. Mergermarket reported that in 1Q alone there were 711 exits, totaling $213.9 billion.

The Texas Lawbook plans to unveil 1Q data involving Texas-based businesses and private equity firms provided to the publication exclusively by Mergermarket later this week.

In the Lone Star State last week, The Texas Lawbook counted 13 M&A or funding transactions totaling $7.99 billion and a $950 million senior notes offering involving at least 122 lawyers, most of whom were based in Texas, and 13 firms. More details on the individual deals can be found below.

The overall count and deal value lagged behind last week’s 18 deals at $19.5 billion, though the Hitachi-GlobalLogic and Pioneer-DoublePoint transactions accounted for about $16 billion of the tally. Year-over-year, transactions and deal value this week surpassed the same week in 2020 with tabulations at $6 billion related to 12 deals.

KKR Invests in Sempra Infrastructure as White & Case, STB Advise

As part of a $3.37 billion cash deal, investment powerhouse KKR plans to take a non-controlling stake in Sempra Energy’s Sempra Infrastructure Partners. 

The transaction values Sempra Infrastructure at around $25.2 billion, including expected asset-related debt at closing of $8.37 billion.

KKR’s 20% equity stake is expected to aid in simplifying and scaling the new business platform, which is moving toward innovation and renewables.

White & Case is legal advisor to Sempra with a team that includes the following Houston-based attorneys: partners Rodrigo Dominguez and Christopher Peponis and associates James Langlois, Carlos Ramon Diaz Sordo and Chantal Carriere.

The Simpson Thacher & Bartlett team that is advising KKR includes Houston M&A partners Breen Haire and Shamus Crosby, in addition to New York Credit partner Brian Steinhardt. Creel, García-Cuéllar, Aiza y Enríquez is also serving as legal advisor to KKR. 

Sempra Energy’s financial advisor is Goldman Sachs & Co. Credit Suisse Securities (USA) and Mizuho Securities USA are KKR’s financial advisors.

The transaction is expected to be completed by the middle of 2021. 

RAC SPAC Looks to Combine Targets 

Special purpose acquisition company Rice Acquisition Corp. announced on April 7 that it plans to combine Aria Energy and Archaea Energy in its quest to create an energy transition platform.

The new entity would focus on renewable natural gas with an emphasis on landfill gas.

Aria, which is a portfolio company of funds managed by Ares Management Corp., is being acquired for $680 million while Archaea is being bought for $347 million.

RAC’s oversubscribed private investment in public equity attracted $300 million from institutions including Goldman Sachs Asset Management and BNP Paribas Energy Transition Fund.

Beyond the PIPE, RAC has received $340 million in debt commitments from Comerica Bank’s environmental services department.

Kirkland & Ellis advised RAC in the transaction with a team led by corporate partners David Feirstein of New York and Cyril Jones of Houston and associate Brice Lipman of Houston; and capital markets partners Matt Pacey of Houston, Lanchi Huynh of Dallas and associate Mitch Athey of Houston. 

Pillsbury Winthrop Shaw Pittman served as legal counsel to Archaea while Orrick served as legal counsel to Aria and Ares. Barclays was financial advisor to Aria.

Moelis & Co. acted as financial advisor and Richards, Layton and Finger as legal advisor to the special committee that negotiated the combination of Aria, Archaea and RAC. 

Citi and Jefferies were lead placement agents while Roth Capital Partners acted as co-placement agent on the PIPE.

The combined company will be called Archaea Energy and the transaction is expected to close in the third quarter of 2021. Executives from both existing companies will lead the combined entity. 

Simpson Thacher Advises GI Partners on IoT Acquisition

GI Partners announced last week plans to acquire Internet of Things provider Orbcomm in an all-cash transaction. The deal is expected to help Orbcomm’s growth in the industrial IoT market, among other objectives.

Including debt, the enterprise value of the deal is about $1.1 billion. Shareholders of the publicly traded Orbcomm can expect a 52% premium with GI Partners’ intentions to pay $11.50 per share.

Simpson Thacher & Bartlett and Morgan, Lewis & Bockius are acting as legal counsel to GI Partners.

The Simpson Thacher team includes partners Christopher May and Ravi Purohit and associates Kyle Kreshover, Zain Rifat and Siwei Yang, all of the firm’s Houston corporate team.

Also assisting were partner Adam Shapiro and associate Catherine Burns (New York—credit); partner Jeannine McSweeney and associate Jake Phillips (New York—executive compensation and employee benefits); and partner Sophie Staples and associate Abigail Hopper (New York—tax).

Milbank is serving as legal advisor to Orbcomm while PJT Partners and Raymond James are its financial advisors. 

Upon close of the transaction, which has already been unanimously approved by its board of directors, Orbcomm stock will no longer be traded on the Nasdaq Stock Market. The deal is expected to close in the second quarter.

Bracewell Aids Crescent in Re-Acquisition of Iconic Namesake Property

Crescent Real Estate has been reunited with the Dallas asset that inspired the name of the Fort Worth investment company and developer for a third time. 

Crescent announced on March 23 that it had re-acquired The Crescent, the well-known office and mixed-use property that positioned Uptown as one of the most desirable business centers in the state of Texas, through its GP Invitation Fund II.

The Dallas Morning News reported that the property, which spans three towers and includes more than 1 million square feet of office space, changed hands for close to $700 million.

JP Morgan Asset Management previously owned the property for more than 10 years.

Bracewell advised Crescent Real Estate on the acquisition. The team included partners K. Brock Bailey and Matthew G. Nielsen of Dallas, Scott C. Sanders of Houston, Timothy A. Wilkins of Austin, Christopher D. Olive of Dallas, Elizabeth L. McGinley of New York and Doug Rommelmann of Houston, in addition to counsel C. Robert Baird and associate Christie L. Latimer of Dallas.

In addition to equity from Crescent, Commercial Observer reported that Goldman Sachs & Co. and Deutsche Bank provided a $465 million three-year floating rate and interest-only commercial mortgage-backed security loan for the purchase. It also reported that there was $60 million in mezzanine debt used to acquire the property, though it’s unclear who provided it.

Bracewell also advised Crescent Real Estate on its acquisition of The Hotel at Avalon in Atlanta suburb Alpharetta back in September. That team included partners K. Brock Bailey and Matthew G. Nielsen of Dallas, Rebecca L. Baker and Scott C. Sanders of Houston, Timothy A. Wilkins of Austin, Christopher D. Olive of Dallas and Elizabeth L. McGinley of New York, in addition to counsel C. Robert Baird and associate Christie L. Latimer of Dallas.

Sidley Aids Riot Blockchain in Acquisition of Whinstone

Publicly traded Riot Blockchain announced plans to purchase the operator of the largest bitcoin mining facility in North Texas in a $651 million deal.

The acquisition of Whinstone, which is based in Rockdale, Texas, is set to catapult Riot to the clout of a bitcoin mining leader in the U.S.

Sidley Austin is representing Riot in the transaction. Dallas partner Lilya Tessler led the transaction on the securities enforcement and regulatory end alongside M&A partners Brian Fahrney, Christopher Hale and Joseph Michaels and capital markets partner Lindsey Smith. Other Dallas team members included partners Eric Winwood and Heather Palmer and associates Marian Fielding and Allen Braddock.

XMS Capital Partners also advised Riot.

Riot will pay $80 million in cash for the assets in conjunction with 11.8 million Riot shares. The transaction is expected to close in the second quarter.

Enerplus Continues to Consolidate Williston Position With Help From V&E 

In a transaction valued at $312 million, Canada’s Enerplus plans to pick up 78,700 acres from Hess Corp. in the Williston Basin.

Enerplus plans to fund the deal through cash on-hand in addition to drawing on its existing credit facility.

Vinson & Elkins advised Enerplus on the deal with a team led by partner Bryan Loocke in addition to counsel Joclynn Townsend; senior associates Cesar Leyva and Mike LeFevre; and associates Alicia Vesely, Kara Chung, Rob Vezina and Brian Broussard.

Also counseling were partner Todd Way and associate David Gilbert (tax); partner Matthew Dobbins (environmental); partner Brian Bloom and senior associate Kristy Fields (executive compensation/benefits); partner Nick Shum and associate Josh Windsor (litigation); partner Sean Becker (labor/employment); and associate Sebastian Devora (corporate).

Loocke previously led the team that advised Enerplus on its acquisition of Bruin E&P that netted the company 151,000 acres in the Williston Basin. 

Blake, Cassels & Graydon served as Canadian representation in legal matters for Enerplus. Stifel FirstEnergy acted as financial advisor. 

Quantum to Sell Kicking Horse to Canada-based Whitecap

Quantum Energy Partners, a Houston-based private equity firm focused on energy, has entered into an agreement to sell Kicking Horse Oil & Gas to Whitecap Resources.

The stock and cash deal is valued at about $239 million, or C$300 million.

Whitecap, which trades on the Toronto Stock Exchange, acquires and develops petroleum and natural gas properties in Canada. Its acquisition of Calgary-based Kicking Horse, a oil and gas exploration and production company, is expected to aid Whitecap as it seeks to consolidate its position in core areas, such as the Alberta Montney. 

Quantum Deputy General Counsel Lance Shuler worked on the transaction, alongside outside help from Stikeman Elliott and Cassels Brock & Blackwell. 

The Stikeman Elliott team was led by Ben Hudy in Canada, in addition to assistance from Kayla Zachariassen.

The Cassels Brock & Blackwell team was led by Doug Richardson, also in Canada, with assistance from Jocelyn Amason.

Two separate teams at Burnet, Duckworth and Palmer represented Kicking Horse and Whitecap. Bruce Alford led the Kicking Horse team with assistance from Kirk Lamb, Nigel Behrens and Syd Abougoush, in addition to others.

The transaction is expected to close by the end of May.

INSW to Buy Diamond S Shipping as White & Case Assists

International Seaways and Diamond S Shipping plan to merge in a transaction that would create the second largest tanker company by vessel count in the U.S. 

The stock-for-stock deal between New York-based INSW and Diamond S, which is headquartered in Greenwich, Connecticut, is valued at about $416 million with INSW shareholders set to hold 55.75% of the combined entity. INSW would also assume about $565 million of Diamond S’ debt as part of the transaction.

Cleary Gottlieb Steen & Hamilton and Holland & Knight acted as legal advisors to INSW, while Jefferies served as financial advisor.

White & Case served as legal advisor to Diamond S with a team that includes Houston-based environmental partner Taylor Pullins and tax associate Neil Clausen. Seward & Kissel also advised on legal matters. Moelis & Company acted as financial advisor. 

IES Enters Into JV With Upper Bay With Aid From Bracewell

Infiniti Energy Services and investment firm Upper Bay Infrastructure Partners are eyeing solar projects with a joint venture agreement as Infiniti forms an ESG-focused platform. 

Upper Bay has committed $60 million to the partnership as Infiniti looks to take advantage of business friendly policies at the federal and state levels as equipment costs decline.

The JV is expected to prime the entity as it looks to develop and acquire solar assets in the commercial and industrial spaces across the northeast and mid-Atlantic regions of the U.S.

Bracewell served as lead legal advisor for Upper Bay with a team that included Steven J. Lorch, Rebecca L. Baker, Matthew B. Grunert, Laura D. Sheldon, Kathryn F. Penry and Michael A. Recchia.

Allen & Overy advised Infiniti on legal matters while Global Power Partners assisted on financial matters.

Investments in the Infiniti Energy platform are expected to reach $200 million over the next three years.

V&E Advises Buckeye, Nala on Majority Play for Clean Energy Platform

Houston-based Buckeye Partners is teaming up with Nala Renewables to acquire majority ownership of Swift Current Energy, a clean energy development and investment platform focused on solar and wind projects in North America. 

Transaction details were not disclosed.

Buckeye, which is wholly owned by the IFM Global Infrastructure Fund, is traditionally an owner and operator of assets that provides logistics solutions tied to liquefied petroleum products. IFM Investors formed Nala in 2020 to invest in solar, onshore wind and power storage projects around the world.

Vinson & Elkins advised both Buckeye and Nala in the transaction with a team led by partners Eamon Nolan, Danielle Patterson and Matt Falcone, in addition to assistance from senior associate Caroline Kuehn and associates Ryan Logan, Anastasia Arsenio, Sam Boyer, Zachary Parker, Erin MacMullin and Tara Tegeleci.

The team also included counsel Scot Dixon, senior associate Jared Knight and associate Kara Karcher; partner Matthew Dobbins and associate Kelly Rondinelli; partners Ryan Carney and Sean Moran, counsel Mary Alexander and Debra Duncan and senior associate Christine Mainguy; partner Sean Becker and senior associate Alex Bluebond; and counsel Julia Petty and associate Mary Daniel Morgan.

Blue Sage Invests in Cobra With Assist From Queen Saenz + Schutz 

Blue Sage Capital, an Austin-based private equity firm specializing in the lower middle market, announced on April 7 a capital infusion into a legal services provider. 

Transaction details were not disclosed.

Cobra Legal Solutions, which is also based in the state capital and has an additional office in Chennai, India, has tripled in size over the last three years. Its services include an eDiscovery platform that includes managed review, contracts management and research.

Queen Saenz + Schutz acted as legal advisor to Blue Sage, while Cobra was represented by Alston & Bird.

Blue Sage also worked with Marsh McLennan, Sprock Capital Advisory, Corsis and Cherry Bekaert on insurance, accounting, IT and tax matters. VRA Partners was financial advisor to Cobra.

Gibson Dunn Advises Meridian Adhesives in Acquisition

Adhesive technologies manufacturer Meridian Adhesives, which is backed by New York City-based Arsenal Capital, announced on April 1 the acquisition of a Malaysian adhesives company focused on the electronics, semiconductor and medical fields.

Financial terms of the deal were not disclosed.

Pacific Adhesive Systems will join Meridian’s electronics division. 

Gibson Dunn advised Meridian in the transaction with a team led by Houston partner Stephen Olson and Singapore partner Elaine Chao, in addition to Los Angeles associate Negin Nazemi, Singapore associate Eliza Teo and Los Angeles associate Thomas Alexander. Houston partner James Chenoweth advised on tax aspects.

Shearman Advises WinWire on Private-Equity Investment

Sverica Capital Management of San Francisco announced last week a strategic investment into WinWire Technologies.

Financial terms were not disclosed. 

WinWire, which is based in Santa Barbara, specializes in Microsoft Cloud platforms as a digital engineering company. 

Shearman & Sterling acted as legal advisor to WinWire with a team that included Robert Cardone, Michael Dorf, John Kurtz and Sara Prendergast.

The infusion from the private equity firm is expected to accelerate WinWire’s growth and expand its global reach.

CAPITAL MARKETS 

Vine Energy Prices New Round of Senior Notes

Vine Energy Holdings, a unit of Plano-based Vine Energy Inc., announced on March 31 the placement of $950 million in 6.75% senior notes. 

The company, which develops natural gas properties, plans to use the proceeds to fund the redemption and any associated fees with redemption of outstanding 8.75% and 9.75% notes due in 2023, along with cash on-hand.

Vinson & Elkins advised the initial purchasers in the transaction with a team led by partners Alan Beck, Thomas Zentner and Noel Hughes with assistance from counsel Dan Spelkin, senior associate Austin March and associates Anthony Sanderson, Houston Morgan and Chandler Spinks.

Partners Wendy Salinas and Larry Nettles and associates Andrew Mandelbaum and Austin Pierce also advised.

The new notes are set to mature in April 2029.
