CDT Roundup: 11 Deals, 9 Firms, 93 Lawyers, $11.46B

The Texas Lawbook wants to share some changes for deal and submission transactions going forward for the Corporate Deal Tracker Roundup. Anna Butler is transitioning to a new role away from The Texas Lawbook, and Allen Pusey and Claire Poole will be taking on not only the roundup but corporate transactions coverage in the future. 

For a seamless transition, The Texas Lawbook asks that law firms, corporate legal departments and financial advisors submit their corporate transactions submissions and activity for both the weekly roundup and the Corporate Deal Tracker database to one general email that both Pusey and Poole will receive.

Last week, 93 Texas-based lawyers from nine firms took part in 11 transactions – seven M&A and funding totaling more than $10.2 billion and four capital markets adding up to more than $1.25 billion.

The management behind Sabalo Energy teamed up with EnCap Investments once again for a freshly formed company with $300 million in backing. 

Laredo Petroleum, which picked up significant assets from Sabalo in July in a $715 million transaction, engaged with Pioneer Natural Resources as the Irving company looks to ditch non-core assets. 

Bracewell advised Pioneer and Sabalo while Vinson & Elkins counseled EnCap and Sidley Austin worked with Laredo.

Texas lawyers were also involved in two initial public offerings tied to blank check companies, Argus Capital Corp. and Live Oak Crestview Climate Acquisition Corp. Winston & Strawn and V&E advised on the IPOs.

The previous week’s Roundup involved 99 lawyers who counseled on 11 transactions that tallied up to more than a reported $16.6 billion. During the same period last year, 101 lawyers from nine firms worked on more than $8.6 billion worth of deals.

M&A/FUNDING

ConocoPhillips to Acquire Shell’s Permian Assets

Royal Dutch Shell announced plans last week to sell its Permian Basin assets in west Texas to Houston-based ConocoPhillips.

Shell selected Morgan Stanley & Co. and Tudor, Pickering, Holt & Co. to advise on financial matters and Norton Rose Fulbright to counsel on legal matters.

Baker Botts counseled ConocoPhillips while Goldman Sachs & Co. was its financial advisor.

EnCap Commits $300M to Sabalo Energy II

EnCap Investments committed $300 million to help form Sabalo Energy II, an upstream exploration and production company based in Corpus Christi.

Sabalo plans to use the capital to acquire and develop large-scale unconventional oil and gas assets – like the Sabalo management team did in its previous partnership with EnCap. 

Houston’s EnCap selected Vinson & Elkins as legal counsel.

Partner Matt Strock and senior associate Mike Marek, both of Houston, led the V&E corporate team with Houston associate Houston Morgan. 

Additional Texas-based counsel came from Houston partner John Lynch; Houston and Dallas partner David D’Alessandro; and Houston associates Dan Henderson, Sarah Coe and Mary Daniel Morgan.

Bracewell advised Sabalo with a team that included Houston partners Charles H. Still Jr. and Rebecca L. Baker; New York partner Steven J. Lorch; Houston associates Kate Barrington McGregor and Colleen N. Sitton; and New York associate Michael A. Recchia.

Sabalo management, in partnership with EnCap, previously assembled 21,000 acres in the Midland Basin and sold its assets to Laredo Petroleum for $715 million over the summer.

Pioneer Sheds Assets as Laredo Amasses Acreage

Laredo Petroleum Inc. acquired some Texas assets from Irving-based Pioneer Natural Resources for about $230 million. 

The assets include 20,000 acres in western Glasscock County adjacent to Laredo’s existing western Glasscock leasehold.

Laredo selected Sidley Austin as legal advisor. Houston partners Jim Rice and Tim Chandler led the Sidley deal team along with Dallas associate Jeremy Pettit.

Additional Texas-based counsel came from Houston partners Jessica Adkins, Heather Palmer and Zack Pullin; Dallas partner Robert Velevis; and Dallas associate John Brannan III.

Bryan Lemmerman, senior vice president and chief financial officer, and Mark Denny, senior vice president and general counsel, led the internal efforts for Laredo.

Bracewell represented Pioneer in legal matters.

The Bracewell team included Houston, London and New York partner G. Alan Rafte; Houston partners Austin T. Lee and Jason M. Jean; Houston and Austin partner Matt Paulson; and Houston associates W. Jared Berg and Andrew P. Mintz.

​​Mark Kleinman, who gained experience at Jackson Walker, Sterling Software and Inet Technologies, serves as Pioneer’s executive vice president, general counsel and assistant secretary.

Laredo plans to fund the acquisition with $160 million in cash and by issuing more than 950,000 shares of common equity.

For Pioneer, the sale marks its continued commitment to divest non-core assets.

Crestline Invests in Genuine Health Group

Genuine Health Group received a $160 million investment from a Fort Worth alternative-investment management firm.

Crestline Investors is betting on Genuine Health’s consistent growth in South Florida with the capital infusion as the Miami healthcare services company looks to grow through acquisitions and expand into new markets. 

Genuine Health worked with Lazard on financial matters and Cozen O’Connor on legal matters.

Alston & Bird was legal advisor to Crestline, including Dallas partner Kate Moseley; Dallas and Fort Worth partner Mitchell Griffith; Dallas counsel Stacie Cargill; and Dallas associates Lindsey Alhadef and Erik Nielsen.

Great Elm Acquires Chunk of Lenders Funding

Great Elm Capital Corp. acquired a majority interest in Lenders Funding, a private funding and risk sharing source for factors and asset-based lenders.

Great Elm purchased the position for $4 million in cash and $3.25 million in shares. 

The business development company, which is based in Waltham, Massachusetts, also plans to issue $10 million in shares to Lenders Funding in exchange for a subordinated note.

Lenders Funding plans to use proceeds from the transaction to push future growth.

Shearman & Sterling advised Great Elm in the transaction.

Dallas partner Alain Dermarkar led the Shearman efforts with additional assistance from Dallas associates ​​Tim Doyle and Sara Prendergast.

Chase Buys Platform With Eye Toward College Kids 

JPMorgan Chase & Co. announced last week the acquisition of college financial planning platform Frank. Financial terms of the acquisition were not disclosed.

Chase is looking to the platform to enhance its product lines tied to students in addition to integrating its existing presence with branches and automated teller machines on more than 300 college campuses.

Sidley Austin represented Frank led by partners Aaron J. Rigby of Dallas and Idan Nester of Palo Alto. Dallas associates Nick DeAngelis and Juliana Hoffman provided additional Texas-based counsel.

GI Partners Backs Insurance Services Firm

Private investment firm GI Partners plans to recapitalize Patriot Growth Insurance Services for an undisclosed amount.

The national insurance services firm is looking to the fresh funds to accelerate its growth.

Patriot selected Morgan Stanley and MarshBerry as financial advisors and Kirkland & Ellis as legal advisor. 

Kirkland, led by Bay Area partners Stuart Casillas, Vlad Kroll and Simon Root, also counseled Summit Partners, which invested in Patriot in 2019, and GI Partners.

Barclays acted as financial advisor to GI Partners.

Jamieson Corporate Finance represented Patriot’s management team in the transaction while Katten Muchin Rosenman advised the management team on legal matters.

Dallas partner Peter Bogdanow led the Katten team with additional Texas-based counsel coming from Dallas associate Soden T. Abraham.

Patriot management and Summit Partners will retain a significant minority stake in the company after the recap.

The transaction is expected to close in the fourth quarter.

CAPITAL MARKETS

CNX Midstream Unveils Senior Notes, Tender Offers

CNX Midstream Partners, a unit of CNX Resources Corp., unveiled a $400 million private offering of senior notes due 2030 concurrently alongside a tender offer of up to $400 million to purchase any and all of its 6.5% senior notes due 2026. 

CNX Midstream, a master limited partnership that owns, operates, develops and acquires midstream energy assets focused on the Appalachian Basin, planned to use proceeds from the senior note offering, along with cash on-hand and borrowings under its revolving credit facility, to acquire the notes tied to the tender offer.

For the tender offer, Wells Fargo Securities acted as dealer manager and Global Bondholder Service Corp. served depository, tender and information agent.

UMB Bank served as trustee.

Latham & Watkins, led by Austin and Houston partner David J. Miller, counseled CNX Midstream.

Vinson & Elkins advised the initial purchasers.

Austin and Houston partner Thomas Zentner, Houston counsel Dan Spelkin and Houston senior associate Andrew Schulte led the V&E corporate team along with Richmond associate Erin Walsh Torrez; Austin associate Miles Fortenberry; and Houston associates Sydney Verner and Zac Horne. 

Additional Texas-based counsel came from partner Wendy Salinas and associate Olivia Sher, both of Dallas.

At the close of the tender offer, more than $157 million of notes were validly tendered.

Clearway Energy Operating Prices Green Bond Offering

In an offering expected to close on Oct. 1, Clearway Energy Operating priced a $350 million offering of 3.75% senior notes due 2032.

Clearway Energy Operating, a unit of Clearway Energy Inc., plans to use proceeds to finance or refinance new and existing projects and assets tied to renewable energy generation. 

More specifically, the company intends to use the proceeds, along with existing liquidity, to repurchase $350 million of 5% senior notes due 2026 – part of a concurrent tender offer.

Baker Botts advised Clearway led by Dallas partner Preston Bernhisel with assistance from Dallas associates Derek Gabriel and Rusty Shellhorn.

Clearway’s internal team was led by general counsel and senior vice president Kevin Malcarney, deputy general counsel and assistant corporate secretary Michael Brown and senior counsel Amelia McKeithen.

J.P. Morgan, Goldman Sachs & Co., KeyBanc Capital Markets and MUFG and co-managers Barclays and Morgan Stanley acted as the joint book-running managers in the offering.

Latham & Watkins counseled the initial purchasers led by New York partners Keith Halverstam and Ryan DeFord.

Argus Drums up Over $300M in SPAC IPO

Special purpose acquisition company Argus Capital Corp. closed an upsized initial public offering on Sept. 24.

Argus, which is seeking a tech-driven media target, raised $304.75 million in its offering with the underwriters exercising their over-allotment option in full.

Acting as joint book-running managers were Goldman Sachs & Co. and Morgan Stanley.

Hughes Hubbard & Reed advised Argus with New York partners Gary J. Simon and Kenneth A. Lefkowitz leading the effort.

SPAC IPOs at $200M as It Seeks Green Target

Live Oak Crestview Climate Acquisition Corp. closed a $200 million IPO on September 27 after unveiling the offering last week.

The blank check company is seeking a combination of some kind with a target likely involved in the climate and sustainability spaces. 

Acting as book-running managers were Jefferies and BofA Securities.

Vinson & Elkins advised the SPAC led by Houston partners Sarah Morgan and Scott Rubinsky with assistance from Richmond senior associate Zach Swartz and Houston associates Layton Suchma, Carmen Guidry and Libby Gerstner. 

Further Texas-based counsel was provided by Houston partners John Lynch and Jason McIntosh, Austin senior associate Allyson Seger and Dallas associate Miron Klimkowski.
