CDT Roundup: 12 Deals, 10 Firms, 73 Lawyers, $2.3B

Maybe the Covid pandemic didn’t force us to take better care of ourselves — it was complicated, we know — but it certainly made us aware of the need. But need drives demand, often more than want, and that message certainly made itself loud and clear in the M&A numbers for healthcare in 2021.

According to a report by Bain, healthcare-related M&A was up in volume by 16% over 2020 but up by 44% in value. While the volume was enough to return the sector to pre-Covid levels, the explosion in reported values reflects a newly found interest in virtually every corner of this complicated business sector.

Whether it involves the acquisition of physician groups, physical therapy clinics, small-scale hospitals or exotic pharmaceuticals, buyers are apparently willing to pay higher prices to increase their geographic presence or to add new services to their existing fare. And Texas lawyers have advised on more than a few of those always interesting transactions.

According to the Corporate Deal Tracker, there were at least 36 deals last year involving some form of healthcare. Highlighting just a few that caught our eye:

  • In November, CooperCompanies bought Generate Life Sciences for $1.6 billion. Generate, a provider of eggs, sperm and cryopreservation services, was advised from Houston by Sameer Mohan and Banee Pachuca of Morgan Lewis.
  • In June, Ryan Scofield (Dallas) and Cliff Vrielink (Houston) of Sidley Austin advised Stonepeak Investments in debt and equity financing for radiology provider Akumin to purchase Alliance HealthCare Services in a deal valued at $820 million.
  • In February, Weil’s James Griffin advised ATI Physical Therapy in its decision to go public via merger with Fortress Acquisition Corp II in a $645 million de-SPAC deal.
  • In May, Latham’s Ryan Maierson (Houston) advised Science 37, a Los Angeles-based service company that facilitates so-called “agile clinical trials” for medical products and services. The company also took the SPAC route through its acquisition by LifeSci Acquisition II.

Moreover, the trend has continued into 2022. Although early into the new year, there have been Texas-related deals involving major equity positions in seven orthopedic clinics, a spinal therapy group, a string of substance abuse centers, a healthtech startup and an $825 million SPAC deal involving a new form of kidney treatment outside dialysis. And those do not count two more below.

Even if we are not taking our health seriously enough, investors and their lawyers are.

For the week ending Feb. 12, there were 12 deals valued at a total of $2.34 billion. There were eight M&A transactions valued at $642 million and four capital markets deals valued at $1.7 billion. It was a week similar to the 11 deal, $2.5 billion week prior and not that far off the 12 deal, $4.8 billion week a year ago at this time.

The most telling number of the week, however, is best reflected in the M&A value numbers. Last week’s $642 million was the weakest week since March 20 last year, when M&A bottomed out at a reported $270 million. By contrast, the four capital markets deals for last week actually doubled the number for the entire year. And their $1.7 billion total value put lipstick on some really humbling numbers in M&A.

TotalEnergies to acquire SunPower’s commercial/industrial solar business for $250M

Deal Description: Publicly traded energy giant TotalEnergies announced Feb. 10 that it agreed to purchase SunPower Corp.’s commercial and industrial solutions business for $250 million, including $60 million in earn-outs. TotalEnergies is the majority shareholder of SunPower, a top solar technology and energy services provider. TotalEnergies said the acquisition is another step to develop its distributed generation business, currently accounting to close to 500 megawatts in operation worldwide. It will allow TotalEnergies to extend the business to the U.S. and to develop over 100 megawatts of additional capacity per year. For SunPower, the transaction follows a previous announcement it would focus on its high-growth residential business.

TotalEnergies‘ Outside Counsel: Latham & Watkins with a corporate deal team led by Houston partner Ryan Maierson with Houston associates Denny Lee, Jordan Mack, Zainab Hashmi, Ziyad Barghouthy, Morgen Seim and Corynn Wilson. Advice was also provided on tax matters by Houston partners Tim Fenn and Jim Cole with Houston associate Mike Rowe; and on commercial due diligence by Houston partner Jonathan Castelan with Houston associates Tom Hillebrand and Vera Bespalova. Other offices worldwide pitched in with specialists.

Infrastructure firm deals its way back to basics

Deal Description: In a series of deals aimed at refocusing on its civil construction and materials business, California-based infrastructure company Granite Inc. announced Feb. 2 that it is divesting its pipe rehabilitation services, its water treatment company and its minerals exploration business. Granite sold Inliner, the pipe rehabilitation company, to Inland Pipe Rehabilitation, a J.F. Lehman portfolio company, for $159.7 million. The company plans to divest assets of the other two businesses, Water Resources and Mineral Services, as discontinued operations. In addition, the company is increasing its share repurchase program from $157 million to $300 million.

North Hudson gains $127M in funding for new production partnership

Deal Description: North Hudson Resource Partners announced Feb. 3 that it had received $127 million in equity commitments for its North Hudson Production Partners limited partnership, more than 25% above its target of $100 million. North Hudson plans to use the money to develop non-operated oil and gas assets including AFEs (Authorization for Expenditure), “drill-ready” acreage, producing assets and minerals. The strategy will be similar to North Hudson’s SSR and Fortuna III production partnerships.

North Hudson Outside Counsel: Kirkland & Ellis advised North Hudson on the legal aspects of the funding led by investment funds partners Matthew Nadworny and Ian Jelsma, along with associate Tomi Olutoye and corporate partners Rahul Vashi and Shubi Arora.

Texas-based Addus Home Care buys hospice group for $85M

Deal Description: Addus Home Care, a hospice provider headquartered in Frisco, announcced Feb. 2 that it had completed its acquisition of JourneyCare Inc. The deal was valued at $85 million. Based in Glenview, Illinois, JourneyCare serves about 750 patients in a 13-county area. Addus has a customer base of 45,000 in 209 locations across 22 states. The deal was funded, Addus said, with cash on hand and use of the company’s existing credit facility.

Notes: Addus did not disclose its advisors. Though based in Texas, Addus has been advised in the past by the Nashville firm of Bass Berry + Sims.

Wander.com gains $20M in Series A funding

Deal Description: The nascent travel platform Wander (wander.com), which says it aims to replace robotic aggregator travel apps with “holy sh*t” travel experiences, announced Feb. 9 that it had obtained $20 million in Series A funding to continue building its promised platform. QED led the round, with participation from Redpoint Ventures, Authentic Ventures, Fifthwall, Susa Ventures, Kevin Durant and others. The company’s booking beta site went live in December, and now boasts more than 2,200 “founding members” and a reservations waitlist of more than 30,000 transactions.

Wander Outside Counsel: Latham & Watkins advised Wander in the financing led by Austin partner Scott Craig along with Chicago associates Omar Ammash and Autumn Smith and Chicago partner Rene de Vera advising on tax.

MapleMark, Oakwood announce private banking merger

Deal Description: Dallas-based MapleMark Financial Holdings, owners of banks in Dallas and Tulsa, announced Jan. 27 that it is combining with Dallas-based Oakwood Bancshares in a merger of equals that will create, with $2 billion in assets, the second largest private bank in the city. The combined company will be known as Maple Financial Holdings and will operate five banks under the Oakwood Bank branding in Dallas, Tulsa, Oakwood (Texas) and Snyder (Texas).

Kestra’s Bluespring Wealth acquires another

Deal Description: Bluespring Wealth Partners, an Austin-based subsidiary of Kestra Holdings, announced its third deal of 2022 with the acquisition of Security Financial Management, another wealth management firm headquartered in Minnesota. Terms of the deal were undisclosed, but Security Financial boasts $950 million in assets. Bluespring is an aggressive acquirer of wealth management firms, closing five such deals in 2021.

Bluespring Outside Counsel: Shearman & Sterling Dallas partner Robert Cardone advised Kestra Financial in the deal along with associate Efren Lemus.

Notes: Shearman’s Cardone and Austin partner Alan Bickerstaff frequently advise Bluespring and Kestra. Last year they advised on the Kestra/Bluespring acquisitions of Ritter Daniher Financial and Capital Planning Advisors.

Canadian OMERS PE divests, reinvests in Forefront Dermatology

Deal Description: OMERS PE, a subsidiary of one of Canada’s largest defined benefit pension plans, announced Feb. 10 that it is selling its majority interest in Forefront Dermatology to Partners Group and reinvesting, along with Forefront management, as minority partners. The Wisconsin-based dermatology group has nearly doubled its geographical reach since it began its partnership with OMERS in 2016, and now has offices across several regions of the U.S. from the East Coast throughout the Southeast, Southwest and Midwest. No terms were disclosed.

Rayburn completes $908M securitization to mitigate Winter Storm Uri costs for customers

Rockwall, Texas-based Rayburn Country Electric Cooperative Inc., a non-profit generation and transmission electric cooperative in Northeast Texas, announced Feb. 10 that it and its four distribution electric cooperative members closed on a $908 million securitization, which will minimize the impact of costs from Winter Storm Uri on the 229,000 customers served by Rayburn’s members. This is the first securitization completed under a law enacted in June 2021 that allows electric cooperatives in Texas to use securitization financing to recover extraordinary costs and expenses incurred during the storm. Costs will be spread out over an expected period through 2049. Winter Storm Uri killed 246 people.

Diversified Energy closes $365M asset-backed securitization

Deal Description: Diversified Energy Co. announced Feb. 4 its closing of an asset-backed securitization with sustainability-linked features involving some of its Appalachian assets along with its midstream assets and revenue streams. The ABS note amount was $365 million with a fixed coupon of 4.875% and a scheduled fully-amortized maturity of November 2030. The assets were previously pledged as collateral under the company’s revolving credit facility led by KeyBank and are similar to assets securitized in the company’s previous ABS transactions. Diversified will use the proceeds to reduce its revolving credit facility borrowings and create more liquidity. CEO Rusty Hutson Jr. said it’s the company’s third ABS note. Birmingham, Ala.-based Diversified is an independent energy company engaged in the production, marketing and transportation of primarily natural gas related to its U.S. onshore upstream and midstream assets.

SPAC Kimbell Tiger announces closing of $230M IPO

Deal Description: Fort Worth-based Kimbell Tiger Acquisition Corp., a special purpose acquisition company and an indirect subsidiary of Kimbell Royalty Partners, announced Feb. 8 the closing of its initial public offering of 23 million units, including 3 million units sold under the underwriter’s over-allotment option, at a price of $10 per unit. The units began trading on the New York Stock Exchange under the ticker symbol “TGR.U” on Feb. 4.  TGR plans to search for a target in the North American energy and natural resources industry. The company is led by Zachary Lunn and includes other members of Kimbell’s management team. TGR’s sponsor, which is controlled by Kimbell, owns 20% of TGR’s issued and outstanding common stock.

Issuer’s Outside Counsel: White & Case led by partners Jason Rocha and AJ Ericksen. The team in Houston also included partner Chad McCormick and associates Rachel Collier, Fatima Hassan Ali, Neil Clausen and Yves Bramwell. Partner Daniel Nussen in Los Angeles also worked on the deal.

Notes: W&C’s Rocha represented Kimbell at his previous firm, Baker Botts, which he left last year.

Crescent Energy prices upsized $200M private placement of additional senior notes

Deal Description: Crescent Energy Co. announced Feb. 7 that its indirect unit Crescent Energy Finance priced its $200 million offering of 7.250% senior notes due 2026. The size of the offering was increased from the previously announced $150 million. The notes mature on May 1, 2026, pay interest at the rate of 7.250% per year on May 1 and November 1 of each year. The first interest payment is due on May 1, 2022. The notes are additional ones under the $500 million indenture issued on May 6 and will have substantially identical terms and will be treated as a single class of securities. The issuer intends to use the net proceeds from the offering to repay a portion of the amounts outstanding under its revolving credit facility. KKR-backed Crescent is a Houston-based independent energy company with assets in basins across the lower 48 states.
