CDT Roundup: 12 Deals, 8 Firms, 136 Lawyers, $9.3B

Good news on the M&A front.

In the first quarter just ended, deal volumes globally climbed 26 percent to about $712 billion, according to Dealogic data. U.S. M&A volumes did much better, jumping by 59 percent to $431.8 billion. The number of transactions worth more than $10 billion rose to 14, compared with 5 during the same period last year.

The quarter’s largest transactions were Capital One’s $35.3 billion purchase of Discover Financial, Synopsys’ $35 billion acquisition of Ansys and Diamondback Energy’s $26 billion merger Endeavor, which used Paul Weiss and Texas’ own Vinson & Elkins for outside counsel (with a team led by partners Doug McWilliams, Bryan Loocke and Jackson O’Maley).

At the time it was announced, the Diamondback-Endeavor deal was the fifth billion-dollar oil and gas transaction and the largest so far this year on a list that includes BlackRock/Global Infrastructure Partners ($12 billion) and Chesapeake/Southwestern ($7.4 billion), according to the Texas Lawbook‘s Corporate Deal Tracker.

The big M&A numbers from Dealogic point to a healthy market amid strong earnings and increasing stock prices, all against a backdrop of potential interest rate cuts this year. And dealmakers foresee a good M&A market leading up to the U.S. presidential election. After that, it’s anyone’s guess.

Easter Week was comparatively light on action with 12 transactions reported with eight M&A deals ($4.3 billion) and four capital markets issues ($5 billion) nearly splitting the week’s aggregate value of $9.286 billion.

That compares to 18 deals for $5.4 billion the week prior and 21 deals for $18.7 billion this same week last year. Before you drop your leftover chocolate bunny over that last year-over-year comparison, chalk in the realization that Easter eggs rolled a calendar week later in 2023. That week saw 18 transactions for $8 billion.

Ingersoll Rand buys ILC Dover from New Mountain Capital for initial $2.325B

Deal Description: Davidson, N.C.-based Ingersoll Rand Inc. announced March 25 it agreed to acquire ILC Dover from New Mountain Capital for $2.325 billion in cash and an earnout tied to the achievement of operating efficiency metrics this year. Ingersoll Rand said its new life sciences platform will have about $700 million in revenue operating as part of its precision and science technologies segment, which represents $1 billion in revenue. The deal adds new technologies for life science applications, including powder and liquid single-use solutions for biopharma and pharma, and niche solutions for the design and production of silicone, thermoplastic and specialty rubber components for medical devices, with about 75 percent of revenue from consumable replacement or recurring revenue streams. It expands Ingersoll Rand’s addressable market by more than $10 billion to a total of $65 billion in fragmented market segments with sustainable growth. New York-based New Mountain manages private equity, credit and net lease investment strategies with $50 billion in assets under management.

Blue Yonder buys One Network for $839 Million 

Deal Description: Blue Yonder, a Scottsdale, Ariz.-based subsidiary of Panasonic Holdings, announced March 29 it agreed to buy One Network Enerprises, a Dallas provider of intelligent control towers for digital supply chains, for $839 million. Upon the deal’s completion, Blue Yonder said it will be well positioned to serve customers’ needs across planning, execution, commerce and networks. Founded in 2002 by Greg Brady, One Network has 150,000 trading partners. One Network’s customers include PepsiCo, Tom Thumb, Albertson’s, Aldi, Bayer Crop Sciences, Telstra, XPOLogistics, Ghana’s Ministry of Health and the U.S. Department of Defense. The deal will mark around $1 billion in M&A investments by Blue Yonder since the fourth quarter, including flexis AG, which offersfactory planning, sequencing and slotting capabilities, and Doddle, which provides returns management and reverse logistics solutions.

CPS Energy buys gas plants in Corpus Christi, Laredo From Talen Energy for $785M

Deal Description: CPS Energy and Talen Energy Corp. announced March 27 an agreement for CPS Energy to acquire Talen’s 1,710-megawatt generation portfolio located in the south zone of the Electric Reliability Council of Texas (ERCOT) market for $785 million. The assets include natural gas plants in Corpus Christi and Laredo. Under the deal terms, CPS Energy will acquire all assets associated with Talen’s 897 megwatt Barney Davis and 635 megawatt Nueces Bay natural gas-fired generation facilities, both in Corpus Christi, and its 178 megawatt natural gas-fired generation facility in Laredo. The action supports CPS Energy’s generation plan, approved in 2023 by its board. It secures an additional 1,710 megawatts of power for the greater San Antonio community and will be available as soon as this summer. The addition of the units aligns with the generation plan, which includes the retirement of older units and the addition of a blend of gas, solar, wind and energy storage. CPS Energy’s Vision 2027 plan includes its generation plan that contemplates the retirement of 2,249 megawatts of older and inefficient dispatchable generation capacity before 2030. CPS Energy has added 730 megawatts of solar energy and 50 megawatts of energy storage to date as part of its generation plan, with an additional megawatts of energy storage RFP in the works. The plants in Corpus Christi and Laredo are expected to be operational for the next 25 years.

WhiteWater/I Squared, MPLX, Enbridge combine pipelines in JV, Enbridge contributes $350M

Deal Description: WhiteWater/I Squared, MPLX and Enbridge Inc. announced March 26 they entered into a definitive agreement to combine the Whistler and Rio Bravo pipeline projects in a newly formed joint venture. Terms weren’t disclosed, although Enbridge said separately it will contribute its wholly-owned Rio Bravo project and $350 million in cash to the JV and will fund the first $150 million of the post-closing capex to complete the project. After closing, the ownership in the JV will be WhiteWater/I Squared (50.6%), MPLX (30.4%) and Enbridge (19%). Enbridge will keep a 25 percent economic interest in the Rio Bravo as part of its investment. WhiteWater will continue to operate the JV’s assets, including the Rio Bravo. The platform will provide benefits to the JV’s customers by connecting Permian supply to LNG export markets via Rio Bravo’s connectivity with NextDecade’s Rio Grande LNG facility. Its creation also is expected to support the development of pipeline projects connecting Permian supply to export markets along the Gulf Coast. Miami-based I Squared is an infrastructure investment manager with more than $38 billion in assets under management. WhiteWater is based in Austin while publicly traded Enbridge is headquartered in Calgary, Alberta, and MPLX is based in Findlay, Ohio.

Southwest Airlines acquires SAFFiRE Renewables

Deal Description: Southwest Airlines Co. announced March 28 the acquisition of SAFFiRE Renewables as part of the investment portfolio of its wholly owned unit Southwest Airlines Renewable Ventures. Terms weren’t disclosed. SARV is dedicated to creating more opportunities for Southwest to obtain scalable sustainable aviation fuel (SAF). SAFFiRE is part of a project supported by the Department of Energy to develop and produce scalable renewable ethanol that can be upgraded into SAF. SAFFiRE expects to use technology developed at the DOE’s National Renewable Energy Laboratory to convert corn stover, a widely available agricultural residue feedstock in the U.S., into renewable ethanol. Southwest first invested in SAFFiRE during phase one of the pilot project in 2022. The acquisition of SAFFiRE comes shortly after Southwest announced an investment in LanzaJet, a SAF technology provider and producer with an ethanol-to-SAF technology and the world’s first ethanol-to-SAF commercial plant.

Beacon completes divestment

Deal Description: Houston-based Beacon Offshore Energy announced March 29 the completion of the sale of its non-operated field interests in the deepwater Gulf of Mexico in accordance with a previous agreement with GOM 1 Holdings Inc., an affiliate of O.G. Oil & Gas Ltd. Terms weren’t disclosed. The divestment includes Beacon’s 18.7 percent of the Buckskin producing field, 17 percent of the Leon development, 16.15 percent of the Castile development, 0.5 percent of the the Salamanca FPS/lateral infrastructure and 32.83 percent of the Sicily discovery. Beacon chairman and CEO Scott Gutterman said with the completion of the sale, the company will be able to allocate all of its focus and resources to its deep inventory of operated properties, including Shenandoah and Winterfell, and expects to deliver material production and cash flow growth beginning in the second quarter and continuing through 2025.

ACP managing partner Rob Langley, operating partner Ervin Cash, VP Dave Modi and associate Ben Bryles worked alongside partner Matt Beesley on the transactions.

Deal Description: Austin-based Abrigo, a portfolio company of Carlyle and Accel-KKR, announced March 27 it acquired TPG Software, a Houston investment accounting and management company. Terms weren’t disclosed. The acquisition marks the latest in a series of investments by Abrigo to help financial institutions streamline risk and accounting management processes while ensuring internal and regulatory compliance.

Rexford Industrial Realty raises $1.84B in CapM transactions

Deal Description: Los Angeles-based Rexford Industrial Realty Inc. announced March 26 that it priced an $841 million underwritten public offering of nearly 17.2 milion shares of its common stock in connection with a forward sale agreement. The shares were sold to an existing long-only investor based on the West Coast at a price per share of $48.95. The closing was expected to occur on March 28. BofA Securities is acting as the sole book-running manager for the offering. The company won’t receive any proceeds from the sale of shares by the forward purchaser. Separately, the company also announced that its operating partnership priced its offering of $500 million in exchangeable senior notes due 2027 and $500 million in exchangeable senior notes due 2029. The exchangeable notes will be fully and unconditionally guaranteed, on a senior, unsecured basis, by the company. The operating partnership also granted the initial purchasers of the exchangeable notes a 30-day option to purchase up to an additional $75 million in 2027 notes and $75 million in 2029 notes to cover over-allotments. The completion of the offering of the common isn’t contingent on the completion of the offering of the notes and visa versa.

Marathon Oil prices $1.2B senior notes offering

Deal Description: Marathon Oil Corp. announced March 26 that it priced a $1.2 billion offering of senior notes, consisting of $600 million in 5.300% senior notes due 2029 and $600 million in 5.700% senior notes due 2034. The company intends to use the net proceeds from the offering, together with cash on hand, to fund the repayment in full of outstanding borrowings under its term loan facility. The offering was expected to close on March 28. J.P. Morgan Securities, Morgan Stanley & Co., Mizuho Securities USA, MUFG Securities Americas Inc. and SMBC Nikko Securities America Inc. are book-running managers for the offering.

Matador Resources prices $347M common stock, $900M senior notes offering

Deal Description: On March 25, Matador Resources Co. announced the pricing of its underwritten public offering of 5.25 million shares of its common stock. The estimated gross proceeds before offering fees and expenses are about $347.3 million. The equity offering was expected to close by March 28.  Matador intends to use the net proceeds from the equity offering for general corporate purposes, which may include, among other things, the funding of acquisitions and the repayment of borrowings outstanding under Matador’s revolver. On March 26, Matador also announced the pricing of its upsized offering of $900 million of its 6.500% senior notes due 2032. The notes offering is expected to close by April 2.  Matador intends to use the net proceeds from that offering to repurchase $699.2 million outstanding of its 5.875% senior notes due 2026 through a cash tender offer and to pay related premiums, fees and expenses in connection with the tender offer and for general corporate purposes, which may include the funding of acquisitions and the repayment of borrowings outstanding under Matador’s revolver.

Crescent Energy prices $700M private placement of senior notes

Deal Description: Crescent Energy Co. announced March 19 that its indirect subsidiary Crescent Energy Finance priced its previously announced private placement of $700 million in 7.625% senior notes due 2032. The notes mature on April 1, 2032 and pay interest at 7.625% per year payable on April 1 and Oct. 1 of each year. The first interest payment on the notes will be made on Oct. 1, 2024. The offering was expected to close on March 26. The issuer intends to use net proceeds from this offering, together with additional borrowings under the revolving credit facility, to purchase for cash any and all of its outstanding 7.250% senior notes due 2026 and fund the full redemption of any 2026 notes not purchased in the tender offer.

MNC Capital Partners, a Dallas family office headed by Mark Gottfredson, said March 25 it increased its takeover offer for sporting goods and ammunition manufacturer Vista Outdoor to $37.50 per share in cash, or $3 billion. Vista’s stock was trading below $30 per share when MNC made its initial proposal on Feb. 19, MNC noted, and said its new proposal values Revelyst at $1.1 billion, a 93 percent premium to Vista’s $570 million implied standalone value from its investor presentation Feb. 1. A MNC transaction wouldn’t be subject to a financing contingency or review from Committee on Foreign Investment in the U.S., MNC said. Vista said it received the new offer and its board was reviewing it. The Anoka, Minn.-based Vista had rebuffed MNC’s earlier offer, claiming the bid significantly undervalued the company. Vista announced in October it’s selling its sporting goods business to privately held Czech defense and civil manufacturing firm Czechoslovak Group for $1.91 billion. Gottfredson resigned from Vista’s board in January. Morgan Stanley & Co. is financial advisor to Vista and Cravath, Swaine & Moore is legal advisor. Moelis is financial advisor to the independent directors of Vista and Gibson, Dunn & Crutcher is legal advisor.

Sidley Austin said March 28 it represented NRG Energy Inc. on its power purchase agreement to supply the City of Houston with 100 percent renewable electricity. Swift Current Energy’s 260 megawatt Tres Bahias Solar project, located on the Gulf Coast of Texas, is now powering City of Houston facilities through a PPA with an affiliate of NRG Energy. The Sidley deal team members were partners Robert Stephens and Jessica Adkins in Houston. Vinson & Elkins and Husch Blackwell represented Swift Current Energy and Willkie Farr & Gallagher and Jackson Walker represented Morgan Stanley Renewables Inc.

Kendra Scott, an Austin-based jewelry brand backed by Berkshire Partners, is seeking new capital, according to a March 25 report by Axios. Jackson Walker counseled Kendra Scott on the investment from Berkshire in 2017.

EnCap Investments is looking to sell Uinta-focused XCL Resources, Reuters reported March 28, citing sources, who told the news agency that the company could be worth at least $2.8 billion, including debt.

Phillips 66 is exploring a sale of its quarter stake in the Rockies Express pipeline, Reuters reported, citing sources. The stake’s book value is $451 million and a buyer would have to assume more than $500 million in associated debt, meaning the stake could fetch an enterprise value of well over $1 billion, the sources told the news agency.
