My, how the mighty M&A machine has fallen.

Worldwide M&A activity totaled $1 trillion in the first quarter of 2022, down 23 percent compared with the same period last year, according to figures from Refinitiv. The amount marks the slowest opening period for deal making since 2020.

By deal count, global deal making has decreased 19 percent so far this year, the slowest in two years, Refinitiv said. But global M&A for deals greater than $10 billion actually increased 46 percent versus the same period last year, while deals between $1 billion to $5 billion have fallen 41 percent compared with a year ago. 

Refinitiv also noted that acquisitions by SPACs accounted for 3 percent of first quarter M&A activity, down significantly from 17 percent during the same period in 2021.

Despite all of the doom and gloom, the first quarter of 2022 marked the seventh consecutive quarter to surpass $1 trillion for global dealmaking, despite registering a 35 percent decrease from the fourth quarter of 2021, which ranked as the second largest quarter since records began, Refinitiv said. Moreover, the span of seven consecutive quarters greater than $1 trillion marks the longest stretch for $1 trillion-plus quarters since records began in 1980.

Technology, financials, real estate and energy/power lead first quarter deals. Technology accounted for a record 26 percent of global M&A so far this year, followed by the financial and real estate sectors, with each accounting for 13 percent of the total.

Private equity-backed M&A activity was also on fire during the period totaling $288.2 billion, a 17 percent increase compared with last year. Indeed, private equity-backed buyouts accounted for a record 29 percent of overall M&A so far this year, up from 19 percent during year-to-date 2021. 

Matt Toole, director of Refinitiv Deals Intelligence in New York, said that the dealmaking environment has changed dramatically over the last three to six months, as world conflict, volatile stock markets and economic indicators have clearly caused boardrooms to evaluate the new landscape. 

“Despite the headlines, the fundamental drivers of deal making are still the same, with strong corporate balance sheets, historically low interest rates and the continual search for growth and expansion,” he said. 

While pitching the strategic rationale for a transaction to shareholders and regulators may be more challenging, Toole said, he continues to see strength in certain areas of the market, particularly in technology, private equity buyouts and mega deals.

For the week ending April 2, there were 13 deals for a total reported value of $1.8 billion. Those deals included 10 M&A deals worth $1.5 billion and three capital markets transactions for $610 million. The aggregate deal value is the lowest of 2022.

DigitalBridge acquires Telenet’s mobile telecom tower business for $820M

Deal Description: Florida-based DigitalBridge Group Inc. announced March 25 that its affiliate, DigitalBridge Investment, entered into an agreement to acquire Telenet Group Holding’s mobile telecommunication tower business made up of more than 3,300 sites for €745 million in cash ($820 million). The combination will create the first independent tower company in Belgium. The transaction is being funded via a combination of debt and equity financing, including a commitment from the DigitalBridge balance sheet of €470 million ($517 million). DigitalBridge intends to transfer its ownership to a fund affiliated with DigitalBridge’s investment management platform. DigitalBridge will enter into a master lease agreement with Telenet, which includes an initial period of 15 years and two renewals of 10 years each and a build-to-suit commitment to deploy a minimum of 475 additional new sites.

Mount Rainier Acquisition buys HUB Security for $250M

Deal Description: HUB Cyber Security (Israel) Ltd., a Tel Aviv-based based developer of confidential computing cybersecurity solutions and services, and Mount Rainier Acquisition Corp., a U.S. publicly traded special purpose acquisition company, announced March 23 that they agreed to combine. The combination implies an enterprise value of about $1.28 billion, providing HUB with up to around $200 million in additional cash assuming no redemptions by Mount Rainier’s public stockholders. HUB entered into subscription agreements with Israeli and American institutional investors for gross proceeds of about $50 million through a private placement. The combined company will operate under the “Hub Security” name and is expected to be listed on Nasdaq under the new ticker symbol “HUBC. The deal represents enough capital to fund HUB’s business plan and acquisitions. HUB shareholders will keep 100 percent of their equity and will continue to own about 81 percent of the combined company and founder and CEO Eyal Moshe will continue to own around 7 percent assuming no redemptions.

USD Partners buys Hardisty South terminal assets from USD Group for $75M, shares

Deal Description: USD Partners announced March 28 that it agreed to acquire entities owning the Hardisty South terminal assets from USD Group in exchange for USD Group’s economic general partner interest in the partnership for a non-economic one, thus eliminating USD Group’s incentive distribution rights, for a total consideration of $75 million in cash and about 5.75 million common units. The cash portion is expected to be funded with borrowings under the partnership’s $275 million senior secured credit facility. The deal is expected to increases the size, scale and capacity of the partnership’s asset base; provide double-digit accretion to its distributable cash flow per unit in 2023; and simplify its financial structure and better align the interests of its unitholders with USD Group, which will continue to own 52 percent of the total outstanding units post-transaction.

Goldman Sachs Renewable Power acquires solar project Slate in California

Deal Description: Goldman Sachs Renewable Power (GSRP) announced March 15 the acquisition, tax equity and construction loan financing of the Slate solar and energy storage project, one of California’s largest Integrated solar and energy storage projects. The project is supported by power purchase agreements with five California-based organizations: Bay Area Rapid Transit, Central Coast Community Energy, the Power and Water Resources Pooling Authority, Silicon Valley Clean Energy and Stanford University. The 390 megawatt solar and storage project is now in operation.

Notes: The deal are among more than a dozen transactions in which V&E has advised GSRP, including the $350 million solar portfolio acquisition from Marina Energy, a unit of South Jersey Industries.

Whiptail buys DJR Energy’s gathering systems in San Juan Basin 

Deal Description: Tulsa-based Whiptail Midstream announced March 21 that the company acquired the oil, gas and water gathering assets of DJR Energy in the Gallup oil window of the San Juan Basin. Terms weren’t disclosed. DJR is backed by Trilantic Capital Management, Waveland Energy Partners and Global Energy Capital. As part of the transaction, DJR agreed to a long-term dedication of its leasehold acreage for oil, natural gas and water production to Whiptail. The acquisition more than doubles Whiptail’s dedicated acreage, miles of pipeline and production flowing on its assets. The company now has more than 475,000 dedicated acres and nearly 525 miles of pipeline in the San Juan Basin.

EIG, Fluxys pick up 80% GNL Quintero

Deal Description: EIG and Fluxys announced they had acquired an 80 percent equity stake in GNL Quintero from Enagas Chile SpA and affiliates of OMERS Infrastructure. GNL Quintero is the largest liquefied natural gas regasification terminal in Chile, which is trying to move away from coal. Operational since 2009, the terminal benefits from its strategic location in Quintero Bay, supplying customers in central Chile across residential, commercial, industrial, transportation and power generation sectors. The terminal owns 75 percent of the country’s LNG regasification capacity and in 2021, 67 percent of the total natural gas imports (both LNG and pipeline imports) arrived in Chile through the asset. EIG already owns Cerro Dominador, a solar complex in Chile.

Heliogen, Woodside announce commercial-scale demo project

Deal Description: Heliogen Inc. and Woodside Energy (USA) Inc., a unit of Australia’s Woodside Petroleum Ltd., announced March 28 a project agreement for the commercial-scale demonstration deployment of Heliogen’s AI-enabled concentrated solar energy technology proposed to be built in Mojave, California. The agreement follows the previously announced limited notice to proceed granted by Woodside to Heliogen to begin procurement of equipment for the deployment of a commercial scale, single-module 5 megawatt electric facility. Heliogen will complete the engineering, procurement and construction of the facility, with construction expected to begin once permits are approved. The two companies agreed to include the scope and associated funding from Heliogen’s $39 million award from the U.S. Department of Energy to deploy Heliogen’s renewable energy technology in California. Heliogen and Woodside Energy Technologies Pty. Ltd also signed a collaboration agreement to jointly market Heliogen’s technology in Australia. Woodside has set a $5 billion investment target by 2030 for new energy products and lower-carbon services.

Anovion launches with assets of Amsted Graphite, Pyrotek

Deal Description: Anovion launched March 25 through the combination of assets contributed by affiliates of Amsted Graphite Materials of West Virginia and the acquisition of Pyrotek’s battery materials division in New York and Washington state. Terms weren’t disclosed. The businesses create a leader in North America’s rapidly growing battery materials supply chain and the largest commercially operational production capacity of synthetic graphite anode material in the U.S. Synthetic graphite is the material in the anode of lithium-ion batteries used in electric vehicles, which are already found in consumer electronics, defense applications and stationary storage for electric grids. The investor group supporting Anovion includes affiliates of Amsted Industries and Monomyth Group of Chicago.

Canes Midstream acquires Cogent Midstream

Deal Description: EIV Capital-backed Canes Midstream Holdings of Dallas bought Cogent Midstream from Encap Flatrock Midstream. No terms were given. The deal closed March 3. Cogent’s assets in the Midland Basin include more than 796 miles of pipeline in operation and five active natural gas processing plants. Current services include low-pressure gas gathering, compression and processing; crude oil gathering by pipeline and third-party condensate stabilization. In April 2019, Cogent announced plans to construct a 25-mile pipeline to deliver residue gas from the Big Lake complex to Kinder Morgan’s Gulf Coast Express Pipeline, which came into service in November 2019.

Thomas H. Lee Partners acquires Intelligent Medical Objects

Deal Description: Thomas H. Lee Partners announced March 31 that it agreed to acquire a majority interest in Intelligent Medical Objects, a healthcare data and clinical terminology solutions provider. The seller was Warburg Pincus. Terms were not disclosed. THL’s investment will support IMO’s product development and expanded commercial relationships with hospitals and other health care providers. Founded in 1994, IMO manages 5 million clinical terms and maps to all major coding systems. Its software products, used by 740,000 physicians daily, help hospitals minimize clinician burnout, reduce unnecessary care and charges, optimize billing and reimbursement, streamline data management and inform better care. The company’s newer offerings help improve data quality by streamlining clinical workflows and standardizing patient condition and treatment data.

Hess Midstream signs $400M sponsor unit repurchase

Deal Description: Hess Midstream announced March 29 the execution of a definitive agreement providing for the repurchase of $400 million in Class B units by its unit, Hess Midstream Operations, from affiliates of Hess Corp. and Global Infrastructure Partners, its sponsors. The terms of the proposed unit repurchase transaction were unanimously approved based on the recommendation of its conflicts committee made up solely of independent directors. Hess Midstream CFO Jonathan Stein said the action demonstrates its financial flexibility and commitment to consistent and ongoing return of capital to our shareholders.

ChargePoint partners with Goldman Sachs Renewable Power to provide financing options

Deal Description: ChargePoint, a electric vehicle charging network, announced March 29 a partnership with Goldman Sachs Renewable Power (GSRP) that will introduce new financing solutions to reduce upfront costs of EV charging technology for eligible customers. The new financed option enables customers to pay for charging infrastructure as an operational expense and the turnkey option enables customers offering public charging to host a station at zero cost to them. GSRP is part of Goldman Sachs Asset Management, one of the world’s top managers with about $2 trillion in assets under supervision globally as of Dec. 31.

Ellington Financial closes offering of $210M in senior unsecured notes
