New York-based BlackRock is the world’s largest asset manager, with a mind-boggling $9.42 trillion in assets under management as of June 30.
As part of BlackRock Alternatives, the behemoth has become big in infrastructure — $47 billion worth — that it has broken into five buckets: debt, climate, diversified, solutions and listed.
Any law firm would be clamoring to win BlackRock’s business, but one firm that has a presence in Texas, Simpson Thacher & Bartlett, stands out as handling a large chuck of their deals (others include Latham & Watkins and Kirkland & Ellis).
Simpson Thacher was involved in last week’s transaction in which BlackRock’s diversified infrastructure business, which has $9 billion in assets, partnered with Edmonston-headquartered Capital Power Investments to buy the Harquahala natural gas-fired generation facility in Arizona (see below). The seller was Plano-based CSG Investments, a unit of Beal Financial Corp.
Combined with Capital Power’s acquisition of La Paloma power plant, the deal would make the Canadian company one of North America’s largest natural gas generators.
Co-leading the STB team were M&A partners Eli Hunt, Chris May and Katy Lukaszewski, who joined the firm just this past September from Sidley Austin in Houston.
New York-based Hunt is co-head of the firm’s energy and infrastructure practice (with Breen Haire in Houston) and has handled a lot of BlackRock’s power plant and renewable energy deals. But Houston-based May has worked on many transactions for BlackRock as well, including its purchase last year of Austin-based Jupiter Power, a U.S. developer and operator of utility-scale battery platforms.
The holiday-shortened week included 9 deals reported at a total value of $4.8 billion, with six M&A transactions for $1.8 billion and three capital markets issues valued at $3 billion. We won’t bother to compare that with last week’s 22 deals for $6.6 billion (guess we let that one slip), but it does compare quite favorably to last year’s Thanksgiving week, which included only eight deals for $2.3 billion.

Capital Power buys gas generation plants from Beal Financial’s CSG for $1.1B
Deal Description: Canada’s Capital Power Corp. announced Nov. 20 that it entered into two separate definitive agreements with CSG Investments Inc., a unit of Beal Financial Corp., to acquire 100 percent of the equity interests in CXA La Paloma, which owns the 1,062 megawatt La Paloma natural gas-fired generation facility in Kern County, California, and 100 percent of the equity interests in New Harquahala Generation Co., which owns the 1,092 megawatt Harquahala natural gas-fired generation facility in Maricopa County, Arizona. The Harquahala deal is being done by a newly formed 50/50 partnership between Capital Power Investments and an affiliate of a fund managed by BlackRock’s diversified infrastructure business. The $1.1 billion acquisition will be immediately accretive to adjusted funds from operations per share. Net proceeds from Capital Power’s concurrent $400 million subscription receipt offering is expected to fully address the planned discrete equity funding for the acquisitions. The remaining funding requirements are expected to be addressed via senior and hybrid debt financing at the corporate level if market conditions are right.

Motiva sells 25 Liquid Energy Terminals to Global Partners for $305.8M
Deal Description: Porter Hedges said Nov. 20 it advised Motiva Enterprises in its sale of 25 liquid energy terminals along the Atlantic Coast, in the Southeast and in Texas, to Global Partners for $305.8 million. Global Partners announced the deal Nov. 9. Wholly owned by Aramco, Motiva is a Houston-based company that refines, distributes and markets petroleum products throughout the Americas. Global Partners is one of the northeast region’s largest independent owners, suppliers and operators of gasoline stations and convenience stores.

Northern Oil & Gas acquires bolt-on acreage in Delaware Basin for $174M
Deal Description: Northern Oil and Gas Inc. (NOG) announced Nov. 21 a definitive agreement with an unnamed private party to buy non-operated interests across 3,000 net acres primarily in Lea and Eddy Counties, New Mexico, for $170 million in cash and 107,657 shares of common stock recently worth more than $4 million. NOG owns existing interests in 90 percent of the leasehold. The acquired assets include 13 net producing wells, 1 net well in process and an estimated 26.3 net undeveloped locations, representing 13.5 years of inventory at sustaining capital levels. NOG placed a $17.1 million deposit for the purchase with the balance of the funding to occur at closing.

TechnipFMC sells measurement solutions unit to One Equity for $205M
Deal Description: TechnipFMC announced Nov. 20 an agreement to sell the company’s measurement solutions business to One Equity Partners for $205 million in cash. As part of the surface technologies segment, the measurement solutions business encompasses terminal management and metering products and systems and includes engineering and manufacturing locations in North America and Europe. Doug Pferdehirt, chair and CEO of TechnipFMC, said this transaction reflects TechnipFMC’s portfolio strategy to focus on its core products and market-leading technologies as well as integrated solutions and services for its clients.

Vista-backed Acquia buys Monsido platform from CivicPlus
Deal Description: Acquia and CivicPlus announced Nov. 14 that Acquia has agreed to acquire the Monsido platform, CivicPlus’ website accessibility and optimization solution. Terms weren’t disclosed. Acquia is backed by Vista Equity Partners, a global investment firm focused on enterprise software, data and technology-enabled businesses. Monsido is an SaaS platform for monitoring and perfecting website accessibility, content quality, search engine optimization, data privacy and performance. The acquisition expands the capabilities of Acquia’s open digital experience platform, Acquia DXP.

MidOcean acquires Smith System
Deal Description: MidOcean Partners, a New York-based alternative asset manager specializing in middle-market private equity and alternative credit investments, announced Nov. 7 that it acquired Smith System Driver Improvement Institute Inc., a B2B workplace safety training platform and a provider of driver safety training for commercial fleets, from Levine Leichtman Capital Partners. Terms were not disclosed. Founded in 1952, Arlington, Texas-based Smith System established the first professional driver training company in the U.S. and now has 20 percent of the Fortune 500. The company offers its instruction resources in more than 22 languages and 100 countries worldwide.

Western Midstream negotiates $2B commercial paper program
Deal Description: Sidley Austin said Nov. 21 it represented Western Midstream Partners through its subsidiary, Western Midstream Operating, in the negotiation of its commercial paper program of up to $2 billion in short-term notes. The closing was Nov. 16.

Nabors issues $650M in senior priority guaranteed notes
Deal Description: Nabors Industries Ltd. announced Nov. 15 that Nabors Industries Inc. priced $650 million in senior priority guaranteed notes due 2030. The Notes will bear interest at an annual rate of 9.125 percent and are being offered to investors at an initial price of 100% of par. The notes will be fully and unconditionally guaranteed by Nabors and certain of Nabors’ indirect wholly-owned subsidiaries. The sale closed on Nov. 20 and is expected to result in $641 million in net proceeds to Nabors after deducting offering expenses. Nabors intends to use the net proceeds to retire its outstanding 5.75 percent senior notes due 2025. The remaining net proceeds will be used for general corporate purposes.

LGI Homes prices $400M in senior notes
Deal Description: The Woodlands-based LGI Homes Inc. announced Nov. 17 that it priced its previously announced offering of $400 million in unsecured senior notes due 2028. The notes will bear interest at a rate of 8.750% per annum. The notes will be initially guaranteed on a senior unsecured basis by the company’s subsidiaries that guarantee its obligations under its revolving credit facility. The sale was expected to be completed on Nov. 21. The company intends to use the net proceeds to repay a portion of the outstanding borrowings under its revolver.

Gibson, Dunn & Crutcher said Nov. 21 it is advising USD Partners on its amendment to the existing revolving credit agreement along with USD Terminals Canada ULC, an indirect, wholly-owned subsidiary of the partnership.
