Say what you will about the Texas energy grid (and many exercise that right on a daily basis), but Texas is being noticed for making significant headway on its use of renewables — not just in wind-generated electricity where its long been a leader, but this time in solar.
Preqin, the alternative investments data analysts, noticed last week that solar had surpassed coal in the state’s generation of utility scale electricity. That milestone was reached for the first time in March, according to the Electric Reliability Council of Texas, but the irony apparently took some time to settle in.
In recent years state government has sought to protect legacy oil and gas production politically. In 2021, the Texas state legislature passed laws that restricts state government investment in companies whose policies, in effect, boycott fossil fuels. In that same session the Texas Senate killed Chapter 313, a program that discounted local property taxes for companies relocating to Texas. The reason: Lt. Gov. Dan Patrick’s contention that the program had disproportionately benefitted “renewable windmills.”
But money talks and, as Preqin notes, Texas has outpaced California in the volume of renewable energy deals every year since 2019 with private capital investment in renewables totaling $1.3 billion just this year.
Preqin cites investments in Texas by WEC Energy Group ($709M), Longroad Energy Holdings ($682M), and Terna Energy ($620M) as among the largest in the past decade.
But that’s just part of the story. Texas lawyers are heavily involved in renewables transactions regardless of location.
According to The Lawbook‘s Corporate Deal Tracker data, Texas lawyers so far this year have been involved in 45 individual transactions involving renewable energy or storage projects with reported values of more than $16 billion. The projects described in those deals range from aviation biofuels development in California to wind farms off the coast of Rhode Island. And in 20 of those 43 transactions terms were undisclosed, so the aggregate value of those deals is likely far higher.
In addition to weather and topography highly suited for wind and solar projects, Preqin notes that the Lone Star State has a deregulated grid and regulatory structure that “dramatically reduces time required to obtain project permits.”
But it also has, for the most part, a climate for investment. And maybe it’s time to recognize what Texas deal lawyers already seem to know: that money pretty much speaks for itself. And what it’s saying is: “Energy is energy — regardless of the source.”
The week ending Aug. 31 saw a baker’s dozen deals valued at $20.6 billion, which include 12 M&A deals valued at $14.8 billion. Last week, by comparison, saw 19 deals valued at $8.5 billion. Be glad about that. Last year, the week before Labor Day, registered 14 deals valued at $2.5 billion. And only $1.3 billion of that was in M&A.

KKR completes $4.7B acquisition of Varsity Brands
Deal Description: Varsity Brands announced Aug. 26, the completion of its $4.7 billion sale from Bain Capital and Charlesbank Capital Partners to KKR. The deal was originally announced in July. Varsity Brands, originally founded in Dallas as a provider of cheerleading programs and gear, is a team sports distributor platform providing uniforms, gear, competitions, experiences, training and education programs to more than 150,000 schools and sports organizations nationwide. Bain acquired Varsity Brands from Charlesbank and Partners Group in 2018 for about $2.5 billion. Last year Reuters reported that Bain was exploring the possibility of taking the company public. KKR is investing primarily through its North America Fund XIII.

ONEOK acquires GIP interest in EnLink Midstream for $3.3B
Deal Description: As announced on Aug. 29, Tulsa-based ONEOK Inc. will purchase Global Infrastructure Partners’ 43 percent stake in Dallas-based EnLink Midstream for $3.3 billion, which includes $300 million for GIP’s managing member. ONEOK acquires Medallion Midstream from GIP for $2.6B
Deal Description: In a related transaction, ONEOK is also buying Irving-based Medallion Midstream, the Permian Basin’s largest privately held crude gathering and transportation network, from New York-based GIP for $2.6 billion. McKesson to acquire majority of Community Oncology for $2.49B
Deal Description: Healthcare management provider, Irving-based McKesson Corp., announced Aug. 26, its agreement to acquire a 70 percent controlling interest in Community Oncology Revitalization Enterprise Ventures (Core Ventures), a physician-owned administrative platform established by Florida Cancer Specialists & Research Institute. Florida Cancer Specialists will retain a 30 percent interest. FCS is a practice with more than 250 physicians and 280 practice providers across 100 locations in Florida. FCS will continue to remain a private practice, but will join The US Oncology Network, McKesson’s national network of oncology providers.

CenterOak Partners closes third fund with $1.1 billion
Deal Description: CenterOak Partners, the Dallas-based private equity fund, announced Aug. 26, the oversubscribed closing of its CenterOak Equity Fund III with $1.1 billion. CenterOak now manages $2.5 billion of equity capital commitments for investment in consumer, business and industrial services and platforms.

Australian sheep and wool firm goes public via $510M SPAC merger
Deal Description: Australian Food & Agriculture Company (AFA), a provider of sheep and wool products, announced Aug. 28 its de-SPAC merger with Agriculture & Natural Solutions Acquisition Corp, a blank check company sponsored by Riverstone Investment Group. The deal values the combination at $510 million with the ANSC SPAC contributing from its trust account reported at $356.9 million. AFA was established in 1993 in Australia as a diversified agricultural business by Collin Bell. Riverstone is an affiliate of Riverstone Holdings, a New York investor concentrating on decarbonization projects in energy, power, infrastructure and, recently, agriculture. Crypto-lender Arch Lending secures $75M in funding
Deal Description: On Aug. 22, New York-based Arch Lending announced that it had raised $75 million in new funding, including a $5 million equity seed round and a $70 million credit facility. The equity round, a crypto-backed loan provider, was co-led by Morgan Creek Digital and Castle Island Ventures with participation from Galaxy Ventures and Bitgo Ventures, among others. The loan facility was provided by Galaxy to enable lending back by Bitcoin, Ethereum and Solana. The structure is designed to grow, without rehypothecation, as crypto securitization becomes feasible. “We’ve witnessed first-hand the rise in demand for borrowing against crypto collateral as the asset class has matured. Individual and institutional investors alike seek a trustworthy platform to provide this valuable service, the first step in Arch’s offerings,” said Dhruv Patel, Arch co-founder and CEO. Arch was founded in February 2022.

Groendyke Transport acquires Linden Bulk Transportation
Oklahoma-headquartered Groendyke Transport announced Aug. 19, its acquisition of the tank truck assets of Linden Bulk Transportation from Depot Connect International. Linden Bulk, founded in 1982, has seven locations in six states. The acquisition, whose terms were undisclosed, expands Groendyke’s footprint across Ohio, Pennsylvania and New Jersey. When the deal closes, which is expected on Sept. 23, Groendyke will possess terminals in 18 different states.

Citation Capital acquires majority stake in Aptive Environmental
Deal Description: Citation Capital announced Aug. 27 that it is acquiring a majority stake in Aptive Environmental, one of the fastest-growing pest control firms in the nation. Since its launch in 2015, Aptive is now ranked as the fifth largest pest firm in the nation, serving over a half-million residences across 34 states. Headquartered in Dallas with an office in Greenwich, Conn., Citation Capital was founded in 2023 by Goldman Sach veteran Tiffany Hagge and Lydie Hudson, a former sustainability expert at Credit Suisse.

Competitive Power Ventures Group snags investment from Harrison Street
Deal Description: Competitive Power Ventures Group announced Aug. 18, that Harrison Street, a Chicago-based PE investor, is acquiring a one-third interest in its affiliate, CPV Renewable Power and its utility scale renewable energy projects. The Harrison Street investment will support and help accelerate nine operating and under construction projects that together total over 700 MW-ac of wind and solar capacity, sufficient to power over 570,000 households. CPV Renewables also has identified a near-term pipeline totaling approximately 4 GW-ac and consisting of more than 15 wind, solar, and co-located battery storage projects.

Power Sustainable Energy acquires 50% interest in California solar project
Deal Description: Power Sustainable Energy Infrastructure Inc. the renewable energy infrastructure investment group of Canada’s Power Sustainable, announced Aug. 26 the closing of a strategic 50% investment in the Desert Quartzite project, a 300 MW solar generation and a 150 MW battery energy storage facility currently under development by EDF Renewables North America in Riverside County, California. The investment was executed with Potentia Renewables Inc., PSEI’s integrated renewable energy developer and operator.

Highland-backed SFERRA to acquire Antica Farmacista
Deal Description: SFERRA Fine linens, a portfolio company of Dallas-based Highland Partners, announced Aug. 30 its acquisition of luxury fragrance brand Antica Farmacista, SFERRA plans to introduce the home ambiance infuser to the U.S. market. Antica Farmacista’s operations will continue to be based in Seattle, Wash. Its co-founders, Shelly Callaghan and Susanne Pruitt, along with its other employees, will be managed by SFERRA. SFERRA sells its luxury linens under the SFERRA and Pratesi brands.

TC Energy affiliate issues $5.9B in notes to support spinoff
Deal Description: Calgary-headquartered TC Energy Corporation announced Aug. 28 that its South Bow Corporation has closed an offering of various notes issues valued at an aggregate CAD$7.9 billion (US$5.856 billion). The notes are related to TC Energy’s previously announced spinoff of its Liquids Pipelines business. The Notes were issued by South Bow Canadian Infrastructure Holdings Ltd. and 6297782 LLC which will, upon completion of the spinoff, be wholly owned subsidiaries of South Bow. The funds will be used to repay South Bow’s debts to TC Energy. Silver Bow has also established a CAD$2.0 billion four-year senior unsecured credit facility for additional liquidity.
