CDT Roundup: 13 Deals, 9 Firms, 87 Lawyers, $3.1B

When it comes to community bank deals, there are two lawyers the Corporate Deal Tracker typically reaches out to: Sandy Brown at Alston & Bird in Dallas and Chet Fenimore at Fenimore Kay Harrison in Austin.

Brown has been counsel to more 200 buyers and sellers of community banks nationwide. Last year, he and Patrick Hanchey advised Charis Bank on its sale to Vista Bank.

Fenimore has also served as counsel to several public and private banks and bank holding companies on merger, acquisition and reorganization transactions. He advised Vista on the other side of the Charis deal.

So when news hit about Texas Dow Employees Credit Union purchasing Sabine State Bank, expanding it into Louisiana (see below), we reached out to both of them. Sure enough, Fenimore’s firm counseled Sabine (specifically partner Geoffrey Kay). His firm has been known to do a lot of work for Louisiana banks.

Aparna Dave led in-house counsel for TDECU, which she joined in February of last year as chief legal officer and general counsel. She has banking chops: She spent a 17-plus stint at Wells Fargo, where she most recently was senior VP and managing counsel.

The week ending May 4 saw 13 transactions valued at a tad over $3.1 billion. There were 10 M&A/funding transactions worth $1.3 billion and 3 capital markets/credit deals worth $1.8 billion. The week prior there were 10 deals (all of them M&A/funding) valued at $6.7 billion. And this time last year, there were 20 deals for $3.3 billion.

Pine Gate Renewables closes $650M Generate investment

Deal Description: Pine Gate Renewables announced April 29 the final closing of a $650 million investment from Generate Capital, the Healthcare of Ontario Pension Plan and HESTA. Pine Gate said the investment will accelerate its work as a national developer, owner and operator of clean energy projects and support the financing of an additional three gigawatts of clean energy infrastructure by 2025. The transaction extends Generate’s partnership with Pine Gate and brings new institutional investors to the solar developer’s platform. Founded in 2016, Pine Gate has closed more than $7 billion in project financing and capital investment. Its operational fleet includes more 100 solar facilities accounting for more than two gigawatts of installed capacity and it has over 30 gigawatts of projects in development.

Hologic acquires Endomagnetics for $310M

Deal Description: Marlborough, Massachusetts-based Hologic Inc. announced April 29 it signed a definitive agreement to acquire Endomagnetics Ltd, a privately held developer of breast cancer surgery technologies, for about $310 million. Hologic said Endomag’s solutions complements its breast surgery portfolio and will provide surgeons and radiologists with expanded options to meet the individual needs of more patients undergoing critical breast cancer procedures. Endomag, which is based in Cambridge in the U.K., develops and sells breast surgery localization and lymphatic tracing technologies. Endomag generated around $35 million of revenue in 2023. The acquisition is expected to be slightly dilutive to Hologic’s non-GAAP earnings per share in fiscal 2024, break even in 2025 and accretive thereafter. Completion of the deal must clear regulators. Hologic pioneered the world’s first commercial 3D mammography system to find breast cancer earlier, developed tests for cervical cancer, sexually transmitted infections and respiratory illnesses and engages in minimally invasive surgical technologies for uterine fibroids and abnormal uterine bleeding.

Encino attracts $300M commitment from CPP Investments

Deal Description: Houston-based Encino Acquisition Partners (EAP) announced April 22 a follow-on equity investment commitment of $300 million from Canada Pension Plan Investment Board (CPP Investments). EAP and CPP Investments anticipate that $150 million will be funded by the end of April.  The investment supports EAP’s accelerated development of the Utica oilfield, which it claims is one of the highest-return oil growth plays in North America.

Elisity raises $37M from Insight Partners

Deal Description: San Jose, Calif.-based Elisity announced April 30 it raised $37 million in Series B funding from New York software investor Insight Partners. Insight joins AllegisCyber Capital and Two Bear Capital, who co-led the Series A and participated in the Series B, along with seed investor Atlantic Bridge, to take Elisity’s total funding to more than $72 million. Elisity will use the new funds to extend its platform’s artificial intelligence capabilities, leveraging organizations’ device identity data to anticipate and pre-empt emerging cyber threats and establish unprecedented control over IT, OT, IoT and hybrid environments. Microsegmentation is essential to containing attackers’ lateral movement within compromised networks, making it fundamental to cyber defense and foundational to building zero trust architectures. 

Gartner predicts that by 2026, 60 percent of enterprises working toward zero-trust architecture will use more than one deployment form of microsegmentation, up from less than 5 percent in 2023. Exactitude Consultancy predicts the global microsegmentation market will expand from $2.63 billion in 2023 to $12.47 billion by 2030. Elisity has partnered with healthcare organizations facing not only cyber threats but also regulatory requirements demanding tight controls over patient data and access to life-supporting medical devices. Insight had more than $80 billion in regulatory assets under management at year-end and has invested in over 800 companies worldwide, 55 of which achieved an IPO.

TDECU buys Sabine State Bank

Deal Description: Texas Dow Employees Credit Union (TDECU), Houston’s largest not-for-profit credit union, announced April 30 it agreed to acquire Sabine State Bank and Trust, a commercial bank headquartered in Many, La. Terms weren’t disclosed, although Sabine has more than $1.2 billion in assets. TDECU said the agreement will create greater access to commercial lending products for all communities, especially commercial business owners in oil and gas, agriculture and energy. TDECU claims that it is expected to be one of the largest credit union acquisitions of a commercial bank in the history of the credit union industry. It is the second largest bank acquisition by a credit union in the U.S. since 2019 based on the bank’s total asset size, Houston Business Journal reported. When finalized, the combination will have about $6 billion in assets and 471,000 members. The acquisition will expand the field of membership for TDECU, which has a significant presence in Greater Houston and an expanding one in Dallas, Fort Worth and Victoria. TDECU president & CEO Isaac Johnson said the credit union is on a growth journey to expand across the state of Texas and beyond. Sabine, founded more than 100 years ago, has 51 branches in western Louisiana and east Texas. It specializes in commercial loans with concentration in oil and gas, agriculture and energy and has long-standing depository relationships with municipalities (like cities and parishes) and other public institutions, including school districts, fire districts and law enforcement agencies.

Sammons Warehouse finalizes partnership with Precision Warehouse Design

Deal Description: Sammons Warehouse Solutions, a Dallas provider of warehousing, racking, and storage solutions, and Precision Warehouse Design, a warehouse automation integrator in Carrollton, Texas, announced May 1 they have finalized terms of its previously announced partnership. Terms weren’t disclosed. Don Keel, president of Sammons, said the strategic investment is a tenant to its growth strategy in the warehouse space. PWD will be led by Haynie Mayhew and Marc DeWall and continue to be located in its Carrollton.

Captona, UBS Asset Management close JV

Deal Description: Captona and UBS Asset Management’s real estate and private markets business announced May 1 the closing of an investment in four utility-scale battery energy storage projects in Texas. Terms weren’t disclosed. Previously acquired by UBS Asset Management, the projects total 728 megawatts. The preferred equity investment assists UBS Asset Management in optimizing the value of their tax credits without the need for a traditional tax equity partnership. The projects range from 100 to 300 megawatts in nameplate capacity and are slated to come online this year. Captona manages $2 billion in enterprise value, owning and operating more than 30 projects across North America.

Savage acquires Texon

Deal Description: Savage, a privately held provider of supply chain infrastructure and solutions in Utah, announced May 1 it acquired Texon, a Houston-based midstream service provider of butane blending and energy marketing. Terms weren’t disclosed, although S&P Global said Savage plans to upsize its existing term loan B by $275 million to fund the acquisition. The addition bolsters Savage’s energy business. Founded in 1989, Texon has been a pioneer of blending butane into finished gasoline and holds patent rights around the world. Texon’s blending systems are designed for use in pipelines, depots/terminals, marine docks and truck loading racks. Savage’s infrastructure business supports the energy industry by providing multi-modal transportation and logistics solutions and assets for electricity generation, oil and gas production and refining and liquid renewable fuels refining. The company operates more than 50 rail-connected transload terminals across North America.

USA DeBusk sells to H.I.G. Capital Affiliate

Deal Description: Holland & Knight said May 2 it advised USA DeBusk, a national provider of industrial cleaning and infrastructure maintenance services and a portfolio company of First Reserve, on its sale to an affiliate of H.I.G. Capital. Terms weren’t disclosed. Bloomberg reported in March that H.I.G. Capital was seeking $655 million of debt financing to help fund its potential purchase of USA DeBusk led by Goldman Sachs Group Inc.’s asset management unit and Sixth Street Partners, citing sources. The financing included a $435 million term loan, $160 million delayed draw term loan and a $60 million revolver, it said. The deal was announced May 1. The sale will allow USA DeBusk to leverage H.I.G.’s resources and experience to expand its capabilities and offerings. USA DeBusk’s executive team, led by CEO Andrew DeBusk, will continue to lead the company and remain significant shareholders. Based in Deer Park, Texas, USA DeBusk serves a customer base across a range of end markets, including chemicals, renewable fuels, refining and power generation. First Reserve is a private equity firm focused on investing across energy, utility and industrial end-markets. Miami-based H.I.G. Capital is an alternative investment firm with $60 billion of capital under management.

Houston’s Catalyze buys 12 solar projects from BW

Deal Description: Canada’s BW Solar announced April 23 the sale of 12 New York community solar projects to Catalyze, a Houston-based clean energy transition company that finances, builds, owns and operates solar and battery storage systems. Terms weren’t disclosed. The projects have a combined capacity of 76.7 megawatts. Catalyze is a portfolio company of EnCap Investments and Actis.

DTE Energy launches $850M senior notes offering

Deal Description: Bracewell said May 3 it represented the underwriters in DTE Energy Co.’s public offering of $850 million of 2024 Series D 5.85% Senior Notes due 2034, which were also issued on May 3.

Rubrik prices $752M IPO

Deal Description: Latham & Watkins said May 2 it counseled Goldman Sachs as underwriter on Rubrik Inc.’s initial public offering worth $752 million. On April 24 the company priced 23.5 million shares of Class A common stock listed on the New York Stock Exchange at $32 per share, above its expected $28 to $31 range. It values the company at $5.6 billion. Rubrik, a Palo Alto-based data management software company backed by Microsoft, is the third notable venture-backed tech IPO of the year in the U.S. after Reddit and Astera Labs in March, CNBC said.

EnergyRe snags $155M in project financing, $85M tax equity for solar project

Deal Description: EnergyRe announced April 29 that it secured $155 million in project financing and a $85 million tax equity commitment for its 108 megawatt Lone Star Solar project and 198 megawatt hour Battery Energy Storage System, one of the largest such systems in South Carolina. Lone Star Solar is under construction and is expected to be operational by fall 2024. The $155 million in project financing for Lone Star Solar includes construction debt, tax equity bridge facility and letter of credit facility with Santander acting as the coordinating lead arranger. Bank of America committed $85 million in tax equity. The project qualifies for investment tax credits under the Inflation Reduction Act. In January 2023, EnergyRe announced a 10-year power purchase agreement with Dominion Energy South Carolina (DESC) for Lone Star Solar. After completion, Lone Star Solar will be one of the largest solar and storage facilities in the southeastern U.S. and will have the largest battery on the DESC network. Over the life of the project, Lone Star Solar will generate more than $10 million in local property taxes and create about 185 jobs during construction. Syensqo, formerly part of the Solvay Group, will purchase all of the renewable energy certificates generated by Lone Star Solar. The clean power generated by Lone Star Solar will help Syensqo reduce carbon emissions for around 35 percent of its U.S. electricity purchases and decrease greenhouse gas emissions of its operations by 73,000 metric tons annually. EnergyRe has more than 700 megawatts of contracted solar projects in South Carolina and a regional development pipeline of more than 7 gigawatts. EnergyRe has offices in New York, Houston, Indianapolis and Charleston.
