CDT Roundup: 14 Deals, 13 Firms, 125 Lawyers, $67.8B

In light of ExxonMobil’s gargantuan $59.5 billion acquisition of Pioneer Natural Resources this past week, who’s next to be taken out?

Analysts expect the transaction to further increase pressure on ExxonMobil’s closest competitors to beef up their presence in the Permian Basin, particularly Chevron but also including Occidental Petroleum (which may be considering a buyout by Chevron), ConocoPhillips (which is said to be looking at potential deals across the shale patch) and BP.

The stocks of Permian players jumped on the impending Exxon-Pioneer hookup, including Diamondback Energy, Permian Resources, Matador Resources, Coterra Energy and Devon Energy. Smaller producers Callon Petroleum, Vital Energy and SM Energy have also been mentioned as potential targets. There very well might be more M&A activity among oil and gas companies after a long drought.

The week ending October 14 was bound to be spectacular, at least in terms of value, registering nearly $68 billion for 13 deals. That includes, of course, ExxonMobil’s acquisition of Pioneer Resources. The week ended with eight M&A transactions valued at $62 billion and five capital markets deals valued at $5.8 billion.

It was the highest weekly value total of Texas corporate transactions ever recorded by the Corporate Deal Tracker, eclipsing the August 2018 roundup that included Energy Transfer Equity’s $62 billion simplification acquisition of Energy Transfer Partners. The only week that has approached that total was the one ending May 22, 2021, a $53 billion week included AT&T’s $43 billion spin-off of WarnerMedia to Discovery Inc.

It seems unfair to compare the results of any of those weeks with last week’s 17 deals for $6.6 billion or the nine deals for $3 billion this time last year. But what the heck. We did it, anyway.

ExxonMobil captures Pioneer for $59.5B

Deal Description: As had been widely rumored, ExxonMobil Corp. announced Oct. 11 that it agreed to buy Pioneer Natural Resources for $59.5 billion in stock. It’s the largest deal involving a Texas-based company since AT&T’s 2016 acquisition of Time-Warner for $85.4 billion. The transaction is also the largest globally in 2023 and the largest by the oil giant since its acquisition of Mobil in 1999. Prosperity Life buys National Western for $1.9B

Deal Description: Publicly traded National Western Life Group Inc. and Prosperity Life Group announced Oct. 9 the signing of a definitive merger agreement in which S. USA Life Insurance Co. Inc., an affiliate of Prosperity Life, will acquire Austin-based National Western in an all-cash transaction valued at around $1.9 billion. As part of the agreement, each issued and outstanding share of National Western common stock will be converted into the right to receive $500 in cash at closing of the merger. Saxum Energy raises $435M, buys mineral/royalty Interests

Deal Description: Saxum Energy Partners announced the final closing of its inaugural partnership, Saxum Energy I, at its hard cap of $435 million of equity commitments. Saxum also announced it has fully invested the partnership with the recent acquisition of a Permian Basin mineral and royalties position as well as its previous acquisitions in the Haynesville Shale. Saxum is led by Jim Mutrie, Cole Robertson and Josh Rosinski, former public and private oil and gas company and private equity executives. Saxum launched the partnership in September 2022 and acquired assets in the core of the Permian Basin and Haynesville Shale. Its portfolio is made up of primarily of mineral/royalty interests in the Permian Basin under such operators as ExxonMobil, Pioneer, Diamondback, Occidental, ConocoPhillips, Endeavor and Permian Resources and in the Haynesville under Southwestern, Comstock, Chesapeake and Aethon.

Saronic raises $55M led by Caffeinated Capital 

Deal Description: Saronic, an Austin-based developer of autonomous ships, announced Oct. 10 it raised $55 million in Series A funding. Caffeinated Capital led the investing group, which included 8VC, U.S. Innovative Technology Fund, Andreessen Horowitz, Lightspeed Venture Partners, Point72 Ventures, Silent Ventures, Overmatch Ventures, Ensemble VC and Cubit Capital. With this raise, Saronic will accelerate research and development while expanding in-house manufacturing capacity for rapid production. Dino Mavrookas, the company’s co-founder and CEO, said Saronic has worked closely with the U.S. Navy to build a solution that meets its requirements.

Bedrock brings in $8.5M led by Wireline

Deal Description: Bedrock Energy, an Austin-based geothermal heating and cooling startup, raised $8.5 million in seed funding, according to Axios Pro. Wireframe Ventures led the investing group joined by Overture Climate VC, Long Journey Ventures, Cantos, Toba Capital, First Star Ventures, Divergent Capital and Climate Capital.

Ara Partners buys Vacuumschmelze from Apollo

Deal Description: Ara Partners, a private equity firm that specializes in industrial decarbonization investments, announced Oct. 10 that it acquired Vacuumschmelze, a global producer of advanced magnetic materials and the largest producer of rare earth permanent magnets in the Western Hemisphere, from funds managed by Apollo. Terms were not disclosed. VAC is headquartered in Germany with manufacturing facilities in Slovakia, Finland, China and Malaysia. In January 2023, VAC entered a long-term agreement with General Motors to build a facility in North America to make permanent magnets, using locally sourced raw materials, to supply the electric motors used in a portfolio of GM electric vehicles. Ara, which has offices in Houston, Boston and Dublin, had about $4.4 billion of assets under management as of June 30.

Notes: This is Justin Stolte’s seventh deal in eight weeks and the fourth in the last three weeks, including the Wren House transaction announced two weeks ago. 

Kimmeridge buys oil & gas assets in the Eagle Ford

Deal Description: Kimmeridge, an investment firm focused on the energy sector, announced Oct. 11 that its affiliate, Kimmeridge Texas Gas, agreed to acquire upstream assets from an unnamed private seller as it expands its footprint in the Eagle Ford shale play. Terms weren’t disclosed. The assets, which include about 30,000 acres and 65 million cubic feet of gas per day, overlap with KTG’s 75,000-acre position in the play, offering scale and operational synergies. KTG expects continuing its multi-rig program focused on the Eagle Ford and Austin Chalk, with a target of delivering over 500 mmcfe/d net on a pro forma basis in 2026. Kimmeridge also signed a definitive multi-year transportation agreement with Kinder Morgan Texas Pipeline to secure midstream takeaway for its Eagle Ford natural gas, enabling KTG to deliver natural gas across multiple LNG facilities along the Gulf Coast. Combined with Kimmeridge’s previously announced investment in Commonwealth, an LNG export terminal project on the Calcasieu River at the Gulf of Mexico near Cameron, La., the investments deepen Kimmeridge’s South Texas foothold and will position KTG to deliver natural gas/LNG from the wellhead to the water. Ben Dell, co-founder and managing partner of Kimmeridge, said the acquisition and agreement with KMTP will advance KTG’s ambitions of becoming fully integrated from source to sink, providing reliable, secure and clean energy to global markets.

TPG Rise Climate buys AmSpec

Deal Description: TPG Rise Climate, the climate investing strategy of TPG’s global impact investing platform TPG Rise, announced Oct. 11 that it signed a definitive agreement to acquire Cranbury, N.J.-based AmSpec Group Inc., which it claims is one of the fastest growing testing, inspection and certification companies specializing in energy, commodities and fuels. Terms weren’t disclosed. AmSpec’s majority shareholder, Olympus Partners, will keep a minority interest in the company. As part of the transaction, TPG partner Marc Mezvinsky will join AmSpec’s board along with TPG Rise Climate’s Roger Stone and Tracy Wolstencroft, a TPG senior advisor and former president and CEO of National Geographic Society and executive search and management consulting company Heidrick & Struggles and former chair of Goldman Sachs’ clean energy technology practice. Founded in 1986, AmSpec operates more than 300 inspection sites and laboratories in 61 countries, many of which are located at key industrial centers, ports or trade hubs. AmSpec’s core service involves testing and certifying the performance and emission qualities of fuels or commodities at each stage along the value chain. TPG Rise is a $18 billion global impact investing platform. Olympus manages funds in excess of $8.5 billion mainly on behalf of corporate pension funds, endowment funds and state-sponsored retirement programs.

Capstreet-backed TradePending buys Fixed Ops Digital

Deal Description: TradePending, a sales enablement and consumer experience software platform for car dealerships, announced Oct. 11 that it acquired Fixed Ops Digital, a marketing and technology company supporting automotive dealerships’ fixed operations departments. Financial terms of the transaction were not disclosed. TradePending is backed by Capstreet, a Houston-based lower middle market private equity firm. Fixed Ops implements digital marketing solutions for more than 800 franchise dealerships throughout the U.S. and Canada and uses data intelligence to help them drive more fixed operations revenue. Founded in 2018, the company is headquartered in Greenwood Village, Colo., and its management team, including CEO Owen Moon, COO Kevin Kulma, CTO Chris Branum and CMO Julie Branum, will remain.

Energy Transfer issues $4B in senior notes

Deal Description: Energy Transfer announced the pricing of its $1 billion in 6.05 percent senior notes due 2026, $500 million in 6.1 percent senior notes due 2028, $1 billion in 6.4 percent senior notes due 2030 and $1.5 billion in 6.55 percent in senior notes due 2033. The sale of the senior notes was expected to settle on Oct. 13 and Energy Transfer intends to use the net proceeds of $3.973 billion (before offering expenses) to refinance existing debt, including borrowings under its revolving credit facility and for general partnership purposes. Energy Transfer owns and operates one of the largest and most diversified portfolios of energy assets in the U.S. with a strategic footprint in all of the major U.S. production basins.

Energy Transfer’s Outside Counsel: Latham & Watkins with a corporate deal team led by Houston partners Kevin Richardson and Bill Finnegan with associates Dan Harrist, Janhavi Das and Kevin Donovan. Civitas Resources prices $1B of new senior notes 

Deal Description: Denver-based Civitas Resources Inc. announced Oct. 10 that it priced a private placement of $1 billion in new 8.625 percent senior notes due 2030. The offering was expected to close on Oct. 17. The company expects to use the net proceeds from the offering, along with cash on hand, to fund a portion of the cash purchase price of its recently announced pending acquisition of oil and gas properties, interests and related assets located in the Midland Basin from Vencer Energy.

Darden Restaurants offers $500M of senior notes

Deal Description: Bracewell said Oct. 11 it represented the underwriters, led by BofA Securities, Truist Securities, US Bancorp and Wells Fargo Securities, in connection with Darden Restaurants Inc.’s recent public offering of $500 mllion of 6.3 percent senior notes due 2033. The offering closed Oct. 10.

NOG raises $252.7M in follow-on common stock offering

Deal Description: Northern Oil and Gas Inc. announced the pricing on Oct. 10 of an underwritten public offering of 6.5 million shares of common stock at a price to the public of $39.20 per share. The offering was expected to close on Oct. 13.

Ares partners with Vinci, invests $100M in new convertible preferred shares

Deal Description: Ares Management Corp. and Vinci Partners Investments Ltd. announced Oct. 10 that they reached an agreement to form a strategic partnership to accelerate the growth of Vinci’s platform in Latin America and to collaborate on distribution, product development and other business opportunities. In connection with the formation of the partnership, an affiliate of Ares will concurrently make a $100 million investment in new convertible preferred shares to be issued by Vinci. Vinci intends to use the proceeds or strategic initiatives, including ongoing organic growth efforts as well as potential complementary inorganic opportunities within Brazil and broader Latin America. A representative from Ares will be appointed to the Vinci board.
