CDT Roundup: 15 Deals, 14 Firms, 184 Lawyers, $16B

Since he arrived at King & Spalding this past August from Locke Lord, Mitch Tiras has kept himself occupied.

Last December, the deals lawyer counseled Dallas-based NGP when it provided a $150 million capital commitment to Segue Renewables II, which will use the monies to fund development capital for clean energy and storage projects. And he advised Commonwealth earlier last month on its sale of a project company developing an LNG liquefaction and export facility to Kimmeridge Energy Management Co. for undisclosed terms.

So far this year, Tiras has advised on two deals for Houston-based Quanta Services: Its purchase of Evergreen North America Industrial Services from the Sterling Group in February for an undisclosed sum; and another, listed below, of San Jose, Calif.-based Cupertino Electric Inc. for a whopping $1.54 billion.

Over email, Tiras said he has been working with Quanta over the last several years that started from his time at Locke Lord, most notably Donald Wayne, its general counsel. “Cupertino Electric was the the second largest acquisition they have made and the largest one I have assisted them with,” he said. “Great legal team to work with.”

Quanta CEO Duke Austin said his company made the acquisition after more than a decade admiring Cupertino Electric, which ranks as the sixth largest electrical solutions provider in the U.S. with 4,300 employees. Its stock popped when the deal was announced, mostly because the revenue and earnings it will provide.

Discover sells private student loan portfolio to Carlyle, KKR for $10.8B

Deal Description: Discover Financial Services announced July 17 that Discover Bank agreed to sell its private student loan portfolio to Carlyle and KKR for an expected $10.8 billion. Firstmark Services, a division of Nelnet, will be responsible for servicing the portfolio upon the sale. As of June 30, the principal balance of the private student loan portfolio was around $10.1 billion.

Quanta Services closes acquisition of Cupertino Electric for $1.54B

Deal Description: Quanta Services Inc. of Houston announced July 18 it closed its acquisition of Cupertino Electric Inc., a San Jose., Calif.-based electrical infrastructure solutions provider to the technology, renewable energy and infrastructure and commercial industries, for $1.54 billion. The price consisted of $1.3 billion in cash and 883,000 shares of Quanta common stock valued at around $225 million. There is also a potential earn-out payment of up to $200 million to the extent certain financial performance targets are achieved during a post-acquisition period. Quanta funded the cash portion of the transaction with a combination of cash on hand, drawings under its existing credit facility and a short-term term loan facility. The transaction closed July 17. Founded 70 years ago, CEI designs and installs electrical systems and is a maker of modular electrical systems for large-scale data centers and has installed electrical systems in more than 20 million square feet of data centers. CEI also is a renewable infrastructure solutions provider to the mid-sized utility-scale solar and battery storage market, offering engineering, procurement, construction and commissioning capabilities. For the four years ending Dec. 31, 2023, CEI achieved a double-digit compound annual growth rate of revenues and net income. CEI is estimated to generate full-year 2024 revenues of $2.1 billion to $2.2 billion and EBITDA of $155 million to $175 million.

KBR acquires LinQuest for $737M

Deal Description: KBR announced July 16 it agreed to acquire Madison Dearborn Partners-backed LinQuest Corp. The purchase price is $737 million, including modest expected tax benefits, which represents a 2025 adjusted EBITDA multiple of just over 11 times. LinQuest is an engineering, data analytics and digital integration company that solves technical challenges for national security missions across space, air dominance and connected battlespace missions, including AI and machine learning capabilities. LinQuest supports the U.S. Space Force, U.S. Air Force and other U.S. Department of Defense and intelligence agencies. KBR said the acquisition is an accelerator to its strategy of furthering delivery of technology, expertise and mission capabilities and that the two companies have complementary solutions, creating synergies which will drive new revenue growth. More than 74 percent of LinQuest’s 1,500 employees hold security clearances, which will strengthen KBR’s support for strategic U.S. government clients. The transaction is expected to be accretive to adjusted EPS, which excludes amortization from purchased intangible assets and non-recurring transaction costs. KBR will use cash and existing debt capacity to fund the deal. Since its formation in 1992, Madison Dearborn has raised capital of $31 billion and has completed 160 platform investments.

Darden buys Chuy’s in $605M deal

Deal Description: Darden Restaurants Inc. announced after the markets closed Wednesday that it agreed to buy all of the outstanding shares of Chuy’s Holdings Inc. for $37.50 per share in an all-cash transaction with an enterprise value of about $605 million. The per-share price is a 48.4 percent premium over Wednesday’s close. The deal comes with a 30-day “go-shop” period that will allow Chuy’s to solicit alternative proposals. The transaction is expected to close in Darden’s fiscal second quarter if it clears a majority of Chuy’s stockholders. Darden tapped BofA Securities as financial advisor and Hunton Andrews Kurth as outside legal and Chuy’s used Piper Sandler and Winston & Strawn. For more, click here.

Cloverleaf Infrastructure raises $300M from NGP, Sandbrook

Deal Description: Houston-based Cloverleaf Infrastructure announced July 17 that it secured capital commitments totaling more than $300 million from private equity investors NGP of Dallas and Sandbrook Capital of Stamford, Conn., alongside contributions from its management team. Cloverleaf is a recently formed developer of large-scale digital infrastructure sites powered by low-carbon electricity. The company is led by a team of executives with backgrounds from independent power developers such as Pattern Energy and ConnectGen as well as major data center operators such as Microsoft. Cloverleaf collaborates with regional U.S. utilities and data center operators to deliver scalable clean electricity through investments in transmission, grid interconnection, land, onsite power generation and electricity storage. NGP has more than $20 billion of cumulative equity commitments.

Angel City Football Club sold to Bay, Iger in $250M deal

Deal Description: Angel City Football Club announced July 17 that it agreed to be sold to Willow Bay, broadcast journalist and dean of the USC Annenberg School for Communication and Journalism, and her husband Bob Iger, CEO of the Walt Disney Co., valuing the team at $250 million. The parties claim it will create the most valuable women’s sports team in the world. Bay will serve on and have full control of the ACFC board and will represent ACFC on the National Women’s Soccer League board of governors. Bay and Iger will invest an additional $50 million to support the club’s growth. ACFC was founded in 2020 by actor and activist Natalie Portman, venture capitalist Kara Nortman and entrepreneur Julie Uhrman. Reddit and 776 founder Alexis Ohanian was the club’s founding controlling owner. Together with founding investors David Nathanson and Brian Weinstein and early investor Gillian Berry, the group constituted ACFC’s founding board. Chris Frank, who has served as a board observer, and Sidley Austin partner Eric Geffner have been advisors to the group since inception. Following closing, ACFC’s board will continue to include Portman, Uhrman, Ohanian and Berry. In 2023, ACFC generated the highest revenue of any women’s team in the world, was number one in league attendance, sponsorship revenue and total revenue and has the largest season ticket membership. ACFC also allocates 10 percent of sponsorship revenue back into the Los Angeles community. The ACFC ownership group also includes tennis icons Billie Jean King and Ilana Kloss, WNBA’s Candace Parker and her daughter Lailaa, 13 former players from the U.S. Women’s national soccer team, including Julie Foudy, Mia Hamm, Lauren Cheney Holiday and Abby Wambach, Olympic gold medalist and alpine skier Lindsey Vonn, former soccer player Cobi Jones, Latin pop star Becky G, actors Uzo Aduba, Jessica Chastain, America Ferrera, Jennifer Garner, Eva Longoria and Lilly Singh, author and activist Glennon Doyle, NFL players Matthew Stafford and Ryan Kalil and entertainment executive Cindy Holland.

Blackstone buys power solutions provider Trystar

Deal Description: Blackstone announced July 16 that its private equity funds agreed to buy Faribault, Minn.-based Trystar, a provider of electrical equipment used for backup power solutions. Terms weren’t disclosed. Founded in 1991, Trystar designs and manufactures electrical power solutions for data center, industrial, commercial, healthcare and utility end markets. The company’s products help to ensure power reliability, which is of increasing importance amidst the energy transition. CEO AJ Smith said with Blackstone’s help, Trystar can build a leading platform serving the distributed power generation market and lead the charge in facilitating the energy transition. Blackstone has more than $1 trillion in assets under management.

Energy Transfer, Sunoco ink Permian Basin crude oil JV

Deal Description: Energy Transfer and Sunoco announced July 16 the formation of a joint venture combining their respective crude oil and produced water gathering assets in the Permian Basin. Energy Transfer will own 67.5 percent of the JV with Sunoco holding a 32.5 percent. Energy Transfer will serve as the operator of the JV and contribute its Permian crude oil and produced water gathering assets and operations while Sunoco will contribute all of its Permian crude oil gathering assets and operations to the JV. Excluded from the JV is Energy Transfer’s long-haul crude pipeline network, which provides transportation of crude oil out of the Permian Basin to Nederland, Houston and Cushing. The JV will operate more than 5,000 miles of crude oil and water gathering pipelines with crude oil storage capacity in excess of 11 million barrels. The deal is expected to be immediately accretive to distributable cash flow per limited partner unit for both Energy Transfer and Sunoco.

Snowhawk invests in SecureVision

Deal Description: New York private equity firm Snowhawk announced July 17 that funds managed by the firm have closed an investment in SecureVision, a fiber connectivity provider for resort communities along the Alabama and Florida Gulf Coast. Terms weren’t disclosed. Snowhawk will acquire a majority interest in the company and will provide growth capital to further expand its fiber-based connectivity services to more HOAs, property owners, multifamily building managers and vacation communities in the Southeast. The transaction marks the first outside equity raised by SecureVision. Snowhawk was founded in 2022.

Alamar sells Scribbles to Instructure

Deal Description: Greenberg Traurig said July 18 it represented Alamar Partners on its sale of Charlotte, N.C.-based Scribbles, a provider of credentialing and records management to K-12 school districts across the U.S., to Instructure, a Salt Lake City educational technology company. Specifics of the deal, which closed July 1, remain undisclosed. Alamar is based in Santa Barbara, Calif.

CyrusOne secures $687.1M loan for DFW1 data center

Deal Description: CyrusOne, a Dallas-based data center developer and operator specializing in delivering digital infrastructure solutions, announced July 15 it secured a $687.1 million single asset, single borrower commercial mortgage-backed securities loan for its DFW1 data center. This transaction brings CyrusOne’s total capital raised this year to nearly $12 billion. CyrusOne CEO Eric Schwartz said the transaction comes on the heels of its $1.175 billion ABS issuance and securing $9.7 billion in new debt capital to fund data center growth. The DFW1 data center serves more than 100 customers and is the first co-location/enterprise data center single asset single borrower securitized financing since the financial crisis in 2008. Chief Investment Office Fran Federman said through this transaction, CyrusOne entered into a new market that will allow it to expand the scope of its permanent financing solutions.

Investment Banks: Morgan Stanley was lead manager and bookrunner and Wells Fargo Securities, Goldman Sachs & Co. and KKR Capital Markets were co-lead Managers and joint bookrunners. Global Infrastructure Partners also worked closely with CyrusOne in connection with the transaction.

Nabors prices $550M notes offering

Deal Description: Nabors Industries Ltd. announced July 17 that Nabors Industries Inc., its indirect wholly-owned subsidiary, priced $550 million of senior guaranteed notes due 2031 in the offering it announced earlier in the day. The notes will bear interest at an annual rate of 8.875 percent. The notes will be fully and unconditionally guaranteed by Nabors and each of the subsidiaries, other than NII, that guarantee Nabors’ 7.50 percent senior guaranteed notes due 2028. The sale of the notes to the initial purchasers was expected to close on July 22 and to result in $540.7 million in net proceeds to Nabors after deducting offering commissions and other expenses payable by Nabors. Nabors intends to use the net proceeds from this offering, along with cash on hand, to redeem all of its 7.25 percent senior guaranteed notes due 2026. Any excess proceeds will be used for general corporate purposes, including, potentially, repayment of other outstanding indebtedness.

CPI Card Group closes $285M notes offering, enters into new $75M ABL revolver

Deal Description: Littleton, Colo.-based CPI Card Group Inc. announced July 11 the closing of the previously announced private offering by its wholly-owned subsidiary, CPI CG Inc., of $285 million in 10.000% senior secured notes due 2029 and related guarantees. The company also entered into a $75 million secured asset-based revolving credit facility, which replaced its existing $75 million facility. The issuer used the net proceeds from the notes offering, together with cash on hand, to redeem all of the issuer’s outstanding 8.625% senior secured notes due 2026 and to pay related fees, premiums and expenses. CPI Card Group is a payments technology company providing a range of credit, debit and prepaid card and digital solutions.

TWFG Insurance prices $187M IPO

Deal Description: The Woodlands-based TWFG Inc. announced July 17 the pricing of its initial public offering of 11 million shares of its Class A common stock at a price to the public of $17 per share, before underwriting discounts and commissions, for gross proceeds of $187 million. TWFG has granted the underwriters a 30-day option to purchase up to an additional 1.65 million shares of its Class A common stock at the initial public offering price, less underwriting discounts and commissions. The shares were expected to begin trading on the Nasdaq Global Select Market on July 18 under the symbol “TWFG.” The offering is expected to close on July 19. TWFG will receive net proceeds of around $168.3 million after deducting underwriting discounts and commissions and estimated expenses and intends to use the net proceeds received from the IPO to acquire newly-issued LLC units of TWFG Holding Co. equal to the number of shares of Class A common stock issued in the IPO from TWFG Holding Co. at a purchase price per LLC unit equal to the IPO price per share of Class A common stock after underwriting discounts and commissions. TWFG intends to cause TWFG Holding Co. to use the proceeds it receives from the sale of LLC units to TWFG Inc. to pay fees and expenses in connection with the IPO and the reorganization transactions, to repay in full outstanding debt under its revolving credit agreement and for potential strategic acquisitions of, or investments in, other businesses or technologies that TWFG believes will complement its current business and expansion strategies and for general corporate purposes.

Occidental Petroleum’s $12 billion acquisition of CrownRock, announced back in December, got what should be final regulatory clearance last week when the FTC’s second request merger investigation under the Hart-Scott-Rodino Antitrust Improvements Act expired without action. The two sides are now free to close the merger agreement, which Oxy has announced should happen sometime in August. Vinson & Elkins represented CrownRock in the FTC investigation process with a team led by antitrust partners Hill Wellford and Kara Kuritz and counsel Evan Miller. V&E also represents CrownRock in the underlying merger transaction, led by partners Steve Gill and Robert Kimball and senior associate Sang Lee.
