For some, it may be too soon to talk about it, but business leaders are already weighing in on how the election results might impact their industries.

In one of the first surveys we’ve seen, Endeavor Business Intelligence deployed a short questionnaire to U.S. business leaders on their perceptions of the upcoming change in administrations. There were 160 respondents, which is not bad for a one-week project — and the answers proved more complex than one might expect.

Not surprisingly, optimism prevailed, with 58 percent saying the change will impact their business “very positively” or “somewhat positively” over the next 12 months. We say “not surprisingly” because business leaders are a generally optimistic lot. Most believe that whatever the obstacle, they have hedges against such headwinds built into their business plan.

What was surprising was the 30 percent of business leaders who said the change would affect their businesses “very negatively” (17 percent) or “somewhat negatively” (13 percent) over that same 12 months. Only 12 percent said the change would have no significant impact.

But when asked, “Do you feel confident in the new administration’s approach to handling key economic issues such as inflation, unemployment, and business regulation?” the replies, especially on the negative side, grew more intense. Only 43 percent said they were “very confident” in the new administration. Another 13 percent were “somewhat confident.” But nearly 40 percent pronounced themselves “very skeptical” (28 percent) or “somewhat skeptical” (11 percent) of the incoming administration’s perceived approach to economic issues that tended to dominate the campaign.

The results were even more diverse when they were asked: “What area of your business do you anticipate being most affected by the election outcome?”

Allowed to select whatever (and as many) areas that might affect their business, 25 percent identified “economic growth and stability” — followed by trade policies and international relations (23 percent); taxes and fiscal policy (19 percent); regulatory environment (18 percent); labor market and workforce development (13 percent).

It should be noted that only 2 percent of respondents said something “other” would affect their business and that the question didn’t ask if those business areas would be affected for better or worse.

So, how do they plan to respond? When allowed to select three from a series of proposed responses, most (23 percent) said that they would be adjusting their long-term strategies. Another 17 percent said they’d be revising their financial forecasts, while another 17 percent said they would be bolstering their workforce.

Like we said, it may be too early to talk about it, but it’s never too early to read what others have to say. You can take a look at the EBI survey here.

The week ending Nov. 23 saw 15 deals valued at a hair under $4.6 billion. That’s a bit less than the week prior, which saw 17 deals for $11.5 billion. This time a year ago — which included the Thanksgiving holiday — saw only nine deals for $4.8 billion.

Neos closes $1.4B Fund II for second-order investments

Deal Description: Neos Partners, a San Diego investment firm focused on second-order investments, announced Nov. 21 the closing of its Neos Partners II Fund with $1.37 billion in commitments. Neos also closed a $350 million co-investment vehicle alongside its Fund II. The commitments, the firm said, came from endowments, foundations, investment managers, family offices and other institutions interested in investing in companies that provide products and services to primary projects in the data center, power grid, infrastructure and energy-intensive industry sectors. The company was founded by Peter Jonna and Brad Forth, two engineers with broad experience in energy transition and critical infrastructure projects. Their portfolio includes investments in companies like States Manufacturing, Mill Creek Renewables, PwrQ and RMS Energy.

Neos Outside Legal Counsel: Both Fund II and the co-investment vehicle were advised by a Latham & Watkins led from San Diego by partner Nadia Sager and associate David Moore in Houston, along with counsel Amber Franklin in Los Angeles and associates Giannina Marciano, Shreya Patel, and Ryan Kazemaini.

ONEOK sells three pipelines to DT Midstream for $1.2B

Tulsa-based ONEOK Inc. announced Tuesday its $1.2 billion sale of three wholly owned interstate pipeline systems to DT Midstream. Weil and Skadden announced Wednesday that they advised on the deal. Under terms of the all-cash transaction, ONEOK is selling three pipeline projects to Detroit-headquartered DT Midstream: Guardian Pipeline, Midwestern Gas Transmission and Viking Gas Transmission. Skadden advised ONEOK and Weil counseled DT Midstream on the deal. For more details on the transaction, see our daily coverage here.

Sayona, Piedmont merge to create $650M lithium mining platform

Deal Description: Sayona Mining, an Australian lithium producer with assets in North America, and U.S. lithium miner Piedmont Lithium announced a merger Nov. 19 that will result in a $623 million lithium mining company owned equally by Sayona and Piedmont shareholders. The A$850 million (U.S.$553 million) all-stock deal will also include $97 million in capital raises by both sides to ensure accelerated growth of the merged company that will operate with Sayona as the parent.

Baker Botts advised with a team led from New York and Houston by partners Avner Bengera and Jamie Yarbrough, respectively. They were supported on corporate from New York by associate Nikolai Gryzunov and from Houston by associate Michael Mazidi and senior associate Marshall Heins II. From New York, partner Robin Melman and associate Jared DaCosta advised on employee benefits; partner Jon Lobb and senior associate Katie McEvilly advised on taxes from Houston; special counsel Michael Bodosky advised on antitrust issues from Washington, D.C.; partner Paul Luther and associate Alexander Reinert counseled on international trade and compliance, and special counsel Elizabeth Singleton advised on environmental issues from Houston.

Note: The two companies are already partners in a Canadian spodumene mining venture based in Quebec, Canada, known as North American Lithium. Sayona owns 75 percent of that partnership.

LandBridge to acquire 46K Delaware Basin acres from VTX for $245M

Deal Description: Houston’s LandBridge Company announced Nov. 19 its agreement to acquire 46,000 acres in the Southern Delaware Basin from a subsidiary of VTX Energy partners for $245 million in cash. The acreage, known as Wolf Bone Ranch, is located adjacent to existing LandBridge acreage in Reeves County, Texas, with access to the Waha Gas hub and water resources owned and operated by VTX and LandBridge midstream affiliate WaterBridge. As part of the agreement, VTX has made a revenue commitment to LandBridge of $25 million per year for the next five years. LandBridge plans to fund the purchase through a private placement (see the related Capital Markets transaction below). LandBridge is an affiliate of Five Point Energy.

Fastino launches AI model with $7M pre-seed funding

Deal Description: Describing itself as “a new foundation AI model provider,” San Francisco-based Fastino announced its launch along with $7 million in pre-seed funding led by global software investors Insight Partners and Microsoft’s M12 venture fund. Others participating included NEA, CRV, Valor and Github CEO Thomas Dohmke. Fastino lays claim to a fit-for-purpose architecture that includes task-optimized models for consistent, accurate outputs for structuring of textual data, RAG systems, text summarization and task planning. Their software architecture allows CPU-level inferencing, which allows operations 1,000 times faster than traditional large language structure models, minimizing reliance on high-end GPUs. George Mathew, managing director at Insight Partners, lauded the Fastino approach to foundational AI architecture: “Fastino’s approach to solving contemporary AI challenges presents one of the most exciting developments in the trillion-dollar enterprise AI opportunity. We see a bright future in tunable, high-performance, low-latency foundation models that empower firms to use the most accurate generative AI available while reducing their risk exposure to data leakage and inaccurate outputs.”

Austin’s Revisto raises $4 million for pharma compliance software

Deal Description: Revisto, an Austin-based startup aiming to use AI to streamline regulatory processes for pharmaceutical marketing, announced Nov. 18 a $4 million seed funding raise led by LiveOak Ventures. The raise included participation from Eli Lilly and Company, Tau Ventures and Arkin Digital Health. The new investment brings to $6 million Revisto’s total funding. Revisto’s MLR-focused AI technology, developed with terabytes of proprietary pharmaceutical data, is aimed at reducing the time-to-market for new pharmaceuticals by easing issues of compliance. Revisto CEO is Ferry Tamtoro.

Stonepeak acquires Fleet Companies

Deal Description: Infrastructure investor Stonepeak announced Nov. 18 its investment in Fleet Companies, a regional trailer dealership and leasing company headquartered in Memphis. New York-headquartered Stonepeak said Fleet will serve as the seed asset for a multi-faceted national trailer platform that Stonepeak plans to build out through additional acquisitions and greenfield operations across the U.S. in addition to its existing hubs in Nashville and Dallas. The planned platform augments Stonepeak’s existing investments in the marine (TRAC Intermodal), air (Air Transport Services Group) and container transport (Textainer) businesses. Terms of the transaction were not disclosed.

RWE to acquire Peabody coal reclamation project

Deal Description: Austin-based RWE Clean Energy and Peabody Energy, the legendary coal-mining company, announced Nov. 21 a partnership to reclaim legacy mining lands for renewable energy projects. Under the agreement, RWE is acquiring a majority interest in R3 Renewables, a joint venture launched by Peabody and its partners, Summit Partners Credit Advisors and Riverstone Credit Partners, to repurpose land previously used for coal mining. RWE is acquiring the Summit and Riverstone interests; Peabody will retain a 25 percent stake in R3, a stake the company valued as of Sept. 30, according to SEC filings, at $6.6 million. The R3 Renewables joint venture, announced in March 2022, was tasked to develop a portfolio of more than 3.3 GW of solar PV and 1.6 GW of battery storage across six of Peabody’s former mining sites in Indiana and Illinois. RWE will acquire seven existing projects and enter into a JV agreement with Peabody to develop three remaining sites to create a 10-project, 5.5 GW pipeline. Peabody, founded in 1883, is headquartered in St. Louis.

Highlander Partners sell McIntosh audio brands to Bose

Deal Description: Dallas-based Highlander Partners announced Nov. 19 the sale of its portfolio company McIntosh Group to Bose Corporation. Highlander acquired McIntosh in June 2022. McIntosh is parent of two important audio brands, McIntosh and Sonus faber. Based in Binghamton, N.Y., McIntosh has been regarded as an audiophile brand since its founding in 1949. Sonus faber, headquartered in Vicenza, Italy, is a leader among wireless audio components. Bose, eponymously named for its founder, Amar Bose, is a fixture among luxury-priced audio components and accessories. Highlander Partners currently manages more than $3 billion in investments. Terms of the transaction were not disclosed.

Insight Partners-backed Sedna to acquire Nordic IT

Deal Description: Insight Partners-backed communications provider Sedna announced Nov. 15 its acquisition of Nordic IT, a provider of email communications in the maritime space. The move, according to Sedna, helps reinforce email as the primary communications protocol in maritime trade, with Sedna’s advancements in AI-driven delivery as value added to Nordic’s broad-based product. The acquisition also expands Sedna’s customer portfolio to over 500 companies, cementing its position as a leader in maritime communications technology. Sedna says it is committed to continuing support for Nordic’s proprietary platforms — reMARK, reMARK Cloud, and MARK5 — for Nordic IT’s established maritime client base. Terms of the deal were undisclosed.

Homebuilder Lennar to acquire Rausch Coleman Homes

Deal Description: Lennar Corporation, one of the nation’s largest homebuilders, announced Nov. 19 its acquisition of Arkansas-based Rausch Coleman Homes. Terms of the transaction were undisclosed. But combined with post-acquisition moves, Lennar will acquire Rausch Coleman’s homebuilding operations, assign the purchase of, and option, all of Rausch Coleman’s land assets with a third party. During 2024, Rausch Coleman’s homebuilding operations are expected to deliver approximately 5,000 homes with an average sales price of $230,000. With the acquisition, Miami-based Lennar expands its footprint into Arkansas, Oklahoma, Alabama, Kansas and Missouri while adding to its existing footprint in Texas, Oklahoma, Alabama and Florida. The acquisition is expected to be completed in Lennar’s first quarter of 2025.

NOVA Chemical issues $400M notes offer

Deal Description: Canada’s NOVA Chemical Corporation, based in Calgary, announced Nov. 18 the pricing of a $400 million offering of senior unsecured notes due in 2031. Structured as 7-year non-call 3-years, the notes will carry an annual interest rate of 7.0 percent. The offering was scheduled to close Nov. 21. The company plans to use the proceeds to pay down debt and general corporate obligations.

Bookrunners/Managers: TD Securities acted as lead bookrunner with RBC Capital Markets, HSBC Securities, Scotia Capital, Morgan Stanley, PNC Capital Markets, CIBC World Markets, National Bank of Canada Financial, ATB Capital Markets, MUFG Securities Americas, SMBC Nikko Securities and Loop Capital Markets, as joint bookrunners.  Abu Dhabi Commercial Bank PJSC and First Abu Dhabi Bank PJSC acted as financial advisors.

LandBridge Company in $350M private issue

Deal Description: On Nov. 19, LandBridge Company LLC announced its $350 million issue of 5,830,419 Class A shares of its limited liability company at $60.03 per share. LandBridge expects to use approximately $200 million of the net proceeds toward its acquisition of 46,000 acres of land in the Delaware Basin from VTX (see details of the M&A transaction above). The company says remaining proceeds will be used to redeem or repurchase outstanding membership interests in DBR Land Holdings, along with the cancellation of Class B shares in LandBridge held by LandBridge Holding LLC.

Placement Agents: Goldman Sachs is lead placement agent, along with Barclays Capital.

Outside Legal Counsel for Placement Agents: Gibson, Dunn & Crutcher advised, led by Houston partners Hillary Holmes and Harrison Tucker, along with counsel Robbie Hopkins and associates Malakeh Hijazi and Caroline Simms.

Kodiak prices 5.7 million shares in secondary offering at $226.5

Deal Description: Kodiak Gas Services Inc. priced its upsized underwritten secondary offering on Nov. 15 at an aggregate $226.5 million. Kodiak, based in The Woodlands, is offering 5,708,885 shares of its common stock at $34.50 per share. The shares are owned by EQT through their affiliates EQT Infrastructure III and EQT Infrastructure Fund IV. The underwriters have been granted a 30-day option on an additional 856,332 shares. Kodiak is not selling shares and will not benefit from the secondary sale. But concurrent with the offering, Kodiak intends to repurchase, in a private transaction, $15 million or 434,783 shares of its stock from the sellers. On Nov. 14, Kodiak announced a $50 million share repurchase program that will continue through Dec. 31, 2025.

Bookrunners/Underwriters: Barclays, Goldman Sachs and J.P. Morgan are operating as joint bookrunning managers.

Groupon announces $197M Exchange Refinancing

Deal Description: Groupon, the Chicago-based e-commerce provider of discount promotions, announced Nov. 12 a convertible notes exchange that is part of the company’s $197.26 million in refinancing. The company said it has entered into private agreements with holders of $176.26 million of its 1.125 percent convertible notes due 2026 in exchange for the same amount in a newly issued series of 6.25 percent convertible senior secured notes due in 2027. In addition, Groupon offered $21 million of those convertible notes in exchange for $20 million in cash. The 2027 notes will be paid semi-annually in arrears at a rate of 6.250 percent per year beginning in March 2025. The issue includes covenants that will result in 2.5 percent accrued interest for Groupon if not met. The conversion rate will result in a price equivalent of about $30 per share, a premium of approximately 184 percent over the 20-day trailing volume-weighted average price ending Nov. 11.

Late arrivals and other matters …

Houston Astros fans probably didn’t miss it, but in case others did, the downtown home of the Houston Astros is changing brand names and its branded business from orange juice to HVAC services. Daikin Comfort Technologies signed a 15-year deal with the team that will change the name of Houston’s baseball venue from Minute Maid Park to Daikin Park. The deal isn’t exactly M&A, but Daikin is no stranger to the transactions market or the CDT Roundup. Since 2021 the Roundup has reported on 15 transactions with Daikin with the Japanese-owned company on the buying side of deals HVAC operations from Seattle and San Diego to Falls River, Mass., as well as Houston, where in nearby Waller they operate a 4.2 million SF campus with one of the largest HVAC manufacturing operations in the world. On most of those deals, Gibson, Dunn & Crutcher has advised Daikin and they did so on this one. Houston partners Stephen Olson and Sean McFarlane advised on the naming deal. And apropos of nothing but the heartbeat of American life as we know it: Pitchers and catchers begin reporting for spring training on Feb. 12.

Houston-based financial advisors GulfStar Group revealed last week their involvement in the Oct. 2 acquisition of Texas Tool Traders Holdings by US LBM Holdings, which is probably better known as Texas Building Supply. The GulfStar team was led by managing directors Cliff Atherton and Tom Hargrove, along with support from Vice President Ashley Pappas, Associate Alan Sheppard and analyst Alex Britz. Name partner Glynn Nance of the Houston law firm of Nance & Simpson handled the legal work on the deal.

Likewise, Porter Hedges announced their involvement in an investment by Genesis Park into Bravas, an Austin-based residential functional design company. The investment by Genesis Park, made through its affiliate GP Capital Partners, was in partnership with East West Bank and aimed at reducing Bravas’ debt. Bravas the lighting, security and aethetics of more than 3,500 home projects annually across 45 states. The Porter Hedges team included Brian Rose, Allison Pearce, and Kristina Rosado with assistance from Geoff Schultz.
