CDT Roundup: 8 Deals, 9 Firms, 78 Lawyers, $6.9B

This past week there was not one but two deals led by Texas attorneys that involved a takeout by a master limited partner of a limited partner: Shell USA buying Shell Midstream Partners for $1.96 billion and PBF Energy acquiring the remaining public stake in PBF Logistics for $560 million in cash and stock.

What’s going on? Once thought of as a way for oil and gas companies to raise capital by spinning off their noncore assets into separate entities, simplification is now the name of the game to bring the assets back into the fold. Consider last week’s comments from Tom Nimbley, chairman and CEO of both PBF Energy and PBF Logistics:
