CDT Roundup: A $40B Data Center Deal Leads a 14-Deal Week

The week that ended Oct. 18 saw 14 deals reported with a total value of $46.6 billion, skewed by one of the largest data center infrastructure deals yet. The BlackRock, Nvidia, Microsoft et al. investor group known as AI Infrastructure Partnership is buying Plano-based Aligned Data Centers and its nearly 80 facilities with 5 gigawatts of capacity. And it’s only the seventh-largest deal of the year.

Also last week, Irving’s Commercial Metals Co. said it is buying Atlanta’s Foley Products Co. for $1.84 billion in cash a month after announcing the acquisition of Virginia’s Concrete Pipe & Precast for $675 million in cash, as CMC continues its expansion across the Southeast.

Dallas’ LevelBlue said last week it is buying privately held Cybereason a few months after announcing the acquisition Trustwave, as the company formerly known as AT&T Cybersecurity furthers its transformation into one of the largest pure-play managed security services providers.

Elsewhere across Texas last week, there was another bank merger with Houston-based Cornerstone Capital Bancorp acquiring Peoples Bancorp of Lubbock, while the 60-year-old NorthPark Center in Dallas refinanced its loans in a deal that returns ownership of the beloved mall to the Nasher/Haemisegger family, and Lone Star Fund announced plans to acquire Hillenbrand Inc. and take the plastics processing equipment maker private.

BlackRock-Led AI group strikes deal valued at $40B for Aligned Data Centers

The Artificial Intelligence Infrastructure Partnership — the consortium founded about a year ago by BlackRock, Abu Dhabi-based MGX, Microsoft and NVIDIA to expand capacity of AI infrastructure — announced on Oct. 15 the acquisition of Aligned Data Centers from funds managed by Australia’s Macquarie Asset Management. The companies said the deal, which values Plano-based Aligned Data Centers at $40 billion (including debt) will fuel the expansion of next-generation cloud and AI infrastructure. Lone Star Funds acquires Hillenbrand in $3.8B take-private deal

Deal Description: Hillenbrand Inc. announced Oct. 15 that it will be acquired by an affiliate of Dallas private equity firm Lone Star Funds for $32 a share, equating to an enterprise value of about $3.8 billion, according to the companies. Hillenbrand, which is based in Batesville, Ind., about an hour west of Cincinnati and provides industrial processing equipment and services for the plastics, food and recycling sectors, said the purchase price represents a premium of about 53 percent to its 90-day average stock price for the period ended Aug. 12, the final active trading day before it was revealed the company was exploring possible strategic options. Upon closing, which is expected by March 31, Hillenbrand will become a private company, and its shares will no longer be listed on the NYSE.

CMC Acquires Foley Products for $1.84B

Deal Description: Irving-based Commercial Metals Co. said Oct. 16 that it agreed to acquire Foley Products Co. for $1.84 billion in cash. Based outside Atlanta, Foley provides precast concrete and pipe products primarily in the Southeast, operating 18 facilities in nine states. Less than a month ago, CMC announced its acquisition of Concrete Pipe & Precast for $675 million cash. Upon close of both transactions, CMC will operate 35 facilities in 14 states across the Mid-Atlantic and Southeast. Jody Absher, who has been with CMC for 14 years in various in-house roles, is the company’s chief legal officer. Capstone Copper Corp. sells 25% stake in Chilean mining projects for $360M+

Deal Description: Capstone Copper Corp. announced on Oct. 13  that entities managed by Orion Resource Partners agreed to acquire a 25 percent stake in the Santo Domingo Project and the Sierra Norte Project, both of which are in Chile, for up to $360 million cash. Orion also bought $10 million of Capstone common shares at 5% premium, according to Capstone, which plans to use proceeds from the share sale to begin a new exploration program at Santo Domingo and Sierra Norte. Orion also agreed to provide another $60 million payable in three increments of $20 million subject to certain milestones being satisfied at the copper, iron and gold mining projects. In July 2024, Vancouver-based Capstone acquired Sierra Norte, which the company said represents an opportunity to be a sulphide feed source for the project, extending the higher-grade copper sulphide life.

Suncrete, Haymaker 4 to merge in $312M deSPAC deal

Deal Description: Tulsa-based Suncrete, a portfolio company of Dallas-based SunTx Capital Partners, announced Oct. 9, its deSPAC merger with Haymaker Acquisition Corp. 4. Upon closing the company will be listed on the NYSE. Haymaker 4 completed its $230 million IPO in July 2023. The merger with Suncrete includes an $82 million PIPE. Suncrete, produces construction materials from independently operated and decentralized batching plants across Oklahoma and Arkansas. The deal suggests an enterprise value of the combined companies of $972.6 million.

Upgrade gets $165M in Series G funding

Deal Description: Upgrade Inc. announced on Oct. 16 that it raised $165 million in Series G funding led by Neuberger, with participation from LuminArx Capital Management. Upgrade said existing shareholders, including DST Global, Ribbit Capital and others, also increased their investment in the company. Peter Sterling, head of specialty finance at Neuberger, is joining the board of San Francisco-based Upgrade, which offers personal loans, credit cards, mobile banking, BNPL – or buy now, pay later – options, home improvement financing and auto financing. The consumer fintech company said it has raised $750 million in equity since inception in 2017.

Sensai.AI gets $45M in Series C funding

Sensi.AI announced on Oct. 9 another $45 million of Series C funding by Qumra Capital with continued support from existing investors Zeev Ventures, Insight Partners, Entrée Capital, Flint Capital, and Jibe Ventures. The Silicon Valley firm said this brings total funding to more than $98 million and “will fuel its mission to close the massive care gap in aging.” Sensi.AI said its Care Intelligence platform uses advanced audio technology to help older adults age safely at home.

LevelBlue buys Cybereason, adds Former Treasury Sec. Mnuchin to board

Deal Description: Dallas-based AI-driven security services firm LevelBlue said Oct. 14 that it agreed to acquire privately held Cybereason, a cybersecurity firm known for its Extended Detection and Response platform, elite threat intelligence team, and digital forensics and incident response capabilities. Terms weren’t disclosed. As part of the transaction, SoftBank Corp., SoftBank Vision Fund 2 and Liberty Strategic Capital will become investors in LevelBlue, which was once known as AT&T Cybersecurity. Former U.S. Treasury Secretary and Managing Partner of Liberty Strategic Capital Steven Mnuchin will join LevelBlue’s board. As reported by The Lawbook in early July, LevelBlue acquired Trustwave, a Chicago company that provides firewall technology, database security and managed threat detection and response. In June, LevelBlue also acquired Aon’s Cybersecurity and Intellectual Property Litigation consulting groups that include Stroz Friedberg, a worldwide business consulting firm specializing in cybersecurity and investigations, and Elysium Digital, renown for its technology-related IP litigation matters.

Cornerstone Capital Bank acquires Peoples Bancorp

Deal Description: Houston-based Cornerstone Capital Bancorp said Oct. 16 that it is acquiring Peoples Bancorp Inc. of Lubbock. Terms weren’t disclosed. Cornerstone said the combined company will have about $3.1 billion in assets and an expanded presence across Texas. Peoples Chairman and CEO Larry Allen will join the board of Cornerstone and act as area chairman, Peoples Bank. Peoples Bank executives Todd McKee, Tim Farris, Jon Drake and William Booe will assume similar roles at the combined bank, and all branch presidents of Peoples will continue in their current roles. Cornerstone operates four full-service banks in Houston, Bastrop, Sweetwater, and Roscoe, and commercial and mortgage loan production offices in major Texas metropolitan areas and mortgage production offices nationwide. Peoples Bancorp has branches in Lorenzo, Lubbock, Nazareth, Post, Princeton, Seminole, Seymour, Shallowater, Slaton, and Whitney, with a loan production office in Frisco.

Arroyo Investors sells Life Cycle Power

Arroyo Investors Fund III said Oct. 15 that it sold Life Cycle Power to Swiss private equity firm Partners Group. Terms weren’t disclosed. Houston-based Life Cycle provides mobile turbine power generation services, including a fleet with 897 MW of power generation units and another 228 MW of generation units on order. An $800 million lease by CenterPoint Energy for Life Cycle generators became the subject of state investigators when they went undeployed in the aftermath of Hurricane Beryl in 2024.

ExaCare AI lands $30M in Series A Funding

Deal Description: ExaCare AI, a New York-based healthcare platform, announced Oct. 16 a $30 million Series A fundraise led by Insight Partners, alongside Foundation Capital and Bienville Capital. ExaCare AI is an artificial intelligence-driven software that helps organize operational decision-making in post-acute care facilities by combining disparate sources of information. The company says its platform is already in use in more than 1,500 facilities.

Liberty Tire Recycling changes hands; from ECP to I Squared

Deal Description: I Squared, the Miami-based infrastructure investor, said Oct. 14, it is acquiring Liberty Tire Recycling from Energy Capital Partners. As its name suggests, Liberty is in the business of recycling tires, claiming the diversion from landfills of more than 4.5 billion pounds of rubber per annum from 215 million tires processed each year. Terms of the deal were undisclosed. ECP acquired Liberty in April 2021.

JLL Capital Markets leads NorthPark refinancing

Deal Description: JLL Capital Markets said Oct. 14 that it arranged a $1.2 billion refinancing for the NorthPark Center in Dallas. The 60-year-old, 1.9 million square foot mall is anchored by Neiman Marcus, Nordstrom, Macy’s, Dillard’s, Eataly and a 15-screen AMC theater. The refinanced loan was led by Wells Fargo Bank, National Association, Goldman Sachs Bank and Morgan Stanley Bank and returns full ownership back to NorthPark Partners and the Nasher/Haemisegger family, according to JLL Capital.

Grapevine-based GameStop, announced on Oct. 7 a distribution of warrants to purchase common shares to shareholders and convertible noteholders. Each stockholder received one warrant for every 10 common shares, and holders of notes due 2030 and 2032 also received warrants based on the same ratio. The video game and electronics retailer said each warrant entitles the holder to purchase one share at $32. The warrants expire Oct. 30, and GameStop anticipates gross proceeds of about $1.9 billion if all the warrants are exercised. White & Case advised GameStop on the transaction led by Drew Valentine, who left the Austin offices of DLA Piper in June after six years to join W&C in New York. The team also included Richard Brand (New York) and Erica Hogan (New York); with Allan Lemos (Miami), Guiying Ji (New York), Neil Clausen and Andrew Lambrecht (Houston).

Frisco-based Informativ announced on Sept. 18 that it acquired Carmatic, a Greenvale, N.Y.-based automotive software firm that provides intelligent loan and lease payment technology to auto dealers nationwide. Terms weren’t disclosed. Informativ provides fraud prevention, compliance, and credit technology for the automotive and consumer finance industries. The company is backed by Capstreet, a Houston lower-middle market private equity firm. Willkie Farr & Gallagher repped Informativ with a team led by Rosalind Fahey Kruse in New York and Aaron Savella in Houston.

Vinson & Elkins announced October 8 that they helped Global Medical REIT increase and extend its existing credit facility from 1.3 years to 4.4 years. The V&E team was headed from New York by Brett Santoli, but included Texas lawyer Noelle Alix.
