CDT Roundup: A Holiday Week of Heavy Lifting

For the week ending July 4, the CDT Roundup saw 15 deals valued at more than $8.45 billion. The week prior saw 11 deals reported worth about $46 billion, buoyed by the inaugural $25 billion debt offering by SpaceX. This time last year, the CDT Roundup reported nine deals for $15.8 billion.

Lawyers in the Lone Star State remained active throughout the holiday week working on deals involving the heavy stuff: midstream assets, bitcoin mining, Gulf Coast ammonia plants, offshore helicopters, offshore platforms, West Texas power plants and a Fort Worth rail transloading company.

Houston energy infrastructure startup Joulent gets $1.75B from National Grid

Deal Description: Joulent, a Houston energy infrastructure startup, said on July 1 that it received $1.75 billion from National Grid for a minority stake in the company. Joulent plans to use the investment from the British energy company, which also provides electricity and gas to New York and Massachusetts, to execute itsmulti-gigawatt infrastructure project, advance its project pipeline and scale. Joulent said the investment allows it to launch its first project, Kilby, being developed with GE Vernova and Energy Forge, a Chevron unit. The startup expects the West Texas project will deliver about 2.67 gigawatts of generation capacity to support a Microsoft-operated data center campus.

Shell sells offshore platforms to Talos Energy, Ridgewood Energy for $1.7B

Deal Description: Shell Offshore, a subsidiary of Houston-based oil giant Shell Oil, said on July 1 that it is selling its stakes in two major offshore Gulf platforms to Talos Energy and Ridgewood Energy for $1.7 billion Travis Torrence is head of legal and a vice president of Shell USA. Lotus Infrastructure, MB Energy sell Texas City ammonia plant to Yara for $1.3B

Deal Description: Connecticut private equity firm Lotus Infrastructure Partners said on July 2 that its GCA Holdings unit and German petro company MB Energy have sold an ammonia production facility in Texas City, Texas, to the North American unit of Norwegian chemicals company Yara International Lotus for $1.3 billion. Lotus Infrastructure said the single-loop ammonia facility has a capacity of about 1.3 million metric tons per annum.

Matador Resources, Five Point Infrastructure venture buys Cardinal Midstream

Deal Description: Matador Resources said on June 29 that its San Mateo Midstream joint venture with Five Point Infrastructure has acquired Cardinal Midstream Partners from EnCap Flatrock Midstream for $752 million cash. San Mateo plans to fund the acquisition, through a new term loan of up to $650 million led by PNC Bank and Truist Bank.

Ionic Digital raises $400M to expand digital infrastructure, bitcoin mining

Deal Description: Ionic Digital said on June 26 that it raised $400 million led by new investors Attestor, Oaktree Capital Management and Sachem Head Capital Management, with participation from Citadel and Weiss Asset Management. The Austin digital infrastructure and bitcoin mining company operates several large-scale data centers across Texas and plans to use the new funding for general corporate purposes. Ionic Digital, which assumed the bitcoin operations of collapsed cryptocurrency lender Celsius,  said the transaction implies a valuation of $2 billion. The company named Andy Stewart as CEO in February and has filed with the SEC to list its shares on Nasdaq. The potential initial public offering has yet to be set.

FTAI Infrastructure acquires Fort Worth-based Tidewater Logistics for $45M

Deal Description: FTAI Infrastructure said on June 29 that it has acquired AP Shale Logistics Management, doing business as Tidewater Logistics, a Fort Worth-based barge and rail transloading company operating in Ohio, West Virginia and Texas, for about $45 million cash. The New York-based infrastructure firm plans to fund the acquisition through an existing term loan. FTAI, which is managed by an affiliate of Fortress Investment Group, said Tidewater Logistics serves producers, shippers and industrial customers across shale and energy markets in the Appalachian Basin and Gulf Coast.

Evolution Strategy closes recapitalization of Detroit construction firm

Deal Description: Austin private equity firm Evolution Strategy Partners announced on June 22 the recapitalization of DiPonio Contracting, a Detroit infrastructure maintenance and construction firm. Terms weren’t disclosed. Evolution Strategy Partners said the new capital will allow the portfolio company to expand across Michigan and the upper Midwest through debt financing led by BMO Commercial Bank. The PE firm said new equity partners include Ace & Company, BMO Capital Partners, the University of Illinois Foundation, Partners Edge, Capital Creek Partners, Minds Capital, Workbench Capital and Arena Search Partners.

Deal Description: Houston private equity firm Voyager Interests said on June 30 that it has  acquired Rotorcraft Leasing from Bluehenge Capital Partners. Financial terms weren’t disclosed. Based in Broussard, Louisiana, Rotorcraft Leasing  operates more than 30 helicopters, serving the offshore Gulf Coast and California markets from four bases in Louisiana, one on Sabine Pass, Texas, and one in Santa Maria, California.

Northampton Capital, Olympus Power JV acquires three power plants from Vistra unit

Deal Description: Middle market asset manager Northampton Capital Partners said on June 30 it has formed Winslow Power in partnership with Parsippany, New Jersey, energy company Olympus Power, and that Winslow has agreed to acquire three power plants with a combined capacity of 752 MW from a Vistra Corp. unit. Venture Global Shipping Holdings gets $1.5B term loan

Deal Description: Venture Global said on June 26 that its Venture Global Shipping Holdings unit secured a $1.5 billion term loan with Deutsche Bank and ING acted as lead arrangers. ING served as facility agent and security trustee. The Arlington, Virginia-based company said the shipping unit plans to use proceeds for general corporate purposes, including reimbursing Venture Global LNG for payments made in connection with the acquisition of nine LNG carriers.

On May 26, Los Angeles EV charging firm Voltera and Blackrock-sponsored and Brooklyn-based Revel announced a merger, creating a fast-charging network for autonomous vehicles, electric fleets and ride-hail deployment in urban markets. Terms weren’t disclosed. The combined company is expected to have more than 1,000 charging stalls in 11 major U.S. metro markets, while also serving fleet and autonomous vehicle customers with charging stations. The new Voltera will be led by Revel CEO Frank Reig, as Brett Hauser will become an advisor to the new entity, which will be majority owned by Swedish investment firm EQT with Blackrock’s Global Infrastructure Partners retaining a minority stake. Kirkland & Ellis served as Voltera outside counsel led by Brittany Sakowitz in Houston. Jabir Yusoff advised from New York. On July 1, Fermi America announced on a deal with Dallas-based Primoris Energy Services to engineer and construct an Amarillo hyperscale computing and data center campus that will house the first six SGT-800 gas turbines anchoring Fermi’s phase one power buildout. Terms weren’t disclosed. Fermi, which has its headquarters in Amarillo, said the Project Matador campus in the Texas Panhandle city is “expected to integrate a large combined-cycle natural gas project, advanced nuclear power generation, utility grid power, solar power, and battery energy storage to support hyperscale AI and advanced compute at scale.” Holland & Knight advised Fermi led by Ram Sunkara (Houston/Atlanta) and Jackson Allen (Tampa/Atlanta) with help from Kitty Xie (Houston).
