CDT Roundup: Another Week for the $20B Streak, Unusual Deals and a SPAC Twist

The week ending May 31 saw 19 deals reported involving Texas businesses or Texas lawyers. They were valued at $23.4 billion, representing the fourth week in a row reporting transactions valued at a total of $20 billion or more. Last week, we saw 15 deals for $24 billion. And this time last year, there were 12 transactions for $34 billion.

It was a week that was more than usually unusual. To wit:

A $4.4 billion rail car acquisition. A $325 million deal for metallurgical coke. A Japanese E&P cashing out to another Japanese E&P in the Eagle Ford shale. An acquisition for a major business fiber provider via a stalking horse bid. An aviation maintenance deal.

There was also a funding for a high-end short-term rentals platform. Another for an Austin-based provider of customized TV streaming to gyms and bars. A $74 million SPAC IPO. And if that isn’t interesting enough, take a look at the unusual supply/offtake agreement between a SPAC and a Shell subsidiary for the benefit of a refinery the SPAC has yet to acquire.

EOG Resources to Acquire Encino Acquisition Partners for $5.6 Billion

Deal Description: The Canadian Pension Plan Investment Board Friday announced Friday the sale to Houston-based EOG Resources of its 98 percent stake in Encino Acquisition Partners, a major E&P in Ohio’s Utica shale. The all-cash deal price tag is $5.6 billion, including debt. CPP Investments has held a 98 percent ownership position in EAP alongside Encino Energy since 2017. Encino Energy will also exit from EAP, representing a full sale to EOG Resources. Akin Gump, Wachtell and Latham & Watkins advised on the deal. GATX, Brookfield to Purchase Wells Fargo Railway Fleet for $4.4B

Deal Description: GATX Corporation, in a joint venture with Brookfield Infrastructure Partners, announced Thursday its acquisition of 105,000 rail cars from Wells Fargo for a total of $4.4 billion. In addition, Brookfield is entering into a separate agreement to acquire Wells Fargo’s rail lease portfolio of 23,000 rail cars and 440 locomotives. GATX is headquartered in Chicago, Brookfield Infrastructure in Toronto. Mayer Brown advised advised GATX, Skadden, Arps, Slate, Meagher & Flom are counseling Brookfield. SunCoke to buy Phoenix Global for $325M

Deal Description: SunCoke Energy, a company that supplies metallurgical coke and logistics services, announced May 28 that it is acquiring Flame Aggregator, which operates a steel mill services company, Phoenix Global. With the $325 million all-cash deal, SunCoke is diversifying its operations to include electrical furnace operations for carbon steel and stainless steel mills while adding international markets to its client base. SunCoke is based in Lisle, Illinois, Phoenix Global in Radnor, Pennsylvania.

Shizuoka acquires Tokyo Gas stake in Eagle Ford for $130M

Deal Description: Shizuoka Gas America, a Houston-based U.S. subsidiary of Japan’s Shizuoka Gas Group (Shizgas) announced May 30 the completion of its acquisition of a shale gas development project from TG Eagle Ford Resources. TG Eagle Ford Resources is a subsidiary of Tokyo Gas, which acquired the assets in 2016 from Virtex Operating Co. The $130 million deal, which was originally announced in February, includes the 25 percent stake owned by Tokyo Gas in 34,000 acres shale production from Webb and LaSalle counties in a joint venture with BP and Lewis Energy Group, the operator.

MidOcean helps recap Emergency Care Partners with $100M investment

Deal Description: Emergency Care Partners, a provider of emergency medicines for hospitals, announced its growth recapitalization on May 27, a $100 million preferred equity investment by New York PE MidOcean Partners. ECP is backed by Varsity Healthcare Partners and Regal Healthcare Capital Partners. Terms of the transaction were undisclosed. ECP supports over 1,100 emergency medicine providers and its 1.5 million annual patient visits across ECP’s physician group of 63 clinical emergency locations.

Wander announces $50M in Series B round

Deal Description: Wander, a San Francisco-based short-term rental service for upscale properties announced May 28 a $50 million Series B funding round. The round was led by QED Investors and Fifth Wall with participation from Redpoint Ventures, Uncork, Starwood and Breyer Capital, along with returning investors. The company plans to use the cash infusion to further develop its proprietary AI operating system, WanderOS, which focuses on the upper 5 percent of properties that drive 30 percent of the market revenue in the short-term rental space. The company aims to provide quick check-in, concierge services, premium beds and “spaces that look even better than the photos” for its current rental inventory of more than 1,000 homes.

Bluebird Fiber to acquire Everstream in stalking horse bid

Deal Description: Bluebird Fiber announced May 28 that it is acquiring Cleveland-based Everstream, a regional provider of fiber-based business connections, out of its bankruptcy proceedings filed the same day in the Southern District of Texas. The company, backed by a DigitalBridge affilliate, claims assets of $500 million to $1 billion and liabilities of $1 billion to $10 billion. The bankruptcy follows Everstream’s divestment of its Illinois and St. Louis metro operations along with its announced plan to wind down operations in Pennsylvania. If approved by the court, Bluebird Fiber, headquartered in Kansas City, will acquire what remains of Everstream through a “stalking horse” agreement for substantially all of Everstream’s assets along with certain liabilities, including recently secured DIP finacing of $55 million. Bluebird said its intention is to keep substantially all of Everstream’s employees at close.

Greenbriar acquires West Star Aviation from The Sterling Group

Deal Description: The Greenbriar Equity Group announced May 21 its purchase of West Star Aviation, an aircraft repair and maintenance provider, from Houston-headquartered The Sterling Group. Shell subsidiary signs offtake agreement with SPAC

Deal Description: Shell Trading (US) Company and a blank check company called Integrated Rail and Resources Acquisition Corp. (IRRX) announced May 20 a seven-year supply and offtake agreement in which Shell will provide feedstock to — and purchase products from — a Utah refinery the SPAC has agreed to purchase. Once completed, the Unita Valley facility, currently owned by Endeavor Capital-backed Tar Sands Holding II. IRRX is sponsored by DHIP Natural Resources Investments, an affiliate of the Rio Grande Pacific Corp., which operates short-line railroads. IRRX signed a deSPAC merger agreement last year with Tar Sands II, but has yet to close on the merger.

Southern Company in private offering of $1.65B convertible notes

Deal Description: The Southern Company, an Atlanta-based gas and electric utility, announced May 27 the completion of a private offering of $1.65 billion in Series 2025A 3.25% Convertible Senior Notes due June 15, 2028. The move is the company’s 34th supplemental indenture, and is backed by the Southern’s senior note indenture established in January 2007. The notes provide the option for conversion into a maximum of 18,165,675 shares of Southern Company’s common stock, under certain conditions, pursuant to the exemption provided by Section 3(a)(9) of the Securities Act. Civitas prices private placement of $750M in 2033 notes

Deal Description: On May 29, Civitas Resources announced the pricing at par of an upsized private placement of $750 million in aggregate principal 9.625 percent senior notes due 2033. The offering is expected to close on June 3. The company says it plans to use proceeds from the sale to pay off a portion of their borrowings under its revolving credit facility.

ChampionsGate SPAC closes IPO with $74.75M

Deal Description: ChampionsGate Acquisition Corporation, a blank check company headquartered in Monterey, California, announced May 29 the close of its IPO of 7,475,000 units for $74.75 million. The offering was scaled down from the SPAC’s original registration of 23 million units, including those offered to Clear Street, book-running agent for the offering. The SPAC is sponsored by ST Sponsor Investment 100 percent owned by Malaysian investor “Sunny” Tan Kah Wei, according to the company’s latest registration filed in December 2024. Bala Padmakumar, CEO of ChampionsGate, has been involved with two previous SPACs, Four Leaf Acquisition Corporation and Monterrey Capital Acquisition Corporation. Monterrey Capital entered a deSPAC merger in July 2024 with ConnectM Technology Solutions. Four Leaf has been in search of a merger partner since July 2022.

On May 1, Dallas-based Lincoln Property announced its acquisition of Unire Real Estate Group of Brea, California. The deal adds 60 million square feet of property under management to Lincoln’s portfolio, making it the largest commercial property manager in Southern California. Lincoln was advised on the deal by Winston & Strawn led by Dallas partner David Lange.

Sales Force, the business data management people, announced May 27 an agreement to buy Informatica for $8 billion. Latham advised Informatica on the deal with Houston partner Robert Brown the only Texas-based lawyer on the 46-lawyer team. Brown, a data privacy lawyer, also made an appearance as the only Texas lawyer on the 20-lawyer team representing Viking Holdings, owners of the eponymously named cruise lines in their $1.35 billion public offering announced May 27.
