CDT Roundup: Back to Basics

The first week of summer 2026 saw a return to basics — or what seems basic in the data center infrastructure era — with deals heavy on energy providers, virtual infrastructure and yet more SpaceX.

The 11 transactions for the week ending June 27 included deals involving heavy construction, data security, robotics, renewable power assets, Rare Earth materials and offshore aviation services. They were together valued at $46 billion — with the heavy number provided by an inaugural $25 billion debt offering by the Space Exploration Technologies Corporation.

For reference, the week prior also saw 11 deals valued at $68 billion. And this time last year we were reporting 13 deals for $7.8 billion.

Arcosa to Merge with CRH for $8.5B

Deal Description: Dallas-based infrastructure materials firm Arcosa announced on June 22 that it is being acquired by CRH, a building supply firm based in Ireland for $8.5 billion cash. Baker Botts, Gibson Dunn and Kirkland & Ellis advised the various parties. Bryan Stevenson is chief legal officer at Arcosa. KKR to acquire renewable power assets from EDF for $4.56B

Deal Description: PE giant KKR announced an agreement to acquire EDF Power Solutions, a subsidiary of Électricité de France that specializes in the development of renewable power and battery storage stations in the U.S. and Canada. The company has in place 26 gigawatts of wind, solar and utility-scale battery projects as well as EV charging stations with another 17 GWs under contract. Terms of the deal were unannounced, but Reuters placed the value of EDF Power Solutions at $4.56 billion.

Agility Robotics takes SPAC route public in $620M merger

Deal Description: Agility Robotics, an Oregon-based manufacturer of humanoid robotics announced June 24 that it has agreed to merger with Churchill Capital Corp XI, a New York special purpose acquisition company traded on the New York Stock Exchange. Already supported by strategic investors DCVC, NVIDIA, Amazon, SoftBank, Foxconn, Schaeffler, Abico and Playground Global, Agility will receive $620 million in the reverse merger, including $420 million in proceeds from Churchill’s December 2025 IPO and another $200 million in PIPE investments.

Accenture acquires cybersecurity firms runZero, NetRise and majority stake in Dragos

Deal Description: Accenture said on June 18 that it acquired the Austin-based risk management company runZero, Austin-based software supply chain manager NetRise, as well as a majority stake in Maryland-based cybersecurity firm Dragos. While specific financial terms weren’t disclosed, Accenture said the acquisitions have a combined enterprise value of about $4.175 billion. The Irish professional services company said runZero and NetRise provide operational technology security for the infrastructure underpinning power grids, pipelines, manufacturing, distribution facilities and data centers. Accenture expects the Dragos platform to expand its operational technology security expertise for critical infrastructure operators.

Rio Grande LNG issues $3.5B in senior notes

Deal Description: Rio Grande LNG, a partially-owned subsidiary of NextDecade Corporation announced June 25 their pricing of a total of $3.5 billion of senior notes issued in four tranches: $1 billion of 5.25 percent notes due 2031; $500 million of 5.5 percent notes due 2034; $1.25 billion of 5.75 percent notes due 2036 and $750 million of 6.25 percent notes due 2041. The proceeds will be used to pay down existing credit agreements. Rio Grande LNG is a joint venture operated by NexDecade under a joint venture agreement with TotalEnergies, Global Infrastructure Partners, GIC (a Singapore sovereign fund) and Mubadala Investment (an Abu Dhabi sovereign fund.

Western Midstream prices $700M of notes to fund Brazos Delaware II acquisition

Deal Description: Western Midstream Partners said on June 22 that it priced an offering of $700 million of 5.7 percent notes due 2036. Clifford Chance disclosed that it advised Houston energy company APA Corp. in its June 10 acquisition of Savant Alaska for about $70 million plus potential contingent payments. The deal includes the Badami facilities in northern Alaska that produce about 40,000 barrels of oil per day. APA said it also acquired the Nutaaq pipeline, which has a capacity of 80,000 barrels of oil per day and access to the Trans-Alaska pipeline system. Houston partner David Sweeney led the Clifford Chance team that included Joclynn Marsh, Thomas Shattuck, Melissa Sanchez and Tasneem Zakir with Ty’Meka Reeves-Sobers and Kami McFarland in Washington, D.C., on environmental matters; Todd Lowther from Houston and Ira Aghai in Washington, D.C., on tax matters; Reuven Falik, David Walsh, and Emma Himes advised on employment matters from New York; and Marcia Hook, who advised on energy regulatory matters from the nation’s capital.

On May 21, Acelen Renewables said it secured $1.5 billion to begin construction of a renewable fuels biorefinery in Bahia, Brazil. The renewable energy company of Mubadala Capital, the manager of the sovereign wealth fund of Abu Dhabi, said HSBC and IFC led the consortium of banks providing the funding. The biorefinery is expected to begin operations in 2029 and is projected to have the capacity to produce 1 billion liters annually of sustainable aviation fuel and renewable diesel.
