CDT Roundup: Deal Volume Dips, but Billion-dollar Bets Persist

The week ending Aug. 8 saw a baker’s dozen deals come across the CDT transom, carrying valuations of $11 billion. The week prior had 14 deals with a total value of $22 billion; and a year ago at this time, the Roundup was reporting 19 deals worth more than $16 billion.

Last week had the usual handful of billion-dollar deals: a $5.5 billion midstream bet on the Gulf Coast, the $1.3 billion sale of South American oil operations and another $1 billion for an Austin startup. There were a couple transactions revolving around minerals last week, as well, and Constellation shed one final asset to clear the final regulatory hurdle in its acquisition of Calpine.

Williams buys Houston natural gas midstream in $5.5B bet on Gulf Coast

Deal Description: Texas private equity firm EnCap Flatrock Midstream has sold Momentum Midstream to Oklahoma energy infrastructure company Williams for $3.5 billion in cash and debt and roughly $2 billion of Williams equity. Gran Tierra Energy sells Colombia, Ecuador assets to French oil, gas company 

Deal Description: Canadian oil and natural gas company Gran Tierra Energy said on Aug. 4 that it sold all of its oil assets in Colombia and Ecuador to French energy concern Maurel & Prom for about $1.33 billion in cash and debt. Maurel & Prom is owned by PT Pertamina Internasional Eksplorasi dan Produksi, a unit of Indonesia’s national energy company, PT Pertamina.

Austin residential battery company Base Power gets $1B to expand nationwide

Deal Description: Austin residential battery startup Base Power said on Aug. 3 that it raised $1 billion in Series D financing led by led by Ribbit, Addition, Valor Equity Partners and JPMorgan Chase. The company said it now has raised more than $2.5 billion and the latest funding values the firm at $13 billion. Base Power plans to use the new capital to expand nationally. Sunoco to acquire Offen Petroleum for $600M

Deal Description: Dallas-headquartered Sunoco announced Aug. 6 that it is acquiring Colorado fuel products distributor Offen for $600 million in an all-cash transaction. Based in Commerce City, Colorado, Offen distributes more than 2.5 billion gallons each year of gasoline, diesel exhaust fluid and premium additives throughout the Midwest, Southwest and Mountain regions. Sunoco distributes 15 billion gallons of petroleum products annually across 33 countries in North America, Europe and the Caribbean.

Mariana Minerals gets $310M to scale copper, lithium mining

Deal Description: San Francisco mining startup Mariana Minerals said on Aug. 3 that it raised $310 million in Series B financing led by Menlo Park, California venture capital firm Khosla Ventures. Mariana Minerals said other investors include Andreessen Horowitz and Breakthrough Energy Ventures, with new participation from Greenoaks, Halo Fund, Pax Ventures, StepStone Group, BHP Ventures, Washington Harbour Partners, Greycroft, General Innovation Capital Partners, Mitsubishi Corp., In-Q-Tel, Earthshot Ventures and others. Mariana, which said it now has raised about $400 million, operates a copper mine in Southeastern Utah and lithium mine in East Texas.

WaterBridge acquires landfill in southeast corner of New Mexico

Deal Description: WaterBridge Infrastructure said on Aug 5 that it has acquired the NDB Landfill in Lea County in the southeast corner of New Mexico for $169 million. The company said price reflects a purchase price of $189 million offset by a deal to sell fee surface underlying the landfill to LandBridge for $20 million. WaterBridge said the 560-acre facility includes about 44 million cubic yards of permitted capacity, with the ability to handle more than 40 years of future solid waste volume with the infrastructure to support liquid waste handling. Sponsored by private equity firm Five Point Energy, WaterBridge is a Houston-based water infrastructure company that operates mostly in the Delaware Basin with about 2,500 miles of pipelines and 197 produced water handling facilities.

Viper swaps stock for mineral, royalty interests across 933 acres

Deal Description: Viper Energy said on Aug. 3 that it has acquired certain mineral and royalty interests representing about 933 acres from Diamondback Energy for 3.7 million units of Viper’s VNOM Holding Company unit with an equal amount of Class B common stock. Apollo acquires Houston non-potable water systems company

Deal Description: Private equity firm Apollo said on Aug. 3 that it has acquired Maverick Water Group, a Houston operator of alternative non-potable water systems, from Crosstimbers Capital Group. Terms were not disclosed. Apollo said Maverick’s management team will continue to operate the company and will retain a minority stake. Deal Description: Technology investor Veritas Capital said on Aug. 6 that it has acquired Houston power infrastructure company Saber Power Services from Austin private equity firm Greenbelt Capital Management. Veritas Capital acquires federal government IT consultant, Steampunk Inc.

Deal Description: Technology investor Veritas Capital said on Aug. 4 that it has acquired Steampunk Inc., a private information technology firm and consultant to federal government based in McLean, Virginia. Terms weren’t disclosed. Veritas said it will fold Steampunk into its existing portfolio company MetroStar Systems “to form one of the government contracting industry’s most formidable forces for mission-driven transformation. Constellation sells energy center to LS Power, satisfies hold-harmless commitment

Deal Description: LS Power announced on Aug. 6 that it has acquired the Brazos Valley Energy Center from Constellation Energy. Terms weren’t disclosed. The deal for the 606-megawatt natural gas-fired combined-cycle facility outside Houston, formerly known as Jack Fusco Energy Center, completes Constellation’s commitment to divest certain utility assets as part of a federal antitrust review of the company’s acquisition of Calpine Corp. that creates the nation’s largest provider of wholesale electricity. In March, Baltimore-based Constellation said it sold assets in the Northeastern PJM energy sector to LS Power for $5 billion. LS Power, based in New York with operations in 25 states, said its operating fleet now has about 14,100 MW of capacity, including natural gas and hydroelectric generation in about a dozen states, solar facilities spanning 14 states and high-voltage transmission operations covering about nine states.

Quanta Services prices $2B of notes in three tranches 

Deal Description: Houston power infrastructure company Quanta Services said on Aug. 3 that it priced $500 million of 4.85 percent notes due 2029, $750 million of 5.3 percent notes due 2033 and $750 million of 5.55 percent notes due 2036. Quanta plans to use proceeds to repay a commercial paper program and senior credit facility.

Lithium Americas sells $175M convertible debentures to Yorkville Advisors Global 

Deal Description: Lithium Americas said on Aug. 6 that it has sold $175 million of subordinated convertible debentures to a unit of New Jersey investment manager Yorkville Advisors Global. The Canadian mining company plans to use proceeds to continue development of its Thacker Pass project that is designed to produce 40,000 tonnes per year of battery-grade lithium carbonate. Lithium Americas said this financing complements a $2.23 billion loan from the U.S. Department of Energy and investments from General Motors and Orion Resource Partners.

Late Arrivals and Other Matters …

On Aug. 6, Texas Gov. Greg Abbott and Space Exploration Technologies Corp.  announced economic development tax incentives for the Terafab semiconductor plant in Grimes County, which sits between Huntsville and College Station about an hour northeast of Houston. Bracewell advised SpaceX on that tax deal with a team that included Bucky Brannen, Julie Melton Partain and Jacob T. Franzen in Dallas, Julia Wyckoff Boyce in Houston and Derek Young in New York. SpaceX said the initial phase of the project “represents a capital investment of more than $16.8 billion and will create at least 3,000 new jobs.” Gov. Abbott said the project received a Texas Enterprise Fund grant of $30 million. Last week, SpaceX also reported its first quarterly results since it went public in May. The company said it ended the second quarter on June 30 with revenue of $7.8 billion, up 92% from the year prior, and a net loss year-over-year of $143 million, down from $970 million for 2025 Q2. Both based on the consolidated revenue/losses of the company’s three major sectors: space (-$542 million), AI (-$1.257 billion) and the company’s connectivity operations, which were a major upside (+$1.656 billion). Incidently, the number of the company’s shares that are publicly traded also climbed last week as the first lockup restrictions associated with the company’s market-rattling IPO expired.

On Aug. 5 in its earnings report for the second quarter ended June 30, LandBridge announced that its board approved the company’s redomiciling to Texas from Delaware following the recommendation of a special committee of independent directors. LandBridge, which is a portfolio company of Houston private equity firm Five Point Infrastructure, owns more than 325,000 surface acres across Texas and New Mexico in the Delaware sub-region of the Permian Basin. Baker Botts advised LandBridge with a team that included Andrew Schulte, Josh Davidson, Catherine Ellis and Treyton Zanutto in Houston with Aileen Hooks in Austin.

In its Aug. 4 earnings report for the second quarter, BP said it plans to sell Houston biofueled renewable natural gas company Archaea. In October 2022, the British oil and gas giant acquired Archaea $4.1 billion. BP, which reported earnings of $5.73 billion for the three months ended June 30, said it plans “to focus on the assets with the strongest potential to deliver competitive returns and long-term value;” and to that end, the company said it also plans to sell oil and gas operations in the North Sea.

On July 29, San Antonio-based WaterFleet said it has been acquired by a unit Xylem Inc., a Washington, D.C.-based water technology company, from funds managed by EagleTree Capital and co-investors for about $200 million. Jones Day advised WaterFleet and EagleTree from New York led by Andy Levine and Bill Sinchuk. Gibson Dunn served as legal counsel to Xylem. WaterFleet provides mobile water and wastewater treatment to remote, temporary and infrastructure-critical sites in environments where permanent water infrastructure is limited or unavailable.
