CDT Roundup: Energy Sector Leads the Charge

The week ending May 10 was, to say the least, brisk. Depending on how you count, there were 21 transactions valued at $21.5 billion or 24 valued at just over $30 billion. Either way, that’s pretty fair traffic compared to last week’s 11 deals for $4.2 billion. But it seems in keeping with last year’s 22 deals for $14 billion at about this time. Maybe deals just wanted to close themselves for Mothers’ Day.

Sunoco’s $9.1 billion acquisition of Canadian fuel distributor Parkland was the week’s blockbuster acquisition. But it was closely followed in size and scope by a $5 billion deal for the Matterhorn Express Pipeline. But while these two energy deals gobbled up much of the week’s deal value, there was plenty of value and variety in the rest of the traffic that provided significant work for Texas lawyers: a $1.5 billion joint venture to provide fiber networking to underserved parts of Canada; a $700 million foray by Uber into the Istanbul food delivery market; a Permian bolt-on by Permian Resources; a $500 million carbon capture JV between a Thailand E&P and a Copenhagen investor; a take-private deal by WhiteHawk Energy; a $250 million investment in a Dallas data center provider; the sale of a West Palm Beach asset manager to another one based in Milan and the sale of a Norwegian LNG carrier to a familiar U.S. investor.

On the Capital Markets side of things, the big deal of the week was a $110 million IPO for a Florida insurance company handled by Haynes Boone.

And the $9.4 billion deal for Skechers even blinked an eye on Texas.

Sunoco to acquire Canadian fuel distributor Parkland for $9.1B

Sunoco announced May 5 that it has agreed to buy Parkland Corp., a Canadian fuel retailer and distributor for $9.1 billion in cash and stock, including assumption of debt. The combination of Dallas-based Sunoco and Parkland would make the combined company the largest distributor of fuels in the Americas. Sunoco is the largest independent fuel distributor in North America. Parkland’s distribution network includes more than 4,000 retail and convenience store locations across 26 countries. I Squared, MPLX, Enbridge to acquire Matterhorn Express Pipeline for $5B

Deal Description: I Squared, MPLX and Endbridge Inc. announced May 6 that they have jointly agreed to acquire equity in the Matterhorn Express Pipeline from Ridgemont Equity Partners (Charlotte, NC) and Devon Energy (Oklahoma City). Terms were not announced but Bloomberg has reported the value of the transaction as $5 billion. Following the close of the transaction sometime in Q2 2025, Whitewater (Austin) will own 65 percent of Matterhorn. MPLX and Enbridge will each own 10 percent. Whitewater, which will continue to operate Matterhorn, is jointly backed by Miami-based I Squared, First Infrastructure Capital (Houston) and other investors. The 510-mile pipeline, placed into service in November 2024, transports natural gas from the Waha area in the Permian Basin to Wharton and Katy, Texas. The pipeline also includes two Midland Basin laterals — one 50 miles in length, the other 85 miles.

Canada’s BCE and PSP join in $1.5B fiber venture

Deal Description: Two of Canada’s largest business entities, BCE and the Public Sector Pension Investment Board, announced an agreement May 8 to create Network FiberCo, a long term strategic partnership to accelerate the development of fiber networks in Canada’s underserved regions. Contingent on closing its acquisition of Zipley Fiber, BCE will hold a 49 percent stake in Network FiberCo through Ziply. PSP holding a majority interest through its High Inflation Correlated Infrastructure Portfolio (HICI). Network FiberCo plans to develop approximately one million fiber passings in Ziply Fiber’s existing operational areas and will target development of up to 5 million additional passings. PSP Investments has agreed to provide up to $1.5 billion in capital to the new entity. Both BCE and PSP are headquartered in Montreal.

Uber enters Türkiye with $700M acquisition of Trendyol Go

Deal Description: Uber, the hailing and food-fetching giant, announced May 8 its purchase of a $700 million, 85 percent controlling stake in Trendyol Go, a meal and grocery delivery service in Istanbul. The controlling stake in Trendyol Go, acquired from Chinese online giant Alibaba, marks Uber’s entry into the Turkish market. Trendyol Go serves 90,000 restaurants with 19,000 couriers operating as a subsidiary of Trendyol Group, Türkiye’s largest e-commerce platform.

TPG to acquire comms investor Peppertree Capital in $660M deal

Deal Description: TPG announced May 6 that it has agreed to acquire Peppertree Capital Management, an investment manager specializing in wireless communications towers and other communications infrastructure assets. The adjustable cash and equity deal includes a payment of up to $242 million in cash due at closing alongside as much as $418 million in equity. The deal also includes the potential for a performance earnout of as much as $300 million. Founded in 2004 in Chagrin Falls, Ohio, Peppertree reports AUM of $7.7 billion through more than 175 investments in more than 10,000 communications infrastructure assets.

Permian Resources adds bolt-on from APA for $608M

Deal Description: Permian Resources announced May 7, a bolt-on acquisition from APA Corp (Houston) of about 13,320 net acres in New Mexico for $608 million. The deal reflects 8,700 net royalty acres, and expected second-half production of 12,000 boe/d, over 65 percent operated, with a breakeven of $30 per barrel WTI, according to Midland-based Permian Resources. In July 2024, Permian Resources acquired acreage in Reeves County, Texas, from Occidental Petroleum for $817 million. The northern tip of Reeves County abuts the southern border of New Mexico.

H.I.G. Capital to acquire 4Refuel for $450M

Deal Description: Vancouver-based Finning, the world’s largest Caterpillar equipment dealer, announced May 8 that it is selling its mobile on-site fuel business 4Refuel to H.I.G. Capital for $450 million, including debt. Under terms of the agreement, Finning will receive $400 million, $330 million in cash at closing, along with a $50 million note receivable and up to $20 million payable over two years, contingent on performance metrics. H.I.G. also assumes responsibility for approximately $50 million in debt and leaseholds. 4Refuel specializes in delivering diesel exhaust fluids to remote worksites and client locations. Finning says it is selling 4Refuel to refocus on its core business strategy.

PHX agrees to $187M take-private acquisition by WhiteHawk Energy

Deal Description: On May 8, PHX Minerals (Oklahoma City), a royalty investor, released its quarterly report for Q1 2025, announcing a rise in quarterly revenue, a narrow drop in net income and the fact that it had agreed to be taken private in a sale to WhiteHawk Energy (Plano) for $4.35 per share in an all-cash transaction valued at $187 million, including PHX debt. The deal expands WhiteHawk’s presence in the Haynesville Shale and diversifies the company’s holdings in the SCOOP/STACK region in Oklahoma. The sale price represents a 21.8 percent premium over the PHX share price on May 7 and a 23.9 percent premium over PHX’s share price on the last day prior to disclosure of WhiteHawk’s proposed acquisition, last Oct. 24. Deal Description: Global business services investor Teleperformance Group (TP) announced April 30 its partnership with two AI developers, Ema and Parloa. Emma, an agentic developer based in Mountain View, California, specializes in the automation of back office operations with a no code agent builder platform. Parloa, based in Munich, specializes in the development of human-sounding voice-first customer service operations. NOVA Infrastructure to acquire DartPoints with $250M investment

Deal Description: NOVA Infrastructure (New York) announced April 30 the close of its $250 million majority investment in Dallas-based data center operators DartPoints. The company operates 11 data centers in 10 markets in South Carolina, North Carolina, Ohio, Indiana and Louisiana. With the transaction, DartPoints has already acquired the underlying real estate in DartPoints’ Greenville, SC; Baton Rouge, LA; and Asheville, NC data centers, further transitioning to ownership of its strategic facilities. NOVA is acquiring DartPoints from Astra Capital Management, which acquired the data center company in May 2020. Under terms of the agreement, Astra is maintaining a minority investment in DartPoints. Deal Description: Argano, a Plano-based digital services consultancy, announced May 6, its acquisition of Real Dynamics, a provider of large-scale implementations of business services based on Microsoft Dynamics. Apollo to acquire HAV Energy LNG from HitecVision

Deal Description: Apollo Global Management announced May 6 that it has agreed to acquire Hav Energy LNG Holding AS, a maritime liquified natural gas carrier infrastructure platform based in Norway. Terms of the agreement were undisclosed. Formed in 2022 by HiTecVision, Hav Energy invests in LNGC projects in partnership with Knutsen LNG, which owns a portfolio of 10 newbuild LNG carriers, including two set to be delivered this year and next by Hyundai Heavy Industries, the Korean shipbuilders.

Azimut to acquire HighPost

Deal Description: On May 7, European asset managers Azimut Group announced its acquisition of HighPost Capital, an asset management group based in West Palm Beach, Florida. HighPost was founded in 2019 by David Moross and Mark Bezos. The company claims $644 million in AUM over two platforms: HighPost, a control buyout and acquisition platform, and HIPSTR, an early-stage investment vehicle for consumer and consumer tech businesses. Through the acquisition, whose terms were undisclosed, Azimut increases its previously held 15 percent stake in HighPost to 56 percent. Azimut is based in Milan.

Hess Midstream announces $200M unit repurchase

Deal Description: Hess Midstream announced May 6, its repurchase of $200 million of its Class B units Class A shares. The repurchase included $190 million of 5,151,842 Class B units (2.4% of the consolidated company) owned by its Hess Operations subsidiary, affiliates of Hess Corp. and Global Infrastructure Partners (now owned by BlackRock). The company repurchased another $10 million of its publicly owned Class A shares from JP Morgan Chase Bank. Terms of the agreements were approved by the Hess Midstream board and a conflicts committee. After completing the unit repurchase transaction but before giving effect to any publicly traded Class A shares purchased by Hess Midstream in the ASR transaction, ownership of Hess Midstream on a consolidated basis will be approximately 55.1% for the public, 7.1% for Global Infrastructure Partners and 37.8% for Hess Corporation.

Southwestern Public Service Company issues $500M in mortgage bonds

Deal Description: Southwestern Public Service Company, an Amarillo-headquartered subsidiary of Xcel Energy, announced May 2 the close of its issue of $500 million in $500 million of 5.30 percent first mortgage bonds due 2035.

Latham advised Francisco Partners in the May 6 close of its take-private acquisition and restructuring of Movella, a provider of hardware and software for motion sensor capture. The deal has been in the making since Movella voluntarily suspended trading of its stock on Nasdaq last year. Francisco Partners was one of the original investors when Movella went public via a deSPAC merger announced in October 2022. Lead for Latham was Daniel Munn (New York). Ben Gelfand (Houston) was the only Texas lawyer on the Latham team.

Latham also advised Skechers in its $9.4 billion acquisition by 3G Capital on May 5. The deal was led for Latham by Steven Stokdyk (Century City) and Josh Dubofsky (Bay Area). Christine Mainguy (Houston) was the only Texas lawyer on the Latham team.

Likewise, AvidXchange was advised by Latham in its $2.2 billion acquisition by TPG. AvidXchange is an accounts payable platform based in Charlotte, North Carolina. The Latham team was led David Beller (New York) and Ian Nussbaum (New York). Counsel Krisa Benskin (Houston) was the sole Texas bar card on that team.
