CDT Roundup: Energy Sector’s High Stakes, Hurdles and Uncertain Outcomes

Some M&A deals determine whether businesses live or die. Some M&A deals, however, seem to do neither. We have two of them on our checklist this week.

First among them is Chevron Corp’s painful purchase of Hess Corp, a massive $53 billion commitment which has been virtually in limbo since it was announced in October 2023.

The Federal Trade Commission, then under Biden Administration control, approved the merger in September 2024, but with a catch: that John Hess, son of the company’s founder and namesake, would not be allowed a seat on the Chevron board although it was a provision in the merger agreement.

The FTC beef against Hess, embodied in a 10-page complaint, was that he used a cozy relationship with a former OPEC Secretary General to lobby OPEC to help control oil pricing driven downward by a glut of U.S. shale oil. But administrations changed, Chevron and Hess have asked the FTC to reconsider an agreed upon 10-year ban for Hess, but another problem for the merger has lingered in the form of a serious dispute with ExxonMobil over a South American asset owned by Hess.

The merger with Hess would include a potential petro-jackpot in the form of a minority stake in a JOA exploring the Stabroek Block, an offshore field off the coast of Guyana that boasts some of the most promising reserves discovered in decades. Hess acquired its 30 percent share in the field from Shell in 2014. Exxon owns a 45 percent stake and CNOOC, China’s global offshore investor, owns the remaining 25 percent.

Exxon has maintained that the change in Hess ownership triggers a right of first refusal for one or both JV partners to purchase the Hess stake. Hess maintains that the ROFR is triggered by a sale of the actual asset.

The dispute has been in arbitration before the International Chamber of Commerce in Paris for the past several years. Within the past week it has been reported that the tribunal has reached a decision, but neither the nature of the decision nor the timing of its release is yet known.

But Chevron has warned in its regulatory filings that an agreement that would preclude the Stabroek Block from being part of the Chevron/Hess merger would trigger “a failure of a closing condition under the Merger Agreement, in which case the merger would not close …”

Moving on, a second such M&A drama is reflected in our first entry below.

It’s the emergence of a new “winning bid” — in effect — for the nation’s seventh largest refining operation, CITGO, a once-proud downstream previously owned by the Venezuelan government. In this case, there’s a new $7.28 billion bid that has supplanted an earlier $7.38 billion bid for the assets that have been tagged by a federal court in Delaware to settle claims against expropriations by Nicolas Maduro’s Venezuelan government.

Thus it is that during a holiday-shortened week, a $7.38 billion bid for CITGO is the only transaction with a value among four reported M&A/Funding deals. The total, included a pile of note issues, there were nine transactions valued at $15.8 billion.

With a squint of imagination, that could compare with 13 deals for $7.8 billion for the week prior, or especially with the 11 deals for $3.9 billion this time last year.

But as lawyers from any practice well know: you really need to read the small print.

Home Depot to purchase GMS Inc. for $5.5B

Building supply giant The Home Depot has locked another major link in its supply chain, announced on June 30 its $5.5 billion acquisition of GMS Inc., a wholesale distributor of dry wall, steel framing and other building products based in Georgia. The Atlanta-based is acquiring GMS through its specialty trade subsidiary, SRS Distribution, another wholesaler acquired by Home Depot last year for $18.25 billion. The GMS acquisition fits with Home Depot’s expanding emphasis on its Home Depot Pro distribution channel aimed at contractors, homebuilders and industrial supplies. On the legal side, Weil Gotshal & Manges advised The Home Depot with an all-New York team led by Michael Aiello and Michelle Sargent. Alston & Bird advised GMS. Dustin Gunderson is the senior vice president and general counsel for McKinney-based SRS. Craig Apolinsky, a graduate of the University of Texas School of Law, is the general counsel for GMS. Gold Reserve wins CITGO parent with $7.38B bid (pending approval)

Deal Description: In the continuing battle over debts owed by the government of Venezuela, an affiliate of Gold Reserve has been declared the preliminary winning bidder in an auction for shares of Petroleos de Venezuela, which had been the state-owned parent of CITGO for more than 40 years. The auction is the result of an order by a federal court in Delaware to pay creditors for Venezuela’s defaulted debts. The offer supplants an earlier $7.28 billion bid last September by Amber Energy, an affiliate of Elliott Investment Management and a consortium of investors. That bid was rejected by many of the company’s creditors who’ve been litigating their claims since 2017. Based in Bermuda and traded on the Toronto Exchange, Gold Reserve, with its own $1.18 billion claim for assets expropriated by the government of Nicolás Maduro, made the bid through Dalinar Energy Corporation, a company created specifically for the PDV bid. The bid is supported by equity and debt financing provided by Rusoro Mining Ltd., Koch Minerals Sarl and Koch Nitrogen International Sarl, and Siemens Energy, Inc, with credit provided by JP Morgan Chase Bank, Toronto-Dominion Bank and Sumitomo Mitsui Banking Corp. A Houston-based Citgo subsidiary severed ties with PDV in 2019 following the implementation of sanctions against Venezuela.

LevelBlue acquires Trustwave from The Chertoff Group

Deal Description: LevelBlue, a Dallas-based AI-driven security services firm, announced July 1 its acquisition of Trustwave from MC2 Security Fund, a portfolio fund of The Chertoff Group. Terms of the transaction were not disclosed, but the deal creates the largest pure-play MSSP (Managed Security Service Provider) in its sector. Based in Chicago, Trustwave operates with customers in 96 different countries to provide firewall technology, database security and managed threat detection and response. LevelBlue was launched in 2024 as a joint venture of AT&T and WillJam Ventures, a cybersecurity investor headquartered in Chicago. Earlier this year Trustwave became fully authorized by the Federal Risk and Authorization Management Program, positioning LevelBlue to meet federal Defense Department requirements to operate across federal, state and local markets.

Brazos Safety Systems gains growth investment from Altaline Capital

Deal Description: Brazos Safety Systems, a Fort Worth-based provider of flight data and flight safety monitoring, announced July 2 that it has received an unspecified strategic growth investment from Altaline Capital Management. Founded by Peter Henrikson in 2015 as Truth Data Insights, the company rebranded itself in April as Brazos Safety Systems. Its client base includes more than 300 aircraft used nationwide in emergency medical services, oil and gas monitoring, executive transport, logistics and law enforcement. Altaline Capital is based in Los Angeles.

Vitol, Breakwall Capital to partner on structured credit deals in mining

Deal Description: Banking another in the category of “deals to make deals,” Houston-based Vitol announced July 1 a partnership with Breakwall Capital. The two have formed Valor Mining Credit Partners to make structured credit investments in mining operations throughout the Americas. The new fund-of-one is the second between the two companies who established Valor Upstream Credit Partners in 2023 for oil and gas structured credit investments. Founded in 2014 as a direct-lending spin-out of Riverstone Credit Partners by the three co-founders of that firm, Breakwall has offices in New York, Providence and Houston.

Venture Global Plaquemines LNG issues $4B in notes

Deal Description: Venture Global, the Virginia-based owners of Venture Plaquemines LNG on the Louisiana Gulf Coast, announced July 3 the close of a total $4 billion in offerings senior notes by the LNG subsidiary. The notes were issued in two series, $2 billion of 6.5 percent notes due 2034, and a $2 billion series of 6.75 percent notes due 2036.

EOG Resources issues $3.5B in senior notes

Deal Description: Aiming to fund its $5.6 billion acquisition in May of Encino Acquisition Partners and its Utica Basin assets, EOG Resources announced the completion July 1 of its public offering of $3.5 billion in four issues of senior notes. The offering includes: $500 million of 4.400 percent senior notes due 2028, $1.25 billion of 5.000 percent senior notes due 2032, $1.25 billion of 5.350 percent senior notes due 2036 and $500 million of 5.950 percent senior notes due 2055. EOG is headquartered in Houston.

NNN REIT offers $500M of notes

Deal Description: On June 24, NNN REIT announced its pricing of a new public offering of $500 million of 4.600% senior unsecured notes due 2031. The notes were offered at 99.182 percent of principal with a yield to maturity of 4.766 percent. Interest on the notes will be payable semi-annually on February 15 and August 15 of each year, beginning February 15, 2026. The notes mature on February 15, 2031. The offering closed on July 1. NNN Reit is an Orlando-based investment trust originally established as Golden Corral Realty Corp. It specializes in properties with long-term leases to restaurant, convenience store and other nationally recognizable chains and franchisees. As of March 31, the company reported ownership of 3,641 properties across 50 states.

BitMine Technologies offers $250M private placement to Ethereum crypto investors

Deal Description: BitMine Technologies, a publicly traded blockchain investment and crypto mining company, announced June 30 its pricing and private placement of 55,555,556 shares of its common stock for $4.50 per share to a consortium of crypto investors led by Austin-based MOZAYYX. The company says it plans to use the $250 million in net proceeds to implement a treasury strategy based on the crypto currency Ethereum. Aside from MOZAYYX, investors included Founders Fund, Pantera, FalconX, Republic Digital, Kraken, Galaxy Digital, DCG, Diametric Capital, Occam Crest Management, and Tom Lee, founder of Fundstrat, who announced as the new chairman of BitMine. The deal follows on the heels of a $425 million PIPE by Sharplink Gaming involving some of the same investors, alongside Consensys Software, the crypto capital firm behind Ethereum. BitMine lists executive offices in Atlanta, but is involved in crypto operations

International Aerospace Coatings places $248M in notes

Deal Description: International Aerospace Coatings announced a private placement of notes totaling $240 million from undisclosed infrastructure lenders. The company, based in Ireland, provides aircraft painting and surfacing through multiple facilities across Europe and the U.S., including Fort Worth and Amarillo.
