CDT Roundup: First Quarter Deadline for Filing Deals is Two Weeks Away

In this edition of CDT Roundup for the week ending March 22, the Corporate Deal Tracker saw 19 deals with an aggregate value of $6.5 billion. That eclipses the prior week in volume (13 deals) but falls far short in value ($13.7 billion). Still, the week parses well against the same week last year which saw 18 deals for $5.4 billion.

The CDT Roundup is a weekly feature highlighting the work Texas dealmakers are doing inside and outside the state. Have a deal we should include next week? Please let us know at CDTRoundup@texaslawbook.net to share your news release or a short blurb containing the date of the deal, a brief description, the lead lawyers and their offices, as well as any participating Texas lawyers that advised on the deal.

If your deal publishes in the weekly CDT Roundup, its information is automatically entered in The Texas Lawbook CDT database. But it has to be timely. If a deal is more than a few weeks old, you can use our deal submission portal. For more information about deal submissions, click here. 

Reminder: The Lawbook has new 2025 quarterly deadlines for deal submissions to qualify for its annual firm and lawyer deal rankings.

Firms and lawyers who wish to be considered for the first quarter and year-end Lawbook leaderboards for M&A and CapM must submit all of their first-quarter deals by April 7 at 5 p.m.

The new quarterly deadlines are:

FIRST QUARTER: April 7 (5 p.m.)
This is the submission deadline for deals between Jan. 1 and March 31. Deals must be received by this deadline to be included in the first quarter rankings and Lawbook leaderboards and be eligible for the annual rankings. Publication of the quarterly law firm rankings and leaderboards will begin April 28.

SECOND QUARTER: July 7 (5 p.m.)
Submission deadline for deals between April 1 and June 30. Publication of second quarter and first half 2025 law firm rankings and Lawbook leaderboards will begin July 28.

THIRD QUARTER: Oct. 6 (5 p.m.)
Submission deadline for deals between July 1 and Sept. 30. Publication of third quarter law firm rankings and Lawbook leaderboards will begin Oct. 27.

FOURTH QUARTER: Jan. 5, 2026 (5 p.m.)
Submission deadline for deals between Oct. 1 and Dec. 31. Publication of fourth quarter and the annual 2025 law firm rankings and Lawbook leaderboards will begin Jan. 26.

Mesa Minerals Partners Announces Equity Commitment From NGP

Deal Description: Mesa Minerals Partners, a Houston-based mineral and royalty acquisition-focused company, announced on March 20 that it received a new equity commitment from NGP Royalty Partners III, a Dallas-based PE firm. Neither firm announced the financial details of the equity commitment. However, NGP, who has backed and invested in Mesa companies and projects before, has made this latest investment to aid in forming Mesa Royalties IV Holdings and help Mesa maintain its focus on acquiring royalty assets in the Haynesville and Permian Basins.

Precision Aerospace Acquires Clearwater Engineering

Deal Description: Precision Aerospace Holdings, a Dallas-based aerospace machining and defense components manufacturer, announced on March 19 that it had acquired Derby, Kansas-based company Clearwater Engineering to extend its reach in the Midwest market segment. The recently acquired Clearwater primarily provides precision machining, computer numerical control milling and supply chain management services to the aerospace sector. Neither firm involved in the deal announced the financial details of the acquisition. However, as a part of the agreement, Precision will lease a pair of Clearwater’s climate-controlled facilities in Derby’s West Industrial Park from Cynergy Enterprises. Furthermore, under the terms of the agreement, Clearwater will also utilize the same verification and tool management systems it has used for setup and tool management standardization, including CATIA, MASTERCAM, VERICUT and TDM.

Apollo Acquires Majority Stake in OEG Energy Group

Deal Description: Apollo Funds, a New York-based alternative asset manager, announced on March 19 that it had acquired a majority stake in OEG Energy Group, a United Kingdom-based offshore energy solutions business. Apollo is acquiring the stake in the company from power opportunity strategy funds that Los Angeles-based investment manager Oaktree Capital Management and other investors manage. None of the firms involved in the deal announced the explicit financial details of the transaction; however, according to the release, the details implied that OEG Energy Group has a valuation of over $1 billion. The transaction is expected to close in Q2 2025, and under the terms of the agreement, Oaktree and other investors will retain a minority interest stake in OEG. Through the acquisition, Apollo will look for growth opportunities for OEG in organic and inorganic channels.

Deal Description: Proscia, a Philadelphia-based pathology-focused software company, announced on March 19 that it has secured $50 million in additional funding, bringing its total capital raised amount to $130 million. New York-based software investor Insight Partners led the recent funding round. In addition, Triangle Peak Partners and AI Capital Partners, through its Alpha Intelligence Capital US fund, also contributed significantly to the round. Several other investors also participated in the raise, including the Avenue Venture Opportunities Fund, Emerald Development Managers, GPG Healthcare, Fusion Fund, Interwoven Ventures and Razor’s Edge. CSW Industrials Acquires Aspen Manufacturing for $313.5M

Deal Description: CSW Industrials, a Dallas-based solution and product provider for various trade industries, announced on March 18 that it had acquired Aspen Manufacturing for $313.5 million. E3Tech Acquires Sylvan, Inc

Deal Description: E3Tech, an Andreessen Horowitz-backed and Miami-based private investment firm, announced its acquisition of Sylvan, Inc., on March 18. E3Tech is acquiring Sylvan, the Southfield, Michigan-based multi-trade capability construction company, from funds managed by Cleveland-based PE firm Blue Point Capital Partners. None of the firms involved in the agreement announced the financial details of the acquisition; however, it was announced that Blue Point made a rollover investment in the company as a part of the transaction. Metro City Bank Merges and Acquires First IC Bank and Its Parent Company, First IC Corporation for $206M

Deal Description: MetroCity Bankshares, the holding company for Doraville, Georgia-based Metro City Bank, announced on March 17 that it entered a merger agreement to acquire another Doraville, Georgia-based bank, First IC Bank and its parent company, First IC Corporation. The deal will see MetroCity acquire the First IC duo in an all-cash and stock transaction worth $206 million. Under the terms of the agreement, First IC shareholders will receive 3,384,588 shares of MetroCity common stock, $111,965,213 in cash and any holders of First IC stock options will be cashed out. The merger is expected to be completed by Q4 2025. Through the merger, the combined company will look to scale its operations and prioritize investments in technology and other growth areas. The merger is also expected to increase MetroCity’s EPS by 26 percent in the first year and pay back its value in a little over two years.

PepsiCo Acquires Austin’s poppi for $1.95B

Deal Description: PepsiCo, announced on March 17 that it had agreed to acquire poppi, an Austin, Texas-based prebiotic soda company, for $1.95 billion. However, the net purchase price includes $300 million of anticipated cash tax benefits, bringing the net purchase price to $1.65 billion. The agreement also includes an opportunity for more money to be paid out after the transaction closes, which will have performance-based milestones associated with it. The acquisition further supports PepsiCo’s strategic initiative to expand its food and beverage portfolio to better address white space and meet consumers’ needs. Peregrine Energy Announces $53M Equity Commitment From Bildmore Clean Energy

Summit Midstream Corporation Acquires Moonrise Midstream for $90M

Deal Description: Summit Midstream Corporation, a Houston-based company focused on owning and operating midstream energy infrastructure assets, announced on March 10 that it had acquired Moonrise Midstream from Denver’s Fundare Resources for $90 million. The total purchase price includes SMC paying $70 million in cash, financed through its credit facility, and Fundare acquiring $20 million of SMC equity. The newly acquired company, Moonrise, is a multi-commodity midstream energy company that primarily develops and operates midstream assets in the DJ Basin of Colorado. The Moonrise system brings 80 miles of natural gas gathering pipeline, 25 miles of crude oil gathering pipeline and 65 MMcf/d of additional processing capacity to the SMC system. The acquisition will ultimately expand SMC’s presence in the DJ Basin and enable it to serve its customers located in the area more effectively.

Sunoco Announces $1B Senior Notes Offering

Deal Description: Sunoco, a Dallas-based energy infrastructure and fuel distribution-focused LP, announced a 100 percent private offering of senior notes on March 20, worth $1 billion at 6.250 percent due in 2033. The newly announced offering is upsized from its initial offering worth $750 million and is expected to close on March 31. Sunco will use the net proceeds from the offering to redeem Dallas-based LP’s NuStar Logistics’ 5.75 percent senior notes due in 2025. In addition, it will use the remaining proceeds to repay a portion of the debt owed for its revolving credit facility.

Kinetik Holdings Announces New Sustainability-Linked Senior Notes Worth $250M

Deal Description: Kinetik Holdings Incorporated, a Midland-based services provider to oil and gas-focused companies, announced the pricing of a new grouping of sustainability-linked senior notes on March 14 worth $250 million at 6.625 percent, due in December 2028. These notes will be offered as additional notes to its December 2023-issued sustainability-linked senior notes worth $800 million at 6.625 percent, also due in December 2028. The new notes and the December 2023 offering will have nearly identical terms and be treated as a single series of securities once the new offering closes on March 19. Kinetik will fully and unconditionally guarantee the latest notes offerings and will use the proceeds from the offering to repay a portion of outstanding debt under its revolving credit facility.

Chord Energy Announces Close of $750M Senior Note Offering

Deal Description: Chord Energy Corporation, a Houston-based acquirer and producer of NGLs and natural gas in the Williston Basin, announced the completion and closing of its latest senior note offering on March 13. The offering was worth $750 million at 6.75 percent due in 2033. Thus far, Chord has used the net proceeds to purchase its 6.375 senior unsecured notes due in 2026, worth $366.342 million, as part of a previously announced cash tender offer. The company intends to use the remaining proceeds from the offering to redeem its remaining 2026 notes that were not purchased as a part of the tender offer and plans to do so by June 2025 at a 100 percent redemption price. After that, it will use the remaining cash to repay outstanding debt under its senior secured revolving credit facility and pay fees associated with the tender offer, its 2026 notes redemptions and its credit facility.

KLX Energy Services Closes on $232M Senior Notes and $125M Credit Facility

Deal Description: KLX Energy Services Holdings, a Houston-based oilfield services provider to onshore oil and natural gas-focused companies, announced on March 12 that it had closed on refinancing its existing 11.5 percent senior secured notes due in 2025 by issuing $232 million of March 2030 senior secured notes. As part of the transaction, KLX is also issuing warrants to allow investors to purchase over 2,373,187 shares for $0.01 per share. Through the refinancing, KLX obtained $78 million in cash and canceled $144 million of its old debt from the existing notes. KLX intends to use the proceeds from the refinancing and cash on hand to redeem the remainder of its existing notes. In addition to announcing the close of this refinancing offering, KLX also announced it closed on a new $125 million ABL credit facility due in March 2028.
