CDT Roundup: Megadeal Leads Eclectic Mix of M&A, IPOs and Odd Pairings

For the week ended June 13, the CDT Roundup reported on ten deals with a disclosed value of $11 billion. (Six of eight M&A transactions were reported without any financial terms.)  

The prior week had 14 deals reported with a total value of about $9.5 billion, while a year ago at this time, the Roundup reported on nine deals with a combined disclosed value of $478 million.

By far the largest deal of the week was a massive venture involving PE, a sovereign fund, a power provider and a major chipmaker aimed at breaking key bottlenecks in the development of infrastructures for hyperscaling data centers that minimize capital investment and maximize AI “tokens per watt” — an increasingly popular (and in some quarters controversial) measure of an ability to process AI-related data requests.

Elsewhere the week saw a truly eclectic brew of transactions that include:

• A take-private deal for a data validation company
• The purchase of a Mercedes-Benz dealership
• The sale of “Super-Sod”
• A cross-border banking deal
• A mixed marriage of baked goods, chocolates and meats
• The merger of an oncology group with a SPAC bearing RPC connections
• The IPO of an East Coast energy royalties firm; and
• An investment in Italian basketball by two familiar NBA faces

Heavyweight data firms launch $10B infrastructure investment vehicle

Deal Description: KKR, the Kuwait Investment Authority, NVIDIA and Vistra announced on June 11 the launch of Helix Digital Infrastructure, a data center infrastructure venture with total investments from the firms of more than $10 billion. The companies said the new entity is “designed to deliver integrated infrastructure at the speed and scale required for hyperscalers to meet accelerating AI demand.” Nvidia will supply its DSX AI factory-aligned infrastructure, and Irving-based Vistra will be the preferred power provider for Helix investments. KKR said it launched Helix as a strategic partner for hyperscalers, and Waldemar Szlezak, the investment firms’ head of digital infrastructure, will be the Helix chief investment officer. Former Amazon Web Services CEO Adam Selipsky will assume the same role with Helix.

Thoma Bravo buys Kneat.com in $466M take-private deal

Deal Description: Kneat.com said on June 8 that software-focused investment firm Thoma Bravo has acquired the Irish digital validation and quality process automation company for about $465.9 million with the intention of taking it private. Kneat.com said shareholders will receive $4.66 cash per share, representing a premium of about 40 percent above the company’s closing price on May 8, when the deal was first announced. Kneat said its platform “is designed to digitize data specifically for integrity and traceability, which is central to validation and compliance in the life sciences sector.” Kneat said the platform is “a critical foundation for the confident deployment of AI across regulated environments.”

Deal Description: Kainos Capital said on June 10 that it has acquired Patten Seed Holdings from Connecticut middle market private equity firm Heartwood Partners III. Terms weren’t disclosed. Operating as Super-Sod, Patten Seed Holdings is based in Charleston, S.C., providing sod, seed, soil and other landscaping services across the southern U.S.

Sewell Automotive acquires Mercedes-Benz dealership in Selma

Deal Description: Dallas-based Sewell Automotive Cos. said on June 9 that it has acquired Mercedes-Benz of Selma. Terms weren’t disclosed. The dealership opened in 2020 at the intersection of Interstate 35 and Corporate Drive about 20 miles northeast of San Antonio. Sewell, which operates 22 dealerships and 10 collision centers across Texas, said this is its second Mercedes-Benz franchise. The company opened the Mercedes-Benz of West Houston in 2016.

Scotiabank acquires MapleMark Bank to help mortgage ops via FDIC backing

Deal Description: Toronto banking giant Scotiabank said on May 29 that it acquired Tulsa, Okla.-based Maple Financial Holdings Inc. and its boutique MapleMark Bank that caters to private clients, family offices and mid-market companies. Terms weren’t disclosed. Scotiabank said it expects the acquisition to help its mortgage capital markets business, as it can now offer clients FDIC deposit insurance. In September, The Dallas Morning News reported that Scotiabank plans to occupy four floors of office space at the Victory Commons One in Dallas, which is adjacent to the American Airlines Center. MapleMark Bank operates a Dallas branch in the Old Parkland complex on Maple Ave.

Second Nature Brands acquires Tillamook Country Smoker

Deal Description: Chicago snacks and treats provider Second Nature Brands said on June 8 that has acquired Tillamook Country Smoker from private equity firm Insignia Capital Group and family shareholders. Terms weren’t disclosed. Second Nature Brands, a portfolio company of British PE firm CapVest Partners, said Oregon-based Tillamook Country Smoker boasts annual sales of more than $175 million providing zero-sugar jerky, beef sticks and sausages. Some of Second Nature Brands products include Kar’s Nuts, Sahale Snacks, Sanders, Brownie Brittle and Voortman-brand cookies.

Copley de-SPACs with precision Colorado oncology firm Ignite Proteomics

Deal Description: Copley Acquisition Corp. said on June 11 that it closed its de-SPAC merger with Ignite Proteomics, a Golden, Colorado, pathway-level protein analytics company for precision oncology. The deal values the company at about $150 million. Ignite Proteomics is a unit of biotech and life sciences company Aditxt. The merged company, Ignite Proteomics Holdings Inc., plans to list its shares on the New York Stock Exchange under the symbol “COPL.” The companies said Ignite Proteomics “represents a fundamental shift in how we understand and treat disease” with a focus on breast cancer. Copley’s IPO was closed in May 2025 with proceeds of $172.5 million. Copley’s executives and directors are based in Hong Kong and, as the firm’s prospectus put it “to a lesser degree, in the People’s Republic of China.”

Luka Dončić part of a team bringing basketball to Rome  

NBA superstar Luka Dončić and former Dallas Mavericks general manager Donnie Nelson are part of a new investment team called BC Roma that acquired Vanoli Cremona, an Italian basketball team. Terms of the deal that was announced in late May were not disclosed. BC Roma plans to relocate the team to Rome from Cremona in Northern Italy about an hour southeast of Milan. The NBA is in the process of establishing a league in Europe in conjunction with FIBA, the international basketball association, that may start as soon as the fall of 2027. Nelson was with the Mavericks in 2018 when the team acquired Dončić, who played for Real Madrid and the Slovenian national team as a teenager. In 2025, the Mavericks traded Dončić to the Los Angeles Lakers.

WhiteHawk Minerals Corp. IPO nets about $230.2M

Deal Description: WhiteHawk Minerals announced the pricing of its upsized initial public offering of 7.7 million common shares at $26 each. The Philadelphia-based company granted underwriters an option to buy another nearly 1.2 million shares and netted about $230.2 million. The company, which is focused on acquiring and managing natural gas mineral and royalty interests in the Appalachian and Haynesville Basins, will become WhiteHawk Minerals Corp., and its shares began trading on the New York Stock Exchange June 9, under the symbol “WHK.”

Late Arrivals and Other Matters …

On May 11, Pennsylvania power distribution company UGI Corp. said that its AmeriGas units priced a public offering of $500 million of 6.875 percent notes due 2031. AmeriGas, the largest retail propane marketer in the U.S., also announced an offer to redeem outstanding 5.75 percent notes due next year and up to $175 million of 9.375 percent notes due 2028. Simpson Thacher advised the initial purchasers led by Wells Fargo and BNP Paribas with a team that included Houston lawyers Brian Rosenzweig, Richie Ragusa, Suzannah Ranzo and Nima Mohammadi.

Latham & Watkins partner Robert Brown, who works from Houston and Austin, was the only Texas lawyers out of nearly three dozen who provided counsel to Hg in its $500 million investment in Rightsline that was announced May 27. Rightsline provides rights and royalties management software for IP-intensive industries. Brown advised on data privacy and cybersecurity matters.
