CDT Roundup: Tech Titans, Crypto Surges and Old School Deals Meet Bold Moves

The week ending July 18 saw 14 deals for $6 billion dollars. The week prior saw 15 deals for $13 billion and there were 15 deals for $16 billion reported during the same week last year.

But consider the actual deals and you begin to sense a difference: a $25 billion data center deal that probably will be but really isn’t yet; a flurry of placements aimed at flipping the switch on crypto assets; an IPO for a Japanese AI-driven HR platform whose goal is to be a lawyer.

Yes, there were some that felt familiar in an old school way: A Houston energy company spent nearly $4 billion on two power plants in the northeast (yes, but think data centers again); the purchase of an asphalt company with growth potential and a significant investment in newly-formed upstream E&P.

But there was also a Texas investment in the Spanish homebuilding market, a sports EV maker taking a plunge in crypto and a billion-dollar investment in a data center developer based in Singapore.

Maybe it didn’t seem like a lot of money on the table, but the deals that made the week had the smell of change.

Blackstone, PPL to partner in $25B data center venture

Deal Description: Investment giant Blackstone, through its subsidiary QTS, announced July 15 a partnership with Pennsylvania utility provider PPL, to provide $25 billion for the buildout of energy and data center infrastructure across the Keystone State. The partnership comes in the form of a joint venture between QTS, the world’s largest independent data center operator, and PPL, the utility based in Allentown, Pennsylvania. QTS said it has already acquired sites for data centers and intends to seek other willing communities to accommodate the resource demands of hyperscale data operations required for artificial intelligence development and deployment. Blackstone is the world’s largest asset manager with more than $12 trillion global AUM.

Talen Energy acquires two PJM power stations for $3.8B

Deal Description: Talen Energy Corp announced July 17 its agreement to acquire two combined-cycle natural gas power plants in the PJM power market from Caithness Energy and BlackRock for $3.8 billion. The assets include the Moxie Energy Freedom Center owned by Caithness in Pennsylvania and the Guernsey Power Station in Ohio jointly owned by Caithness and BlackRock through its acquisition last year of Global Infrastructure Partners. The net adjusted price for both after tax benefits is $3.5 billion, an acquisition multiple of 6.7x the 2026 EV/EBITDA. The transaction is immediately accretive to free cash flow per share by 40 percent in 2026 and over 50 percent through 2029. The plants add to Houston-based Talen’s power portfolio in the northeast data center markets. Talen expects to fund the purchases with $3.8 billion in new debt issues. The company says the acquisition supports their continuing target of $500 million in share repurchases. Both transactions are expected to close by the end of the calendar year.

CBRE invests $348M+ in Spanish home developer

Deal Description: CBRE, the Dallas-based real estate giant, announced July 17 a €300 million (US $348.6M) minority investment in Spanish residential developer Vía Célere. The investment, made through CBRE Investment Management, aims to recapitalize Vía Célere in partnership with Värde Partners, its strategic backer since 2019. Founded in 2007 and headquartered in Madrid, Vía Célere is a high-end developer of sustainable homes. The recap enables Vía Célere to reduce debt, maintain its development pipeline and expand its brand in the Spanish residential real estate sector while Värde Partners remains in control.

Heron lands $16M in Series A funding

Deal Description: AI automation startup Heron said July 15 that its Series A funding netted $16 million led by software investor Insight Partners alongside existing investors Y-Combinator, BoxGroup and Flex Capital. The funding is to be used to scale the company which offers customized AI tools to automate HR workflows — email scanning and sorting, content checking, data object entry and basic eligibility checks — while flagging applications and reports for human review. Heron was founded in 2020 by Dom Kwok, Jamie Parker, and Johannes Jaeckle.

Deal Description: InvestorsNorthleaf Capital Partners and AVALT announced July 15, their agreement to acquire WASH Multi-Family Holdings Inc, a route-based commercial laundry operation from EQT. Northleaf is headquartered in Toroto, AVALT in Boston and WASH in Torrance, California. WASH provides basic laundry room services to multi-family dwellings from 34 branches in the U.S. and Canada serving 80,000 locations with more than 660,000 machines. Term of the deal were not disclosed.

Evolution Strategy acquires The Fain Group

Deal Description: Austin-based infrastructure investor Evolution Strategy Partners announced its strategic partnership with The Fain Group, an infrastructure developer and restorative contractor for historic buildings, parks, trails, landscapes and other public spaces. Founded in 2004 and based in Fort Worth the company has been involved in a wide variety of projects across North Texas from Little Elm Park Beach and Frisco Athletic Center to the Fort Worth Zoo and Chisholm Trail Park. Larry Frazier, who founded the company, will remain its president. Terms of the transaction were not disclosed.

38 Degrees North gains growth funds, acquires U.S. Light Energy

Deal Description: 38 Degrees North, a community solar and renewables platform, announced new growth equity investments from Climate Adaptive Infrastructure and Kimmeridge Energy Management Company. Though the amount of their investments were undisclosed, 38 Degrees said the new funds raised their capitalization above $230 million to date. The company also disclosed that it has acquired U.S. Light Energy, a Latham, New York solar developer with a pipeline of projects totaling 250 megawatts. Founded in 2015 and based in Sausalito, California, 38 Degrees North is an established platform for the development and management of solar projects across the U.S. with over 400 megawatts from more than 100 unique projects. The new investments are being made alongside existing partner S2G Investments who invested in 2023.

Princeton Digital Group acquires $1.3B preferred equity investment

Deal Description: Data center operator Princeton Digital Group on July 17 announced an agreement with Stonepeak on a preferred equity investment of $1.3 billion to support PDG’s expansion across the Asia Pacific. Based in Singapore PDG operates a portfolio of 1.1 gigawatts of data across six countries in the region, supported by investments from Warburg Pincus, Ontario Teachers Pension Plan, Mubadala. In May PDG announced a total of $1.2 billion in project and debt financing, including $400 million from Barclays, BNP Paribas and Deutsche Bank.

Sports EV maker offers $500M private placement for Bitcoin purchase

Deal Description: Volcon, an Austin-based maker of electric sports vehicles, announced July 17 the initiation of a Bitcoin treasury strategy with a private placement of $500 million shares of its common stock to a group of investors led by Empery Asset Management. The 50,142,851 shares were offered at $10 per share. The group includes FalcolnX, Pantera, Borderless, RK Capital, and Relayer Capital and other traditional fiat currency investors. The company plans to use nearly all the proceeds to purchase Bitcoin. The company has employed Gemini Nustar as strategic advisors in the deployment of the Bitcoin assets.

OFA Group gets $100M equity commitment for crypto treasury

Deal Description: OFA Group, a publicly traded Hong Kong developer of AI-driven architecture services, announced July 15, a $100 million equity credit facility from Atsion Opportunity Fund-Series 1. The announcement of the capital commitment follows a memorandum of understanding with Bitwise Asset Management to serve as strategic advisor for the equity facility as part of the company’s crypto currency-based treasury plan. Under terms of the agreement, OFA — which had six employees, according to its SEC registration statement — will have the right to issue and sell shares to Atsion over a 36-month period at a volume and price governed by prevailing market conditions. Proceeds for any stock issue under the facility would be allocated in support of the company’s accumulation of several specific crypto currencies: Bitcoin (BTC), Solena (SOL) or Sui (SUI). The company argues that a transition to a crypto treasury offers advantages: a differentiated return on crypto investment; a broader base of potential investors; a technology-forward profile for what is essentially a technology platform and a strategic hedge against debasement of fiat currencies.

BitMine offering ATM shares for Ethereum-based treasury strategy

Deal Description: BitMine Immersion Technologies took the next step in its recently announced move toward a crypto currency treasury with the shelf registration and ATM offering of up to $2 billion in common stock. The offering follows the private placement of $250 million in shares to a consortium led by Austin-based MOZAYXX. The company plans to use the proceeds of its offerings to acquire and manage a company based on the crypto currency Ethereum (ETH). To that end BitMine has signed a 10-year consulting agreement with Ethereum Tower LLC to manage its ETH treasury strategy. In addition to its crypto asset management business, Bitmine Immersion is the developer of an immersive cooling technology for hyper-scaling servers, allowing greater efficiencies used in bitcoin mining.

Robot Consulting unveils $15M IPO

Deal Description: Robot Consulting Co., a Japanese human resource platform, announced July 16 an Initial Public Offering on the Nasdaq Capital Market of 3.75 million shares of American Depository Shares at $4 per share. The company, which intends to expand into legal services, trades under the ticker “LAWR.” It opened on Thursday (July 17) at $4.39 and closed Friday at $3.72. The company expects to use the approximately $15 million in proceeds for general corporate purposes: hiring, R&D and investment in physical facilities.
