CDT Roundup: Texas Hits Pause on Hookups, Not Infrastructure

For the week ended Aug. 15, the CDT Roundup saw 15 deals worth about $11.3 billion. The week prior saw 13 deals with a value of $11.1 billion and for this same week a year ago the Roundup reported 13 deals worth more than $26.4 billion.

In a week that began with an immediate pause in data center grid hookups with ERCOT ordered by Gov. Greg Abbott didn’t seem to thwart investment in energy infrastructure and other data center adjacent spaces.

For instance, a Louisiana investor announced a $750 million take-private offer for a Virginia engineering firm that specializes in off-grid energy sources, a price that involves a near 50 percent per share markup. Texas lawyers steered midstream energy deals that included thousands of miles of pipelines trading hands along the Gulf Coast, the West Coast and in St. Louis for good measure. And in upstream action, acreage changed hands in New Mexico and the Haynesville Shale, as well as the sale of a gas gathering operation in the Midland Basin.

In a more diverse universe, outside the data center orbit, there were deals for a marketing management firm, a frequent flyer plan, a Florida yacht marina and a piece of a U.K. soccer club.

Kinder Morgan, HF Sinclair and Phillips 66 to combine in $5B Pipeline JV

Deal Description: On Aug. 11, Houston downstream energy company Phillips 66, Houston energy infrastructure firm Kinder Morgan and Dallas-based HF Sinclair announced a joint venture and final investment decision on the Western Gateway Pipeline system, a proposed 1,300-mile refined products pipeline from St. Louis and the Gulf Coast to Arizona and California. Phillips 66 said it will own 49.9 percent of the venture with Kinder Morgan owning 35.1 percent and HF Sinclair holding 15 percent. The companies said the enterprise value is about $5 billion with Kinder Morgan assets valued at about $1.5 billion. Phillips 66 plans to contribute about $2.5 billion cash to the venture while HF Sinclair will put about $750 million cash into the project and Kinder Morgan will make cash contributions of about $250 million. Phillips 66 will build and operate a 900-mile pipeline from Borger, Texas, to Phoenix. Kinder Morgan will contribute its existing pipeline from El Paso to Phoenix and Tucson, and its pipeline from Colton, California, to Phoenix, which would be reversed to move product east to west into California.

Blackstone, La Caisse acquire 25% of Air Canada frequent-flyer program for $1.8B

Deal Description: Air Canada announced on Aug. 11 that Blackstone and La Caisse – two of the largest private equity firms in the world – along with other Canadian financial institutions are acquiring a 25 percent stake in Aeroplan Inc. for about $1.8 billion. Blackstone said in a new release that the investment values the travel loyalty and frequent-flyer program at $7.17 billion. Air Canada plans to use proceeds from the investment to pay about $1.2 billion worth of maturing bonds and to accelerate its share repurchase plan. Blackstone said the investment group includes PSP Investments and British Columbia Investment Management Corp.

Safe Harbor Marinas buys MarineMax for $1.5B cash

Deal Description: Safe Harbor Marinas said on Aug. 10 that it has acquired MarineMax for $53 a share, or about $1.5 billion, in cash. Sidley Austin provided outside legal counsel to MarineMax with a team led from New York. Bernhard Capital acquires Virginia consulting firm for ~$750M

Deal Description: Louisiana private equity firm Bernhard Capital Partners said on Aug. 10 that it has acquired Bowman Consulting Group, an alternative energy engineering services and program management firm based in Reston, Virginia, for $43 a share cash. The companies said the purchase price represents a premium of about 58% to Bowman’s closing price of $27.23 per share on Aug. 7, giving the deal a transactional value of about $750 million. If the deal makes it past a 35-day “go shop” clause that expires on Sept. 16, the company will head toward becoming a privately held unit of Bernhard, with a closing expected by the end of the first quarter of 2027.

EagleRock acquires acreage in Lea County, New Mexico for $78.2M

Deal Description: Houston-based land management royalty company  EagleRock Land said on Aug. 10 that it has acquired Intrepid Ranch, which includes about 50,000 surface acres, from Midland-based Hydrosource Logistics for $78.2 million. EagleRock said the acreage is adjacent to its existing surface position in Lea County, New Mexico, and includes approximately 22,000 fee acres.

CRC acquires Crimson Midstream Holdings for $63M cash

Deal Description: California Resources Corp. said on Aug. 10 that it has acquired Crimson Midstream Holdings from CorEnergy Infrastructure Trust for $63 million cash. Mora Energy acquires two natural gas gathering firms, gets capital infusion

Deal Description: Dallas energy infrastructure company Mora Energy said on Aug. 12 that it closed the acquisition of two firms in the Midland Basin and also closed on a new revolving line of credit. Financial terms weren’t disclosed. Mora acquired Denver-based Tejon Treating and Carbon Solutions from private oil and gas development firm Bayswater Exploration & Production. Mora also acquired West Texas Midstream Gas Services from Williams. Mora said the acquisitions include about 200 miles of natural gas gathering pipelines, four compressor stations, an amine treating facility and an acid gas injection well. Mora also said its sponsor – Dallas private equity firm NGP Energy Capital Management – “significantly increased equity commitments,” while BOK Financial and Huntington Bank led the new credit facility.

Fenway Sports Groups sells minority stake in Liverpool FC

Deal Description: Fenway Sports Group announced on Aug. 14 that it has sold a minority stake in Liverpool FC to 1892 Holdings. Terms weren’t disclosed. The Boston sports holding company said 1892 Holdings is a consortium led Amit Bhatia, with investments from the Mittal Family Trusts, K5 Sports and EE Capital. Amazon CEO Jeff Bezos is the lead investor in the K5 Sports fund, and EE Capital is the Singapore-based private equity firm of Facebook co-founder Eduardo Saverin. Fenway Sports Group, which acquired Liverpool in 2010, will retain majority ownership and operational control of the club. Founded in 1892, Liverpool has won 20 English league titles and is one of the most recognizable soccer clubs in the world.

Deal Description: Houston water infrastructure company WaterBridge Infrastructure said on Aug. 13 that its  WBI Operating unit priced $150 million of 6.5 percent notes due 2033. KLX Energy Services offers $125M in rights to acquire shares

Deal Description: Houston oilfield company KLX Energy Services said on Aug. 10 that it will offer $125 million of rights to holders of the company’s common stock. KLX said shareholders will receive one subscription right for each common share held that will allow them to purchase 3.885 shares at $1.49 a share. The rights will be rounded down to the nearest whole share. The offering is backstopped by existing holders of the company’s notes due 2030.

Late Arrivals and Other Matters …

On July 15, Talos Energy closed the sale of Gulf Coast assets to a confidential buyer. The Houston energy company, which acquired a stake in two major offshore platforms from Shell in July, said the asset sale eliminates about $54 million of asset retirement obligations and decommissioning liabilities. Latham & Watkins advised Talos with a team led by Justin T. Stolte (Houston/New York), Chris Heasley (Houston/Austin) and James Robertson (Houston).  

On Aug. 6, Copenhagen Infrastructure Partners said it received $510 million in debt funding to finance its first investment in Mexico, a solar photovoltaic project and battery energy storage system in the Campeche, Mexico, on the Yucatán Peninsula. The Danish private equity firm said the financing was provided by BNP Paribas, JPMorgan Chase, Natixis CIB, Santander and Scotiabank with an expected co-investment from Mexican retirement fund administrator Profuturo. White & Case has advised the lenders with lawyers in Mexico City, Miami and New York. Clifford Chance advised CIP with a team based in Washington, D.C. that included Houston associate Kade Moural.  

On Aug. 10, AI research and development company Anthropic, Australian financial services giant Macquarie Asset Management, and GIC, a Singaporean sovereign wealth fund, announced a partnership to establish Theseus Infrastructure. Terms weren’t disclosed. The companies said the new platform will develop, operate and lease data center infrastructure at scale to Anthropic. The companies said “demand for Claude continues to grow rapidly across businesses, developers, and consumers, and meeting that demand requires significant new compute.” The new consortium was advised by Simpson Thacher with a team that included Houston associates Gavin Jaco.
